Introduction Agreement for Curriculum Usage Between Fresno County Sheriff's Office And Pathfinders of Oregon D ·u p ~ "-t-r~&Z7- This Agreement, dated October 9, 2014, is made between Licensor, Pathfinders of Oregon (Pathfinders), an Oregon 501 c3 corporation, and the Fresno County Sheriffs Office (Licensee) having its place of business in Fresno, CA. It covers a license for Pathfinders' Parenting Inside Out parenting products. 2. Definitions Curriculum means the three (4) versions of Pathfinders' Parenting Inside Out (PIO) parenting curriculum: Prison, Jail and Community, including written materials and updates marketed by Pathfinders. The curriculum and all copies developed there from are proprietary to Pathfinders and title remains with Pathfinders. Coach means an individual who delivers the PIO curriculum to parents. Coaches using the Prison and Community versions of the curriculum are required to complete the PIO training program. Coaches using the Jail version of the curriculum are encouraged, but not required to attend training. Products means the curriculum for Prison, Jail, and/or Community and the Coach Training Program. 3. Products and License Training. Training is not required for the jail program. Should the licensee desire training, Pathfinders will provide it. Curriculum. licensee has purchased a curriculum license which authorizes Licensee to use the jail curriculum materials, deliver the curriculum to students, and print student materials provided to the Coach. 4. Copies Licensee may not share or duplicate the Products in any way for any other individual or organization. Coaches may copy student materials for student use as needed. 5. Copyright The Products are owned jointly by Pathfinders and the Oregon Social learning Center and are protected by United States and international copyright laws. The Products are copyrighted with all rights reserved. licensee and each user must treat the Products like any other copyrighted material. Under copyright laws, neither the Curriculum nor the Training may be copied, in whole or in part, without the written consent of Pathfinders of Oregon, 7800 SW Bar bur Blvd., Portland, OR 97219. 503-977-6399 Page 2 Pathfinders, except as described above under Copies. No title to the intellectual property in the Products is transferred to licensee. 6. Conditions of Curriculum Delivery • The same Coach will deliver the entire class session. If a change does need to be made mid-class session a reasonable transition plan must be used. • The Parenting Inside Out program will be taught as written. Coach will not introduce non- curriculum materials or information into the class and will not delete any portion of the curriculum. • licensee will acquire and utilize all the curriculum supplies and materials outlined in the curriculum (Exhibit B). • There will be no classroom interruptions by clinicians or outside people wanting to address the parenting group, or for activities not outlined in the curriculum. • For some parents, participating in a parenting class brings up issues that require attention from a counselor and/or mental health professional; licensee recognizes this and will establish a plan for responding to this potential need as required. 7. Reporting • Licensee will identify a lead contact person to communicate with Pathfinders quarterly, or more often, as determined by Pathfinders. • licensee will submit a quarterly report to Pathfinders which includes the following information: 1. Number of PIO classes taught with each version (Prison, Community and/or Jail) 2. Full name(s) ofthe Coach(es) who taught each PIO class 3. Location of each class 4. Number of students enrolled in each class 5. Number of students who successfully completed (graduated from) each class 6. Applicable Law and Arbitration This agreement shall be governed by the laws of the State of Oregon. Any dispute regarding this agreement shall be settled by binding arbitration pursuant to the rules and procedures of the US Arbitration Association. The arbitrator may award reasonable costs and fees to the prevailing party. 10. Entire Agreement Page 3 This Agreement, including its attachments, constitutes the entire agreement between the parties on the subject matter contained herein. No modifications shall be enforceable unless in writing and signed by an authorized representative of each party.
