3 T H IS AGREEMENT is made and entered into this 23rd day of June , 2020 , by and between the
4 COUNTY OF FRESNO , a Politica l Subdivision of the State of California , hereinafter referred to as
5 "COU NTY", and VMS Family Counseling Services , Professiona l Corporation , a California Cor poration ,
6 whose address is 2350 W. Shaw Ave. Fresno , CA 93711 , hereinafter referred to as "CONTRACT OR".
7 WI T N E S S E T H:
8 WHEREAS, COUNTY'S Sheriff Office desires to use CONTRACTOR for Psychological Services for
9 Sheriff-Coroner-Public Adm inistrator Personnel in accordance w ith the text of this agreement; and
10 W H EREAS, CONTRACTOR agreed to provide counseling and psychological services over a five-
11 year term.
12 NOW, THEREFORE , in consideration of the mutual covenants, terms and conditions herein
13 contained, the parties hereto agree as follows :

1. OBLIGATIONS OF THE CONTRACTOR
A. CONTRACTOR shall provide counseling services and psychotherapy by
16 appropri ately licensed professionals to the Sheriff-Coroner-Public Administrator's employees and the ir
17 families pursuant to th is Agreement.
18 B . CONTRACTOR shall provide counseling that may be ind iv idual, couples , or group
19 sessions that will take place at CONTRACTOR'S place of bus iness and is convenient to employees and
2 0 their families .
21 C . CONTRACTOR will be immediately available twenty-four (24) hours a day for
22 emergency service requests and shall respond to non-emergencies within twenty-four (24) hours.
23 D . CONTRACTOR shall provide training seminars and consultation services to the
24 Sheriff-Coroner-Public Adm inistrator's management as needed.
25 E . CONTRACTOR agreed that all visits are confidential in nature and no reports o r
26 files are provided to the Sheriff's Office or the COUNTY .
