HomeMy WebLinkAboutAgreement A-18-708-1 with ReliaStar Life Insurance Company.pdf- 1 - 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 FIRST AMENDMENT TO AGREEMENT NO. 18-708 THIS FIRST AMENDMENT TO AGREEMENT 18-708 (hereinafter “Amendment”) is made and entered into this 15th day of December, 2020, by and between COUNTY OF FRESNO, a Political Subdivision of the State of California, Fresno, California (hereinafter “COUNTY”), and ReliaStar Life Insurance Company, a Minnesota Corporation, whose address is 20 Washington Ave. S., Minneapolis, MN 55401, hereinafter referred to as "CONTRACTOR". WITNESSETH: WHEREAS, COUNTY and CONTRACTOR entered into Agreement number 18-708, dated December 11, 2018 (hereinafter “Agreement”), pursuant to which CONTRACTOR agreed to provide Life Insurance and Accidental Death and Dismemberment Insurance coverage to COUNTY employees; and WHEREAS, COUNTY and CONTRACTOR now desire to amend the Agreement to add Employee Assistance Program services for COUNTY employees as a service to be provided by CONTRACTOR, and update the amount of compensation CONTRACTOR receives from COUNTY. NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of which is hereby acknowledged, COUNTY and CONTRACTOR agree as follows: 1. Section 1 – OBLIGATIONS OF CONTRACTOR of the Agreement, beginning on Page One (1), Line Sixteen (16) and ending on Page Two (2), Line Fifteen (15), is deleted in its entirety and replaced with the following: "1. OBLIGATIONS OF THE CONTRACTOR A.CONTRACTOR shall provide Class 1 Employees with $10,000 of Life Insurance coverage and $10,000 of Accidental Death and Dismemberment (hereafter, “AD&D”) Insurance coverage, with premiums paid by COUNTY. Class 1 Employees include all active COUNTY employees who participate in a COUNTY-sponsored health insurance plan. B.CONTRACTOR shall provide Class 2 Employees with $51,000 of Life Insurance coverage and $51,000 of AD&D Insurance coverage, with premiums paid by COUNTY. Class 2 Employees include all active COUNTY Management employees. C.CONTRACTOR shall provide Class 3 Employees with $250,000 of Life Agreement No. 18-708-1 - 2 - 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 Insurance coverage and $250,000 of AD&D Insurance coverage, with premiums paid by COUNTY. Class 3 Employees include all active COUNTY Senior Management employees, Department Heads, and Elected Officials. D. CONTRACTOR shall provide optional life insurance coverage to all active COUNTY employees in the amount of $100,000; premiums to be paid by the covered employee, as set forth in Subsection D of Section 5 (Compensation & Invoicing). E. CONTRACTOR shall provide optional life insurance to the spouses of active COUNTY employees in the amount of $50,000. Spousal eligibility is contingent upon participation by the employee in optional life insurance coverage as provided in Section 1.D., above; premiums to be paid by the covered employee, as set forth in Subsection D of Section 5 (Compensation & Invoicing). F. CONTRACTOR shall provide optional life insurance to the children of active COUNTY employees in the amount of $10,000. A child’s eligibility is contingent upon the child being twenty-six (26) years of age or younger, and participation by the employee in optional life insurance coverage as provided in Section 1.D., above; premiums to be paid by the covered employee, as set forth in Subsection D of Section 5 (Compensation & Invoicing). G. CONTRACTOR shall provide Level 1 Funeral Planning & Concierge Services, as well as Travel Assistance Services, as set forth in Exhibit A, to all active COUNTY employees who receive life insurance coverage under this Agreement. There will be no additional charge for these Services. H. With regards to eligibility of coverage, in the event of a discrepancy between the foregoing provisions and the terms of the CONTRACTOR’S Insurance Policies, the terms of the Policies will govern. I. CONTRACTOR shall provide Employee Assistance Program (EAP) services, as set forth in Exhibit F, attached hereto and incorporated herein by this reference, through its subcontractor ComPsych Corporation. These EAP services shall be provided pursuant to the terms of this Agreement. The COUNTY shall look to the CONTRACTOR for compliance with this Agreement and not deal directly with any subcontractor, except as specifically provided herein. Premiums to CONTRACTOR for EAP services shall be as set forth in Subsection E of Section 5 (Compensation & - 3 - 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 Invoicing).” 2. Section 5 – COMPENSATION & INVOICING of the Agreement, beginning on Page Three (3), Line Thirteen (13) and ending on Page Five (5), Line Two (2), is deleted in its entirety and replaced with the following: "5. COMPENSATION & INVOICING: COUNTY agrees to pay CONTRACTOR and CONTRACTOR agrees to receive insurance premiums as follows: A. Class 1 Employees: $0.35 per covered employee per biweekly pay period. B. Class 2 Employees: $1.79 per covered employee per biweekly pay period. C. Class 3 Employees: $8.77 per covered employee per biweekly pay period. D. Employees and their spouse and/or eligible children who choose to enroll in a supplemental life insurance policy shall pay the insurance premium subject to the following monthly rates per $1,000 of coverage, based on their age: 1) Under 25 years of age: $0.06; 2) 25-29 years of age: $0.07; 3) 30-34 years of age: $0.08; 4) 35-39 years of age: $0.11; 5) 40-44 years of age: $0.16; 6) 45-49 years of age: $0.23; 7) 50-54 years of age: $0.37; 8) 55-59 years of age: $0.60; 9) 60-64 years of age: $0.94; 10) 65-69 years of age: $1.76; and 11) 70 years of age and older: $2.85. 12) All children of the employee: $0.14 E. EAP Services: COUNTY shall pay CONTRACTOR for EAP services provided at the rate of $0.65 per permanent, active COUNTY employee per month. CONTRACTOR shall submit a monthly electronic invoice for EAP services to the County of Fresno Department of Human Resources. CONTRACTOR agrees that payment of said 1 invoice will be made no sooner than forty-five (45) days from date of receipt of invoice by the 2 COUNTY . Premiums for life insurance and AD&D insurance shall be remitted by COUNTY to 3 CONTRACTOR no sooner than 45 days after the last calendar day of the month in which premiums 4 are collected. 5 With regards to eligibility of coverage , in the event of a discrepancy between the 6 foregoing provisions and the terms of the CONTRACTORS Insurance Policies , the terms of the 7 Policies will govern . 8 In no event shall the cost to COUNTY for services performed under this Agreement be 9 in excess of $660 ,000 during the term of this Agreement. However, there is no aggregate limit on the 1 O amount that CONTRACTOR may receive from employees who purchase optional life insurance from 11 CONTRACTOR as described in Sections 1.D through 1.F of this agreement. It is understood that all 12 expenses incidental to CONTRACTOR'S performance of services under this Agreement shall be 13 borne by CONTRACTOR." 14 COUNTY and CONTRACTOR agree that this Amendment is sufficient to amend the 15 Agreement and , that upon execution of this Amendment , the Agreement and this Amendment together 16 shall be considered the Agreement. 17 The Agreement , as hereby amended , is ratified and continued . All provisions , terms , 18 covenants , conditions and promises contained in the Agreement and not amended herein shall remain 19 in full force and effect. Seidel Clerk of the Board of Supervisors County of Fresno, State of California By : See page four for Attestation --------------Deputy - 5 - Exhibit F Page 1 of 3 County of Fresno Employee Assistance Program Scope of Work ReliaStar Life Insurance Company, through its subcontractor ComPsych Corporation, shall provide an employee assistance program to County of Fresno employees, as set forth below: 1. Counseling Services a. Provide up to three (3) face to face counseling sessions per person per issue per rolling 6- month period for the County’s employees and their family/household members. b. Provide unlimited telephonic consulting for the County’s employees and their family/household members. c. Upon request, provide or make a referral to a bilingual counselor according to the language needs of the employee or family/household member. Languages needed include, English, Spanish, Hmong, and Laotian. d. Maintain a toll-free telephone number accessible on a 24-hour, 7 days per week basis, where Professional EAP counselors shall provide live, immediate crisis telephone counseling. These services should be provided in multiple languages, including English, Spanish, and Hmong. e. Maintain a website where employees may access services, information, webinars, etc. f. Provide substance abuse case management and support for return-to-work transition. g. Provide direct supervisory referrals for work performance problems. 2. Work/Life services a. Provide personalized attention and resources that cover all aspects of work-life needs, including: i. Child care ii. Education iii. Adoption iv. Pet care v. Elder care vi. Personal convenience services b. Provide legal information and assistance for a broad range of legal issues with: i. Immediate, confidential access to staff attorneys ii. Unlimited telephonic and online access to legal information from licensed attorneys iii. Access to a credentialed national network of lawyers for in-person consultation iv. Referral to lawyers in the community at discounted fees v. Comprehensive legal resource database vi. Wide variety of no-cost legal options c. Provide access to financial experts in many areas of money management and planning with: i. Unlimited telephonic and online access ii. On-staff CPAs and other financial experts Exhibit F Page 2 of 3 iii. Nationwide network of Certified Financial Planners iv. User-friendly online financial planning tools v. Recommended books and articles vi. Student Loan resources and guidance 3. On-Site and/or Live Services a. Provide a bank of 110 hours of on-site and/or live service as described below. ComPsych agrees that the aforementioned bank shall not be reduced by the travel time of the professionals providing the services described below. b. Conduct critical incident stress debriefings for traumatic events, including death of an employee, workplace accidents, natural disasters and violence in the workplace within 24 hours of urgent requests or within five (5) days for non-urgent requests. A minimum of two (2) hours per incident for each debriefing shall be provided. c. Send, at minimum, one (1) representative to the County’s annual Open Enrollment fairs to assist with explanation of services and provide promotional materials. Typically, the County has one (1) major health and wellness fair and several satellite fairs over the course of a one- week period during the Open Enrollment period. d. Provide customized on-site and/or webinar training on a variety of subjects including, but not limited to, mental health, financial, legal, emotional and wellness topics. e. Provide on-site and/or web-based training to supervisors and managers on employment related issues. f. Attendance minimums must be no higher than the following: i. In-person trainings: 15 attendees ii. Webinars: 10 attendees g. Conduct biweekly live webinar orientation sessions to introduce the benefits of the program to new employees. Alternatively, produce a recorded orientation session, which should be no more than 15 minutes. 4. Administration/Transition a. Provide a designated account manager, who will report to the Director of Human Resources or their designee. i. The account manager shall return emergency calls/emails within 30 minutes and routine calls/emails within 24 hours. b. Provide quarterly utilization reports with executive overview; annual cost analysis availability upon request, and full color graphs and charts that display key metrics and demographic data. c. If applicable, a transition plan for services that are in progress at the time of change-over from the existing employee assistance provider to the new service provider shall be provided. Exhibit F Page 3 of 3 5. Program Promotion a. Consult with and make recommendations to, County staff regarding the implementation, promotion and administration of EAP services. b. Provide, at its expense, the following promotional materials: i. Printed, color promotional materials as well as online access to all marketing materials for electronic distribution. Such materials shall include, but are not limited to, posters, brochures, flyers, and wallet cards.
