HomeMy WebLinkAbout3253512345678910111213141516171819202122232425262728A G R E E M E N TTHISMEMORANDUMOFUNDERSTANDING,hereinafterreferredtoas“MOU”or“AGREEMENT”ismadeandenteredintothisdayof,2016,byandbetweentheCOUNTYOFFRESNO,aPoliticalSubdivisionoftheStateofCalifornia,hereinafterreferredtoas"COUNTY",andCENTRALVALLEYREGIONALCENTER,INC.,aCaliforniaNon-ProfitCorporation,whoseaddressis4615N.MartyAvenue,Fresno,California,93722,hereinafterreferredtoas"CONTRACTOR"(collectivelyreferredtoasthe“parties”).WITNESSETH:WHEREAS,thecomplexitiesofprovidingmentalhealthtreatmentservicestopersonswithaseriousmentalillnessandaco-existingdevelopmentaldisabilityhavecreatednumerouschallengesforbothCONTRACTORandCOUNTY;andWHEREAS,neitherpartyiswellequippedtoaddressthespecialneedsofthispopulation;andWHEREAS,itcanbeverychallengingforpersonsandfamiliestoreceivethemostappropriate(efficientandeffective)servicespossible;andWHEREAS,inadvancingnewapproachestotreatment,aconsortiumofRegionalCenterswhichincludesCONTRACTOR,KernCountyRegionalCenter(KRC)andTri-CountyRegionalCenter(TCRC)hasbeenworkingincollaborationwithaprovider,TelecareCorporation,todevelopa15bedMentalHealthRehabilitationCenter(MHRC)whichisdesignedtofocusonpersonswhomeetcriteria,independentoftheirdevelopmentdisability,fortreatmentinamentalhealthinpatientprogram;andWHEREAS,CONTRACTORshallbelocatedat2511JensenAvenue,Sanger,CA93657andwillbereferredtoasSangerPlace;andWHEREAS,COUNTYthroughitsDepartmentofBehavioralHealth(DBH)hasagreedtoprovidealicensedmentalhealthprofessionaltoserveasliaisontoSangerPlacetomeetperiodicallywiththepartnerRegionalCentercoordinatorsandTelecarestaff,todiscussissuesrelatedtothemanagementandcareofclientsservedatSangerPlace;and-1-
12345678910111213141516171819202122232425262728WHEREAS,CONTRACTORhasagreedtoprovideCOUNTY’SDBHwithreimbursementforcostsassociatedwiththeprovisionoftheliaisonservicesprovidedbythelicensedmentalhealthprofessional;NOW,THEREFORE,inconsiderationofthemutualcovenants,termsandconditionshereincontained,thepartiesheretoagreeasfollows:1.SERVICESCOUNTY,throughitsDBH,AdultServicesDivision,shallprovidealicensedmentalhealthprofessionaltoserveasaliaisonbetweentheDBH,CVRC,andotherconsortiumagenciesparticipatingintheutilizationandoperationoftheSangerPlaceMHRC,asdescribedinExhibitA,DefinitionofServices,attachedheretoandbythisreferenceincorporatedherein.2.TERMThetermofthisAgreementshallbeforaperiodofthree(3)years,commencingonJuly1,2016throughandincludingJune30,2019.ThisAgreementmaybeextendedfortwo(2)additionalconsecutivetwelve(12)monthperiodsuponwrittenapprovalofbothpartiesnolaterthanthirty(30)dayspriortothefirstdayofthenexttwelve(12)monthextensionperiodbasedonsatisfactoryperformancebybothparties.TheDBHDirectorordesigneeisauthorizedtoexecutesuchwrittenapprovalonbehalfofCOUNTYbasedonCONTRACTOR’Ssatisfactoryperformance.3.TERMINATIONA.Non-AllocationofFunds-ThetermsofthisAgreement,andtheservicestobeprovidedhereunder,arecontingentontheapprovaloffundsbytheappropriatinggovernmentagency.Shouldsufficientfundsnotbeallocated,theservicesprovidedmaybemodified,orthisAgreementterminated,atanytimebygivingtheCONTRACTORthirty(30)daysadvancewrittennotice.B.BreachofContract-TheCOUNTYmayimmediatelysuspendorterminatethisAgreementinwholeorinpart,whereinthedeterminationoftheCOUNTYthereis:1)Anillegalorimproperuseoffunds;2)AfailuretocomplywithanytermofthisAgreement;-2-
123456789101112131415161718192021222324252627283)AsubstantiallyincorrectorincompletereportsubmittedtotheCOUNTY;4)Improperlyperformedservice.InnoeventshallanypaymentbytheCOUNTYconstituteawaiverbytheCOUNTYofanybreachofthisAgreementoranydefaultwhichmaythenexistonthepartoftheCONTRACTOR.NeithershallsuchpaymentimpairorprejudiceanyremedyavailabletotheCOUNTYwithrespecttothebreachordefault.TheCOUNTYshallhavetherighttodemandoftheCONTRACTORtherepaymenttotheCOUNTYofanyfundsdisbursedtotheCONTRACTORunderthisAgreement,whichinthejudgmentoftheCOUNTYwerenotexpendedinaccordancewiththetermsofthisAgreement.TheCONTRACTORshallpromptlyrefundanysuchfundsupondemand.C.WithoutCause-Undercircumstancesotherthanthosesetforthabove,thisAgreementmaybeterminatedbyCOUNTYuponthegivingofthirty(30)daysadvancewrittennoticeofanintentiontoterminatetoCONTRACTOR.4.COMPENSATION/INVOICING:CONTRACTOR,throughthisMOUagreestoreimbursetheCOUNTY,fortheactualcostsofa.25fulltimeequivalent(FTE)LicensedMentalHealthProfessionaldeliveringliaisonservicesrelatedtothementalhealthservicesattheSangerPlaceMHRC,inaccordancewiththesalaryandbenefitratessetforthinExhibitB,attachedheretoandbythisreferenceincorporatedherein.CONTRACTORagreestoreimburseCOUNTYinarrears,withinforty-five(45)daysaftereachmonthlydetailedclaimissubmittedandverifiedbyCONTRACTOR.FortheperiodofJuly1,2016throughJune30,2017,innoeventshallservicesperformedunderthisAgreementexceedThirtySevenThousandForty-EightandNo/100Dollars($37,048.00).FortheperiodofJuly1,2017throughJune30,2018,innoeventshallservicesperformedunderthisAgreementexceedThirtySevenThousandNineHundredThirty-SevenandNo/100Dollars($37,937.00).FortheperiodofJuly1,2018throughJune30,2019,innoeventshallservicesperformedunderthisAgreementexceedThirtySevenThousandNineHundredThirty-SevenandNo/100Dollars($37,937.00).FortheperiodofJuly1,2019throughJune30,2020,innoeventshallservicesperformedunderthisAgreementexceedThirtySevenThousand-3-
12345678910111213141516171819202122232425262728NineHundredThirty-SevenandNo/100Dollars($37,937.00).FortheperiodofJuly1,2020throughJune30,2021,innoeventshallservicesperformedunderthisAgreementexceedThirtySevenThousandNineHundredThirty-SevenandNo/100Dollars($37,937.00).InnoeventshallservicesperformedunderthisAgreementbeinexcessofOneHundredEightyEightThousandSevenHundredNinetySixandNo/100Dollars($188,796.00)duringthetermofthisAgreement.ItisunderstoodthatallexpensesincidentaltoCONTRACTOR'SperformanceofservicesunderthisAgreementshallbebornebyCONTRACTOR.5.INDEPENDENTCONTRACTOR:Inperformanceofthework,duties,andobligationsassumedbyCONTRACTORunderthisAgreement,itismutuallyunderstoodandagreedthatCONTRACTOR,includinganyandallofCONTRACTOR'Sofficers,agents,andemployeeswillatalltimesbeactingandperformingasanindependentcontractor,andshallactinanindependentcapacityandnotasanofficer,agent,servant,employee,jointventurer,partner,orassociateoftheCOUNTY.Furthermore,COUNTYshallhavenorighttocontrolorsuperviseordirectthemannerormethodbywhichCONTRACTORshallperformitsworkandfunction.However,COUNTYshallretaintherighttoadministerthisAgreementsoastoverifythatCONTRACTORisperformingitsobligationsinaccordancewiththetermsandconditionsthereof.CONTRACTORandCOUNTYshallcomplywithallapplicableprovisionsoflawandtherulesandregulations,ifany,ofgovernmentalauthoritieshavingjurisdictionovermatterswhicharedirectlyorindirectlythesubjectofthisAgreement.Becauseofitsstatusasanindependentcontractor,CONTRACTORshallhaveabsolutelynorighttoemploymentrightsandbenefitsavailabletoCOUNTYemployees.CONTRACTORshallbesolelyliableandresponsibleforprovidingto,oronbehalfof,itsemployeesalllegally-requiredemployeebenefits.Inaddition,CONTRACTORshallbesolelyresponsibleandsaveCOUNTYharmlessfromallmattersrelatingtopaymentofCONTRACTOR'Semployees,includingcompliancewithSocialSecurity,withholding,andallotherregulationsgoverningsuchmatters.Itisacknowledgedthatduringthetermofthis-4-
12345678910111213141516171819202122232425262728Agreement,CONTRACTORmaybeprovidingservicestoothersunrelatedtotheCOUNTYortothisAgreement.6-AUDITSANDINSPECTIONSCONTRACTORshallatanytimeduringbusinesshours,andasoftenastheCOUNTYmaydeemnecessary,makeavailabletotheCOUNTYforexaminationallofitsrecordsanddatawithrespecttothematterscoveredbythisAgreement.CONTRACTORshall,uponrequestbytheCOUNTY,permittheCOUNTYtoauditandinspectallsuchrecordsanddatanecessarytoensureCONTRACTOR'ScompliancewiththetermsofthisAgreement.IfthisAgreementexceedsTenThousandandNo/100Dollars($10,000.00),CONTRACTORshallbesubjecttotheexaminationandauditoftheStateAuditorforaperiodofthree(3)yearsafterfinalpaymentundercontract(GovernmentCodeSection8546.7).7.MODIFICATION:AnymattersofthisAgreementmaybemodifiedfromtimetotimebythewrittenconsentofallthepartieswithout,inanyway,affectingtheremainder.Notwithstandingtheabove,changesinaddressestowhichnoticesaretobesentmaybemadebywrittenapprovalofCOUNTY’SDBHDirectorordesigneeandCVRC.8.NON-ASSIGNMENT:Neitherpartyshallassign,transferorsub-contractthisAgreementnortheirrightsordutiesunderthisAgreementwithoutthepriorwrittenconsentoftheotherparty.9.MUTUALHOLDHARMLESS:COUNTYshalldefend,holdharmless,andindemnifytheCVRC,itsgoverningboard,officers,administrators,agents,employeesandconsultantsofandfromanyandallliabilities,claims,demands,costs,losses,damages,orexpenses,includingreasonableattorney’sfeesandcourtcosts,includingbutnotlimitedtoconsequentialdamages,lossofuse,extraexpense,costsoffacilitiesdeath,sickness,orinjurytoanyperson,ordamagetoanypropertyfromanycausewhatsoeverarisingfromorconnectedwiththeprovisionofservicehereunder,thatariseoutoforresultfrom,inwholeorinpart,thenegligent,wrongful,orwillfulactsoromissionsoftheCOUNTY,itsagents,employees,subcontractors,consultantsorrepresentatives.CONTRACTORagreestoindemnify,save,holdharmless,andatCOUNTY'S-5-
12345678910111213141516171819202122232425262728request,defendtheCOUNTY,itsofficers,agents,andemployeesfromanyandallcostsandexpenses,damages,liabilities,claims,andlossesoccurringorresultingtoCOUNTYinconnectionwiththeperformance,orfailuretoperform,byCONTRACTOR,itsofficers,agents,oremployeesunderthisAgreement,andfromanyandallcostsandexpenses,damages,liabilities,claims,andlossesoccurringorresultingtoanyperson,firm,orcorporationwhomaybeinjuredordamagedbytheperformance,orfailuretoperform,ofCONTRACTOR,itsofficers,agents,oremployeesunderthisAgreement.10.INSURANCEWithoutlimitingtheCOUNTY'SrighttoobtainindemnificationfromCONTRACTORoranythirdparties,CONTRACTOR,atitssoleexpense,shallmaintaininfullforceandeffect,thefollowinginsurancepoliciesoraprogramofself-insurance,includingbutnotlimitedto,aninsurancepoolingarrangementorJointPowersAgreement(JPA)throughoutthetermoftheAgreement:A.CommercialGeneralLiabilityCommercialGeneralLiabilityInsurancewithlimitsofnotlessthanOneMillionDollars($1,000,000)peroccurrenceandanannualaggregateofTwoMillionDollars($2,000,000).Thispolicyshallbeissuedonaperoccurrencebasis.COUNTYmayrequirespecificcoveragesincludingcompletedoperations,productsliability,contractualliability,Explosion-Collapse-Underground,firelegalliabilityoranyotherliabilityinsurancedeemednecessarybecauseofthenatureofthiscontract.B.AutomobileLiabilityComprehensiveAutomobileLiabilityInsurancewithlimitsforbodilyinjuryofnotlessthanTwoHundredFiftyThousandDollars($250,000.00)perperson,FiveHundredThousandDollars($500,000.00)peraccidentandforpropertydamagesofnotlessthanFiftyThousandDollars($50,000.00),orsuchcoveragewithacombinedsinglelimitofFiveHundredThousandDollars($500,000.00).Coverageshouldincludeownedandnon-ownedvehiclesusedinconnectionwiththisAgreement.-6-
12345678910111213141516171819202122232425262728C.ProfessionalLiabilityIfCONTRACTORemployslicensedprofessionalstaff,(e.g.,Ph.D.,R.N.,L.C.S.W.,M.F.C.C.)inprovidingservices,ProfessionalLiabilityInsurancewithlimitsofnotlessthanOneMillionDollars($1,000,000.00)peroccurrence,ThreeMillionDollars($3,000,000.00)annualaggregate.CONTRACTORagreesthatitshallmaintain,atitssoleexpense,infullforceandeffectforaperiodofthree(3)yearsfollowingtheterminationofthisAgreement,oneormorepoliciesofprofessionalliabilityinsurancewithlimitsofcoverageasspecifiedherein.D.Worker'sCompensationApolicyofWorker'sCompensationinsuranceasmayberequiredbytheCaliforniaLaborCode.CONTRACTORshallobtainendorsementstotheCommercialGeneralLiabilityinsurancenamingtheCountyofFresno,itsofficers,agents,andemployees,individuallyandcollectively,asadditionalinsured,butonlyinsofarastheoperationsunderthisAgreementareconcerned.Suchcoverageforadditionalinsuredshallapplyasprimaryinsuranceandanyotherinsurance,orself-insurance,maintainedbyCOUNTY,itsofficers,agentsandemployeesshallbeexcessonlyandnotcontributingwithinsuranceprovidedunderCONTRACTOR'Spoliciesherein.Thisinsuranceshallnotbecancelledorchangedwithoutaminimumofthirty(30)daysadvancewrittennoticegiventoCOUNTY.WithinThirty(30)daysfromthedateCONTRACTORsignsandexecutesthisAgreement,CONTRACTORshallprovidecertificatesofinsuranceandendorsementasstatedaboveforalloftheforegoingpolicies,asrequiredherein,totheCountyofFresno,(NameandAddressoftheofficialwhowilladministerthiscontract),statingthatsuchinsurancecoveragehavebeenobtainedandareinfullforce;thattheCountyofFresno,itsofficers,agentsandemployeeswillnotberesponsibleforanypremiumsonthepolicies;thatsuchCommercialGeneralLiabilityinsurancenamestheCountyofFresno,itsofficers,agentsandemployees,individuallyandcollectively,asadditionalinsured,butonlyinsofarastheoperationsunderthisAgreementareconcerned;thatsuchcoverageforadditionalinsuredshallapplyasprimaryinsuranceandany-7-

12345678910111213141516171819202122232425262728sendermaintainsamachinerecordofthecompletedtransmission.ForallclaimsarisingoutoforrelatedtothisAgreement,nothinginthissectionestablishes,waives,ormodifiesanyclaimspresentationrequirementsorproceduresprovidedbylaw,includingbutnotlimitedtotheGovernmentClaimsAct(Division3.6ofTitle1oftheGovernmentCode,beginningwithsection810).12.GOVERNINGLAW:VenueforanyactionarisingoutoforrelatedtothisAgreementshallonlybeinFresnoCounty,California.TherightsandobligationsofthepartiesandallinterpretationandperformanceofthisAgreementshallbegovernedinallrespectsbythelawsoftheStateofCalifornia.13.DISCLOSUREOFSELF-DEALINGTRANSACTIONSThisprovisionisonlyapplicableiftheCONTRACTORisoperatingasacorporation(afor-profitornon-profitcorporation)orifduringthetermoftheagreement,theCONTRACTORchangesitsstatustooperateasacorporation.MembersoftheCONTRACTOR’SBoardofDirectorsshalldiscloseanyself¬dealingtransactionsthattheyareapartytowhileCONTRACTORisprovidinggoodsorperformingservicesunderthisagreement.Aself-dealingtransactionshallmeanatransactiontowhichtheCONTRACTORisapartyandinwhichoneormoreofitsdirectorshasamaterialfinancialinterest.MembersoftheBoardofDirectorsshalldiscloseanyself-dealingtransactionsthattheyareapartytobycompletingandsigningaSelf-DealingTransactionDisclosureForm,attachedheretoasExhibitCandincorporatedhereinbyreference,andsubmittingittotheCOUNTYpriortocommencingwiththeself-dealingtransactionorimmediatelythereafter.14.ENTIREAGREEMENT:ThisAgreement,includingallExhibits,constitutestheentireagreementbetweentheCONTRACTORandCOUNTYwithrespecttothesubjectmatterhereofandsupersedesallpreviousAgreementnegotiations,proposals,commitments,writings,advertisements,publications,andunderstandingofanynaturewhatsoeverunlessexpresslyincludedinthisAgreement.-9-
