PURCHASING AGREEMENT No. P-18-263-O/
COUNTY AGREEMENT NO. 19-087
COUNTY OF FRESNO
This Amendment Two to Agreement is made and entered into this __ day of
November, 2020, by and between the County of Fresno, a political subdivision of the State of
California ("COUNTY"), and Hanson Bridgett LLP ("CONTRACTOR").
RECITALS
WHEREAS, the parties entered into Purchasing Agreement No. P-18-263-0 , dated
March 1, 2018 , and County Agreement No. 19-087 (Amendment One), dated February 26 ,
2019, (collectively referred to herein as the Agreement) whereby CONTRACTOR agreed to
provide specialized legal services to COUNTY; and
WHEREAS, the Agreement terminates on December 31 , 2020; and
WHEREAS, the parties wish to extend the term of the Agreement to December 31, 2021
to allow CONTRACTOR to continue to provide specialized services for legal research , advice
and representation related to compliance with the Americans w ith Disabilities Act ("ADA") and
miscellaneous legal services as needed by the County Counsel's Office;
THEREFORE , the parties agree as follows:
AGREEMENT
1. Section Two (2) -Initial Term -of the Agreement is deleted in its entirety and replaced
with the following:
"2. Term of Ag reement. CONTRACTOR shall perform said Services between
March 15, 2018 and December 31 , 2021 , at which point the parties will have the
option to renew this agreement."

2. COUNTY and CONTRACTOR agree that this Amendment Two is sufficient to amend
the Agreement and, that upon execution of this Amendment Two , the Agreement, Amendment
One and this Amendment Two together shall be considered the Agreement. The Agreement, as
hereby amended, is ratified and continued . All provisions , terms, covenants , conditions and
promises contained in the Agreement and not amended herein shall remain in full force and
effect.
IN WITNESS WHEREOF, the parties hereto have executed this Amendment
Two to Agreement as of the date first hereinabove stated .
