SECOND AMENDMENT TO AGREEMENT
This Second Amendment to Agreement ("Second Amendment") is dated July 1, 2015,
and is between the COUNTY OF FRESNO, a political subdivision of the State of California
("COUNTY"), and Martha E. Romero, Esq ., doing business as Romero Law Firm, a sole
proprietorship, at 7743 Painter Street, Suite A, Whittier, CA 90602 ("ATTORNEY").
RECITALS
On January 17, 2013, COUNTY and CONTRACTOR entered into an Agreement for
Specialized Legal Services (Bankruptcy Counsel), which is identified as COUNTY agreement
number P-13-047-J ("Agreement"). Under the Agreement, ATTORNEY agreed to provide
specialized legal services, including serving as bankruptcy counsel to COUNTY, and agreed
to the terms, conditions, and compensation for those services.
On July 1, 2014, COUNTY and CONTRACTOR entered into a First Amendment to
Agreement, which extended the term of the Agreement through June 30, 2015 ("First
Amendment").
COUNTY and ATTORNEY now desire to further amend the Agreement to extend its
term for an additional one-year period, through June 30, 2016.
The parties therefore agree as follows:
1. Section 5 of the Agreement (on page 7, lines 10 through 18), and as amended
by the First Amendment (on page 1, line 18, through page 2, line 2), is deleted
in its entirety and replaced with the following:
"6. Term of Agreement: This agreement is effective upon execution ahd
continues in full force and effect until June 30, 2016, unless it is earlier terminated by
one of the parties. Either party may terminate this agreement at any time, either in
whole or in part, by providing written notice of such termination to the other party.
However, if ATTORNEY elects to terminate this Agreement, it may not do so in a
manner that will result in prejudice to the rights of COUNTY due to such termination, as
required by the Rules of Professional Conduct of the State Bar of California, rule 3-700.
ATTORNEY shall be paid for all Services performed under this agreement up to the
date of termination ."

COUNTY and ATTORNEY agree that this Second Amendment is sufficient to
amend the Agreement, as amended by the First Amendment, and that upon
execution of this Second Amendment the Agreement, and First Amendment,
and this Second Amendment together constitute the Agreement.
The Agreement, except as modified by this Second Amendment, is ratified and
continued. All provisions, terms, covenants, conditions, and promises contained
in the Agreement and not amended by this Second Amendment remain in full
force and effect.
