FIRST AMENDMENT TO AGREEMENT
THIS FIRST AMENDMENT TO AGREEMENT ("First Amendment") is made and entered into
3 this ___ day of November, 2020 ("Effective Date "), by and between COUNTY OF FRESNO , a
4 political subdivision of the State of California , Fresno , California ("COUNTY"), and Perspecta State &
5 Local Inc ., an Illinois corporation , whose address is 13600 EDS Drive, Herndon VA 20171
6 ("CONTRACTOR").
7 WITNESSETH:
8 WHEREAS , COUNTY and CONTRACTOR entered into Agreement number 20-074 , dated
9 February 25, 2020 ("Agreement"), pursuant to which CONTRACTOR agreed to provide mainframe
1 O hosting services to COUNTY ; and
11 WHEREAS, COUNTY and CONTRACTOR now desire to amend the Agreement , in order to
12 allow for an upgrade to the T1 connections into the mainframe .
13 NOW, THEREFORE , for good and valuable consideration , the receipt and adequacy of which
14 is hereby acknowledged , COUNTY and CONTRACTOR agree as follows:
15 1. Section 1 (B) of the Agreement , is deleted in its entirety and replaced with the following :
16 " NETWORK SERVICES: CONTRACTOR network services include the running and
17 operating of COUNTY network as provided today , including the circuits , equipment and services to
18 provide connectivity between the CONTRACTOR and COUNTY data centers . The current bandwidth
19 provided by two T1 circuits , or equal bandwidth circuits, is assumed to be adequate for COUNTY
20 traffic .
21 This Agreement includes the following :
22 • 2 point-to-point T1 , or equal or higher bandwidth , circuits , between the two data centers
23 forSNAtraffic
24 • 2 Cisco routers (and maintenance) with internal CSU/DSUs .
25 • CONTRACTOR will retain ownership of this equipment.
26 • COUNTY will retain ownership , management and financial responsibility (hardware
27 depreciation , maintenance and software licenses for the network connectivity
28 components located within its data center .

COUNTY and CONTRACTOR agree that this First Amendment is sufficient to amend the
Agreement and , that upon execution of th is First Amendment, the Agreement and this First
Amendment together shall be considered the Agreement.
The Agreement, as hereby amended , is ratified and continued . All provisions , terms,
covenants, conditions and promises contained in the Agreement and not amended herein shall remain
in full force and effect.
