LICENSE AGREEMENT
THIS LICENSE AGREEMENT ("License") is made and entered into this 3rd day of
April, 2020 ("Effective Date"), by and between the City of Fresno, a California municipal
corporation ("CITY" or "LICENSOR") and the COUNTY OF FRESNO, a political subdivision of
the State of California, 333 W. Pontiac Way, Clovis, CA 93612 ("COUNTY" or "LICENSEE").
WITN ES SETH:
WHEREAS, on March 4, 2020, the Governor proclaimed a State of Emergency in the
State of California (State Emergency Declaration), on March 6, 2020, the Mayor of the City of
Fresno Declared a Local Emergency (City Emergency Declaration), on March 14, 2020, the
County Health Officer issued a Declaration of Local Health Emergency, and subsequent
orders, and on March 17, 2020, the County of Fresno issued a Proclamation of Local
Emergency (County Emergency Declaration), all in response to COVID-19, and as necessary
for the preservation of public health and safety;
WHEREAS, LICENSEE is in need of space to use as a Federal Medical Station, to
preserve the public health and safety;
WHEREAS, LICENSOR owns the Fresno Convention Center located at
848 M Street, Fresno, CA 93721, (the "Premises");
WHEREAS, LICENSOR and LICENSEE mutually desire to allow LICENSEE to use
space inside the Premises for placement of a Federal Medical Station for the residents of
Fresno County; and,
WHEREAS, LICENSOR finds that LICENSEE'S use of the Premises is in the public
interest, will benefit LICENSEE's residents as well as the residents of LICENSOR, and will not
substantially conflict or interfere with LICENSOR's current use of the Premises.
NOW, THEREFORE, in consideration of the mutual promises, covenants and
conditions hereinafter contained, such parties, and each of them, do agree as follows:
1.GRANT OF LICENSE -LICENSOR grants to LICENSEE this License to use
Fresno Convention Center Exhibit Hall, as more specifically described in Exhibit A hereto, to
put in place a Federal Medical Station (FMS), to provide 24-hour medical care and supervision
