1 AMENDMENT II TO AGREEMENT
2 THIS AMENDMENT, hereinafter referred to as "Amendment II", is made and entered into this
3 24th day of_...:M~a=y..__, 2016, by and between the COUNTY OF FRESNO, a Political Subdivision
4 of the State of California, hereinafter referred to as "COUNTY", and SPIRIT OF WOMAN
5 CENTRAL CALIFORNIA, INC., a California Non-Profit Corporation, whose remit to and service
6 address is 327 W. Belmont Ave., Fresno, CA 93728 hereinafter referred to as "CONTRACTOR."
7 WHEREAS the parties entered into that certain Agreement, identified as COUNTY Agreement
8 No. 13-312, effective July 1, 2013, and as amended by Amendment I, identified as County Agreement
9 No. 13-312-1, effective June 6, 2014 hereinafter collectively referred to as the "Agreement",
10 WHEREAS, CONTRACTOR agreed to provide residential substance use disorder services for
11 pregnant and postpartum women who are Fresno County residents; and
12 WHEREAS the parties now desire to amend the Agreement regarding changes as stated below
13 and restate the Agreement in its entirety.
14 NOW, THEREFORE, in consideration oftheir mutual promises, covenants and conditions,
15 hereinafter set forth, the sufficiency of which is hereby acknowledged, the parties agree as follows:
16 I. That the existing COUNTY Agreement No . 13-312, Page Sixteen (16), beginning with
17 Paragraph Twenty-One (21 ), Line Nine (9) with the word "COMPREHENSIVE" and ending on Page
18 Seventeen (17), Line Fourteen (14) with the link "(http://www.kenminkoff.com/ccisc.html)." be
19 deleted in its entirety. The remaining Paragraphs (Paragraph 22 "REFERENCES TO LAWS AND
2 0 RULES" through 45 "ENTIRE AGREEMENT") in the Agreement shall be re-numbered sequentially
21 to read as Paragraphs 21 through 44.
22 2. That the existing COUNTY Agreement No 13-312, Page Twenty-Four (24), beginning
2 3 with Paragraph Twenty-Six (26), Line Nineteen (19), with the word "As" and ending on Page Twenty-
2 4 Five (25), Line Two (2) with the word "Collector" be deleted and the following inserted in its place :
2 5 "As a subrecipient of Federal financial assistance, CONTRACTOR(S) agrees to participate, as
2 6 applicable, in the County audit, performed in accordance with the requirements of the Single Audit
2 7 Act of 1984 (31 USC section 7502) and subject to the terms of either OMB Circulars A-128 or A-133,
28 to the County ofFresno. Such audit shall be delivered to DBH (to the attention ofthe program funding
