CountyofFresno15-10940Page3of12ExhibitAHIVPreventionProgramScopeofWorkLHJsmustensurethatactivitiesdesignatedasTierIareprovided,usinganyresourcesavailabletotheLHJ,beforeusingOApreventionfundingforTierIIactivities(withtheexceptionofHepatitisCvirus(HCV)testing).TheHCVantibodytesting,whiledesignatedaTierIIactivity,maybeconductedbytheLHJwithoutfirstensuringthatallTierIactivitiesarebeingconductedwithintheLHJ.A.TIERICORESERVICES:1.TargetedHIVTestingtoPrioritizedHigh-RiskTargetPopulationsa.LHJsshalladministerHIVtestingbyprovidinganonymousand/orconfidentialHIVtestingservices(withorwithoutcounseling)toindividualsathighriskforHIV.Testingservicesmayinclude:assessmentofclientneedsregardingHIVtransmission;client-centeredpreventioncounseling;risk-reductionplanning;andreferralstootherservices.LHJsfundedfortestinginnon-healthcaresettingsarerequiredto:establishsystemsforlinkingnewlydiagnosedHIVpositiveorpreliminarilypositiveclientsintomedicalcarewithaverifiedmedicalvisit;ensurethatclientsareofferedPartnerServices(PS);andestablishaplanforreferringclientstootherpreventionprograms.b.Individualsseekingtestingservicesshallbeinformedaboutthevalidityandaccuracyoftheantibodytestbeforeconsenttotestisobtained,Writtenconsentisrequiredfortestinginnon-healthcaresettings;oralconsentisrequiredforATStesting;andoralconsentisallowedfortestinginhealthcaresettings.AllindividualstestedwithOAfundsinnon-healthcaresettingsshallbegiventheresultsoftheirtestinperson,c.FundedagenciesmustensureallHIVcounselinginterventionsareprovidedbystaffmemberswhohavesuccessfullycompletedtheBasicCounselorSkillsTraining.Inaddition,testkitoperatorsarerequiredtocompleteanannualcompetencyassessmenttesttomaintaintheircertificationfortestingclientsamples,d.AilfundedLHJsmustensurethatalicontractedtestingsitesmaintainappropriatedocumentation.ThisincludestheLHJ'swrittenprotocolsforthelocaltestingprogram,signedstatementsofconfidentialitybystaff,testingforms,invoices,etc.Alldocumentationmustbemaintainedforthreeyearsplusthecurrentyear.e.Writtenqualityassuranceplansarerequiredbysitesconductingpoint-of-carerapidHiVtestswaivedunderthefederalClinicalLaboratoryimprovementAct(CLIA),TheseplansmustbesubmittedtoOAforreviewbytheTestingSpecialistforcomprehensivenessandcompliancewithStaleandFederalrequirements.f.LHJsmustincreasethenumberofnewlyidentifiedHIVpositivetestsbyatleast0.1percentannually. CountyofFresno15-10940Page4of12ExhibitAHIVPreventionProgramScopeofWorkg.Thecontractormustmaintainareferrallistwithcontactinformation.Thereferrallistmustbeupdatedannually.2.ProgramDescriptionandOtherRequirementsThecontractorshallsetupandenterdataintotheCDPH/OA’sLocalEvaluationOnline(LEO)processmonitoringsystemforalltestingandHealthEducation/RiskReduction(HE/RR)activities.Activitieswillbedocumentedby:a.CompletingtheappropriateCDPH/OALEOdataforms;b.EnteringinitialclientdataintotheLEOsystemwithin5businessdaysofeachclientencounter;andc.Completingandclosingeachclientrecordwithin3monthsoftheinitialclientencounter.3.LinkagetoCareServicesforallNewlyDiagnosedHIVPositiveIndividualsa.AllLHJsthatreceiveOApreventionfundsarerequiredtoprovideLTC.b.LTCistheprocessofassistingnewlyHIVdiagnosedpersonstoenterintoHIVmedicalcare.LTCisacoreactivityrequiredofallOA-fundedHIVtestingsitesinbothmedicalandnon-medicalsettings.c.LTCisconsideredtobeachievedwhenanewlydiagnosedHIVpositivepersonisseenbyahealthcareprovider(e.g.,physician,physicianassistant,nursepractitioner)toreceivemedicalcareforhisorherHIVinfection.ThestandardsetbyHealthResourcesandServices.d.TheHealthResourcesandServicesAdministration(HRSA)standardsrequirethatnewlyHIVdiagnosedindividualattendanHIVmedicalappointmentwithin90daysofdiagnosis.e.HIVtestingcoordinatorsmustestablishpoliciesandproceduresdescribingasystemforreferringindividualswithpreliminaryandconfirmedHIVpositivetestresultstoamedicalproviderforHIVcare.Indesigningthissystem,coordinatorsshouldincludeidentificationofHIVcareproviders,referralstomedicalcare,andverificationofclient’sattendanceattheirfirstappointment. CountyofFresno15-10940Page5of12ExhibitAHiVPreventionProgramScopeofWorkf.Avarietyofdifferentmechanismsmaybeusedtoverify,includingbutnotlimitedto,verifiedmedicalvisitforms,kickbackcards,and/orclientself-report,AilverifiedvisitsmustbeenteredontheHIVCounselorInformationForm(CIF)andenteredintoLEOdatacollectionsystem.4.PartnerServicesa.AllLHJsthatreceiveOApreventionfundsarerequiredtoprovidePS,b.LHJsmustofferPStoallpeoplenewlydiagnosedasHIVpositive,aswellas,thoselivingwithHiVwhohaveparticipatedinrecentriskybehaviorandmayhaveexposedotherstoHIV.LHJ'sshouldassessPSactivitiesandoutcomes,andimplementprovideroutreachprogramstoenhancePSwithkeycommunityproviders.c.EveryLHJmustmaintainastaffmembertocoordinatethePSactivitiesofthatLHJ.IfanLHJhastheinfrastructuretoonlyprovideanofferofPS,collaborationwithaDiseaseInterventionSpecialistfromtheStateSexuallyTransmittedDisease(STD)ControlBranchmustbeestablishedandmaintainedforcomprehensivePSactivities.d.FundsallocatedforPSmaybeusedforanyactivitiessupportingPSincludingstaffsalariesandbenefits,travel,training,andresourcesforthird-partynotification.PSallocationsmaynotbeusedtopayforHIVtesting,counseling,orotherpreventionactivities.e.AllLHJsshallmaintainacomprehensivewrittenPSprogramplanthatprovidesforroutinereviewofPSstaffperformancewithappropriatestandards,PSprotocols/qualityassuranceplans,andtheavailabilityofandreferraltoHIVtesting,preventionservices,STDscreening,HCVtesting,andHIVmedicalcareasappropriate.f.Localprogramsshouldtrackthenumber,typeandoutcomesofPSactivitiesprovidedbyenteringdataintoLEOandreviewthisdataroutinely.B.OTHERTIERISERVICES:1.HIVTestinginHealthcareSettingsa.LHJsthatelecttofundHIVTestinginHealthcareSettingswillworkwithlocalhealthcaresettingsonwaystheycanimplementandincreaseroutine,opt-outHIVtesting.Thesesettingsmayincludebutarenotlimitedtohospitalemergencydepartmentsandprimarycareclinicsincommunityhealthcaresettings. CountyofFresno15-10940Page6of12ExhibitAHIVPreventionProgramScopeofWorkb.Fundingforroutine,opt-outHIVtestingcannotbeusedtopayforHIVtestingstaff,c,ThisfundingcanonlypayforHIVtesting(i.e.,testkitsandothertestingcosts)whenapatienthasnootherpayerforhealthcareservices(OAisthepayeroflastresort).2.RetentionandRe-engagementintoCarea.RetentionandRe-engagementinCareidentifiesHIVpositivepatientsvulnerabletonotattendingHIVmedicalappointmentsroutinely,aswellas,out-of-treatmentHiVpositiveindividuals,andworkswiththeHIVpositiveindividualtostayinorreturntoHIVmedicalcare.b.LHJ'sconductingtheseservicesareresponsiblefordeterminingthemosteffectiveapproachesforachievingactivecollaborationbetweenlocalpreventionandcareproviderstoprovideretentionandre-engagementservices,inordertodecreaseduplicationofeffortandensuremaximumimpactofretentionandre-engagementinterventions,LHJsthatfundorprovideRetentionandRe-engagementinCareserviceswilldemonstrateactivecollaborationandcoordinationwithCaresites.c.OA'sLEOorAIDSRegionalinformationandEvaluationSystem(ARIES)mustbeusedtodocumentandrecordRetentionandRe-engagementinCareactivities.3.HiVMedicationTreatmentAdherencea.HiVMedicationTreatmentAdherenceservicessupporttheappropriateandconsistentuseofantiretroviral(ARV)medicinestomaximizetheirbenefitsinsustaininghealthandsuppressingviraltoad.b.OAwillfundHIVmedicationtreatmentadherenceinterventionstoanypatient(s)livingwithHiVhavingdifficultlytakingARVsasprescribed.c.LHJsthatelecttofundorprovideHIVMedicationTreatmentAdherenceshouldincludecollaborationwithhealthcareproviders,medicalcasemanagers,andothersworkingwithpeoplelivingwithHiV/AIDS.HIVTreatmentAdherenceactivitiesshouldinclude:i.RegularscreeningofHIV-infectedindividualstodeterminewhethertheyareonARVtherapy:ii.RoutineassessmentoftreatmentadherenceandmonitorviraisuppressionofthoseonARVtherapytoidentifyindividualswhowouldbenefitfromtreatmentadherenceinterventions;and CountyofFresno15-10940Page7of12ExhibitAH!VPreventionProgramScopeofWorkiii.AppropriatereferralsforthosenotonARVtherapiesandforthoseidentifiedashavingchallengesinmaintainingadherencetotheirHIVmedicationrequirements.Thismayincludedeliveringtreatmentadherenceinterventions.d,OApreventionfundscannotbeusedtopayformedicationsormedicalservices.Purchasingsuppliestoassistwithmedicationadherence.e.OArequiresLHJstouseLEOorARIEStotrackserviceutilizationbyclientsreferredtotreatmentadherenceinterventions.4.PreventionwithPositivesa.ThegoalofHIV-PositiveRiskAssessment,LinkagetoServicesandBehavioralInterventionsinHealthCareSettings;forHIVPositiveIndividuals(PWPServices)istoincreasethenumberofRyanWhite-fundedclinicsorHIVcareprovidersprovidingacomprehensiveriskscreeningprogramand,totheextentthatresourcesareavailable,initiatebehavioral,structuralorbiomedicalinterventionsforHIV-positiveindividuals,ordevelopareferralplantocommunity-basedPWPinterventions.b.LHJswhichelecttofundorconductPWPServiceswillselectatleastoneRyanWhite-fundedclinicorHIVcareproviderwhocaninitiatebehavioralriskscreeningwithintheirmedicalsetting.c.IfamedicalsettingchoosestoreferclientsatriskoftransmittingHIVtocommunity-basedHIVbehavioralinterventions,thoseinteiventionsmustalsobeevidence-basedanddesignedtotargetHIV-positiveorserodiscordantrelationships.Thereferralmustincludeameanstofollow¬upandreportwhethertheclientattendedtheintervention.Ifotherevidence-basedinterventionsareadaptedtothepopulation,documentationoftheadaptationshouldbesubmittedtoOAforapproval,d.LHJsprovidingPWPservicesmustidentifyandrefertoculturallyappropriatementalhealthandsubstanceuseservicesasneeded.e.Allstaffmemberswhofacilitateevidence-basedinterventionsmusthavecompletedtrainingintheintervention.Supervisorsmustmonitorandensurethattheinterventionisadministeredwithfidelityandfollowthecurriculumandinterventionactivitiesasdefinedbytheintervention.f.OA’sLEOsystemorARIESshouldbeusedtodocumentandrecordclientassessmentsandreferrals.InterventiondatamustbeenteredforH!VBehavioralInterventionsandmonitoredusingtheLEOsystem.Allevaluationrequiredbyevidence-basedinterventionsmustbecompletedandbemaintainedwithinLEO. CountyofFresno15-10940Page8of12ExhibitAHIVPreventionProgramScopeofWork5.IntegratedHealthServicesa.ActivitiesforintegrationofscreeningforandmonitoringofHepatitis,tuberculosis(TB),andSTDsforHIVpositiveindividualswillbedeterminedbyeachLHJandwillvarydependingontheneedsandopportunitieswithineachLHJ.Activitiesmayinclude,butarenotlimitedto:i.Providingcontinuingmedicaleducationhighlightingthebenefitsofcompliancewithrecommendedclinicalmonitoringtoincreasestaffintegrationofscreening;ii.UsingARIESorelectronichealthrecordstodocumentclinicaltestingofmedicalcasemanagementclientsandRyanWhiteclinicpatientsasappropriate;and/oriii.SupportingclienteducationthatincreasesawarenessofclinicallaboratorymonitoringstandardsandencouragingclientstotalkwiththeirhealthcareprovidersaboutexposureortransmissionrisksofHepatitis,TB,andSTDs.b.OAfundingcannotbeusedtopayforclinicallaboratorytests,exceptforHIVtestingandHepatitisscreening,c.LHJsarerequiredtoreportontheiractivitiesintheirbi-annualprogressreports.6.SyringeServicesProgramsa.LHJsmayusetheirOAHIVpreventionfundsto:i.Supporteffortstoincreasepropersyringedisposalamonginjectiondrugusers(IDUs);ii.Supportlocalnon-prescriptionsyringesalesinpharmacies:thismaytaketheformofworkingtoincreasethenumberofpharmaciesprovidingnon-prescriptionsyringesalesand/orencouragingIDUstopurchasesterileequipmentinpharmacieswhichprovidenon-prescriptionsyringesales.Alternatelyoradditionally,LHJsmayprovideeducationalliteratureortrainingaboutrecentchangesinpharmacypracticetolawenforcement,pharmacystaff,IDUsandhealthandsocialserviceprofessionalswhoworkwithIDUs;iii.Supportpolicyworknecessarytofacilitatestructuralchangetoexpandaccesstosterilesyringesand/orimprovesharpsdisposalamongIDUs,aslongastheworkdoesnotincludeeffortstoinfluencestate,federalorlocallaw. CountyofFresno15-10940Page9of12ExhibitAH!VPreventionProgramScopeofWorkb.LI-IJsmaynotusetheirOAHIVpreventionfundsto:i.Purchaseneedlesandsyringes;ii.Fundstafftimeusedspecificallytodistributeneedlesorsyringes;iii.Payfordeliverymodessuchvehiclesorrentforfixedsitesusedspecificallyfordistributingneedlesandsyringes;and/oriv.ConductanyactivitydesignedtoinfluencelegislativechangeattheLocal,State,orFederallevel.7.CondomDistribution(Required)a.ThecondomdistributionprogramrequiresLHJstouseOAepidemiologicdataaswellasLHJslocalknowledgeandresourcestoenrollvenuesintothecondomdistributionprogram,wheretheywillreceivecondomsandeducationalmaterialtodistributetohigh-risktargetpopulationsinlocationswhereHIV/A!DSismostprevalent.b.Inorderforavenuetobeeligibleforparticipationinthecondomdistributionprogram,theymust:1)providetheirservicesinazipcodethathasidentifiedHIV/AIDScases;and2)haveaclientele(wholeorpartial)thatIsmadeupofthetargetedpopulation.c.LHJswillmaintainvenuespreviouslyenrolledinthecondomdistributionprogram,addadditionalvenueswhenpossible,andreplacevenuesifformervenuesstopparticipatingintheprogram.d.Toenrollanewvenue,theLHJmustfillouttheParticipatingVenueInformation(PVI)form.ThereisnolimittohowmanyeligiblevenueseachLHJcanhaveparticipatingintheprogram.e.CondomorderscannotbeplacedbyanLHJfordistributionataone-timeevent,suchashealthfairs,workshops,ralliesorotherpresentationsunlesstheeventsspecificallytargetOA’sprioritypopulationsandarepartoftheLHJsHE/RRpreventioninterventions.f.LHJsmustincludeinformationabouttheircondomdistributionplansintheirbi-annualprogressreports.C.TIERIISERVICES:1.HepatitisCTestinga.OAfundingmaybeusedtoofferHCVtestingtoclientsidentifiedbytheassessmentprocesstobeatriskfarHCV.AlthoughHCVtestingisaTier CountyofFresno15-10940Page10of12ExhibitAHIVPreventionProgramScopeofWorkilactivity,LHJsmayconductthisactivitywithoutimplementingallTierIactivities.b.OAfundsmaybeusedforHCVlaboratorytests,HCVrapidtests,andHomeAccesskits,c.OAwillprovidetrainingfortherapidCLIA-waivedHCVandcombinationrapidHIV/HCVtests.HIVcounselorsmustbecertifiedpriortoadministeringthenewHCVrapidtest.Additionally,HIVcounselorsmusttaketheUniversityofCaliforniaSanFrancisco,AllianceHealthProjecton-lineHCVtraining.d.TrainedHIVtestcounselorswhoareauthorizedinCaliforniatoperformrapidCLIA-waivedHIVtestsmayalsoperformrapidCUA-waivedHCVandcombinationrapidHIV/HCVtests.HIVtestcounselorsperformingrapidCLIA-waivedHCVtestsorrapidcombinationHIV/HCVtests,includingthosetestsadministeredbyfingerstick,willneedtomeetthesameperformanceandtrainingrequirementsasthatforrapidCLIA-waivedHiVtesting.e.HCVtestinformationmustbecollectedontheGIFandenteredintoLEO.f.TheContractorcanintegrateHIVandHCVtestingservicestoincreasethenumberofIDUsandMenwhohaveSexwithMen(MSMs)whoreceiveHIVtestingservicesandlearntheirHIVstatusbyofferingHCVscreeningincoordinationwithHiVtesting.CDPH/OAwillallowIDUandMSMclientstotestonlyforHCViftheychoosenottotakeanHIVtest.2.BehavioralInterventionsforPrioritizedHigh-riskNegativePeoplea.Thepriorityhigh-risknegativepopulationsfortheCaliforniaprojectareaare:i.GaymenandotherMSM,includingMSM/IDU,withanemphasisonAfrican-AmericanandLatinoMSM;ii.IDUs;iii.Transgenderindividuals;iv.High-riskNegativeIndividualswithsexualand/orinjection-sharingHIVpositiveorMSMpartners.b.LHJsmayprovidehigh-riskHiVnegativepopulationswithevidence-basedHIVbehavioralinterventionstoreducetherateofnewHIVinfectionwithintheidentifiedhigh-risktargetpopulations.Behavioralinterventionsmayinclude: 8.INDEPENDENTCONTRACTOR:Contractor,andtheagentsandemployeesofContractor,intheperformanceofthisAgreement,shallactinanindependentcapacityandnotasofficersoremployeesoragentsoftheState.9.RECYCLINGCERTIFICATION:TheContractorshallcertifyinwritingunderpenaltyofperjury,theminimum,ifnotexact,percentageofpostconsumermaterialasdefinedinthePublicContractCodeSection12200,inproducts,materials,goods,orsuppliesofferedorsoldtotheStateregardlessofwhethertheproductmeetstherequirementsofPublicContractCodeSection12209.WithrespecttoprinterorduplicationcartridgesthatcomplywiththerequirementsofSection12156(e),thecertificationrequiredbythissubdivisionshallspecifythatthecartridgessocomply(Pub.ContractCode§12205).10-NON-DISCRIMINATIONCLAUSE:DuringtheperformanceoftinsAgreement,Contractoranditssubcontractor.?shallnotunlawfullydiscriminate,harass,orallowharassmentagainstanyemployeeorapplicantforemploymentbecauseofsex,race,color,ancestry,religiouscreed,nationalorigin,physicaldisability(includingHIVandAIDS),mentaldisability,medicalcondition(e.g.,cancer),age(over40),maritalstatus,anddenialoffamilycareleave.Contractorandsubcontractorsshallinsurethattheevaluationandtreatmentoftheiremployeesandapplicantsforemploymentarefreefromsuchdiscriminationandharassment.Contractorandsubcontractorsshallcomplywiththeprovision?oftheFairEmploymentandHousingAct(Gov.Code§12990(a-f)etseq.)andtheapplicableregulationspromulgatedthereunder(CaliforniaCodeofRegulations,Title2,Section7285etseq.).TheapplicableregulationsoftheFairEmploymentandHousingCommissionimplementingGovernmentCodeSection12990(a-f),setforthinChapter5ofDivision4ofTitle2oftheCaliforniaCodeofRegulations,areincorporatedintothisAgreementbyreferenceandmadeaparthereofasifsetforthinfull.Contractoranditssubcontractors'shallgivewrittennoticeoftheirobligationsunderthisclausetolabororganizationswithwhichtheyhaveacollectivebargainingorotherAgreement.ContractorshallincludethenondiscriminationandcomplianceprovisionsofthisclauseinallsubcontractstoperformworkundertheAgreement.11.CERTIFICATIONCLAUSES:TheCONTRACTORCERTIFICATIONCLAUSEScontainedinthedocumentCCC307areherebyincorporatedbyreferenceandmadeapartofthisAgreementbythisreferenceasifattachedhereto.12.TIMELINESS:TimeisoftheessenceinthisAgreement.13.COMPENSATION:TheconsiderationtobepaidContractor,asprovidedherein,shallbeincompensationforallofContractor'sexpensesincurredintheperformancehereof,includingtravel,perdiem,andtaxes,unlessotherwiseexpresslysoprovided.14.GOVERNINGLAW:ThiscontractisgovernedbyandshallbeinterpretedinaccordancewiththelawsoftheStateofCalifornia. ExhibitDSpecialTermsandConditionsshallprovideafinalinventoryreportofequipmentand/orpropertytotheCDPHProgramContractManagerandshall,atthattime,queryCDPHastotherequirements,includingthemannerandmethod,ofreturningstateequipmentand/orpropertytoCDPH.Finaldispositionofequipmentand/orpropertyshallbeatCDPHexpenseandaccordingtoCDPHinstructions.Equipmentand/orpropertydispositioninstructionsshallbeissuedbyCDPHimmediatelyafterreceiptofthefinalinventoryreport.AttheterminationorconclusionofthisAgreement,CDPHmayatitsdiscretion,authorizethecontinueduseofstateequipmentand/orpropertyforperformanceofworkunderadifferentCDPHagreement.g.MotorVehicles(Applicableonlyifmotorvehiclesarepurchased/reimbursedwithagreementfundsorfurnishedbyCDPHunderthisAgreement.)(1)ifmotorvehiclesarepurchased/reimbursedorfurnishedbyCDPHunderthetermsofthisAgreement,withinthirty(30)calendardayspriortotheterminationorendofthisAgreement,theContractorshallreturnsuchvehiclestoCDPHandshalldeliverallnecessarydocumentsoftitleorregistrationtoenablethepropertransferofamarketabletitletoCDPH.(2)Ifmotorvehiclesarepurchased/reimbursedorfurnishedbyCDPHunderthetermsofthisAgreement,theStateofCaliforniashallbethelegalownerofsaidmotorvehiclesandtheContractorshallbetheregisteredowner.TheContractorshallonlyusesaidvehiclesfortheperformanceunderthetermsofthisAgreement.(3)TheContractoragreethatalloperatorsofmotorvehicles,purchased/reimbursedorfurnishedbyCDPHunderthetermsofthisAgreement,shallholdavalidStateofCaliforniadriver'slicense.Intheeventthattenormorepassengersaretobetransportedinanyonevehicle,theoperatorshallalsoholdaStateofCaliforniaClassBdriver'slicense.(4)Ifanymotorvehicleispurchased/reimbursedorfurnishedbyCDPHunderthetermsofthisAgreement,theContractor,asapplicable,shallprovide,maintain,andcertifythat,ataminimum,thefollowingtypeandamountofautomobileliabilityinsuranceisineffectduringthetermofthisAgreementoranyextensionperiodduringwhichanyvehicleremainsintheContractor'spossession:AutomobileLiabilityInsurance(a)TheContractor,bysigningthisAgreement,herebycertifiesthatitpossessesorwillobtainautomobileliabilityinsuranceintheamountof$1,000,000peroccurrenceforbodilyinjuryandpropertydamagecombined.Saidinsurancemustbeobtainedandmadeeffectiveuponthedeliverydateofanymotorvehicle,purchased/reimbursedwithagreementfundsorfurnishedbyCDPHunderthetermsofthisAgreement,totheContractor.(b)TheContractorshall,assoonaspractical,furnishacopyofthecertificateofinsurancetotheCDPHProgramContractManager.ThecertificateofinsuranceshallidentifytheCDPHcontractoragreementnumberforwhichtheinsuranceapplies.(c)TheContractoragreethatbodilyinjuryandpropertydamageliabilityinsurance,asrequiredherein,shallremainineffectatalltimesduringthetermofthisAgreementoruntilsuchtimeasthemotorvehicleisreturnedtoCDPH.Page5of16 ExhibitDSpecialTermsandConditions(1)ExceptassetforthbelowandexceptwhereCDPHhasagreedInasignedwritingtoacceptalicense,CDPHshallbeandremain,withoutadditionalcompensation,thesoleownerofanyandallrights,titleandinterestinallIntellectualProperty,fromthemomentofcreation,whetherornotjointlyconceived,thataremade,conceived,derivedfrom,orreducedtopracticebyContractororCDPHandwhichresultdirectlyorindirectlyfromthisAgreement.NotwithstandingtheforegoingoranyotherlanguageinthisAgreement,ContractorandnotCDPGshallownIntellectualPropertyrelatingtoanyclinicallabtestorlabassaythatismade,conceived,derivedfromorrducedtopracticebycontractor,reqardiessofwhetheritresultsdirectly/indirectlyfromthisAgreement("ClinicalTestsorAssays”)(2)ForthepurposesofthisAgreement,IntellectualPropertymeansrecognizedprotectablerightsandinterestsuchas:patents,(whetherornotissued)copyrights,trademarks,servicemarks,applicationsforanyoftheforegoing,inventions,tradesecrets,tradedress,logos,insignia,colorcombinations,slogans,moralrights,rightofpublicity,author'srights,contractandlicensingrights,works,maskworks,industrialdesignrights,rightsofpriority,knowhow,designflows,methodologies,devices,businessprocesses,developments,innovations,goodwillandallotherlegalrightsprotectingintangibleproprietaryinformationasmayexistnowand/orhereaftercomeintoexistence,andallrenewalsandextensions,regardlessofwhetherthoserightsariseunderthelawsoftheUnitedStates,oranyotherstate,countryorjurisdiction.(a)ForthepurposesofthedefinitionofIntellectualProperty,"works"meansallliteraryworks,writingsandprintedmatterincludingthemediumbywhichtheyarerecordedorreproduced,photographs,artwork,pictorialandgraphicrepresentationsandworksofasimilarnature,film,motionpictures,digitalimages,animationcells,andotheraudiovisualworksincludingpositivesandnegativesthereof,soundrecordings,tapes,educationalmaterials,interactivevideosandanyothermaterialsorproductscreated,produced,conceptualizedandfixedinatangiblemediumofexpression.Itincludespreliminaryandfinalproductsandanymaterialsandinformationdevelopedforthepurposesofproducingthosefinalproducts.Worksdoesnotincludearticlessubmittedtopeerrevieworreferencejournalsorindependentresearchprojects.(3)IntheperformanceofthisAgreement,ContractorwillexerciseandutilizecertainofitsIntellectualPropertyinexistencepriortotheeffectivedateofthisAgreement,Inaddition,underthisAgreement,ContractormayaccessandutilizecertainofCDPH’sIntellectualPropertyinexistencepriortotheeffectivedateofthisAgreement.Exceptasotherwisesetforthherein,ContractorshallnotuseanyofCDPH'sIntellectualPropertynowexistingorhereafterexistingforanypurposeswithoutthepriorwrittenpermissionofCDPH.Exceptasotherwisesetforthherein,neithertheContractornorCDPHshallgiveanyownershipinterestinorrightstoitsIntellectualPropertytotheotherParty.IfduringthetermofthisAgreement,Contractoraccessesanythird-partyIntellectualPropertythatislicensedtoCDPH,ContractoragreestoabidebyalllicenseandconfidentialityrestrictionsapplicabletoCDPHInthethird-party'slicenseagreement.(4)ContractoragreestocooperatewithCDPHinestablishingormaintainingCDPH'sexclusiverightsintheIntellectualProperty,andinassuringCDPH'ssolerightsagainstthirdpartieswithrespecttotheIntellectualProperty,IftheContractorentersintoanyagreementsorsubcontractswithotherparliesinordertoperformthisAgreement,ContractorshallrequirethetermsoftheAgreement(s)toincludeallIntellectualPropertyprovisions.Suchtermsmustinclude,butarenotlimitedto,thesubcontractorassigningandagreeingtoassigntoCDPHallrights,titleandinterestinIntellectualPropertyotherthanClinicalTestsorLabeAssaysmade,conceived,derivedfrom,orreducedtopracticebythesubcontractor,Page8of16 ExhibitDSpecialTermsandConditionsusersofitsproducts,("Indemnitees")fromandagainstailclaims,actions,damages,losses,liabilities(oractionsorproceedingswithrespecttoanythereof),whetherornotrightful,arisingfromanyandallactionsorclaimsbyanythirdpartyorexpensesrelatedthereto(including,butnotlimitedto,alllegalexpenses,courtcosts,andattorney’sfeesincurredininvestigating,preparing,servingasawitnessin,ordefendingagainst,anysuchclaim,action,orproceeding,commencedorthreatened)towhichanyoftheIndemniteesmaybesubject,whetherornotContractorisapartytoanypendingorthreatenedlitigation,whichariseoutoforarerelatedto(i)theincorrectnessorbreachofanyoftherepresentations,warranties,covenantsoragreementsofContractorpertainingtoIntellectualProperty;or(ii)anyIntellectualPropertyinfringement,oranyothertypeofactualorallegedinfringementclaim,arisingoutofCDPH’suse,reproduction,manufacture,sale,offertosell,distribution,import,export,modification,publicandprivateperformance/display,license,anddispositionoftheIntellectualPropertymade,conceived,derivedfrom,orreducedtopracticebyContractororCDPHandwhichresultdirectlyorindirectlyfromthisAgreement,Thisindemnityobligationshallapplyirrespectiveofwhethertheinfringementclaimisbasedonapatent,trademarkorcopyrightregistrationthatissuedaftertheeffectivedateofthisAgreement.CDPHreservestherighttoparticipateinand/orcontrol,atContractor'sexpense,anysuchinfringementactionbroughtagainstCDPH.(2)ShouldanyIntellectualPropertylicensedbytheContractortoCDPHunderthisAgreementbecomethesubjectofanIntellectualPropertyinfringementclaim,ContractorwillexerciseitsauthorityreasonablyandingoodfaithtopreserveCDPH’srighttousethelicensedIntellectualPropertyinaccordancewiththisAgreementatnoexpensetoCDPH.CDPHshallhavetherighttomonitorandappearthroughitsowncounsel(atContractor’sexpense)inanysuchclaimoraction,inthedefenseorsettlementoftheclaim,ContractormayobtaintherightforCDPHtocontinueusingthelicensedIntellectualProperty;or,replaceormodifythelicensedIntellectualPropertysothatthereplacedormodifiedIntellectualPropertybecomesnon-infringingprovidedthatsuchreplacementormodificationisfunctionallyequivalenttotheoriginallicensedIntellectualProperty,Ifsuchremediesarenotreasonablyavailable,CDPHshallbeentitledtoarefundofallmoniespaidunderthisAgreement,withoutrestrictionorlimitationofanyotherrightsandremediesavailableatlaworinequity.(3)ContractoragreesthatdamagesalonewouldbeinadequatetocompensateCDPHforbreachofanytermofthisintellectualPropertyExhibitbyContractor.ContractoracknowledgesCDPHwouldsufferirreparableharmintheeventofsuchbreachandagreesCDPHshallbeentitledtoobtainequitablerelief,includingwithoutlimitationaninjunction,fromacourtofcompetentjurisdiction,withoutrestrictionorlimitationofanyotherrightsandremediesavailableatlaworinequity.g.SurvivalTheprovisionssetforthhereinshallsurviveanyterminationorexpirationofthisAgreementoranyprojectschedule.7.PriorApprovalofTrainingSeminars,WorkshopsorConferencesContractorshallobtainpriorCDPHapprovalofthelocation,costs,dates,agenda,instructors,instructionalmaterials,andattendeesatanyreimbursabletrainingseminar,workshop,orconferenceconductedpursuanttothisAgreementandofanyreimbursablepublicityoreducationalmaterialstobemadeavailablefordistribution.TheContractorshallacknowledgethesupportoftheStatewheneverpublicizingtheworkunderthisAgreementinanymedia.ThisprovisiondoesPage11of16 CountyofFresno15-10940Page4of14ExhibitIHIPAABusinessAssociateAddenduma.ComplyingwithallofthedatasystemsecurityprecautionslistedinAttachmentA,theBusinessAssociateDataSecurityRequirements;b.AchievingandmaintainingcompliancewiththeHIPAASecurityRule(45CFRParis160and164),asnecessaryinconductingoperationsonbehalfofCDPHundertheAgreement;c.ProvidingalevelandscopeofsecuritythatisatleastcomparabletothelevelandscopeofsecurityestablishedbytheOfficeofManagementandBudgetinOMBCircularNo.A-130,AppendixIII-SecurityofFederalAutomatedInformationSystems,whichsetsforthguidelinesforautomatedinformationsystemsinFederalagencies;andd.Incaseofaconflictbetweenanyofthesecuritystandardscontainedinanyoftheseenumeratedsourcesofsecuritystandards,themoststringentshallappiy.ThemoststringentmeansthatsafeguardwhichprovidesthehighestlevelofprotectiontoPHifromunauthorizeddisclosure.Further,BusinessAssociatemustcomplywithchangestothesestandardsthatoccuraftertheeffectivedateoftheAgreement.BusinessAssociateshalldesignateaSecurityOfficertooverseeitsdatasecurityprogramwhoshallberesponsibleforcarryingouttherequirementsofthissectionandforcommunicatingonsecuritymatterswithCDPH,D.MitigationofHarmfulEffects,Tomitigate,totheextentpracticable,anyharmfuleffectthatisknowntoBusinessAssociateofauseordisclosureofPH!byBusinessAssociateoritssubcontractorsinviolationoftherequirementsofthisAddendum.E.BusinessAssociate’sAgentsandSubcontractors.1.Toenterintowrittenagreementswithanyagents,includingsubcontractorsandvendors,towhomBusinessAssociateprovidesPHIorPIreceivedfromorcreatedorreceivedbyBusinessAssociateonbehalfofCDPH,thatimposethesamerestrictionsandconditionsonsuchagents,subcontractorsandvendorsthatapplytoBusinessAssociatewithrespecttosuchPHIandPIunderthisAddendum,andthatcomplywithallapplicableprovisionsofHIPAA,theHITECHActandtheHIPAAregulations,includingtherequirementthatanyagents,subcontractorsorvendorsimplementreasonableandappropriateadministrative,physical,andtechnicalsafeguardstoprotectsuchPHIandPI.BusinessAssociateshallincorporate,whenapplicable,therelevantprovisionsofthisAddendumintoeachsubcontractorsubawardtosuchagents,subcontractorsandvendors,includingtherequirementthatanysecurityincidentsorbreachesofunsecuredPHIorPibereportedtoBusinessAssociate.2.Inaccordancewith45CFRsection164.504(e)(1)(ii),uponBusinessAssociate'sknowledgeofamaterialbreachorviolationbyitssubcontractoroftheagreementbetweenBusinessAssociateandthesubcontractor,BusinessAssociateshall:a.ProvideanopportunityforthesubcontractortocurethebreachorendtheviolationandterminatetheagreementifthesubcontractordoesnotcurethebreachorendtheviolationwithinthetimespecifiedbyCDPH;orb.immediatelyterminatetheagreementifthesubcontractorhasbreachedamateria!termoftheagreementandcureisnotpossible.CDPHHIPAASAAB-14 CountyofFresno15-10940Page9of14ExhibitIHiPAABusinessAssociateAddendum1,Failuretodetector2.Detection,butfailuretonotifyBusinessAssociateorrequireBusinessAssociate'sremediationofanyunsatisfactorypracticesconstituteacceptanceofsuchpracticeorawaiverofCDPH’enforcementrightsundertheAgreementandthisAddendum.B.IfBusinessAssociateisthesubjectofanaudit,compliancereview,orcomplaintinvestigationbytheSecretaryortheOfficeofCivilRights.U.S.DepartmentofHealthandHumanServices,thatisrelatedtotheperformanceofitsobligationspursuanttothisHIPAABusinessAssociateAddendum,BusinessAssociateshallnotifyCDPHandprovideCDPHwithacopyofanyPHIorPIthatBusinessAssociateprovidestotheSecretaryortheOfficeofCivilRightsconcurrentlywithprovidingsuchPHIorPItotheSecretary,BusinessAssociateisresponsibleforanycivilpenaltiesassessedduetoanauditorinvestigationofBusinessAssociate,inaccordancewith42U.S.C,section17934(c).VI.TerminationA.Term.TheTermofthisAddendumshallcommenceasoftheeffectivedateofthisAddendumandshallextendbeyondtheterminationoftheAgreementandshallterminatewhenalithePHIprovidedbyCDPHtoBusinessAssociate,orcreatedorreceivedbyBusinessAssociateonbehalfofCDPH,isdestroyedorreturnedtoCDPH,inaccordancewith45CFR164,504(e)(2)(ii)(l).B.TerminationforCause.Inaccordancewith45CFRsection164.504(e)(1)(ii),uponCDPH’knowledgeofamaterialbreachorviolationofthisAddendumbyBusinessAssociate,CDPHshall:1.ProvideanopportunityforBusinessAssociatetocurethebreachorendtheviolationandterminatetheAgreementifBusinessAssociatedoesnotcurethebreachorendtheviolationwithinthetimespecifiedbyCDPH;or2.ImmediatelyterminatetheAgreementifBusinessAssociatehasbreachedamaterialtermofthisAddendumandcureisnotpossible.C.JudicialorAdministrativeProceedingsBusinessAssociatewillnotifyCDPHifitisnamedasadefendantinacriminalproceedingforaviolationofHIPAA.CDPHmayterminatetheAgreementifBusinessAssociateisfoundguiltyofacriminalviolationofHIPAA.CDPHmayterminatetheAgreementifafindingorstipulationthattheBusinessAssociatehasviolatedanystandardorrequirementofHIPAA,orothersecurityorprivacylawsismadeinanyadministrativeorcivilproceedinginwhichtheBusinessAssociateisapartyorhasbeenjoined.D.EffectofTermination.UponterminationorexpirationoftheAgreementforanyreason,BusinessAssociateshallreturnordestroyallPHIreceivedfromCDPH(orcreatedorreceivedbyBusinessAssociateonbehalfofCDPH)thatBusinessAssociatestillmaintainsinanyform,andshallretainnocopiesofsuchPHI.Ifreturnordestructionisnotfeasible,BusinessAssociateshallnotifyCDPHoftheconditionsthatmakethereturnordestructioninfeasible,andCDPHandBusinessAssociateshalldeterminethetermsandconditionsunderwhichBusinessAssociatemayretainthePHI,BusinessAssociateshallcontinuetoextendtheprotectionsofthisAddendumtosuchPHI,andshalllimitfurtheruseofsuchPHItothosepurposesthatmakethereturnordestructionofsuchPHIinfeasible.ThisprovisionshallapplytoPHIthatisinthepossessionofsubcontractorsoragentsofBusinessAssociate.VII.MiscellaneousProvisionsA.Disclaimer.CDPHmakesnowarrantyorrepresentationthatcompliancebyBusinessAssociatewiththisAddendum,HIPAAortheHIPAAregulationswillbeadequateorsatisfactoryforBusinessCDPHHIPAA3AA8-14 CountyofFresno15-10940Page10of14ExhibitIHIPAABusinessAssociateAddendumAssociate'sownpurposesorthatanyinformationinBusinessAssociate'spossessionorcontrol,ortransmittedorreceivedbyBusinessAssociate,isorwiiibesecurefromunauthorizeduseordisclosure.BusinessAssociateissolelyresponsibleforalldecisionsmadebyBusinessAssociateregardingthesafeguardingofPHI.B.Amendment.ThepartiesacknowledgethatfederalandstatelawsrelatingtoelectronicdatasecurityandprivacyarerapidlyevolvingandthatamendmentofthisAddendummayberequiredtoprovideforprocedurestoensurecompliancewithsuchdevelopments.ThepartiesspecificallyagreetotakesuchactionasisnecessarytoimplementthestandardsandrequirementsofHIPAA,theHITECHAct,theHIPAAregulationsandotherapplicablelawsrelatingtothesecurityorprivacyofPHI.UponCDPH’request,BusinessAssociateagreestopromptlyenterintonegotiationswithCDPHconcerninganamendmenttothisAddendumembodyingwrittenassurancesconsistentwiththestandardsandrequirementsofHIPAA,theHITECHAct,theHIPAAregulationsorotherapplicablelaws,CDPHmayterminatetheAgreementuponthirty(30)dayswrittennoticeintheevent:1.BusinessAssociatedoesnotpromptlyenterintonegotiationstoamendthisAddendumwhenrequestedbyCDPHpursuanttothisSection;or2.BusinessAssociatedoesnotenterintoanamendmentprovidingassurancesregardingthesafeguardingofPHIthatCDPHinitssolediscretion,deemssufficienttosatisfythestandardsandrequirementsofHIPAAandtheHIPAAregulations.C.AssistanceinLitigationorAdministrativeProceedings.BusinessAssociateshallmakeitselfandanysubcontractors,employeesoragentsassistingBusinessAssociateintheperformanceofitsobligationsundertheAgreement,availabletoCDPHatnocosttoCDPHtotestifyaswitnesses,orotherwise,intheeventoflitigationoradministrativeproceedingsbeingcommencedagainstCDPH,itsdirectors,officersoremployeesbaseduponclaimedviolationofHIPAA,theHIPAAregulationsorotherlawsrelatingtosecurityandprivacy,whichinvolvesinactionsoractionsbytheBusinessAssociate,exceptwhereBusinessAssociateoritssubcontractor,employeeoragentisanamedadverseparty,D.NoThird-PartyBeneficiaries.NothingexpressorimpliedinthetermsandconditionsofthisAddendumisintendedtoconfer,norshallanythinghereinconfer,uponanypersonotherthanCDPHorBusinessAssociateandtheirrespectivesuccessorsorassignees,anyrights,remedies,obligationsorliabilitieswhatsoever.E.Interpretation.ThetermsandconditionsInthisAddendumshallbeinterpretedasbroadlyasnecessarytoimplementandcomplywithHIPAA,theHITECHAct,theHIPAAregulationsandapplicablestatelaws.ThepartiesagreethatanyambiguityinthetermsandconditionsofthisAddendumshallberesolvedinfavorofameaningthatcompliesandisconsistentwithHIPAA,theHITECHActandtheHIPAAregulations.F.RegulatoryReferences.AreferenceinthetermsandconditionsofthisAddendumtoasectionintheHIPAAregulationsmeansthesectionasineffectorasamended.G.Survival.TherespectiverightsandobligationsofBusinessAssociateunderSectionVI.DofthisAddendumshallsurvivetheterminationorexpirationoftheAgreement.H.NoWaiverofObligations.Nochange,waiverordischargeofanyliabilityorobligationhereunderonanyoneormoreoccasionsshallbedeemedawaiverofperformanceofanycontinuingorotherobligation,orshallprohibitenforcementofanyobligation,onanyotheroccasion.CDPHHIPAABAA8-14
