FIRST AMENDMENT TO AGREEMENT
2 THIS FIRST AMENDMENT to Agreement No . 14-268 (hereinafter "First Amendment")
3 is made and entered into this 16th day of May , 201 7, by and between COUNTY OF
4 FRESNO, a political subdivision of the State of California , Fresno , California (hereinafter
5 "COUNTY"), and Office Depot, Inc., a De l aware corporation , whose address is 6600 North
6 Military Trail , Boca Raton , FL 33496 , (hereinafter "CONTRACTOR ").
7 WITNESSETH :
8 WHEREAS , COUNTY and CONTRACTOR entered into Agreement number 14-268 ,
9 dated May 20, 2014 (hereinafter "Agreement"), pursuant to wh ich CONTRACTOR agreed to
10 provide office supplies and copy paper to meet the needs o f various COUNTY departments ;
11 and
12 WHEREAS , COUNTY and CONTRACTOR now desire to amend the Agreement in
13 order to allow County Departments to purchase office supplies th rough Office Depot's On li ne
14 O rdering Platform .
15 NOW, THEREFORE , for good and v aluable consideration , th e rece ipt and adequacy of
16 which is hereby acknowledged , COUNTY and CONTRACTOR ag ree as follows :
17 1 . That Subsection A of Sect iqn "2 . OBLIGATIONS OF THE COUNTY," as set
18 forth on page 1 of the Agreement, is hereby deleted in its entirety and
19 replaced w ith the f ollowing :
20 "A . COUNTY acknowledges that it will be purchasing on the Office Dep ot South
2 1 System ordering platform ."
22 2. That Subsection A of Secti on "5 . COMPENSA TIONIINVOICING ," as set
23 forth on pag e 2 of the Agreement is hereby deleted in its e ntiret y and
24 replaced with th e following :
