HomeMy WebLinkAbout2934612345678910111213141516171819202122232425262728AGREEMENTTHISAGREEMENTismadeandenteredintothisdayof,2017,byandbetweentheCOUNTYOFFRESNO,aPoliticalSubdivisionoftheStateofCalifornia,hereinafterreferredtoas"COUNTY",andFresnoWestsideMosquitoAbatementDistrict,agovernmentpublichealthserviceagency,whoseaddressis2555NStreet,FirebaughCA93622,hereinafterreferredtoas"CONTRACTOR".W I T N E S S E T H:WHEREAS,COUNTY,throughitsDepartmentofPublicHealth,wouldliketoimproveitsoutreachscopetotheresidentsofFresnoCountyregardingmosquitoes,specificallyexposuretotheZikaVirusDisease(Zika)andthepotentialdangersofZikaandothermosquitoborneillnesses;andWHEREAS,COUNTYhasbeenadvisedbytheCentersforDiseaseControlandPrevention(CDC)thatZikaisasignificantthreattopublichealth;andWHEREAS,COUNTYhasreceivedfundingfromtheCaliforniaDepartmentofPublicHealththroughtheZikaPreparednessandResponseGrantthatmaybeusedtolessenexposuretoandcombateffectsofZikaandothermosquitoborneillnesses;andWHEREAS,COUNTYdesirestoutilizegrantfundstoprovideeducationandresourcestothecommunityintheformofawebsite;andWHEREAS,CONTRACTOR,hasagreedtocreateandadministerawebsitetoaidlocalmosquitoabatementdistrictsinmonitoringmosquitoactivityandtoprovideinformationtotheresidentsofFresnoCountyaboutthedangersposedbyZikaandothermosquitoborneillnesses;andWHEREAS,CONTRACTOR,isqualifiedandiswillingtoprovidesuchservices,pursuanttothetermsandconditionsofthisAgreement.NOW,THEREFORE,inconsiderationoftheirmutualcovenantsandconditions,thepartiesheretoagreeasfollows:1.RESPONSIBILITIESANDSERVICESCONTRACTORshallperformallservicesandfulfillallresponsibilitiesidentifiedinExhibitA,attachedheretoandbythisreferenceincorporatedherein.IllCOUNTYOFFRESNOFresno,CA
456789101112131415161718192021222324252627282.TERMThisAgreementshallbecomeeffectiveuponexecutionandshallterminateonthe30thdayofJune,2018.ThisAgreementmaybeextendedfortwo(2)additionaltwelve(12)monthperiodsuponthesametermsandconditionshereinsetforth,unlesswrittennoticeofnonrenewalisgivenbyeitherCONTRACTORorCOUNTYorCOUNTY’SDPHDirector,ordesignee,notlaterthansixty(60)dayspriortothecloseofthecurrentAgreementterm.3.TERMINATIONA.Non-AllocationofFunds-ThetermsofthisAgreement,andtheservicestobeprovidedthereunder,arecontingentontheapprovaloffundsbytheappropriatinggovernmentagency.Shouldsufficientfundsnotbeallocated,theservicesprovidedmaybemodified,orthisAgreementterminatedatanytimebygivingCONTRACTORthirty(30)daysadvancewrittennotice.B.BreachofContract-COUNTYmayimmediatelysuspendorterminatethisAgreementinwholeorinpart,whereinthedeterminationofCOUNTYthereis:1)Anillegalorimproperuseoffunds;2)AfailuretocomplywithanytermofthisAgreement;3)AsubstantiallyincorrectorincompletereportsubmittedtoCOUNTY;4)Improperlyperformedservice.InnoeventshallanypaymentbyCOUNTYconstituteawaiverbyCOUNTYofanybreachofthisAgreementoranydefaultwhichmaythenexistonthepartofCONTRACTOR.NeithershallsuchpaymentimpairorprejudiceanyremedyavailabletoCOUNTYwithrespecttothebreachordefault.COUNTYshallhavetherighttodemandofCONTRACTORtherepaymenttoCOUNTYofanyfundsdisbursedtoCONTRACTORunderthisAgreement,whichinthejudgmentofCOUNTYwerenotexpendedinaccordancewiththetermsofthisAgreement.CONTRACTORshallpromptlyrefundanysuchfundsupondemandor,atCOUNTY’Soption,suchrepaymentshallbedeductedfromfuturepaymentsowingtoCONTRACTORunderthisAgreement.C.WithoutCause-Undercircumstancesotherthanthosesetforthabove,thisAgreementmaybeterminatedbyCOUNTYuponthegivingofthirty(30)daysadvancewrittennoticeofanintentiontoterminatetoCONTRACTOR.COUNTYOFFRESNOFresno,CA
123456789101112131415161718192021222324252627284.COMPENSATIONCOUNTYagreestopayCONTRACTORandCONTRACTORagreestoreceivecompensationratesasidentifiedinExhibitA,attachedheretoandincorporatedhereinbythisreference.InnoeventshallactualservicesperformedunderthisAgreementbeinexcessofNinetyFiveThousandandNo/100Dollars($95,000.00)throughJune30,2018.InnoeventshallactualservicesperformedunderthisAgreementfortheperiodJuly1,2018throughJune30,2019exceedFifteenThousandandNo/100Dollars($15,000)andinnoeventshallactualservicesperformedfortheperiodJuly1,2019throughJune30,2020exceedFifteenThousandandNo/100Dollars($15,000).InnoeventshalltotalservicesperformedunderthisAgreementbeinexcessofOneHundredTwentyFiveThousandandNo/100Dollars($125,000)duringthefulltermofthisAgreement.ItisunderstoodthatallexpensesincidentaltoCONTRACTOR'SperformanceofactualservicesunderthisAgreementshallbebornebyCONTRACTOR.5.INVOICINGCONTRACTORshallinvoiceCOUNTYmonthly,induplicate,addressedtotheCountyofFresno,DepartmentofPublicHealth,CommunityHealth,P.O.Box.11867,Fresno,CA93775,Attention:PHEPProgram.PaymentsbyCOUNTYshallbeinarrears,forservicesprovidedduringtheprecedingmonth,withinforty-five(45)daysafterreceiptandverificationofCONTRACTOR'SinvoicesbyCOUNTY'SDepartmentofPublicHealth.IfCONTRACTORshouldfailtocomplywithanyprovisionofthisAgreement,COUNTYshallberelievedofitsobligationforfurthercompensation.6.INDEPENDENTCONTRACTORInperformanceofthework,duties,andobligationsassumedbyCONTRACTORunderthisAgreement,itismutuallyunderstoodandagreedthatCONTRACTOR,includinganyandallofCONTRACTOR'Sofficers,agents,andemployeeswillatalltimesbeactingandperformingasanindependentcontractor,andshallactinanindependentcapacityandnotasanofficer,agent,servant,employee,jointventurer,partner,orassociateoftheCOUNTY.Furthermore,COUNTYshallhavenorighttocontrolorsuperviseordirectthemannerormethodbywhichCONTRACTORshallperformitsworkandfunction.However,COUNTYshallretaintherighttoadministerthisCOUNTYOFFRESNOFresno,CA
12345678910111213141516171819202122232425262728AgreementsoastoverifythatCONTRACTORisperformingitsobligationsinaccordancewiththetermsandconditionsthereof.CONTRACTORandCOUNTYshallcomplywithallapplicableprovisionsoflawandtherulesandregulations,ifany,ofgovernmentalauthoritieshavingjurisdictionovermatterswhicharedirectlyorindirectlythesubjectofthisAgreement.Becauseofitsstatusasanindependentcontractor,CONTRACTORshallhaveabsolutelynorighttoemploymentrightsandbenefitsavailabletoCOUNTYemployees.CONTRACTORshallbesolelyliableandresponsibleforprovidingto,oronbehalfof,itsemployeesalllegally-requiredemployeebenefits.Inaddition,CONTRACTORshallbesolelyresponsibleandsaveCOUNTYharmlessfromallmattersrelatingtopaymentofCONTRACTOR'Semployees,includingcompliancewithSocialSecurity,withholding,andallotherregulationsgoverningsuchmatters.ItisacknowledgedthatduringthetermofthisAgreement,CONTRACTORmaybeprovidingservicestoothersunrelatedtotheCOUNTYortothisAgreement.7.SUBCONTRACTORSItisunderstoodbetweenthepartiesthatCONTRACTORwillbeprovidingthewebsitecreationandmaintenanceservicesrequiredunderthisAgreementbysubcontractingtheperformanceofthoseservicestootherbusinessentities.Anytransferee,assigneeorsubcontractorwillbesubjecttoallapplicableprovisionsofthisAgreement,andallapplicableStateofCaliforniaandFederalregulations.CONTRACTORwillberesponsibleforinforminganysubcontractorsutilizedbyCONTRACTORofallthetermsandconditionsofthisAgreementandofalltheFederalandStateofCalifornialawrequirementsincorporatedherein.CONTRACTORshallbeheldprimarilyresponsiblebyCOUNTYfortheperformanceofanytransferee,assigneeorsubcontractor.TheuseofsubcontractorsbyCONTRACTORshallnotentitleCONTRACTORtoanyadditionalcompensationthanisprovidedforunderthisAgreement.8.MODIFICATIONAnymattersofthisAgreementmaybemodifiedfromtimetotimebythewrittenconsentofallthepartieswithout,inanyway,affectingtheremainder.9.NON-ASSIGNMENTNeitherpartyshallassign,transferorsubcontractthisAgreementnortheirrightsorCOUNTYOFFRESNOFresno,CA
12345678910111213141516171819202122232425262728dutiesunderthisAgreementwithoutthepriorwrittenconsentoftheotherparty.Thissectionshallnotapplytothewebsitecreationandmaintenanceservices.SuchservicesshallbesubcontractedbyCONTRACTOR.Notwithstandingtheabove,CONTRACTORshallremainliableforalldutiesandresponsibilitiesunderthisAgreement,includingwebsitecreationandmaintenanceservices.10.HOLD-HARMLESSCONTRACTORagreestoindemnify,save,holdharmless,andatCOUNTY'Srequest,defendtheCOUNTY,itsofficers,agentsandemployeesfromanyandallcostsandexpenses,includingattorneyfeesandcourtcosts,damages,liabilities,claimsandlossesoccurringorresultingtoCOUNTYinconnectionwiththeperformance,orfailuretoperform,byCONTRACTOR,itsofficers,agentsoremployeesunderthisAgreement,andfromanyandallcostsandexpenses,includingattorneyfeesandcourtcosts,damages,liabilities,claimsandlossesoccurringorresultingtoanyperson,firmorcorporationwhomaybeinjuredordamagedbytheperformance,orfailuretoperform,ofCONTRACTOR,itsofficers,agentsoremployeesunderthisAgreement.11.INSURANCEWithoutlimitingtheCOUNTY'SrighttoobtainindemnificationfromCONTRACTORoranythirdparties,CONTRACTOR,atitssoleexpense,shallmaintaininfullforceandeffectthefollowinginsurancepoliciesoraprogramofself-insurance,includingbutnotlimitedto,aninsurancepoolingarrangementorJointPowersAgreement(JPA)throughoutthetermofthisAgreement:A.CommercialGeneralLiabilityCommercialGeneralLiabilityInsurancewithlimitsofnotlessthanOneMillionDollars($1,000,000)peroccurrenceandanannualaggregateofTwoMillionDollars($2,000,000).Thispolicyshallbeissuedonaperoccurrencebasis.COUNTYmayrequirespecificcoverageincludingcompletedoperations,productliability,contractualliability,Explosion,Collapse,andUnderground(XCU),firelegalliabilityoranyotherliabilityinsurancedeemednecessarybecauseofthenatureoftheAgreement.B.AutomobileLiabilityComprehensiveAutomobileLiabilityInsurancewithlimitsforbodilyinjuryofnotlessthanTwoHundredFiftyThousandDollars($250,000)perperson,FiveHundredThousandDollars($500,000)peraccidentandforpropertydamagesofnotlessthanFiftyThousandDollars($50,000),orsuchcoveragewithacombinedsinglelimitofFiveHundredThousandDollars($500,000).Coverageshouldincludeownedandnon-ownedvehiclesusedinconnectionwiththisCOUNTYOFFRESNOFresno,CA

6.Contractorwillcontinuetosubmitasemi-annualreporttoCountydocumentingitsoutreachefforts,adheringtothereportingscheduleestablishedduringYear1anddocumentingthesameinformationasrequiredintheYear1reports.(ItisrecognizedthatreducedfundinginYear2maynecessarilylimittheabilityofContractortoprovidethelevelofpublicoutreachandinformationprovidedduringYear1.ContractorshouldprioritizeYear2fundingtomaintain/updatethewebsiteandprovidereportingonwebsitetrafficasdescribedabove.Anyexcessfundingwithinthe$15,000amountshouldbeutilizedforpublicoutreachandeducation.)TOTALYEAR2YEAR3(July1,2019-June30,2020)$15,000WebsiteMaintenanceandPublicOutreachCompensation1.Asneeded,ContractorwillcontinuetomaintainandupdatethewebsitecreatedinYear1inordertocontinuetoallowCountyresidentsto:(1)quicklyidentifywhichmosquitoabatementdistricttheirpropertyislocatedin;(2)identifythecontactinformationoftheappropriatedistricttoreportmosquitoinfestationstoandaskrelatedquestions;and(3)readilylocatelinkstoZikaandothermosquitoborneillnessespreventionandhealthrelatedinformation.2.Contractorwillprovidequarterlyreportswhichwillincludethenumberofhitsanduniquevisitsthesitereceivesandhowmanyrequestsforinformationweremadefromthewebsite.3.ContractorwilladdandupdatepublichealthrelatedlinksandotherZikaorothermosquitoborneillnessinformationtothewebsiteattherequestoftheCounty.4.Contractorwillprovideanannualsummaryofthewebsite’susageandthewebsite’sperceivedeffectivenessinassistingthelocalmosquitoabatementdistricts’responsetothethreatofZikaandothermosquitoborneillnesses.5.AsinYears1and2,ContractorwillcontinuetoprovidepublicoutreachandinformationtotheresidentsofFresnoCountyincluding,butnotlimitedtosuchtopicsasZikaawarenessandprevention,potentialhealtheffectsanddangers,especiallytopregnantwomen,andidentificationofmosquitoabatementandhealthrelatedresources,utilizingthesamemethodsasallowedforinYear1.6.Contractorwillcontinuetosubmitasemi-annualreporttoCountydocumentingitsoutreachefforts,adheringtothereportingscheduleestablishedduringYears1and2anddocumentingthesameinformationasrequiredintheYears1and2reports.$15,000
