WITNESSETH: WHEREAS,COUNTY isa recipient of1 one-time State of California Community Recidivism Reduction Grant (CRRG)monies to fund community recidivism and crime reduction services as defined in California Penal Code Section 1233.10 and that include,but are not limited to,delinquency prevention,homelessness prevention,and reentry services;and WHEREAS,CONTRACTOR is qualified and willing to provide such services pursuant to the terms and conditions of this Agreement. NOW,THEREFORE,in consideration of their mutual promises,covenants and conditions,hereinafter set forth,the sufficiency of which is acknowledged,the parties agree as follows: 1.SERVICES A.CONTRACTOR shall perform all services and fulfill all responsibilities as specified in Exhibit "A",COUNTY'S Request for Proposal No.952-5330 and Addendum No.One (1)thereto,(collectively,the "Revised RFP")and Exhibt "B",CONTRACTOR'S Response to said Revised RFP dated February 25,2015 ("Response"),both of which are attached hereto and incorporated herein by reference. B.CONTRACTOR shall provide COUNTY monthly service activity reports in a format agreed upon by COUNTY and CONTRACTOR. 2.TERM This Agreement shall become effective on July 1,2015 and shall terminate on June 30,2016. 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 3.TERMINATION A.Non-Allocation of Funds -The terms ofthisAgreement, and the services to be provided thereunder,are contingent on the approval of funds by the appropriating government agency.Should sufficient funds not be allocated,theservices provided may be modified,or this Agreement terminated,at any time by giving the CONTRACTOR thirty (30)days advance written notice. B.Breach ofContract-The COUNTY may immediately suspend orterminate this Agreement inwhole or in part,where in the determination of the COUNTY there is: 1)An illegal or improper use of funds; 2) Afailureto comply with any term ofthis Agreement; 3) Asubstantially incorrect or incomplete report submitted to the COUNTY; 4)Improperly performed service. In noevent shallany payment bythe COUNTY constitutea waiverbythe COUNTY ofany breach ofthisAgreement orany default which maythen exist on the partofthe CONTRACTOR.Neither shall such payment impair or prejudice any remedy available tothe COUNTY with respect tothe breach or default.The COUNTY shallhavethe right todemand of the CONTRACTORthe repayment to the COUNTY of any funds disbursed to the CONTRACTOR under thisAgreement,which in the judgment ofthe COUNTY were not expended in accordance with the terms ofthis Agreement.The CONTRACTOR shall promptly refund any such funds upon demand. C. Without Cause - Under circumstances other than those set forth above, thisAgreement may be terminated by COUNTY uponthe giving of thirty (30)days advance written notice of an intention to terminate to CONTRACTOR. 4.COMPENSATION/INVOICING:COUNTY agrees to pay CONTRACTOR and CONTRACTOR agrees to receive compensation as follows:$556 for each participantevaluation as described in Exhibit A. In no event shall services performed under this Agreement be in excess of Thirty-Seven Thousand Four Hundred Ninety-Eight Dollars ($37,498)during the term ofthis Agreement.It is understood that all expenses incidental to CONTRACTOR'S performanceof servicesunderthis Agreement shall be borneby CONTRACTOR.COUNTY shall remit payment forservices within forty-five (45)days of receipt ofservice activity report as described in Exhibit B and service invoice. 5. INDEPENDENT CONTRACTOR: In performance of the work,duties and obligations assumed by CONTRACTOR under this Agreement,it is mutually understood and agreed that CONTRACTOR,including any and all ofthe CONTRACTOR'S officers,agents, and employees will at alltimes be acting and performing as an independent contractor, and shall act in an independent capacityand notas an officer,agent, servant, employee,joint venturer,partner,or associate ofthe COUNTY.Furthermore,COUNTY shall have no right to control orsupervise or direct the manner or method by which CONTRACTOR shall perform its work and function. However,COUNTY shall retainthe right to administer thisAgreement so as to verify that CONTRACTOR is performing its obligations in accordance with the terms and conditions thereof. CONTRACTORand COUNTY shall comply withallapplicable provisions of lawand the rules and regulations,if any, of governmental authorities having jurisdiction over matters the subject thereof. Because of its status as an independent contractor,CONTRACTOR shall have absolutely no right to employment rightsand benefits available to COUNTY employees. CONTRACTORshall be solely liableand responsible for providing to, or on behalf of, its employees all legally-required employee benefits.In addition,CONTRACTOR shall be solely responsible and save COUNTY harmless from all matters relating to payment of CONTRACTOR'S employees,including compliance withSocial Security withholding and allother regulations governing such matters.It is acknowledged that during the term ofthis Agreement, CONTRACTOR may be providing services to others unrelated to the COUNTY or to this Agreement. 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 6.MODIFICATION:Any matters ofthisAgreementmaybe modified from time to time bythe written consent of all the parties without,in any way,affecting the remainder. 7-NON-ASSIGNMENT:Neitherpartyshall assign, transfer orsub-contract this Agreement northeir rights orduties under thisAgreement without the prior written consent ofthe other party. 8.HOLD HARMLESS:CONTRACTOR agrees to indemnify,save,hold harmless,andat COUNTY'S request,defend the COUNTY,its officers,agents,and employees from anyand all costs and expenses, damages,liabilities,claims,and losses occurring or resulting to COUNTY in connection with the performance,or failure to perform,by CONTRACTOR,its officers,agents, or employees under this Agreement,and from anyand all costs and expenses, damages,liabilities,claims,and losses occurring or resulting toany person, firm,or corporation who may be injured ordamaged by the performance,or failure to perform, of CONTRACTOR,its officers,agents,or employees under this Agreement. 9.INSURANCE Without limiting the COUNTY'S rightto obtain indemnification from CONTRACTOR or any third parties,CONTRACTOR,at itssole expense,shall maintain in full force and effect,the following insurance policies ora program of self-insurance,including but not limited to,an insurance pooling arrangement orJointPowersAgreement (JPA)throughout the term of the Agreement: A.Commercial General Liability Commercial General Liability Insurance with limitsof not less than One Million Dollars ($1,000,000) per occurrence and an annual aggregate ofTwo Million Dollars ($2,000,000).This policy shallbe issued on a peroccurrence basis.COUNTY may require specific coverages including completed operations, products liability,contractual liability, Explosion-Collapse-Underground,fire legal liability or any other liability insurance deemed necessary because of the nature of this contract. B.Automobile Liability Comprehensive Automobile Liability Insurance with limits for bodily injury of -4- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 not less than Two Hundred Fifty Thousand Dollars ($250,000.00)per person,Five Hundred Thousand Dollars ($500,000.00)per accident and for property damages of not less than Fifty Thousand Dollars ($50,000.00),orsuch coverage with a combinedsingle limit of Five Hundred Thousand Dollars ($500,000.00).Coverage should include owned and non-owned vehicles used in connection with this Agreement. C.Professional Liability If CONTRACTOR employs licensed professional staff,(e.g.,Ph.D.,R.N., L.C.S.W.,M.F.C.C.)in providing services, Professional Liability Insurance with limits ofnot less than One Million Dollars ($1,000,000.00)per occurrence,Three Million Dollars ($3,000,000.00) annual aggregate. D.Worker's Compensation A policy ofWorker's Compensation insurance as may be requiredbythe California Labor Code. CONTRACTOR shallobtain endorsements tothe Commercial General Liability insurance naming the County ofFresno,its officers,agents, and employees,individually and collectively,as additional insured,but only insofaras the operations under thisAgreementare concerned. Such coverage for additional insured shall apply as primary insuranceand anyother insurance, orself-insurance,maintained by COUNTY,its officers,agents and employees shallbe excess onlyand not contributing with insurance provided under CONTRACTOR'S policiesherein. Thisinsurance shall notbe cancelled or changed without a minimum of thirty (30)days advance written notice given to COUNTY. Within Thirty(30)days from the date CONTRACTOR signs and executes this Agreement,CONTRACTOR shall provide certificates of insurance and endorsement as stated above forallofthe foregoing policies,as required herein, to the County of Fresno, (Name and Address ofthe official who will administerthis contract), stating that such insurance coverage have been obtained and are in full force;that the Countyof Fresno, its officers,agents and employees will not be responsible forany premiums on the policies;that such Commercial General Liability insurance names the County of Fresno, its officers,agents and employees,individually and 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 collectively,as additional insured, butonlyinsofar as the operations under thisAgreement are concerned; that such coverage for additional insured shall apply as primary insurance and any other insurance, or self-insurance, maintained by COUNTY,its officers,agents and employees, shall be excess onlyand not contributing with insurance provided under CONTRACTOR'S policies herein;and that this insurance shall not be cancelled or changed without a minimum of thirty (30) days advance,written notice given to COUNTY. In the event CONTRACTOR fails to keep in effect at all times insurance coverage as herein provided, the COUNTY may, inaddition to other remedies it may have, suspend or terminate this Agreement upon the occurrence of such event. All policies shall be issued by admitted insurers licensed to do business in the State of California,and such insurance shall be purchased from companies possessing a current A.M.Best,Inc.rating of A FSC VII or better. 10.AUDITS AND INSPECTIONS:The CONTRACTOR shall at any time during business hours,and as often as the COUNTY may deem necessary,make available to the COUNTY forexamination allof its records and data with respect to the matters covered bythis Agreement.The CONTRACTOR shall, upon request by the COUNTY, permit the COUNTY to audit and inspect all of such records and data necessary to ensure CONTRACTOR'S compliance with the terms of this Agreement. If this Agreement exceeds ten thousand dollars ($10,000.00),CONTRACTOR shall be subject to the examination and audit of the Auditor General for a period of three (3)years after final payment under contract (Government Code Section 8546.7). 11. The rights and obligations of the parties and all interpretation and performance of this Agreement shall be governed in all respects by the laws of the State of California. 13.DISCLOSURE OF SELF-DEALING TRANSACTIONS This provision is only applicable if the CONTRACTOR is operating as a corporation (a for-profit or non-profit corporation)or if during the term of the agreement,the CONTRACTOR changes its status to operate as a corporation. TIE BIDS: All otherfactors being equal,the contract shallbe awarded totheFresno County vendor or,ifneither or both are Fresno County vendors,itmay be awarded bythe flip ofa coin inthepresenceofwitnesses orthe entire bid may be rejected and re-bid.Ifthe General Requirements ofthe RFQ state that they are applicable,the provisions oftheFresno County Local Vendor Preference shall take priority over this paragraph. 8.PATENT INDEMNITY: The vendor shall hold the County,its officers,agents and employees, harmless from liability ofanynature or kind,including costsandexpenses, for infringement oruseofanycopyrighted or un-copyrighted composition, secret process, patented or unpatented invention,article or appliance furnished or used in connection with this bid. 9.SAMPLES: Samples,when required,mustbe furnished and delivered freeand,ifnot destroyed bytests,will upon written request (within thirty (30)daysof bid closing date)be returned atthe bidder's expense.In theabsenceofsuch notification,County shall have the right to dispose ofthe samples in whatever manner itdeems appropriate. 10.RIGHTS AND REMEDIES OF COUNTY FOR DEFAULT: A)In caseof default by vendor,the County may procure the articles or servicefrom anothersourceandmayrecoverthecost difference and related expenses occasioned thereby from any unpaid balance due the vendor orbyproceeding againstperformance bond ofthevendor, if any,orbysuitagainst the vendor.The prices paid by theCounty shall be considered the prevailing market price atthe time such purchase is made. B)Articles or services,which upon delivery inspection do not meet specifications,will be rejected and the vendor will be considered in default.Vendor shall reimburse County for expenses related to delivery of non-specified goodsorservices. C)Regardless ofF.O.B.point,vendor agrees to bear all risks ofloss,injury or destruction togoodsand materials ordered herein which occur prior to delivery andsuchloss,injury or destruction shallnotreleasevendor from any obligation hereunder. 11.DISCOUNTS: Terms oflessthan fifteen (15)days for cash paymentwill beconsidered asnet in evaluating this bid.Adiscount for payment within fifteen (15)days or more will be considered in determining the award of bid.Discount period will commence either the later of delivery or receipt of invoice by the County. Standard terms are Net forty-five (45)days. 12.SPECIAL CONDITIONS IN BID SCHEDULE SUPERSEDEGENERAL CONDITIONS: The"General Conditions"provisions ofthis RFP/RFQ shall besuperseded ifin conflict with anyother section ofthis bid,tothe extent ofany such conflict. 13. SPECIAL REQUIREMENT: With the invoice or within twenty-five (25)days of delivery,the seller must provide tothe County a Material Safety Data Sheet for each product which contains anysubstance on "The List of800Hazardous Substances",published bythe State Director of Industrial Relations.(See Hazardous Substances Information and Training Act,California State Labor Code Sections 6360 through 6399.7.) 14. RECYCLED PRODUCTS/MATERIALS: Vendors are encouraged to provide andquote (with documentation)recycled or recyclable products/materials which meet stated specifications. 15. YEAR COMPLIANCE WARRANTY: Vendor warrants that anyproduct furnished pursuant tothis Agreement/order shall support a four-digit yearformat andbe able toaccurately process date and time datafrom,into and between thetwentieth andtwenty-first centuries,aswell as leap year calculations."Product"shall include,without limitation,any piece or component of equipment,hardware,firmware,middleware,custom or commercial software,or internal components or subroutines therein.This warranty shall survive termination or expiration ofthis Agreement. BIDDERS LIABILITIES:County of Fresno will not be held liableforany cost incurred byvendors in responding to the RFP. DISPUTE RESOLUTION:The ensuing contract shall be governed by the laws of the State of California. Any claim which cannot be amicably settled without court action will be litigated in the U. S. District Court for the Eastern District of California in Fresno,CA or in a state court for Fresno County. NEWS RELEASE:Vendors shall not issue any news releases or otherwise release information to any third party about this RFP or the vendor's quotation without prior written approval from the County of Fresno. BACKGROUND REVIEW:The County reserves the right to conduct a background inquiryof each proposer/bidder which may include collection of appropriate criminal history information, contractual and business associations and practices,employment histories and reputation in the business community.By submitting a proposal/bid to the County,the vendor consents to such an inquiry and agrees to make available to the County such books and records the County deems necessary to conduct the inquiry. PERFORMANCE BOND:The successful bidders may be required to furnish a faithful performance bond.Bidders are to quote a separate price for a performance bond. ACQUISITIONS:The County reserves the right to obtain the whole system/services/goods as proposed or only a portion of the system/services/goods,or to make no acquisition at all. OWNERSHIP:The successful vendor will be required to provide to the County of Fresno documented proof of ownership by the vendor,or its designated subcontractor,upon request of the proposed programs/services/goods. SUBCONTRACTORS:Ifa subcontractor is proposed,complete identification of the subcontractor and his tasks should be provided.The primary contractor is not relieved of any responsibility by virtue of using a subcontractor. CONFLICT OF INTEREST:The County shall not contract with,and shall reject any bid or proposal submitted by the persons or entities specified below,unless the Board of Supervisors finds that special circumstances exist which justify the approval of such contract: 1.Employees of the County or public agencies for which the Board of Supervisors is the governing body. 2.Profit-making firms or businesses in which employees described in Subsection (1)serve as officers,principals,partners or major shareholders. 3.Persons who,within the immediately preceding twelve (12)months,came within the provisions of Subsection (1),and who were employees in positions of substantial responsibility in the area of service to be performed by the contract,or participated in any way in developing the contract or its service specifications. 4.Profit-making firms or businesses in which the former employees described in Subsection (3) serve as officers,principals,partners or major shareholders. 5. No County employee,whose position in the County enables him to influence the selection of a contractor for this RFP, or any competing RFP,and no spouse or economic dependent of such employee,shall be employees in any capacity by a bidder,or have any other direct or indirect financial interest in the selection of a contractor. 6. In addition,no County employee will be employed by the selected vendor to fulfill the vendor's contractual obligations to the County. ORDINANCE 3.08.130 -POST-SEPARATION EMPLOYMENT PROHIBITED No officer or employee of the County who separates from County service shall for a period of one year after separation enter into any employment,contract,or other compensation arrangement with any County consultant,vendor,or other County provider of goods,materials,or services, where the officer or employee participated in any part of the decision making process that led to the County relationship with the consultant,vendor or other County provider of goods,materials or services. Pursuant to Government Code section 25132(a),a violation of the ordinance may be enjoined by an injunction in a civil lawsuit,or prosecuted as a criminal misdemeanor. EVALUATION CRITERIA:Respondents will be evaluated on the basis of their responses to all questions and requirements in this RFP and product cost.The County shall be the sole judge in the ranking process and reserves the right to reject any or all bids.False,incomplete or unresponsive statements in connection with this proposal may be sufficient cause for its rejection. SELECTION PROCESS:All proposals will be evaluated by a team consisting of representatives from appropriate County Department(s),and Purchasing.It will be their responsibility to make the final recommendations.Purchasing will chair or co-chair the evaluation or evaluation process. INDEPENDENT CONTRACTOR:In performance of the work,duties,and obligations assumed by Contractor under any ensuing Agreement,it is mutually understood and agreed that Contractor,including any and all of Contractor's officers,agents,and employees will at all times be acting and performing as an independent contractor,and shall act in an independent capacity and not as an officer,agent,servant,employee,joint venture,partner,or associate of the County.Furthermore,County shall have no right to control,supervise,or direct the manner or method by which Contractor shall perform its work and function. However, County shall retain the rightto administer this Agreement so as to verify that Contractor is performing its obligations in accordance withthe terms and conditions thereof. Contractor and Countyshall comply with all applicable provisions of law and the rules and regulations,ifany, of governmental authorities having jurisdiction over matters the subject thereof. Because of its status as an independent contractor, Contractor shall have absolutely no right to employment rights and benefits available to County employees.Contractor shall be solely liable and responsible for providing to, or on behalf of, its employees all legallyrequired employee benefits.In addition,Contractor shall be solely responsible and save County harmless from all matters relating to payment of Contractor's employees,including compliance with Social Security, withholding,and all other regulations governing such matters. Itis acknowledged that during the term of the Agreement,Contractor may be providing services to others unrelated to the COUNTY or to the Agreement. HOLD HARMLESS CLAUSE:Contractor agrees to indemnify,save,hold harmless and at County's request,defend the County, its officers,agents and employees,from any and all costs and expenses,damages,liabilities,claims and losses occurring or resulting to County in connection with the performance,or failure to perform, by Contractor, its officers,agents or employees under this Agreement and from any and all costs and expenses,damages,liabilities, claims and losses occurring or resulting to any person,firm or corporation who may be injured or damaged by the performance,or failure to perform, of Contractor, its officers,agents or employees under this Agreement. SELF-DEALING TRANSACTION DISCLOSURE:Contractor agrees that when operating as a corporation (a for-profit or non-profit corporation),or ifduring the term of the agreement the Contractor changes its status to operate as a corporation,members of the Contractor's Board of Directors shall disclose any self-dealing transactions that they are a party to while Contractor is providing goods or performing services under the agreement withthe County. Aself-dealing transaction shall mean a transaction to which the Contractor is a party and in which one or more of its directors has a material financial interest.Members of the Board of Directors shall disclose any self-dealing transactions that they are a party to by completing and signing a Fresno County Self-Dealing Transaction Disclosure Form and submitting itto the County priorto commencing with the self-dealing transaction or immediately thereafter. PRICE RESPONSIBILITY:The selected vendor will be required to assume full responsibilityfor all services and activities offered in the proposal,whether or not they are provided directly. Further,the County of Fresno will consider the selected vendor to be the sole point of contact with regard to contractual matters,including payment of any and all charges resulting from the contract.The contractor may not subcontract or transfer the contract,or any right or obligation arising out of the contract,without first having obtained the express written consent of the County. ASSURANCES:Any contract awarded under this RFP must be carried out in full compliance with The Civil Rights Act of 1964,The Americans With Disabilities Act of 1990,their subsequent amendments,and any and all other laws protecting the rights of individuals and agencies.The County of Fresno has a zero tolerance for discrimination,implied or expressed,and wants to ensure that policy continues under this RFP.The contractor must also guarantee that services, or workmanship,provided will be performed in compliance with all applicable local,state,or federal laws and regulations pertinent to the types of services,or project, of the nature required under this RFP. In addition,the contractor may be required to provide evidence substantiating that their employees have the necessary skills and training to perform the required services or work. INSURANCE: Without limiting the COUNTY'S right to obtain indemnification from CONTRACTORor any third parties,CONTRACTOR, at its sole expense,shall maintain in full force and effect,the following insurance policies or a program of self-insurance,including but not limited to, an insurance pooling arrangement or Joint Powers Agreement (JPA)throughout the term of the Agreement: A.Commercial General Liability Commercial General Liability Insurance with limits of not less than One Million Dollars ($1,000,000)per occurrence and an annual aggregate of Two Million Dollars ($2,000,000). This policy shall be issued on a per occurrence basis.COUNTY may require specific coverages including completed operations,products liability,contractual liability,Explosion- Collapse-Underground,fire legal liability or any other liability insurance deemed necessary because of the nature of this contract. B.Automobile Liability Comprehensive Automobile Liability Insurance with limits for bodily injury of not less than Two Hundred Fifty Thousand Dollars ($250,000.00)per person,Five Hundred Thousand Dollars ($500,000.00)per accident and for property damages of not less than Fifty Thousand Dollars ($50,000.00),or such coverage with a combined single limit of Five Hundred Thousand Dollars ($500,000.00).Coverage should include owned and non-owned vehicles used in connection with this Agreement. C.Professional Liability If CONTRACTOR employs licensed professional staff,(e.g.,Ph.D.,R.N.,L.C.S.W.,M.F.C.C.) in providing services,Professional Liability Insurance with limits of not less than One Million Dollars ($1,000,000.00)per occurrence,Three Million Dollars ($3,000,000.00)annual aggregate. This coverage shall be issued on a per claim basis.Contractor agrees that it shall maintain, at its sole expense,in full force and effect for a period of three (3)years following the termination of this Agreement,one or more policies of professional liability insurance with limits of coverage as specified herein. D.Worker's Compensation A policy of Worker's Compensation insurance as may be required by the California Labor Code. G:\Public\RFP\FY 2014-15\952-5330 Community Recidivism Reduction Grant\952-5330 Community Recidivism Reduction Grant.doc Proposal No.952-5330 Page 17 Contractor shall obtain endorsements to the Commercial General Liability insurance naming the County of Fresno,its officers,agents,and employees,individuallyand collectively,as additional insured,but only insofar as the operations under this Agreement are concerned.Such coverage for additional insured shall apply as primary insurance and any other insurance,or self-insurance, maintained by County,its officers,agents and employees shall be excess only and not contributing with insurance provided under Contractor's policies herein.This insurance shall not be cancelled or changed without a minimum of thirty (30)days advance written notice given to County. Within thirty (30)days from the date Contractor executes this Agreement,Contractor shall provide certificates of insurance and endorsement as stated above for all of the foregoing policies,as required herein,to the County of Fresno,County Administrative Office, 2281 Tulare St.,Rm 304,Fresno,CA 93721,stating that such insurance coverage have been obtained and are in full force;that the County of Fresno,its officers,agents and employees will not be responsible for any premiums on the policies;that such Commercial General Liability insurance names the County of Fresno,its officers,agents and employees,individually and collectively,as additional insured,but only insofar as the operations under this Agreement are concerned;that such coverage for additional insured shall apply as primary insurance and any other insurance,or self-insurance,maintained by County, its officers,agents and employees,shall be excess only and not contributing with insurance provided under Contractor's policies herein;and that this insurance shall not be cancelled or changed without a minimum of thirty (30)days advance, written notice given to County. In the event Contractor fails to keep in effect at all times insurance coverage as herein provided, the County may, in addition to other remedies it may have,suspend or terminate this Agreement upon the occurrence of such event. All policies shall be with admitted insurers licensed to do business in the State of California. Insurance purchased shall be purchased from companies possessing a current A.M.Best,Inc. rating of A FSC VII or better. AUDIT AND RETENTION:The Contractor shall maintain in good and legible condition all books, documents,papers,data files and other records related to its performance under this contract. Such records shall be complete and available to Fresno County,the State of California,the federal government or their duly authorized representatives for the purpose of audit,examination, or copying during the term of the contract and for a period of at least three years following the County's final payment under the contract or until conclusion of any pending matter (e.g., litigation or audit),whichever is later.Such records must be retained in the manner described above until all pending matters are closed. DEFAULT:In case of default by the selected bidder,the County may procure materials and services from another source and may recover the loss occasioned thereby from any unpaid balance due the selected bidder,or by any other legal means available to the County. BREACH OF CONTRACT:In the event of breach of contract by either party,the other party shall be relieved of its obligations under this agreement and may pursue any legal remedies. CONFIDENTIALITY All services performed by vendor shall be in strict conformance with all applicable Federal,State of California and/or local laws and regulations relating to confidentiality,including but not limited to,California Civil Code,California Welfare and Institutions Code,Health and Safety Code, California Code of Regulations,Code of Federal Regulations. Vendor shall submit to County's monitoring of said compliance. G:\Public\RFP\FY 2014-15\952-5330 Community Recidivism Reduction Grant\952-5330 Community Recidivism Reduction Grant.doc Proposal No. 952-5330 Page 18 Vendormay be a Business associate of County,as that term is defined inthe "Privacy Rule" enacted by the Health Insurance Portabilityand Accountability Act of 1996 (HIPAA).As a HIPAA Business Associate, vendor may use or disclose protected health information ("PHI")to perform functions,activitiesor services foror on behalfof County,as specified bythe County,provided that such use or disclosure shall not violate HIPAA and its implementing regulations. The uses and disclosures of PHI may not be more expansive than those applicable to County,as the "Covered Entity"under HIPAA's Privacy Rule,except as authorized for management, administrative or legal responsibilities of the Business Associate. Vendor shall not use or further disclose PHI other than as permitted or required bythe County,or as required by law without written notice to the County. Vendor shall ensure that any agent,including any subcontractor,to which vendor provides PHI received from, or created or received bythe vendor on behalf of County, shall comply with the same restrictions and conditions with respect to such information. APPEALS Appeals must be submitted in writing within *seven (7)working days after notification of proposed recommendations for award. A"Notice of Award" is not an indication of County's acceptance of an offer made in response to this RFP.Appeals shall be submitted to County of Fresno Purchasing,4525 E.Hamilton Avenue 2nd Floor,Fresno,California 93702-4599.Appeals should address only areas regarding RFP contradictions,procurement errors, quotation rating discrepancies,legality of procurement context, conflict of interest, and inappropriate or unfair competitive procurement grievance regarding the RFP process. Purchasing will provide a written response to the complainant within *seven (7)working days unless the complainant is notified more time is required. If the protesting bidder is not satisfied with the decision of Purchasing,he/she shall have the right to appeal to the Purchasing Agent/CAO within seven (7) working days after Purchasing's notification;except,ifnotified to appeal directly to the Board of Supervisors at the scheduled date and time. For the purpose of this RFP, the definitionof "person at risk of becoming involved incriminal activities"includes siblings,spouses,children,and other significant persons not engaged in delinquent or criminal activities but involved inthe life of an individual recently released from a state prison,county jail or juvenile detention facility,or under supervision of probation or parole. Eligible Applicants Applicants must be nongovernmental entities or a consortium or coalition of nongovernmental entities that provide community recidivism and crime reduction services to the target population for at least five years in Fresno County. An agency is only eligible to receive one grant award,including participating in a consortium submission. Eligible Grant Activities A community recidivism and crime reduction service provider shall provide services that are designed to enable person to whom the services are provided to refrain from engaging in crime, reconnect with their family members,and contribute to their communities.Community recidivism and crime reduction services may include all of the following: A.Self-help groups. B.Individual or group assistance with basic life skills. C.Mentoring programs. D.Academic and educational services,including,but not limited to,services to enable the recipient earn his or her high school diploma. E.Job training skills and employment. F.Truancy prevention programs. G.Literacy programs. H. Eligible Proposal Expenditures The information outlined below applies the applicant's expenditures and subsequent reimbursement of grant funds. C.Participant needs assessment and program/service plans completed. D.Participant program/service participation (including services provided each participant during the reporting period). The approval comes after 11 months of work by a committee of public safety officials and subject-matter experts to craft the definition mandated by AB 1050.The statute calls for the definition to be used to help counties evaluate and implement evidence-based practices and programs in local corrections systems. The definition reads as follows: Adult Recidivism Definition Recidivism is defined as conviction of a new felony or misdemeanor committed within three years of release from custody or committed within three years of placement on supervision for a previous criminal conviction.1 Supplemental Measures This definition does not preclude other measures of offender outcomes.Such measures may include new arrest,return to custody,criminal filing,violation of supervision,and level of offense (felony or misdemeanor). Recidivism Rates While the definition adopts a three-year standard measurement period,rates may also be measured over othertime intervals such as one,two,or five years. 1 "Committed"refers to the date of offense,not the date of conviction. The committee continues to work on other definitions as required by the legislation.AB 1050 amended Section 6027 of the Penal Code to require the Board to:"Develop definitions of key terms,including,but not limited to, 'recidivism,''average daily population,"'treatment program completion rates,'and any other terms deemed relevant in order to facilitate consistency in local data collection,evaluation,and implementation of evidence-based practices,promising evidence-based practices,and evidence-based programs." It is hoped that counties and law enforcement agencies will use the standard definitions for these key terms once allare developed and approved by the BSCC. Since Public Safety Realignment launched in 2011 California has been investing hundreds of millions of dollars at the local level so that low-level,non-violent offenders and parole violators would serve their terms in county jails, closerto support systems and the rehabilitative programming that officials ofthe 58 counties determine work best for their communities.A central goal of Realignment is reducing recidivism. The BSCC is mandated by AB 109 to collect and maintain data about state and community correction policies, practices and needs.Having standard definitions will promote consistent statewide reporting. Proposal No. 952-5330 Page11 XI.SCOPE OF WORK Project Narrative -Community Recidivism Reduction Grant The Psychological Services Center (PSC) on the Fresno Campus of Alliant International University has been a mental health service provider for residents of Fresno and surrounding counties forthe past 30 years. The PSC has partnered innumerous ways with Fresno CountyProbation (Adult and Juvenile Divisions) and with local educational and social service agencies to address crime- related recidivism.Some examples ofthe PSC's work with the Fresno County criminal justice system include: • The PSC's Batterers'Intervention Program (BIP)has been in existence for the past 21 years. The PSC retains annual certificationfrom the Fresno County Probation Department. The BIPparticipants, as part oftheirterms and conditionsimposed by the court following conviction of a domestic violence charge [pursuant to Penal Code (PC) § 273.5], are required to complete a 52-week BIP program to reduce violence-related crimes including but not limited to PC §273.5. • Our Sex Offender Treatment Program (SOTP)has been in existence for 25 years; assessment and treatment provisions to adult and juvenile offenders convicted of sex-related crimes with the overall focus being a reduction of reoffending.Services are for individuals referred by Fresno County Probation or the Parole Division of the California Department of Corrections &Rehabilitation (CDCR). •Juvenile Court Evaluations:We have provided psychological evaluations to the Fresno County Superior Court,Juvenile Division,for the past 20 years for the purpose of dispositional proceedings.The psychological evaluations have included the provision of mental health diagnostic impressions and associated rehabilitation/treatment recommendations,placement recommendations,violence and sex offenders-specific risk determination,psychoeducational evaluation,and associated academic/employment recommendations. •Child Custody Evaluations:For twelve years,we provided child custody evaluations to the Fresno County Family Courts. •Child Protective Service (CPS)Psychological Evaluations and Treatment:We provide psychological evaluations and treatment to parents and children referred by Fresno County CPS. •Patients'Rights Advocacy (PRA):Until July 2014,we provided PRA-related services to Fresno County residents afflicted by severe mental illness in partnership with Fresno County Behavioral Health. •Public Defender's Office:We currently provide psychological evaluations for the Law Offices of the Public Defender. •Behavioral Health Court:We currently provide evaluations for the Behavioral Health Court of Fresno County. •Students Targeted for Opportunities at Prevention (STOP)Program:In partnership with Fresno County Juvenile Probation,we served four Fresno County middle schools with psychological evaluations,mental health treatment [individual,group and familytherapy], academic tutoring and recreation services.STOP was in existence for ten years and greatly reduced juveniles and adults from perpetrating crimes. Inaddition, we currently provide psychological evaluation services for the following agencies: •Department of Rehabilitation:Psychological Evaluations •California State University -Fresno:Disability Services Office -Psychological Evaluations •Mendota Unified School District:Psychological Evaluations The PSC's proposed contribution to the community recidivism and crime reduction process will Proposal No.952-5330 Page 12 through the provisionof H1 mental health assessments (comprehensive psychological evaluations) as detailed below. Statewide prison and county jail recidivism rates have significantly increased over the past 10 to 15 years.More recently, California's state prison system (CDCR)has shown recidivism rates as high as 82% with associated costs of incarceration spiraling out of control.Individuals who are released from county jailor state prison are commonly returned to the community inwhichthey committed their crimes without adequate planning or identification of rehabilitative resources. Manyof these individuals have undiagnosed mental health disorders,substance abuse problems, learning disabilities or inadequate understanding or knowledge with respect to how to applyfora job,places to liveor how/where to seek services.Instead, they find themselves returning toa criminal lifestyle and the associated at-risk behaviors,thus perpetuating the cycle of criminal recidivism. At the crux of the proverbial criminal justice "revolving door" is inadequate evaluation/assessment for those going back and forth from the community to jail or prison, as well as the lack of a clear and realistic plan for community re-entry._ s~"""" Atthe heart of creating a re-entry plan forany offender is a comprehensive psychological evaluation including empirically-supported and evidence-based assessment tools in order to: o Comprehensively identifyriskfor re-offense and interventions designed to mitigatethese <\ risks o Connect him/her to needed community resources to develop skills and address barriers to employment and self-sufficiency, o To identify and refer clients toaddress existing mental health treatment needs.—y The PSC is very experienced in tine provjsJonof.psychologicaLevaluatjons which include identification of barrierslo"success for offenders related to mental health,substance abuse, education,career and Vocation,aruflifeskill deficits.In 6 rder to "devise a successful rehabilitation plan for each offender,these barriers should be clearly identified and integrated into overall planning to prevent recidivism.Thejcurrent proposal targets both adults and juvenile offenders twho are recently released from a jail,prison or related jncarcera^tecl setting and who, by history, have presented with significant challenges impeding their ability to successfully recidivate.Each participant will undergo an extensive psychological evaTuation''thaVwilTTnclude an assessment of his/her psychiatric status,substance use/abuse potential,cognitive and academic skills,vocational interests,independent living skills,and risk for re-offense,using well-validated,contemporary psychological measures which are research-supported and evidence-based.Evaluations will be offered to English and Spanish-speaking participants with a planned total of 90 participants being served]. Each participant will be referred by Fresno County Probation or CDCR Parole to undergo a comprehensive psychological evaluation which would be conducted with the participant over the course of six to twelve hours.Afinal evaluation report will be completed within 15 calendar days from the last day the participant is seen. Participants would not be eligible for psychological evaluation if they are psychiatrically decompensated [actively/floridly psychotic requiring a higher level of care akin to inpatient psychiatric care]or who are actively under the influence of alcohol and/or other drugs. Participants will be required to cooperative with scheduled appointments and evaluation procedures and be of "sound mind"[not psychotic or under the influence].Participants could also be found ineligible if they refused to cooperate at any stage of the psychological evaluation [psychological testing or clinical interview]or failed to show for more than one scheduled appointment.In all instances of program termination,participants would be referred back to the original referral source [Fresno County Probation or Parole Department]within 24 hours.Should participants,for whatever reason,be remanded into custody subsequent to a referral to the PSC, the PSC would be able to evaluate the participant and complete the psychological evaluation so long as the participant is incarcerated within Fresno County.The PSC would consult on a case- by-case basis with the referral source (Probation or Parole)for participants who experience status Proposal No. 952-5330 Page 13 changes (either released from or remanded back into custody)from the pointof original referral to the submission of the final psychological evaluation report. Short-term goals of the program are: 1.To better understand the barriers to each participant's success in community re-entry. 2. To identify factors associated with a risk of recidivism and detailed recommendations to reduce this risk. 3. To devise a plan of re-entry that is realistic and grounded in evidence-based findings by use of psychometric assessment tools with long-term goal of overall crime reduction. Evaluations of participants will be provided Monday to Thursday,9am to 8pm and Fridays 9am to 4pm at the PSC clinic.The PSC staff are willing and able to conduct the evaluations within the community (county jails,Juvenile Justice Campus (JJC)and the like) on the weekends as well as weekdays 9am to 8pm. Each psychological evaluation will include: •An Assessment of Vocational Competencies including: o A comprehensive assessment of cognitive functioning and academic skills including identifying cognitive deficits,attention disorders and learning disabilities that might interfere with sustaining gainful employment and independent living o An objective assessment of the client's vocational interests and a detailed interview of his/her vocational history in order to linkidentify appropriate career options given the client's cognitive and academic skills. o An objective assessment of independent living skills and recommendations for intervention to enhance the client's ability to function independently, o Identification of factors that might interfere with clients seeking and maintaining gainful employment •Risk Factors for Re-Offense Assessment:A detailed assessment of the client's criminal offense history and factors associated with a risk of re-offense •Current psychiatric status:A comprehensive assessment of the client's current psychiatric symptoms including: o Current DSM-V diagnosis o Treatment needs and recommended interventions to address those needs. •A feedback session with the client and referring professional,detailing our findings and recommendations including specific referrals to partner community agencies.A copy of the completed psychological evaluation will be provided to the referral source [Fresno County Probation (case-assigned Deputy Probation Officer) or CDCR Parole Office (Agent of Record)]. •Each participant's psychological evaluation will include recommendations for supportive services associated with each finding/outcome. The current proposal for psychological evaluations will remain cost-effective as they will be completed by a clinical psychology interns and psychological trainees under the direct supervision of a licensed psychologist.Typical evaluations within the Fresno community range from $2,500 to $7,500 per evaluation. Given the current proposed fee per evaluation ($556), this cost is greatly reduced.In this regard,the proposed model is significantly more cost-effective and beneficial to the criminal justice system in better understanding the needs,resources,barriers and associated recommendations for each participant.Given the increased level of understanding of the aforementioned,the current proposal is predicated on the belief that each participant's level of recidivating will be greatly reduced as many of the individual barriers become identified and understood.From this,probation and parole planning with respect to participant re-entry will be greatly enhanced,especially for those who are identified as being at greatest risk of recidivating. They will be functioning under the supervisionof the licensed psychologists on our staff who will typically provide four hours of supervision for each assessment. Interns: Interns receive an annual stipend of $18,000/year.$3,158 each will be charged to this project. Practicum Students:Practicum Students are paid at a rate of $12.00/hour. Licensed Psychologists:The licensed psychologists are paid at a rate of$50/hour. All staff are FICA but not otherwise benefit eligible,with the exception of the practicum students.The FICA rate is 7.65%. Total:$39,211 Consumables As the budgetdetails,weare proposing to provide 90 comprehensive psychological evaluations at acostof $50,000,foran effectiverate of$555.55 per evaluation.As noted inthe projectnarrative,evaluation rates for private practitioners in the community often range from $2,500 to $7,500 per evaluation.We hope to contribute to a targeted effort to reduce recidivism inour community by providing comprehensive assessments that will help to focus intervention efforts.
