I T N E S S E T H:WHEREAS,COLLEGEhasapprovedvariouseducationaltrainingprogramsthatrequirefacilitiestoprovideclinicalandfieldexperienceforrequiredlearningexperiencesforitsstudents;andWHEREAS,COUNTY,throughitsDepartmentofPublicHealth(DPH),DepartmentofSocialServices(DSS),DepartmentofBehavioralHealth(DBH),andProbationDepartment(Probation)maintainsandoperatesfacilitiessuitableforfurnishingsuchclinicalandfieldexperience;andWHEREAS,itistothemutualbenefitofthepartiesheretothatpersonnelandstudentsofCOLLEGEusesuchfacilitiesofCOUNTYfortheirclinicalandfieldexperience;andWHEREAS,thosestudentsparticipatinginthefollowingCOLLEGEdepartments/programsaresubjecttothisAgreement:1.SocialWorkPrograms2.PsychologyPrograms3.EducationalSchoolPrograms4.BusinessPrograms5.SocialSciencesPrograms6.HealthSciencesPrograms7.Marriage,FamilyandChildCounselingPrograms8.CriminalJusticeProgram9.Peacemaking&ConflictStudiesProgram10.NursingProgramIIIIIIIIICOUNTYOFFRESNOFresno,CA 12345678910111213141516171819202122232425262728NOW,THEREFORE,inconsiderationoftheirmutualcovenantsandconditions,thepartiesheretoagreeasfollows:1.RESPONSIBILITIESOFCOLLEGEA.COUNTY’SDPH,DSS,andDBHDirectorsandChiefProbationOfficer,ordesignees,shallhavesoleauthorityforeachrespectiveCOUNTYDepartmentincludedinthisAgreement,astohowmanyplacementsforinternshipsshallbemadeavailabletoCOLLEGEduringeachtermofthisAgreement.COLLEGEagreesthateachparticipatingstudentand/orinstructorfromCOLLEGEshallbeincompliancewithCOUNTY’Shealthclearancerequirements.Priortothefirstclinicalrotationofeachstudentand/orinstructoratCOUNTY’Sfacilities,COLLEGEmustprovideCOUNTYproofthateachstudentand/orinstructorassignedtoCOUNTYmeetsCOUNTY’Shealthclearancerequirements,including,butnotlimitedto:1)HepatitisBVaccinationSeries-Sincetheworkmayleadtoareasonablyanticipatedskin,eye,mucousmembrane,orparenteralcontactwithbloodorotherpotentiallyinfectiousmaterials,eachstudentand/orinstructormusthavereceivedaHepatitisBvaccinationseriespriortocommencingplacementatCOUNTY;orHepatitisBVaccineDeclinationForm-Inlieuofstudentand/orinstructorcertifyingtoCOUNTYthatthestudenthasbeenvaccinatedforHepatitisB,COUNTYwillacceptfromeachstudentand/orinstructoraformdecliningtheHepatitisBvaccination.Thedeclinationformshallcomplywiththerequirementsof29CodeofFederalRegulations,Section1910.1030,bythisreferenceincorporatedherein.Studentand/orinstructormayuseCOUNTY’SHepatitisBVaccineDeclinationForm,identifiedasExhibitA,attachedheretoandbythisreferenceincorporatedherein,tomeettheaboverequirements;and2)Providingproofofanegativeskintestfortuberculosis(TB)withinthepasttwelve(12)months.ForpositiveTBskintestwithinthepasttwelve(12)months,aninitialassessmentandyearlyassessmentforsignsandsymptomsofdiseasewillberequired;and3)ProvidingMeasles,Mumps,andRubella(MMR)orserologicalevidenceofimmunitytorubellaorrubeola;and4)ProvidingproofoffulfillmentofOSHABlood-bornePathogenStandards(mandatedtrainingandpost-exposurefollow-up);andCOUNTYOFFRESNOFresno,CA 123456789101112131415161718192021222324252627285)ProvidinganyotherhealthclearancerequirementsasmaybemandatedduringthetermofthisAgreementbyCOUNTYduetolicensingregulationsand/orrequirements.B.COUNTYandCOLLEGEmutuallyrecognizethatthehealthclearancerequirementsidentifiedabovemaybedifferentand/ormaychange,asdeterminedbyCOUNTY,dependinguponclassificationofstudentand/orinstructorandthetypeofworkperformedinadditiontopotentialpatientexposure.C.COLLEGErecognizesthattheclinicalandfieldeducationprogramsconductedpursuanttothetermsandconditionsofthisAgreementareeducationalprogramsofCOLLEGEandnotofCOUNTY,andthatstudentsparticipatinginCOLLEGE’SprogramsshallatalltimesbeundertheexclusivejurisdictionofCOLLEGE.D.COLLEGEshalldesignatestudentsenrolledinthevariouseducationaltrainingprogramsofCOLLEGEtobeassignedforclinicalandfieldexperienceatCOUNTYfacilities,insuchnumberstobemutuallyagreeduponbybothCOUNTYandCOLLEGE.E.COLLEGEshallestablisharotationalplanforthelearningexperienceavailableatCOUNTYfacilitiesandshallschedulethestudentsinconformitywiththecalendarofCOLLEGE’SacademicyearandwiththecurriculumoftheeducationalprogramsofCOLLEGE;provided,however,thatthespecificCOUNTYpatientcareareasorProbationlocationstobeutilizedbyCOLLEGEshallbeselectedsubsequentlybymutualagreementbetweenCOUNTY’SDPH,and/orDSS,and/orDBHDirector(s),and/orChiefProbationOfficer,ordesignee(s),andCOLLEGE’Schairperson(s)ordulyauthorizedrepresentative(s)ofthevariousdepartments/programslistedinthe“WITNESSETH”sectionofthisAgreementhereinabove.F.COLLEGEshallsuperviseallinstructionoftheclinicalandfieldexperiencegivenatCOUNTYfacilitiestoassignedstudentsandshallprovidethenecessaryinstructorsforeducationaltrainingprogramsprovidedforunderthisAgreement.G.COLLEGEshallkeepallattendanceandacademicrecordsofstudentsparticipatingintheclinicalandfieldexperienceprogramsprovidedforunderthisAgreement.IllIIICOUNTYOFFRESNOFresno,CA 12345678910111213141516171819202122232425262728H.COLLEGEshallcertifytoCOUNTYatthetimeeachstudentfirstreportstoCOUNTY’Sfacilitiestoparticipateintheclinicalandfieldeducationalprogram,thatthestudentshallbeenrolledinahealthinsuranceplan.I.COLLEGEshallensurestudentsactprofessionallyandappropriatelywhileatCOUNTYfacilities.J.COLLEGEshallrequireeverystudenttoconformtoallapplicableCOUNTYpolicies,procedures,regulations,andallrequirementsandrestrictionsspecifiedjointlybyrepresentativesofCOLLEGEandCOUNTY.K.COLLEGEshallrequireitsinstructorstonotifyCOUNTY’SDPH,and/orDSS,and/orDBHDirector(s),and/orChiefProbationOfficer,ordesignee(s),asappropriateinadvanceofstudentplacementregarding:1)Locations,dates,timesandthenumberofhoursorchangesthereof,regardingstudentavailabilityforclinicalorfieldassignment;and2)Anychangeintheplacementofstudentsinclinicalandfieldassignments.L.COLLEGEshall,inconsultationandcoordinationwithCOUNTY’SDPII,and/orDSS,and/orDBHDirectors),and/orChiefProbationOfficer,ordesignee(s),arrangeforperiodicconferencesbetweenappropriaterepresentativesofCOLLEGEandCOUNTYtoevaluatetheclinicalandfieldexperienceprogramsprovidedunderthisAgreement.M.COLLEGEshallprovideandberesponsiblefortheuseandcontrolofitseducationalsupplies,materialsandequipmentusedforinstructionduringtheclinicalandfieldexperienceprograms.N.COLLEGEshalldistributetoeachstudentastatementwhichexplainsthehazardsofdrugabuseintheirprofession.O.COLLEGEshallprovideforanintroductoryorientationofstudentsassignedtoCOUNTYfacilities,whichshallprovideanoverviewoftheclinicalandfieldassignment(s)andthetermsandconditionsofstudentplacementatCOUNTYfacilities.IllCOUN'iYOFFRESNOFresno,CA 12345678910111213141516171819202122232425262728P.COLLEGEagreesthatspecialreports,projects,thesis,and/orpublicationsbaseduponstudiesandresearcharisingoutofthecooperativeeducationexperiencepermittedbythisAgreement,shallbereviewedandapprovedpriortoreleasethroughthecommitteeresponsibleforplanningthecourseandthenwithCOUNTY’SDPH,and/orDSS,and/orDBHDirector(s),and/orChiefProbationOfficer,ordesignee(s),asappropriate,forapprovalbymeansofsuchproceduresasCOUNTYshalldesignate.ApprovalofreportsbyCOLLEGE’SplanningcommitteeandCOUNTY’SDPH,and/orDSS,and/orDBHDirector(s),and/orChiefProbationOfficer,ordesignee(s),shallnotbeunreasonablywithheld.Q.COLLEGEagreestocompleteanevaluationofeachstudentatleastonceduringaspecificprogramperiod.R.COLLEGEshallallowCOUNTYprogrammanagersandotherdesignatedpersonneltoattendmeetingsofCOLLEGE’Sfaculty,oranycommitteethereof,tocoordinatetheclinicalandfieldexperienceprogramsprovidedunderthisAgreementandtodesignatelinesofauthorityandcommunicationforcoordinationofrelationsbetweenCOUNTYpersonnelandCOLLEGEinstructors.S.COLLEGE’Semployees,agentsandstudentsshallabidebytheprovisionsofStateofCalifornialawrelatingtoconfidentialityofmedicalrecords,furtherdescribedinParagraph11ofthisAgreement,andanypersonknowinglyandintentionallyviolatingtheprovisionsofStateofCalifornialawmaybeguiltyofamisdemeanor.Further,COLLEGE’Semployees,agentsandstudentsobtainingclinicalandfieldexperienceintheProbationDepartmentmayhaveaccesstoconfidentialcriminalrecords,DepartmentofMotorVehiclerecords,orothercriminaljusticeinformation,muchofwhichiscontrolledbystatute,includingbutnotlimitedtoPenalCodeSections11105,13300,11141-11143,and13302-13304;GovernmentCodeSection6200;andCaliforniaVehicleCodeSection1808.5.AnymisuseofsaidinformationinviolationofStateofCalifornialawmayresultincriminaland/orcivilaction.T.COLLEGE’Semployees,agentsandstudentsshallbeissuedCOUNTYidentificationbadgeswhichmustbewornonlyatCOUNTYfacilitieswhileparticipatingintheclinicalandfieldexperienceprograms,pursuanttothetermsandconditionsofthisAgreement.COUNTYOPFRESNOFresno,CA 12345678910111213141516171819202122232425262728U.COLLEGEwillensureeachparticipatingstudentreferredforprogramparticipationhasadequatetransportationandautoinsuranceasparticipatingstudentswillnotbepermittedtooperateCOUNTYvehiclestoperformactivitiesrelatedtothisAgreement.COLLEGEwillprovideproofofWorker’scompensationcoverageforinstructorsandstudentsforinjuryduringclinicalandfieldexperience.V.COLLEGEshallcomplywithallPrisonRapeEliminationAct(PREA)(42U.S.C.§15601etseq.)standardsforjuvenilecorrectionalfacilities.Pursuanttofederalregulations(28CFR§115.332),theProbationDepartmentwillprovidetrainingtoCOLLEGE’SpersonnelregardingtheirresponsibilitiesundertheDepartment’ssexualabuseandsexualharassmentprevention,detection,andresponsepoliciesandprocedures.W.COLLEGEacknowledgesthatservicesperformedinCOUNTY’SDetentionFacilitiesshallbeperformedinaccordancewithExhibitB,“NoHostageFacility”,attachedheretoandincorporatedhereinbythisreference.X.COLLEGEacknowledgesthatselectstudentsshallberequiredtohavefingerprintingperformedpriortoentrytocertainfacilities.AllstudentsnotassignedtoProbationshallbefingerprintedpriortoentrytoanyProbationfacility.AllstudentsassignedtoProbationshallberequiredtopassabackgroundcheck(conductedattheProbationDepartment’sexpense)priortoassignment,whichincludesbutisnotlimitedtofingerprints,DepartmentofMotorVehicleandlocalcriminalrecordscheck.Y.COLLEGE’Sstudentsshallpurchasefoodorbringfoodwiththem;nospecialarrangementsforfoodwillbemade.2.RESPONSIBILITIESOFCOUNTYA.COUNTYshallpermiteachstudentwhoisdesignatedbyCOLLEGE,pursuanttoParagraph1.C.ofthisAgreement,toreceiveclinicalandfieldexperienceatappropriateCOUNTYfacilitiesatanagreed(betweenCOUNTYandCOLLEGE)numberofhours,andshallfurnishandpermitstudentsand/orinstructorsfreeaccesstoappropriateCOUNTYfacilitiesforsuchclinicalandfieldexperience,subjecttothetermsandconditionsofthisAgreement.IllCOUNTYOFFRESNOFresno,CA 12345678910111213141516171819202122232425262728B.COUNTYshallfurnishtheappropriatefacilities,onarotationalbasis,insuchamannerthattherewillbenoconflictintheusethereofbetweenCOLLEGE’Sstudentsandthosefromothereducationalinstitutions,ifany.C.COUNTYshall,subjecttobudgetaryandoperationalconcerns,maintainclinicalandfieldfacilitiesusedforthelearningexperienceinamannerthatshallatalltimesconformtotherequirementsofCOLLEGE’Sdepartmenls/programslistedinthe“WITNESSETH”sectionofthisAgreement.D.WiththeexceptionoftheProbationDepartmentwhichshallonlyprovideaccesstorestroomfacilities,COUNTYshallprovidetostudentsandinstructorstakingpartintheclinicalandfieldexperience(subjecttospacelimitations)thefollowingfacilities:1)AconferencetyperoomorofficespacesuitablyfurnishedforCOLLEGE’Sinstructorsandfacultytoconductclinicaland/orfieldclasses;2)Astorageareaforinstructionalmaterialsandsupplies;3)ShelfspaceforbooksandotherspacefortheuseofCOLLEGE’Sstudentsandinstructors;and4)Restroomfacilitiesandappropriatespaceforchangingandstorageofuniforms.E.COUNTYshallpermitandencouragemembersofitsresidentstaffand/orattendingmedicalstaffand/orProbationstafftoparticipateintheinstructionalphaseofCOLLEGE’Sclinicalandfieldexperienceprograms.F.COUNTYshallpermititsvariousprogramdirectorsorChiefProbationOfficerandotherdesignatedpersonneltoattendmeetingsofCOLLEGE’Sfaculty,oranycommitteethereof,tocoordinatetheclinicalandfieldexperienceprogramsprovidedforunderthisAgreement,andtodesignatelinesofauthorityandcommunicationforcoordinationofrelationsbetweenCOLLEGEinstructorsandCOUNTYpersonnel.GCOUNTYshallprovideanintroductoryorientationforCOLLEGEinstructorsandfacultystaffwhichshallprovideanoverviewofCOUNTYfacilities,fieldandexperienceprograms,andthetermsandconditionsofstudentplacementatCOUNTY’Sfacilities.COUNTYOFFRI5SNOFresno,CA 12345678910111213141516171819202122232425262728H.COUNTYshallnotifyCOLLEGE’Sinstructors,inadvance,ofanychangeinitsDirectororChiefProbationOfficer(ordesignee)appointments.I.COUNTYshallreservetheabsoluterighttoreview,authorize,andatitssolediscretion,denyaccessoradmissionbyanystudent,instructorand/orCOLLEGErepresentativeintoCOUNTYfacilities.J.COUNTYshallprovideinputintotheevaluationconductedbyCOLLEGE,ofstudents’skillsandprogress.3.TERMThetermofthisAgreementshallbeforaperiodofthree(3)years,commencingonJuly1,2016throughandincludingJune30,2019.ThisAgreementmaybeextendedfortwo(2)additionalconsecutivetwelve(12)monthperiodsuponwrittenapprovalofbothpartiesnolaterthanthirty(30)dayspriortothefirstdayofthenexttwelve(12)monthextensionperiod.TheDepartmentofPublicHealthDirectorordesigneeisauthorizedtoexecutesuchwrittenapprovalonbehalfofCOUNTYbasedonCOLLEGE’Ssatisfactoryperformance.4.TERMINATIONA.Non-AllocationofFunds-ThetermsofthisAgreement,andtheservicestobeprovidedthereunder,arecontingentontheapprovaloffundsbytheappropriatinggovernmentagency.Shouldsufficientfundsnotbeallocated,theservicesprovidedmaybemodified,orthisAgreementterminatedatanytimebygivingtheCOLLEGEthirty(30)daysadvancewrittennotice.B.BreachofContract-COUNTYmayimmediatelysuspendorterminatethisAgreementinwholeorinpart,whereinthedeterminationofCOUNTYthereis:1)AfailuretocomplywithanytermofthisAgreement;2)AsubstantiallyincorrectorincompletereportsubmittedtoCOUNTY.3)Improperlyperformedservice.C.WithoutCause-Undercircumstancesotherthanthosesetforthabove,thisAgreementmaybeterminatedbyCOLLEGEorCOUNTYorCOUNTY’SDPHDirector,ordesignee,uponthegivingthirty(30)daysadvancewrittennoticeofanintentiontoterminate.Ill8COUNTYOFFRESNOFresno,CA 123456789101112131415161718192021222324252627285.COMPENSATIONTheclinicalandfieldeducationprogramsconductedpursuanttothetermsandconditionsofthisAgreementshallbeperformedwithoutthepaymentofanymonetaryconsiderationbyCOLLEGEorCOUNTY,onetotheother,orbyortoanystudentparticipatinginsaidclinicaltrainingprograms.6.INDEPENDENTCONTRACTORInperformanceofthework,duties,andobligationsassumedbyCOLLEGEunderthisAgreement,itismutuallyunderstoodandagreedthatCOLLEGE,includinganyandallofCOLLEGE’Sstudents,instructors,faculty,officers,agents,andemployeeswillatalltimesbeactingandperformingasanindependentcontractor,andshallactinanindependentcapacityandnotasanofficer,agent,servant,employee,jointventurer,partner,orassociateofCOUNTY.Furthermore,COUNTYshallhavenorighttocontrolorsuperviseordirectthemannerormethodbywhichCOLLEGEshallperformitsworkandfunction.However,COUNTYshallretaintherighttoadministerthisAgreementsoastoverifythatCOLLEGEisperformingitsobligationsinaccordancewiththetermsandconditionsthereof.COLLEGEandCOUNTYshallcomplywithallapplicableprovisionsoflawandtherulesandregulations,ifany,ofgovernmentalauthoritieshavingjurisdictionovermatterswhicharedirectlyorindirectlythesubjectofthisAgreement.Becauseofitsstatusasanindependentcontractor,COLLEGE,itsinstructors,employeesandstudents,shallhaveabsolutelynorighttoemploymentrightsandbenefitsavailabletoCOUNTYemployees.COLLEGEshallbesolelyliableandresponsibleforprovidingto,oronbehalfof,itsemployeesalllegally-requiredemployeebenefits.Inaddition,COLLEGEshallbesolelyresponsibleandsaveCOUNTYharmlessfromallmattersrelatingtopaymentofCOLLEGE’Semployees,includingcompliancewithSocialSecurity,withholding,andallotherregulationsgoverningsuchmatters.AsbetweenCOUNTYandCOLLEGE,shouldthestudentsbedeemedemployees,byanygovernmentalorregulatorybody,thestudentsshallbetheemployeesofCOLLEGE.ItisacknowledgedthatduringthetermofthisAgreement,COLLEGEmaybeprovidingservicestoothersunrelatedtoCOUNTYortothisAgreement.Ill-9-COUNTYOFFRESNOFresno,CA 123456789101112131415161718192021222324252627287.MODIFICATIONAnymattersofthisAgreementmaybemodifiedfromtimetotimebythewrittenconsentofallthepartieswithout,inanyway,affectingtheremainder.S.NON-ASSIGNMENTNeitherpartyshallassign,transferorsubcontractthisAgreementnortheirrightsordutiesunderthisAgreementwithoutthepriorwrittenconsentoftheotherparty.9.HOLD-HARMLESSA.COLLEGEagreestoindemnify,save,holdharmless,andatCOUNTY’Srequest,defendCOUNTY,itsofficers,agents,employeesfromanyandallcostsandexpenses,includingattorneyfeesandcourtcosts,damages,liabilities,claimsandlossesoccurringorresultingtoCOUNTYinconnectionwiththeperformance,orfailuretoperform,byCOLLEGE,itsofficers,agents,instructors,faculty,employees,studentsandvolunteersunderthisAgreement,andfromanyandallcostsandexpenses,includingattorneyfeesandcourtcosts,damages,liabilities,claimsandlossesoccurringorresultingtoanyperson,firmorcorporationwhomaybeinjuredordamagedbytheperformance,orfailuretoperform,ofCOLLEGE,itsofficers,agents,instructors,faculty,employees,studentsandvolunteersunderthisAgreement.Inaddition,COLLEGEagreestoindemnifyCOUNTYforFederal,StateofCaliforniaand/orlocalauditexceptionsresultingfromnoncompliancehereinonthepartofCOLLEGE.B.COUNTYandCOLLEGEshallgivetimelynoticetotheotherofanyclaim,demand,lienorsuitcomingtoitsknowledgewhichinanywaymightaffecttheotherpartyandeachpartyshallhavetherighttoparticipateinthedefenseofthesametotheextentofitsinterest.COUNTYandCOLLEGErecognizethatthesignificantmutualbenefitsofthisAgreementdependuponclosecooperationandgoodfaithhandlingofmatterssubjecttosuchindemnificationprovisions.10.INSURANCEForpurposesofthisAgreement,students/intemswillbeexplicitlyconsideredemployeesoftheCOLLEGE.WithoutlimitingCOUNTY’SrighttoobtainindemnificationfromCOLLEGEoranythirdparties,COLLEGE,atitssoleexpense,shallmaintaininfullforceandeffectthefollowinginsurancepoliciesoraprogramofself-insurance,includingbutnotlimitedto,aninsurance-10-COUNTYOFFRESNOFresno,CA
