FIRST AMENDMENT TO AGREEMENT
THIS AMENDMENT ONE TO AGREEMENT No. 14-069 ("First Amendmenr) is made and
entered into this SliP~ day of Gli.OuAe 2016, by and between the COUNTY OF FRES~O,
a political subdivision of the State of CaUfomia, hereinafter referred to as "COUNTY'', and CSDC
Systems. Inc., whose address is at 3031 Viking Way Suite 108, Richmond, BC V6V 1W1, Canada,
hereinafter referred to as "CONTRACTOR". COUNTY and CONTRACTOR shall be collectively
referred to herein as the "Parties".
RECITALS
WHEREAS, the Parties entered into Agreement No. 14-069 dated February 25, 2014
(Agreement) to provide maintenance and support services for the AMANDA software system; and
WHEREAS, the Parties acknowledge and agree that pursuant to COUNTY Agreement No.
04-450, dated September 28, 2004, COUNTY purchased 20 non-exclusive perpetual licenses for
the AMANDA software system at no further charge provided COUNTY maintains a support
contract with CONTRACTOR and pays applicable support fees; and
WHEREAS, the Parties now desire to amend the Agreement to purchase additional
software Ucenses and maintenance and support services for such additional licenses and to
increase the total compensation accordingly.
NOW, THEREFORE, the Parties agree to amend the Agreement as follows:
1. The portion of Section VI COMPENSA TION/JNVOICING of the Agreement, on page 9,
beginning on line 9 with the word "Maintenance" and ending on line 24 with the word
·coNTRACTOR", is hereby deleted in its entirety and replaced with the following:
A ONE-TIME FEES FOR PURCHASE OF 15 ADDITIONAL PERPETUAL UCENSES

AMANDA Software Licenses 15 $1,800.00 $27,000.00
AMANDA Enterprise Security 15 $360.00 $5,400.00
Total one-time fees $32,400.00
B. MAINTENANCE. SUPPORT. AND UPGRADE FEES
Maintenance, Support, and Upgrade Fees (annual maximums) for the initial3-yearTenn
March 24, 2014-March 23, 2015 $34,000.00
