HomeMy WebLinkAbout322641 FOURTH AMENDMENT TO AGREEMENT #11-612 2 THIS FOURTH AMENDMENT TO AGREEMENT (hereinafter" Fourth Amendment") is 3 made and entered into this 13th day of October, 2015, by and between COUNTY OF 4 FRESNO, a Political Subdivision of the State of California, Fresno, California, hereinafter 5 referred to as "COUNTY", and COOPERATIVE PERSONNEL SERVICES doing business as 6 CPS HR Consulting, a Joint Powers Authority of the State of California, whose address is 241 7 Lathrop Way, Sacramento, CA 95815, hereinafter referred to as "CONTRACTOR" (collectively 8 as "the parties"). 9 WITNESSETH: 10 WHEREAS, on October 11, 2011, the parties entered into a retroactive Agreement, 11 effective July 1, 2011, identified as COUNTY AGREEMENT No. A-11-612, (hereinafter 12 "Agreement"), and on August 6,2012, the parties amended and renewed Agreement effective 13 July 1, 2012, identified as COUNTY AGREEMENT No. 11-612-1, (hereinafter "First 14 Amendment to Agreement"), and on September 10,2013, the parties amended and renewed 15 Second Agreement effective July 1, 2013, identified as SECOND AMENDMENT TO 16 AGREEMENT No. 11-612 (hereinafter "Second Amendment to Agreement"), and on October 17 7, 2014, the parties amended and renewed Third Agreement effective July 1, 2014, identified 18 as THIRD AMENDMENT TO AGREEMENT No. 11-612 (hereinafter "Third Amendment to 19 Agreement"), pursuant to which CONTRACTOR agreed to provide Board of State and 20 Community Corrections examinations and scoring of such examinations for Correctional 21 Officer, Juvenile Correctional Officer, and Deputy Probation Officer entry level positions as 22 mandated by the California Board of State and Community Corrections; and 23 WHEREAS, COUNTY continues to require CONTRACTOR to provide examination 24 services and CONTRACTOR continues to be the only authorized agency by the State of - 1 - 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 California to provide these mandated examinations; WHEREAS, under said Agreement, the annual Agreement maximum needs to be adjusted due to the anticipated needs of examinations for Correctional Officer, Juvenile Correctional Officer and Deputy Probation Officer; and WHEREAS, CONTRACTOR notified COUNTY of the CPS HR Consulting 2015-2016 Test Use Agreement Terms and Conditions for Board of State and Community Corrections Examinations (attached hereto as Exhibit 5) NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of which is hereby acknowledged, COUNTY and CONTRACTOR agree as follows: 1. Section 1. OBLIGATIONS OF THE CONTRACTOR of the Agreement as amended in First Amendment, Second Amendment, and Third Amendment shall be amended by adding the following new paragraph after the first four paragraphs: "During the period July 1, 2015 through June 30,2016, CONTRACTOR agrees to perform all services and fulfill all responsibilities identified in the CPS HR Consulting 2015-2016 Test Use Agreement Terms and Conditions for Corrections Standards Authority Examinations (attached hereto as Exhibit 5 and incorporated herein by reference)." 2. Section 2. OBLIGATIONS OF THE COUNTY of the Agreement as amended in First Amendment, Second Amendment, and Third Amendment shall be amended by adding the following new paragraph after the first four paragraphs: "During the period July 1, 2015 through June 30, 2016, COUNTY shall adhere to the terms and conditions identified in the CPS HR Consulting 2015-2016 Test Use Agreement Terms and Conditions for Corrections Standards Authority Examinations (Exhibit 5)." - 2 - 1 3. Section 3. TERM of the Agreement as amended in First Amendment, Second 2 Amendment, and Third Amendment shall be amended by adding the following new paragraph 3 after the first four paragraphs: 4 "This Agreement is extended effective retroactively to the 1st day of July 2015 5 and shall terminate on the 30 th day of June 2016." 6 4. Section 5. COMPENSATIONIINVOICING, of the Agreement as amended in First 7 Amendment, Second Amendment, and Third Amendment shall be deleted in its entirety and 8 replaced with the following: 9 "COMPENSATIONIINVOICING: COUNTY agrees to pay CONTRACTOR and 10 contractor agrees to receive compensation in the form of set fees as detailed in 11 Attachment B to Exhibit 1 for services provided during the period July 1, 2011 through 12 June 30,2012, in Attachment B to Exhibit 2 for services provided during the period July 13 1, 2012 through June 30, 2013, in Attachment B to Exhibit 3 for services provided 14 during the period July 1, 2013 through June 30, 2014, in Attachment B to Exhibit 4 for 15 services provided during the period July 1, 2014 through June 30, 2015 and in 16 Attachment B to Exhibit 5 for services provided during the period July 1, 2015 through 17 June 30, 2016. For the period July 1, 2015 through June 30, 2016 the most pertinent 18 fees shall be as follows: 19 $6.19 per candidate scheduled, AND 20 $2.16 per candidate tested, AND 21 $110.38 base charge for each test order. 22 In addition, if the COUNTY places a test order less than 10 working days prior to 23 the exam date, the actual cost of the expedited/overnight shipping plus 50% of the 24 actual shipping cost for expedited handling will be charged to the COUNTY - 3 - 1 (invoice/receipt must be provided as evidence of the exact shipping incurred upon 2 request by the Director of Personnel Services or designee). 3 CONTRACTOR agrees that these fees shall remain unchanged throughout the 4 term of this Agreement. 5 In no event shall services performed under this Agreement be in excess of 6 Twenty Thousand Dollars ($20,000) for FY 2011-12 and Thirty-Five Thousand Dollars 7 ($35,000) for FY 2012-13 and Thirty-Five Thousand Dollars ($35,000) for FY 2013-14 8 and Thirty-Five Thousand Dollars ($35,000) for FY 2014-15 and Twenty Thousand 9 Dollars ($20,000) for FY 2015-16 (for a total contract maximum of $145,000). It is 10 understood that all expenses incidental to CONTRACTOR'S performance of services 11 under this agreement shall be borne by CONTRACTOR. 12 CONTRACTOR shall submit monthly invoices to the County of Fresno, 13 Personnel Services, Attention: Personnel Services Manager, 2220 Tulare Street, Suite 14 1400, Fresno, CA 93721. Payments by COUNTY shall be in arrears, within forty-five 15 (45) days after receipt and verification of CONTRACTOR'S invoices by COUNTY, for 16 services provided during the preceding month." 17 5. This Fourth Amendment, and the terms set forth herein, are effective July 1, 18 2015. 19 COUNTY and CONTRACTOR agree that this Fourth Amendment is sufficient to amend 20 the Agreement as amended by the First Amendment, Second Amendment, and Third 21 Amendment and, that upon execution of this Fourth Amendment, the Agreement as amended 22 by the First Amendment, Second Amendment, Third Amendment, and this Fourth Amendment 23 together shall be considered the Agreement. . 24 The Agreement, as hereby amended, is ratified and continued. OBLIGATIONS OF THE CONTRACTOR 18 CONTRACTOR agrees to perform all services and fulfill all responsibilities identified in 19 the CPS HR Consulting 2011·2012 Test Use Agreement Terms and Conditions for Corrections 20 Standards Authority Examinations (attached hereto as Exhibit 1 and incorporated herein by 21' reference). 22 23 2. OBLIGATIONS OF THE COUNTY COUNTY shall adhere to the terms and conditions identified in the CPS HR 24 Consulting 2011·2012 Test Use Agreement Terms and Conditions for Corrections Standards 25 Authority Examinations (Exhibit 1). 26 3. TERM 27 This Agreement shall become effective retroactively to the 1st day of July, 28 2011 and shall terminate on the 30th day of June, 2012. -1- 1 4. TERMINATION 2 A. Non-Allocation of Funds -The terms of this Agreement, and the services to 3 be provided thereunder, are contingent on the approval of funds by the appropriating government 4 agency. Should sufficient funds not be allocated, the services provided may be modified, or this 5 Agreement terminated, at any time by giving the CONTRACTOR thirty (30) days advance written 6 notice. 7 B. Breach of Contract -The COUNTY may immediately suspend or terminate 8 this Agreement in whole or in part, where in the determination of the COUNTY there is: 9 10 11 12 COUNTY; 13 14 1) An illegal or improper use of funds; 2) A failure to comply with any term of this Agreement; 3) A substantially incorrect or incomplete report submitted to the 4) Improperly performed service. In no event shall any payment by the COUNTY constitute a waiver by the COUNTY 15 of any breach of this Agreement or any default which may then exist on the part of the 16 CONTRACTOR. Neither shall such payment impair or prejudice any remedy available to the 17 COUNTY with respect to the breach or default. The COUNTY shall have the right to demand of 18 the CONTRACTOR the repayment to the COUNTY of any funds disbursed to the CONTRACTOR 19 under this Agreement, which in the judgment of the COUNTY were not expended in accordance 20 with the terms of this Agreement. The CONTRACTOR shall promptly refund any such funds upon 21 demand. 22 C. Without Cause -Under circumstances other than those set forth above, 23 this Agreement may be terminated by COUNTY upon the giving of thirty (30) days advance written 24 notice of an intention to terminate to CONTRACTOR. 25 5. COMPENSATIONIINVOICING: COUNTY agrees to pay CONTRACTOR and 26 CONTRACTOR agrees to receive compensation in the form of set fees as detailed in Attachment 27 B to Exhibit 1. The most pertinent fees shall be as follows: 28 $5.78 per candidate scheduled for testing, AND -2- 1 $1.94 per candidate tested, AND 2 $99.75 base charge for each test order. 3 In addition, if the COUNTY places a test order less than 10 working days 4 prior to the exam date, the actual cost of the expedited/overnight shipping plus 50% of the actual 5 shipping cost for expedited handling will be charged to the COUNTY (invoice/receipt must be 6 provided as evidence of the exact shipping cost incurred upon request by the Deputy Director of 7 Personnel Services or designee). 8 CONTRACTOR agrees that these fees shall remain unchanged throughout the 9 term of this Agreement. 10 In no event shall services performed under this Agreement be in excess of 11 Twenty Thousand Dollars ($20,000) for the one year term of this Agreement. It is understood that 12 all expenses incidental to CONTRACTOR'S performance of services under this Agreement shall 13 be borne by CONTRACTOR. 14 CONTRACTOR shall submit monthly invoices to the County of Fresno, 15 Personnel Services, Attention: Employment Services Manager, 2220 Tulare Street, Suite 1400, 16 Fresno, CA 93721. INDEPENDENT CONTRACTOR: In performance of the work, duties and 20 obligations assumed by CONTRACTOR under this Agreement, it is mutually understood and 21 agreed that CONTRACTOR, including any and all of the CONTRACTOR'S officers, agents, and 22 employees will at all times be acting and performing as an independent contractor, and shall act in 23 an independent capacity and not as an officer, agent, servant, employee, joint venturer, partner, or 24 associate of the COU NTY. Furthermore, COUNTY shall have no right to control or supervise or 25 direct the manner or method by which CONTRACTOR shall perform its work and function. 26 However, COUNTY shall retain the right to administer this Agreement so as to verify that 27 CONTRACTOR is performing its obligations in accordance with the terms and conditions thereof. 28 CONTRACTOR and COUNTY shall comply with all applicable provisions of -3- 1 law and the rules and regulations, if any, of governmental authorities having jurisdiction over 2 matters the subject thereof. 3 Because of its status as an independent contractor, CONTRACTOR shall have 4 absolutely no right to employment rights and benefits available to COUNTY employees. 5 CONTRACTOR shall be solely liable and responsible for providing to, or on behalf of, its 6 employees all legally-required employee benefits. In addition, CONTRACTOR shall be solely 7 responsible and save COUNTY harmless from all matters relating to payment of 8 CONTRACTOR'S employees, including compliance with Social Security withholding and all other 9 regulations governing such matters. It is acknowledged that during the term of this Agreement, 10 CONTRACTOR may be providing services to others unrelated to the COUNTY or to this 11 Agreement. 12 7. MODIFICATION: Any matters of this Agreement may be modified from time 13 to time by the written consent of all the parties without, in any way, affecting the remainder. 14 8. NON-ASSIGNMENT: Neither party shall assign, transfer or sub-contract this 15 Agreement nor their rights or duties under this Agreement without the prior written consent of the 16 other party. 17 9. HOLD HARMLESS: 18 CONTRACTOR agrees to indemnify, save, hold harmless, and at COUNTY'S 19 request, defend the COUNTY, its officers, agents, and employees from any and all costs and 20 expenses, damages, liabilities, claims, and losses for personal injury or property damage 21 occurring or resulting to COUNTY in connection with the performance, or failure to perform, by 22 CONTRACTOR, its officers, agents, or employees under this Agreement. 23 10. INSURANCE 24 Without limiting the COUNTY's right to obtain indemnification from 25 CONTRACTOR or any third parties, CONTRACTOR, at its sole expense, shall maintain in full 26 force and effect, the following insurance policies or a program of self-insurance, including but not 27 limited to, an insurance pooling arrangement or Joint Powers Agreement (JPA) throughout the 28 term of the Agreement: -4- 1 A. Commercial General Liability 2 Commercial General Liability Insurance with limits of not less than One 3 Million Dollars ($1,000,000) per occurrence and an annual aggregate of Two Million Dollars 4 ($2,000,000). This policy shall be issued on a per occurrence basis. COUNTY may require 5 specific coverages including completed operations, products liability, contractual liability, 6 Explosion-Collapse-Underground, fire legal liability or any other liability insurance deemed 7 necessary because of the nature of this contract. 8 B. Automobile Liability 9 Comprehensive Automobile Liability Insurance with limits for bodily injury of 10 not less than Two Hundred Fifty Thousand Dollars ($250,000.00) per person, Five Hundred 11 Thousand Dollars ($500,000.00) per accident and for property damages of not less than Fifty 12 Thousand Dollars ($50,000.00), or such coverage with a combined single limit of Five Hundred 13 Thousand Dollars ($500,000.00). Coverage should include owned and non-owned vehicles used 14 in connection with this Agreement. 15 C. Professional Liability 16 If CONTRACTOR employs licensed professional staff, (e.g., Ph.D., R.N., 17 L.C.S.W., M.F.C.C.) in providing services, Professional Liability Insurance with limits of not less 18 than One Million Dollars ($1,000,000.00) per occurrence, Three Million Dollars ($3,000,000.00) 19 annual aggregate. 20 D. Worker's Compensation 21 A policy of Worker's Compensation insurance as may be required by the 22 California Labor Code. 23 CONTRACTOR shall obtain endorsements to the Commercial General Liability 24 insurance naming the County of Fresno, its officers, agents, and employees, individually and 25 collectively, as additional insured, but only insofar as the operations under this Agreement are 26 concerned. Such coverage for additional insured shall apply as primary insurance and any other 27 insurance, or self-insurance, maintained by COUNTY, its officers, agents and employees shall be 28 excess only and not contribUting with insurance provided under CONTRACTOR's policies herein. -5- 1 This insurance shall not be cancelled or changed without a minimum of thirty (30) days advance 2 written notice given to COUNTY. 3 Within Thirty (30) days from the date CONTRACTOR signs and executes this 4 Agreement, CONTRACTOR shall provide certificates of insurance and endorsement as stated 5 above for all of the foregoing policies, as required herein, to the County of Fresno, County of 6 Fresno, Personnel SerVices, Attention: Employment Services Manager, 2220 Tulare Street, Suite 7 1400, Fresno, CA 93721, stating that such insurance coverage have been obtained and are in full 8 force; that the County of Fresno, its officers, agents and employees will not be responsible for any 9 premiums on the policies; that such Commercial General Liability insurance names the County of 10 Fresno, its officers, agents and employees, individually and collectively, as additional insured, but 11 only insofar as the operations under this Agreement are concerned; that such coverage for 12 additional insured shall apply as primary insurance and any other insurance, or self-insurance, 13 maintained by COUNTY, its officers, agents and employees, shall be excess only and not 14 contributing with insurance provided under CONTRACTOR's policies herein; and that this 15 insurance shall not be cancelled or changed without a minimum of thirty (30) days advance, 16 written notice given to COUNTY. 17 In the event CONTRACTOR fails to keep in effect at all times insurance 18 coverage as herein provided, the COUNTY may, in addition to other remedies it may have, 19 suspend or terminate this Agreement upon the occurrence of such event. 20 All policies shall be issued by admitted insurers licensed to do business in the 21 State of California, and such insurance shall be purchased from companies possessing a current 22 A.M. Best, Inc. rating of A FSC VII or better. 23 11. AUDITS AND INSPECTIONS: The CONTRACTOR shall at any time during 24 business hours, and as often as the COUNTY may deem necessary, make available to the 25 COUNTY for examination all of its records and data with respect to the matters covered by this 26 Agreement. The CONTRACTOR shall, upon request by the COUNTY, permit the COUNTY to 27 audit and inspect all of such records and data necessary to ensure CONTRACTOR1S compliance 28 with the terms of this Agreement. -6- 1 If this Agreement exceeds ten thousand dollars ($10,000.00), CONTRACTOR 2 shall be subject to the examination and audit of the Auditor General for a period of three (3) years 3 after final payment under contract (Government Code Section 8546.7). 12. GOVERNING LAW: Venue for any action arising out of or related to this 14 Agreement shall only be in Fresno County, California. 15 The rights and obligations of the parties and all interpretation and performance 16 of this Agreement shall be governed in all respects by the laws of the State of California. 17 14. APPROVED AS TO ACCOUNTING FORM Auditor-ControllerlTreasure -ax Collector CPS HR CONSULTING 2011-2012 TEST USE AGREEMENT TERMS AND CONDITIONS FOR CORRECTIONS STANDARDS AUTHORITY EXAMINATIONS Section I -Purpose of Agreement Exhibit No.1 This agreement defines CPS HR Consulting (CPS) test use policies and procedures for Corrections Standards Authority (CSA) Examinations. It also explains CPS/CSA test security standards designed to protect the mutual interests of all Examining Agencies that use the test materials, as well as the interests of persons who take such tests. In order that no person may gain special advantage by having improper access to the material, CPS requires as a condition for making these test materials available for rental that all users sign this agreement and fulfill its tenus. The tenn of this agreement shall be from July 1,2011 through June 30, 2012. Section II -CPS Policies and Procedures for Ordering Corrections Standards Authority Examinations • Scheduling of Examinations The Examining Agency desiring exam preparation services shall notify CPS not less than 10 working days in advance to allow time for scheduling, preparation, and shipping. • Notification to CPS of Number of Candidates Not less than 10 working days prior to the examination date, the Examining Agency shall notify CPS of the total number of candidates in each classification to be tested. • Use of Test Materials for Approved Classification Corrections Standards Authority (CSA) examination materials are to be used solely for approved entry- level Adult Corrections Officer, Juvenile Correctional Officer, and Probation Officer classifications. CSA will not be held responsible for their use for unauthorized classifications. A list of approved agencies and their respective classification titles will be provided by CSA to CPS for reference. • Transmittal of Test Materials CPS shall provide the Examining Agency with sufficient examination booklets, instructions, and answer sheets for administering the examination and such other material, as CPS may deem necessary. • Administration of Test and Return of Test Materials The Examining Agency shall administer the examination in accordance with instructions provided by CPS/CSA and immediately following the examination will return all used and unused examination booklets, instructions, answer sheets, and any other materials furnished by CPS. • Re-Use of Test Materials Examining agency requesting test material use for·a specjfic date and candidate count wjJJ NOT be allowe<;l to reuse the tests for another date or candidate group. Page 1 of6 Exhibit No.1 • Scoring of Tests CPS will provide scoring turnaround within three (3) working days of receipt of CPS scannable answer sheets. Scoring is sent out by first class mail. Agency may provide their own envelope and air bill if they require their results more rapidly than first class mail. • Test Paper and Answer Key Inspection Under CPS/CSA Policy Examining Agency may review a keyed copy of the Corrections Standards Authority Examinations only at CPS HR Consulting offices located at 241 Lathrop Way, Sacramento, CA. Candidates will not be permitted to review copies of these tests at any time. • Examination Charges In consideration ofthe performance by CPS for testing services specifically described in this Agreement, the Examining Agency agrees to pay CPS in accordance with the Examining Agency Cost Schedule (Atta'chment B) in effect at the time usage arrangements were made. • Canceled or Postponed Examinations Examining Agency may be billed for work done on a canceled or postponed examination up to the time CPS is notified of such action. • Examining Agency Responsibilities The Examining Agency shall perform all parts ofthe examination process which have not specifically been requested of and agreed to by CPS under the selection guidelines of the Equal Employment Opportunity Commission and the Fair Employment Housing Act, the Examining Agency as test user is responsible for the results of the applicant selection process and must be prepared to demonstrate that the process is valid and meets other testing standards if it adversely affects groups protected by State of California and Federal fair employment laws. Section III -Security of Test Materials All test materials supplied by CPS under this agreement shall be and remain the property of CSA. They shall be held and stored in a manner that will prevent unauthorized persons from having access to them. Unauthorized person is defined as anyone who has not read the Test Use Agreement Terms and Conditions, has not been trained on the proper use of exam materials and bas not signed Attachment A. The Examining Agency agrees to be responsible for the security of test materials and agrees to reimburse CPS/CSA for a portion or all of the replacement costs, as determined by CPS/CSA, for test materials that are lost or whose value for testing purposes, in the opinion ofCPS/CSA, may have been destroyed while said test materials were subject to the custody ofthe Examining Agency. Question booklets shall not be duplicated nor test questions be copied by the Examining Agency under any circumstance. If any test material obtained from CPS/CSA should become involved in legal proceedings by a court or other body vested with legal authority, CPS/CSA will take appropriate measures to safeguard the confidentiality of the test material including answer sheets such as motion for protective order. CSA will not be held responsible for their use for unauthorized classifications. In addition, if the COUNTY places a test order less than 10 working days prior to the exam date, the actual cost of the expedited/overnight shipping plus 50% of the actual shipping cost for expedited handling will be charged to the COUNTY (invoice/receipt must be provided as evidence of the exact shipping incurred upon request by the Director of Personnel Services or designee). CONTRACTOR agrees that these fees shall remain unchanged throughout the term of this Agreement. Sincerely, Connie Hammons Principal Program Coordinator •• : f CPS HR CONSULTING 2013-2014 TEST USE AGREEMENT TERMS AND CONDITIONS FOR BOARD OF STATE AND COMMUNITY CORRECTIONS EXAMINATIONS Section I -Purpose of Agreement This agreement defines CPS HR Consulting (CPS HR) test use policies and procedures for Board of State and Community Corrections (BSCC) Examinations. It also explains CPS HRlBSCC test security standards designed to protect the mutual interests of all Examining Agencies that use the test materials, as well as the interests of persons who take such tests. In order that no person may gain special advantage by having improper access to the material, CPS HR requires as a condition for making these test materials available for rental that all users sign this agreement and fulfill its terms. The term ofthis agreement shall be from July 1,2013 through June 30,2014. Section II -CPS HR Policies and Procedures for Ordering BSCC Examinations • Scheduling of Examinations The Examining Agency desiring exam preparation services shall notify CPS HR not less than 10 worldng days in advance to allow time for scheduling, preparation, and shipping. • Notification to CPS HR of Number of Candidates Not less than 10 working days prior to the examination date, the Examining Agency shall notify CPS HR of the total number of candidates in each classification to be tested. • Use of Test Materials for Approved Classification BSCC exalJ!ination materials are to be used solely for approved entry-level Adult Corrections Officer, Juvenile Correctional Officer, and Probation Officer classifications. BSCC will not be held responsible for their use for unauthorized classifications. A list of approved agencies and their respective classification titles will be provided by BSCC to CPS HR for reference. • Transmittal of Test Materials CPS HR shall provide the Examining Agency with sufficient examination booklets, instructions, and answer sheets for administering the examination and such other material, as CPS HR may deem necessary. • Administration of Test and Return of Test Materials The Examining Agency shall administer the examination in accordance with instructions provided by CPS HRlBSCC and immediately following the examination will return all used and unused examination booklets, instructions, answer sheets, and any other materials furnished by CPS HR. • Re-Use of Test Materials Examining agency requesting test material use for a specific date and candidate count will NOT be allowed to reuse the tests for another date or candidate group. Page 1 of6 • Scoring of Tests CPS HR wiII process the scoring within (3) working days or receipt of CPS HR scannable answer sheets. Score results are sent out by Email on the 3rd working day. • Test Paper and Answer Key Inspection Under CPS HRfBSCC Policy Examining Agency may review a keyed copy of the BSCC examinations only at CPS HR Consulting offices located at 241 Lathrop Way, Sacramento, CA. Candidates will not be permitted to review copies of these tests at any time. • Examination Charges In consideration of the performance by CPS HR for testing services specifically described in this Agreement, the Examining Agency agrees to pay CPS HR in accordance with the Examining Agency Cost Schedule (Attachment B) in effect at the time usage arrangements were made. • Canceled or Postponed Examinations Examining Agency may be billed for work done on a canceled or postponed examination up to the time CPS HR is notified of such action. • Examining Agency Responsibilities The Examining Agency shall perform all parts ofthe examination process which have not specifically been requested of and agreed to by CPS HR under the selection guidelines ofthe Equal Employment Opportunity Commission and the Fair Employment Housing Act, the Examining Agency as test user is responsible for the results of the applicant selection process and must be prepared to demonstrate that the process is valid and meets other testing standards if it adversely affects groups protected by State of California and Federal fair employment laws. Section III -Security of Test Materials All test materials supplied by CPS HR under this agreement shall be and remain the property of BSCC. They shall be held and stored in a manner that will prevent unauthorized persons from having access to them. Unauthorized person is defined as anyone who has not read the Test Use Agreement Terms and Conditions, has not been trained on the proper use of exam materials and has not signed and submitted Attachment A. The Examining Agency agrees to be responsible for the security of test materials and agrees to reimburse CPS HRfBSCC for a portion or all of the replacement costs, as determined by CPS HRfBSCC, for test materials that are lost or whose value for testing purposes, in the opinion of CPS HRlBSCC, may have been destroyed while said test materials were subject to the custody of the Examining Agency. Question booklets shall not be duplicated nor test questions be copied by the Examining Agency under any circumstance. If any test material obtained from CPS HRlBSCC should become involved in legal proceedings by a court or other body vested with legal authority, CPS HRlBSCC will take appropriate measures to safeguard the confidentiality of the test material including answer sheets such as motion for protective order. Page 2 of6 Section IV -Termination of Agreement CPS HRfBSCC retains the right to terminate this agreement and withhold or recall its test materials if it believes the terms and conditions of this agreement are being or have been violated. In the event this agreement is terminated, CPS HR will be paid such amount as is due for services performed and any expenses incurred, pursuant to Attachment B, up to and including the date of termination. 'If. 11-612-3 1 THIRO AMENDMENT TO AGREEMENT #11-612 2 THIS THIRD AMENDMENT TO AGREEMENT (hereinafter" Third Amendment") is 3 made and entered into this 7th day of October, 2014, by and between COUNTY OF FRESNO, 4 a Political Subdivision of the State of California, Fresno, California, hereinafter referred to as 5 "COUNTY", and COOPERATIVE PERSONNEL SERVICES doing business as CPS HR 6 Consulting, a Joint Powers Authority of the State of California, whose address is 241 Lathrop 7 Way, Sacramento, CA 95815, hereinafter referred to as "CONTRACTOR" (collectively as "the 8 parties"). 9 WITNESSETH: 10 WHEREAS, on October 11, 2011, the parties entered into a retroactive Agreement, 11 effective July 1, 2011, identified as COUNTY AGREEMENT No. A-11-612, and on August 6, 12 2012, the parties amended and renewed Agreement effective July 1, 2012, identified as 13 COUNTY AGREEMENT No. 11-612-1, (hereinafter "Agreement"), and on September 10, 14 2013, the parties amended and renewed Second Agreement effective July 1, 2013, identified 15 as SECOND AMENDMENT TO AGREEMENT No. 11-612 (hereinafter "Second 16 Amendment to Agreement"), pursuant to which CONTRACTOR agreed to provide Board of 17 State and Community Corrections examinations and scoring of such examinations for 18 Correctional Officer, Juvenile Correctional Officer and Deputy Probation Officer entry level 19 positions as mandated by the California Board of State and Community Corrections; and 20 WHEREAS, COUNTY continues to require CONTRACTOR to provide examination 21 services and CONTRACTOR continues to be the only authorized agency by the State of 22 California to provide these mandated examinations; 23 WHEREAS, under said Agreement, the annual Agreement maximum needs to be 24 adjusted due to the anticipated needs of examinations for Correctional Officer, Juvenile - 1 - Correctional Officer and Deputy Probation Officer; and 2 WHEREAS, CONTRACTOR notified COUNTY of the CPS HR Consulting 2014-2015 3 Test Use Agreement Terms and Conditions for Board of State and Community Corrections 4 Examinations (attached hereto as Exhibit 4) 5 NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of 6 which is hereby acknowledged, COUNTY and CONTRACTOR agree as follows: 7 1. Section 1. OBLIGATIONS OF THE CONTRACTOR of the Agreement as 8 amended in First Amendment and Second Amendment shall be amended by adding the 9 following new paragraph after the first three paragraphs located on page 1: 10 "During the period July 1, 2014 through June 30,2015, CONTRACTOR agrees 11 12 13 14 15 16 17 18 19 20 21 22 23 to perform all services and fulfill all responsibilities identified in the CPS HR Consulting 2014-2015 Test Use Agreement Terms and Conditions for Corrections Standards Authority Examinations (attached hereto as Exhibit 4 and incorporated herein by reference)." 2. Section 2. OBLIGATIONS OF THE COUNTY of the Agreement as amended in First Amendment and Second Amendment shall be amended by adding the following new paragraph after the first three paragraphs located on page 1: "During the period July 1,2014 through June 30, 2015, COUNTY shall adhere to the terms and conditions identified in the CPS HR Consulting 2014-2015 Test Use Agreement Terms and Conditions for Corrections Standards Authority Examinations (Exhibit 4)." 3. Section 3. TERM of the Agreement as amended in First Amendment and Second Amendment shall be amended by adding the following new paragraph after the first 24 three paragraphs located on page 1: - 2 - 1 ''This Agreement is extended effective retroactively to the 1st day of July 2014 2 and shall terminate on the 30 th day of June 2015." 3 4. Section 5. COMPENSATION/INVOICING, of the Agreement as amended 4 in First Amendment and Second Amendment shall be deleted in its entirety and 5 replaced with the following, at Page 2, line 16: 6 "COMPENSATIONIINVOICING: COUNTY agrees to pay CONTRACTOR and 7 contractor agrees to receive compensation in the form of set fees as detailed in 8 Attachment B to Exhibit1 for services provided during the period July 1, 2011 9 through June 30, 2012, in Attachment B to Exhibit 2 for services provided during 10 the period July 1, 2012 through June 30, 2013, in Attachment B to Exhibit 3 for 11 services provided during the period July 1, 2013 through June 30, 2014 and in 12 Attachment B to Exhibit 4 for services provided during the period July 1, 2014 13 through June 30, 2015. For the period July 1, 2014 through June 30, 2015 the 14 most pertinent fees shall be as follows: 15 $6.19 per candidate scheduled for tested, AND 16 $2.16 per candidate tested, AND 17 $110.38 base charge for each test order. 18 In addition, if the COUNTY places a test order less than 10 working days 19 prior to the exam date, the actual cost of the expedited/overnight shipping plus 20 50% of the actual shipping cost for expedited handling will be charged to the 21 COUNTY (invoice/receipt must be provided as evidence of the exact shipping 22 incurred upon request by the Director of Personnel Services or designee). 23 CONTRACTOR agrees that these fees shall remain unchanged 24 throughout the term of this Agreement. - 3 - 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 In no event shall services performed under this Agreement be in excess of Twenty Thousand Dollars ($20,000) for FY 2011-12 and Thirty-Five Thousand Dollars ($35,000) for FY 2012-13 and Thirty-Five Thousand Dollars ($35,000) for FY 2013-14 and Thirty-Five Thousand Dollars ($35,000) for FY 2014-15 (for a total contract maximum of $125,000). It is understood that all expenses incidental to CONTRACTOR'S performance of services under this agreement shall be borne by CONTRACTOR. CONTRACTOR shall submit monthly invoices to the County of Fresno, Personnel Services, Attention: Personnel Services Manager, 2220 Tulare Street, Suite 1400, Fresno, CA 93721. Payments by COUNTY shall be in arrears, within forty-five (45) days after receipt and verification of CONTRACTOR'S invoices by COUNTY, for services provided during the preceding month." 5. This Third Amendment, and the terms set forth herein, are effective July 1,2014. COUNTY and CONTRACTOR agree that this Third Amendment is sufficient to amend the Agreement as amended by First Amendment and Second Amendment and, that upon execution of this Third Amendment, the Agreement as amended by First Amendment and Second Amendment and this Third Amendment together shall be considered the Agreement. The Agreement, as hereby amended, is ratified and continued. Section II -CPS HR Policies and Procedures for Ordering BSCC Examinations • Scheduling of Examination$., ,- The Examining Agency desiring exam preparation services shall notify CPS HR not less than 10 working days in advance to allow time for scheduling, preparation, and shipping. • Notification to CPS HR of Number of Candidates Not less than 10 working days prior to the examination date, the Examining Agency shall notify CPS HR of the total number of candidates in each classification to be tested. • Use of Test Materials for Approved Classification BSCC examination materials are to be used solely for approved entry-level Adult Corrections Officer, Juvenile Correctional Officer, and Probation Officer classifications. BSCC will not be held responsible for their use for unauthorized classifications. A list of approved agencies and their respective classification titles will be provided by BSCC to CPS HR for reference. • Transmittal of Test Materials CPS HR shall provide the Examining Agency with sufficient examination booklets. instructions, and answer sheets for administering the examination and such other material, as CPS HR may deem necessary. • Administration of Test and Return of Test Materials The Examining Agency shall administer the examination in accordance with instructions provided by CPS HRlBSCC and immediately following the examination will return all used and unused examination booklets, instructions, answer sheets, and any other materials furnished by CPS HR . • Rc-Use of Test Materials Examining agency requesting test material use for a specific date and candidate count will NOT be allowed to reuse the tests for another date or candidate group. Page lof6 .. I • Scoring of Tests CPS HR will process the scoring within (3) working days or receipt of CPS HR scannable answer sheets. Score results are sent out by Email on the 3rd working day. • Test Paper and Answer Key Inspection Under CPS HRfBSCC Policy Examining Agency may review a keyed copy ofthe BSCC examinations only at CPS HR Consulting offices located at 241 Lathrop Way, Sacramento, CA. Candidates will not be permitted to review copies of these tests at any time. • Examination Charges In consideration of the performance by CPS HR for testing services specifically described in this Agreement, the Examining Agency agrees to pay CPS HR in accordance with the Examining Agency Cost Schedule (Attachment B) in effect at the time usage arrangements were made. • Canceled or Postponed Examinations Examining Agency may be billed for work done on a canceled or postponed examination up to the time CPS HR is notified of such action. • Examining Agency Responsibilities The Examining Agency shall perform all parts of the examination process which have not specifically been requested of and agreed to by CPS HR under the selection guidelines of the Equal Employment Opportunity Commission and the Fair Employment Housing Act, the Examining Agency as test use'r is responsible for the results of the applicant selection process and must be prepared to demonstrate that the process is val id and meets other testing standards if it adversely affects groups protected by State of California and Federal fair employment laws. Section III -Security of Test Materials All test materials supplied by CPS HR under this agreement shall be and remain the property of BSCC. They shall be held and stored in a manner that will prevent unauthorized persons from having access to them. Unauthorized person is defined as anyone who has not read the Test Use Agreement Terms and Conditions, has not been trained on the proper use of exam materials and has not signed and submitted Attachment A. The Examining Agency agrees to be responsible for the security of test materials and agrees to reimburse CPS HRfBSCC for a portion or all of the replacement costs, as determined by CPS HRfBSCC, for test materials that are lost or whose value for testing purposes, in the opinion of CPS HRfBSCC, may have been destroyed while said test materials were subject to the custody of the Examining Agency. Question booklets shall not be duplicated nor test questions be copied by the Examining Agency under any circumstance. If any test material obtained from CPS HRlBSCC should become involved in legal proceedings by a court or other body vested with legal authority, CPS HRfBSCC will take appropriate measures to safeguard the confidentiality of the test material including answer sheets such as motion for protective order . Page 2 of6 • Section IV -Termination of Agreement CPS HRlBSCC retains the right to terminate this agreement and withhold or recall its test materials if it believes the terms and conditions of this agreement are being or have been violated. In the event this agreement is terminated, CPS HR will be paid such amount as is due for services performed and any expenses incurred, pursuant to Attachment B, up to and including the date oftermination.
