1 RETROACTIVE AMENDMENT I TO AGREEMENT
2 THIS AMENDMENT, hereinafter referred to as Amendment I, is made and entered into
3 this 22nd day of September , 20 15, by and between the COUNTY OF FRESNO, a
4 Political Subdivision of the State of California, hereinafter referred to as "COUNTY", and
5 MENTAL HEALTH SYSTEMS, INC., a private Non-profit, 501 (c) (3), Corporation, whose
6 address is 9465 Farnham Street, San Diego, California 92113, hereinafter referred to as
7 "CONTRACTOR" (collectively the "parties").
8 WHEREAS, the parties entered into that certain Agreement, identified as COUNTY
9 Agreement No. 14-276 (hereinafter "Agreement"}, effective May 20, 2014, whereby,
10 CONTRACTOR agreed to operate Mental Health Services Act (MHSA) Co-Occurring
11 Disorders Program (COP) for adults and older adults with active co-occurring disorders and
12 symptoms who have failed out of other drug treatment programs, including methadone and
13 residential treatment; and
14 WHEREAS, the parties desire to amend COUNTY Agreement No. 14-276 effective upon
15 execution, regarding changes as stated below and restate the Agreement in its entirety.
16 NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of
17 which is hereby acknowledged, the parties agree as follows:
18 I. That all references in existing COUNTY Agreement No. 14-276 to "Exhibit B,"
19 shall be changed to read "Revised Exhibit B," where appropriate, attached hereto and
2 0 incorporated herein by reference.
21 2. That the Agreement, Section Four (4) "COMPENSATION", at Page Four (4},
22 beginning with Line One (I) after "($2, 159,965.00)." and ending Line Eight (8) with
23 "Agreement", be deleted in its entirety and replaced with the following:
2 4 "For each fiscal yea(, the maximum amount of MHSA funding under this
2 5 Agreement, shall not exceed One Million One Hundred Ninety-Seven Thousand Six Hundred
2 6 Sixty-Eight and No/100 Dollars ($1, 197,668.00). In addition, it is understood by
2 7 CONTRACTOR and COUNTY that CONTRACTOR estimates to generate Nine Hundred
28 Thirty-Seven Thousand Two Hundred Ninety-Seven and No/100 Dollars ($937,297.00) in Medi-
