2 THIS FIRST AMENDMENT TO AGREEMENT for Student Intern Services (Agreement
3 No. 17-385, dated July 11, 2017, hereinafter called "the AGREEMENT"), is made and entered into this
4 ____ day of ______ , 2020, by and between the County of Fresno, a political
5 subdivision of the State of California (hereinafter called "the COUNTY") and California State University,
6 Fresno Foundation (hereinafter called "the FOUNDATION").
7 RECITALS
8 A. The FOUNDATION employs California State University, Fresno students for the purpose of
9 placing them with private and public agencies to serve as interns to gain practical experience and
1 O training in various fields.
11 B. The COUNTY has a need for assistance in its Public Works and Planning Department
12 ("Department"), and desires to select and assign qualified students as interns to the Department to
13 provide a variety of services, which will benefit the FOUNDATION and COUNTY and provide the
14 interns with practical experience and training to better prepare them to compete for jobs.

C. The FOUNDATION desires to make qualified students available for COUNTY'S selection and
assignment to the Department.
D. The FOUNDATION and COUNTY previously entered into the above-referenced AGREEMENT.
pursuant to which Student Interns provide such services to assist the Department.
E. The term of the AGREEMENT already has been extended by one year, through and including
July 10, 2021, by mutual agreement of the COUNTY and the FOUNDATION.
F. Nearly all of the funds originally allocated for the AGREEMENT have been expended and
additional funds therefore are necessary in order to continue the services.
NOW, THEREFORE, the FOUNDATION and the COUNTY hereby agree to amend the
AGREEMENT as follows:
1. Article 1, Paragraph A, is hereby amended to includi'! the following additional fields of study:
• Architecture
• Industrial Technology

2. The introductory paragraph of Article 2 (which immediately precedes and consists of
language prefatory to Sections A and B thereof), is hereby deleted and replaced with the
following:
"2. Payment for Services. As compensation for the FOUNDATION's services,
COUNTY shall reimburse the FOUNDATION for the FOUNDATION's direct cost of
providing the services, and COUNTY shall also pay the FOUNDATION an
administrative fee as set forth below, but the total amount paid to the
FOUNDATION shall not exceed $180,000 during the term of this AGREEMENT."
IN WITNESS WHEREOF, the parties hereto have entered into this First Amendment to the
2 Agreement effective as of the date first above mentioned .
