1 AGREEMENT
2 THIS AGREEMENT is made and entered into this I st day of July 2020 , by
3 and between the COUNTY OF FRESNO, a Political Subdivision of the State of California, hereinafter
4 referred to as "COUNTY," and the CITY OF SANGER, a Municipal Corporation, whose address is
5 1700 7th Street, Sanger, California 93657, hereinafter referred to as "CITY".
6 WITNESSETH:
7 WHEREAS, CITY receives calls requesting CITY'S fire department ("CITY FIRE") for
8 emergency services and emergency medical first responder services ("EMS");
9 WHEREAS, CITY transfers requests for EMS and fire services to COUNTY'S EMS
1 0 Communications Center for dispatching the appropriate emergency ambulances and equipment;
11 WHEREAS, CITY FIRE continues to desire to receive dispatching services for fire
12 suppression calls, which may include dispatching of non-transport first responder services,
13 (collectively, "CITY FIRE Dispatching Services") from COUNTY's EMS Communications Center;
14 WHEREAS, since July 1, 2008, COUNTY has provided dispatching services for CITY; and
15 WHEREAS, it is to the mutual benefit and in the best interest of the parties hereto to combine
1 6 EMS dispatching services and CITY FIRE Dispatching Services for the purpose of providing
1 7 improved services to the public;
18 WHEREAS, it has been determined by CITY and COUNTY that there is a need to provide
19 EMS dispatching services and CITY FIRE Dispatching Services through a centralized and combined
2 0 effort by COUNTY'S EMS Communications Center and CITY FIRE; and
21 WHEREAS, COUNTY'S EMS Communications Center is staffed and operated by K.W.P.H.
2 2 Enterprises, Inc., doing business as American Ambulance, a California corporation ("PROVIDER")
2 3 through that certain Emergency Medical Services Provider Agreement for Emergency Ambulance
2 4 Services and Advanced Life Support (Paramedic) Services, dated May 16, 2017 (COUNTY
2 5 Agreement No. 17-218, "EMS PROVIDER Agreement") including amendments, by and between
2 6 COUNTY and PROVIDER.
2 7 NOW, THEREFORE, in consideration of their mutual covenants and conditions, the parties
2 8 hereto agree as follows:

2 IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the day and
3 year first hereinabove written.
