Commission and Contractor are parties to that certain Support ive Services Agreement (the "Agreement"), dated October 1, 2018, the T erm of which is from October 1, 2018 to June 30, 2020 (the "Original Term"). B. The Parties now desire to amend the Agreement to provi de for an extension of the Term and to modify the Services and Project Budget a ll as defined in the Agreement. C. All capitalized terms used in this Amendment I to Supportive Services Agreement (this "Amendment I") shall have the meanings provided for in the Agreement unless otherwise specified in this Amendment I. Therefore, in consideration of the above recitals, which are incorporated into this Amendment I by reference, t he Part ies agree as follows: 1. T erm. This Amendment I is made effective as of July 1, 2020 (the "Effective Date"). The Term of the Agreement is extended until June 30, 2022, unless terminated earlier under the Agreeme n t (the "Term") or as specified in this Amendment to the contrary. 2. Amendment to Section 1. Effective as of July 1, 2020, Exhibit A will be replaced with the Exhibit A, "Services Fee (2020-2021 Fiscal Year)" attached to this Amendment I and incorp o rated herein by this reference. As of July 1, 2020, except as needed to interpret and enforc e C ontractor's responsibilities and obligations und er the original Term of the Agreement, the original Exhibit A attached to t he Agreement will have no further force and effect. 1 County of Fresno, Department o f Social Servi ces Unified Framework for Success -Neig hborhood Resource Centers #201819-1587 Page 2 3. Amendment to Section 3. Section 3 of the A g reement is deleted in its entirety and replaced with the following: 3. Compensation. Compensation by the Commission to Contractor for completion of the Services sha ll be at the rates also set forth in Exhibit A, "Services Fee" (2020-2 0 2 1 Fisca l Year). Notwithstanding any provision of this Amendmen t to the contrary, the Services Fee shall not, under any circumst ances, exceed nine hundred thousand dollars ($900,000) (the "Maximum Services Fee"), nor shall t he Commission, under a ny circumstances, be obligated to pay Contractor any amount in excess o f the Maximum Services Fee, except as may be mutually agreed in writing. 4. Controlling Document: No Other Amendment. In t he event of any conflict between the t erms of this Amendment I and the Agreement, the terms of this Amendment I shall control. Except as amended by this Amendment I, all terms of the Agreement shall remain in full force and effect, i nclud ing, without limitation, all monitoring, evaluation, data collection, contract review, auditing, inspection, and record retention obligations set forth in the Agreement. 5-Binding Effect. The Agreement, as amended by this Amendment I, is binding upon, and inures to the benefit of, the respective heirs, executors, administrators, successors, and assig ns of the Parties. 6. Headings and Construction. The subject headings of the sections and paragraphs of this Amendment are included for purposes o f convenience only and do not affect the construction or interpret ation of any of its p rovisions. All words used in this Amendment include the plural as well as the singular number, and vice versa; words used in this Amendment in the p resent tense include the future as well as the p resent; and words used in t his Amend ment in the masculine gender include the feminine and neuter genders, whenever the context so requires. No provision of this Amendment will be interpreted for or against a Party because t h at Party or its legal representat ive drafted the provision, and this Amendment will be construed as if jointly prepared by the Parties. 7. Counterparts. This Amendment may be signed by the Par ties in different counterparts and the signature p ages combined to create one document binding on all Parties. 8. Signature Authority. Services provided increase family protective factors and contribute to building strong, healthy communities. NRCs are located in the community or neighborhood that they serve and are the hub of prevention and early intervention activities, key to the implementation of an accessible and effective early childhood service system. Fresno County DSS is engaged in maintaining and supporting the NRCs in Fresno County, particularly focused on communities with disproportionately higher rates of child maltreatment. DSS is currently supporting a network of 11 NRCs, located both in metro and rural Fresno County. First 5 funds will offset costs associated with maintaining the NRC infrastructure. DSS will collect aggregate data that specifically meets First 5 requirements, and will include: ethnicity, language, age and zip code for children served 0-5. Data will be collected through monthly activity reports completed by the NRCs and reported to First 5.
