HomeMy WebLinkAbout32026AGT. # 1 0-551-1 1 FIRST AMENDMENT TO AGREEMENT FOR ENGINEERING CONSULTANT SERVICES 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 THIS FIRST AMENDMENT (hereinafter called "AMENDMENT") TO AGREEMENT NO. 10-551 FOR SPECIALIZED PROFESSIONAL ENGINEERING CONSULTANT SERVICES (hereinafter called "AGREEMENT'), is made and entered into thisQt}"':h day o~(.L{d\ \ 2015, and is effective retroactively to October 1, 2014, by and between the County of Fresno, a political subdivision of the State of California, (hereinafter called "COUNTY''), and CB&I Environmental and Infrastructure, Inc., 180 Promenade Circle, Sacramento, CA 95834 (hereinafter called "CONSULTANT"). WITNESSETH: WHEREAS, on September 28, 2010, COUNTY entered into the AGREEMENT with Shaw Environmental & Infrastructure, Inc. (hereinafter called "SHAW') to provide civil design engineering consultant services as more thoroughly specified therein, including the following: to develop Final Closure and Post closure Maintenance Plans (hereinafter referred to as "CPCMP") for the Coalinga Disposal Site (hereinafter referred to as "the CDS"), in accordance with California Code of Regulations (CCR) Title 27 §21769 et seq.; to assist in obtaining all regulatory approvals of the CPCMP; to prepare plans, specifications and Engineer's estimates for the contemplated public works project for construction of the final cover and appurtenances and gas monitoring network of the CDS (hereinafter "CDS Closure Construction Project"), once regulatory approval for the CPCMP has been obtained; and to prepare a Construction Quality Assurance Plan ("CQA Plan") and to provide such construction observation services as are consistent with the approved CQA Plan during the CDS Closure Construction Project; and all such design and engineering services provided under the AGREEMENT, including those specifically listed above in this paragraph, shall hereinafter be referred to collectively as "PROJECT"; and WHEREAS, SHAW was selected to provide such professional design and engineering consultant services necessary for PROJECT in accordance with COUNTY'S Ordinance Code Chapter 4.1 0, governing the selection of architects, engineers, and other professional 1 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 consultants to provide such services as required by COUNTY;and WHEREAS,SHAW subsequently was acquired by CONSULTANT,whereupon CONSULTANT assumed the contractual duties and obligations of SHAW under the AGREEMENT;and WHEREAS,the term of the AGREEMENT was extended to June 30,2016,by written notification to CONSULTANT from DIRECTOR dated January 23,2014,in accordance with the provisions of Article XIX,Section B of the AGREEMENT;and WHEREAS,CONSULTANT contends that it is entitled to additional compensation in excess of that provided for in AGREEMENT;and WHEREAS,said CONSULTANT represents that it is qualified and willing to perform the engineering services required by COUNTY for PROJECT,under the terms and conditions specified in AGREEMENT,as modified by this AMENDMENT. WHEREAS,COUNTY and CONSULTANT agree that it is in their mutual best interests for CONSULTANT to perform its remaining obligations under AGREEMENT while both COUNTY and CONSULTANT expressly reserve their respective rights as to whether CONSULTANT is entitled to additional compensation under AGREEMENT. NOW,THEREFORE,the parties hereby agree as follows: 1.Article I,Section B of AGREEMENT is hereby deleted and replaced with the following: "B. ExhibitA is hereby deleted and replaced with Exhibit A1,which exhibit is attached hereto and incorporated herein by this reference.CONSULTANTmay retain subconsultants as necessary for completion ofthe work encompassed by PROJECT.All subconsultants used by CONSULTANT shall be approved by COUNTY'S Department of Public Works and Planning Director or his designee (hereinafter called "DIRECTOR")before they are retained by CONSULTANT,which approval shall not be unreasonably withheld. The subconsultants listed in Exhibit A1,attached to this AMENDMENT and incorporated herein, shall be considered as approved by DIRECTOR.Should CONSULTANT retain any subconsultants,the maximum amount of compensation to be paid to CONSULTANT under 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 ArticleV below shall not be increased,and any additional compensation to be paid to CONSULTANT forsuch subconsultant(s)'workshall be limited to a maximumoften percent (10%)ofthe total costs incurred by CONSULTANT as a result ofthe subconsultant(s)' involvement in PROJECT.Additional fees other than the 10%markup on subconsultant charges will not be reimbursed." 2. Article I,Section C of AGREEMENTis hereby deleted and replaced with the following: "C.Exhibit Bis hereby deleted and replaced with Exhibit B1,which exhibit is attached hereto and incorporated herein bythis reference.CONSULTANT'S staff for its PROJECT team shall be as listed in Exhibit B1.Any substitutions of personnel shall be requested in writing by CONSULTANT and approved by DIRECTOR,which approval shall not be unreasonably withheld.The approval by DIRECTOR shall be in writing and DIRECTOR shall have a minimum of 15 working days to respond to CONSULTANT'S request for substitutions of personnel.CONSULTANT shall notify DIRECTOR ofthe names and classifications of employees assignedto PROJECT,and shall not reassign such employees to other projects of CONSULTANT without notification to and prior approval by DIRECTOR." 3. ArticleV, Section A,Paragraphs 1through 3,inclusive, at page 12,line13 through page 13,line 10 of AGREEMENT,are hereby deleted and replaced with the 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 following: "V.COMPENSATION: A.Total Fee: 1.ExhibitC is hereby deleted and replaced with Exhibit C1,which exhibitis attached hereto and incorporated herein by this reference.Notwithstanding any other provisions in this Agreement,the Total Fee (BasicFee and Extra Services Allocation)forthe services required under this Agreement shall not exceed the total sum of$520,000, comprised of a Basic Fee of $450,045 and an Extra Services allocation of $69,955,which shall be computedat the hourly and cost rates shown in Exhibit C prior to the effective date ofthis AMENDMENT,and at the hourly and cost rates shown in Exhibit C1 fromand after the effective date of this AMENDMENT,as more thoroughly provided in the immediately following Paragraphs 2 and 3 ofthis Section V.A. 2. Except as providedin Subparagraph (b) ofthis Paragraph V.A.2,the hourly and cost rates listed herein for servicesrendered by CONSULTANT and subconsultants of CONSULTANT shall remain in effect for the entire duration of AGREEMENT;provided, however,and notwithstanding the foregoing: (a)If AGREEMENT is ineffect longerthan one (1)year, then CONSULTANT maymakea request to MANAGER no earlierthan the one-year anniversary of the effectivedate of AGREEMENT (and may make such request on an annual basis thereafter), that the rates in Exhibit C be adjusted prospectively,so long as the percentage adjustmentdoes notexceedthe percentage adjustment in the ConsumerPrice Index for All Urban Consumers (CPI-U)for San Francisco,Oakland andSan Jose Area,for the most recent prior calendar year for which such CPI adjustment information is available.Any such adjustmentofthe listed rates in Exhibit C, pursuanttothis Paragraph,maybe authorized bythe written approval of MANAGER;and (b)From and afterthe effective date ofthis AMENDMENT,Exhibit C shall be deletedand replaced with Exhibit C1,so thatthe rates listed in Exhibit C1 thereafter shallgovern with respect to CONSULTANT'S hourly and cost rates. 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 3.Those expenses incidental to CONSULTANT'S and subconsultant's performance of services under Article III of AGREEMENT that are listed in ExhibitC shall be charged at the rates listed in Exhibit C prior to the effective date of this AMENDMENT,and at the rates listed in Exhibit C1 from and after the effective date of this AMENDMENT,subject to any adjustments that may be approved in accordance with the immediately preceding Paragraph V.A.2.All other expenses incidentalto CONSULTANT'S and subconsultant's performance of the services under Article III ofAGREEMENT that are not specifically listed in Exhibit C or Exhibit C1 shall be borne by CONSULTANT." 5.Article V,Section B is hereby deleted and replaced by the following: "B.Basic Fee: 1.Notwithstanding any other provisions in this Agreement,there will be a maximum Basic Fee of $450,045 over the entire term of AGREEMENT.The Basic Fee shall consist of a maximum fee for services enumerated in Article III or Exhibit G of AGREEMENT. 2. Exhibit H is hereby deleted and replaced with Exhibit H1,which exhibit is attached hereto and incorporated herein by this reference.The maximum Basic Fee is as shown in Exhibit H1 and shall be divided as follows: Task 1.Meetings and Project Management $20,281.00 Task 2. Preliminary Engineering $77,351.00 Task 3. Develop FinalClosure and Postclosure Maintenance Plans $40,152.00 Task 4. Plans, Specifications and Engineer's Estimate $46,963.00 Task 5. Construction Quality Assurance $219,248.00 Task 6.Evapotranspirative (ET)Cover Pan Lvsimeter $46,050.00 Total Basic Fee $450,045.00" 6.Article V,Section C,Paragraphs 1 through 4,inclusive,at page 14,lines 1 through 15,inclusive,are hereby deleted and replaced with the following: "C.Extra Services: 1.There will be a maximum allocation of $69,955 over the entire 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 termof AGREEMENT to payfor authorized Extra Services. Paymentof Extra Services in excess of said amount is unauthorized except pursuant to another subsequent written Amendment,approved in accordance with the provisions of Article XIV ofthis Agreement. 2.The CONSULTANT shall not undertake any Extra Services without the advance written authorization of MANAGER.The CONSULTANT and the COUNTY shallexpressly confirm in writing the authorization and maximum cost foranysuch services before the CONSULTANT performs Extra Services. 3. MANAGER shall have the discretion to adjust in writing the Basic Fee and ExtraServices limits as long as the TotalFee of$520,000forthe entireterm of AGREEMENT is not exceeded. 4. Payment for ExtraServices will be at the hourlyand cost rates set forth in Exhibit Cforsuch work performed prior to the effective date ofthis AMENDMENT,and at the hourly and cost rates set forth in Exhibit C1 for such work performed from and afterthe effective date of this AMENDMENT." 7. Article XIX,Paragraph A of AGREEMENTis hereby deleted and replaced with the following: "A.Exhibit Dis hereby deleted and replaced with Exhibit D1,which exhibit is attached hereto and incorporated herein bythis reference. The CONSULTANT shalladhere to the timeline established in Exhibit D1.Time limits established by the schedule approved by MANAGER shall not,exceptas provided herein in AGREEMENT and Exhibit D1,beexceeded by CONSULTANT.CONSULTANT shall maintain the PROJECT schedule and status report that shall be updated and submitted to COUNTY ona monthly basis.Any changestothe schedule shall be submittedfor MANAGER'S approvaland shall be accompanied byan explanation for the requested change." 8. Article XIX,Paragraph B of AGREEMENTis hereby deleted and replaced with the following: "B.CONSULTANT shall complete all services required under AGREEMENT in a timely manner,and shall complete performance of all ofits contractual duties and 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 obligations under AGREEMENT by December 31,2015;and AGREEMENT shall expire on June 30,2016,unless its term is further extended in writing by DIRECTOR,or it is terminated earlier in accordance with the provisions of Article XX. Fees stated in this fee schedule are for geotechnical,environmental,construction inspection, materials testing, and drilling services provided by Moore Twining Associates,Inc.Analytical Chemistry fees are presented separately in Moore Twining Associates,Inc.2013 Analytical Chemistry Fee Schedule. 2. The fees listed herein are typical of engineering,environmental,inspection,testing,and drilling services most frequently provided by Moore Twining Associates,Inc.Fees for other services and specialquotations will be provided upon request.Special consideration isgivento projects involving protracted periods oftime or volume testing.All fees are subject to change without notice. 3. A minimum of two hours per day will be charged for all field services plus travel time to and from job site.Field services over two hours will be charged at two-hour increments thereafter. A cancellation charge of two hours will be billed in the event the client fails to notifyour office of a cancellation at least 24 hours prior to the scheduled inspection. 4. Time Schedule:Basisof sampling,observation,drilling,travel,and other fees: Rate of Changes Period RegularTime Mondaythrough Friday - eight hours from 8:00a.m. to 5:00 p.m. Time and One-Half Monday through Friday-after continuous eight hours and Saturdays Double Time Work performed beyond 12 hours,Sundays and Holidays Shift Differential Second (Swing)Shift Regular hourlyrate plus 10%for the first eight hoursworked; time in excess of eight hours will be charged at overtime rate Third(Graveyard)Shift Regular hourlyrate plus 15%for the first eight hoursworked; time in excess of eight hours will be charged at overtime rate 5. Fees reflect per-unit test and only include reporting of laboratory and/or field results not requiring engineering evaluation,recommendations,and/or conclusions. 6.Vehicle mileage,when applicable,is $0,575 per mile.Drill rig,heavy equipment trucks,and four- wheel drive vehicles are $1.00 per mile.All vehicle mileage charges (except for drill rigs)are from Moore Twining Associates,Inc.'s nearest office. 7.Projects set for drilling mustbe confirmed within 24 hours.Unconfirmed drilling dates may risk loss of that date to other firms who desire that equipment.Drilling is scheduled on a first-come, first- served basis. 8. When the drill rig is left on-site, a charge of $65/hour will be applied for travel time and mileage, excluding mobilization and demobilization days.When inadequate makes it impractical to leave the drill rig on-site,$100/hour will be charged for travel time and mileage each day of the project. 2015 Prevailing Wage Fee Schedule Page 3 9.Work requiring special equipment,machinery rental, outside consultants, etc.,will be charged at cost-plus-15%unless otherwise noted. The cost of replacing equipment that is damaged due to client's request and/or negligence will be assessed. 10. For drilling services,daily servicestickets will be furnished byMoore Twining's field personnel to the client (or his representative) to acknowledge that said equipment and/or materials are being transported to and from the job site and are in operation. It will be the client's responsibility to acknowledge or dispute the service tickets on a daily basis.
