AGREEMENT
THIS AGREEMENT is made and entered into this ioth_day of March ,2015,by and
between the COUNTY OF FRESNO,a Political Subdivision of the State of California,hereinafter
referred to as "COUNTY',and JAS Pacific,Inc.whose address is 201 N. Euclid Ave.,Suite B,
Upland,CA 91786,hereinafter referred to as "CONTRACTOR".
WITNESSETH:
WHEREAS,the COUNTY has issued a Request for Proposal (RFP),attached hereto as
Exhibit "A"for Building Plan Checking and Inspection Services;and
WHEREAS,the CONTRACTOR submitted a Response to the RFP attached hereto as
Exhibit "B"and incorporated by this reference;and
WHEREAS,the COUNTY has evaluated the Contractor's response to RFP and has
determined that the Contractor is qualified and capable of performing the work specified in RFP.
NOW,THEREFORE,the parties agree as follows:
1.OBLIGATIONS OF THE CONTRACTOR
A.The CONTRACTOR shall provide Residential and Non-Residential Plan Checking
Services and Inspection Services work on an as needed basis to reduce or eliminate delays,
pursuant to work as assigned by COUNTY.Services shall consist of the review of plans and
documents and inspection of construction for compliance with the California Code of Regulations,
Title24, County of Fresno Ordinance Code Title 15 (California Building, Fire, Mechanical,
Plumbing,and Electrical Codes,et.al.),Disabled Access Requirements,and related work forthe
Departmentof PublicWorks and Planning, Development Services Division.These Services are to
be provided only when requested by the COUNTY.
B.The CONTRACTOR agrees to perform the above Services as stated in
CONSULTANT response to the RFP (Exhibit "B").
2.OBLIGATIONS OF THE COUNTY
A.The COUNTY will be represented under the terms of the Agreement by its Chief
Building Inspector.

B.COUNTY shall,tothe extent reasonable and practical,assistand cooperate with
CONTRACTOR inthe performance ofthe CONTRACTOR'S services described inthis
Agreement.Such cooperation and assistance shall include,but not necessarily be limited to:(i)
providing onesetof plans and documents tothe CONTRACTOR atthe COUNTY Office;(ii)
obtaining from the applicant,the necessary items to allow plan checking to be completed
expeditiously,suchas complete plans,calculations and nameand telephone number of applicant;
(iii)conducting zoning review with a list of zoning andother related information tobe incorporated
into the Plan Checking Letter to applicant;(iv)providing CONTRACTOR copiesof COUNTY
Ordinances that modify the standard regulations of review;(v)collect Plan Checking Fee from
applicant;and (vi)provide applicant with plans,Correction Letter or modification of approval.
3.TERM
ThisAgreement shall become effective on the 10th day of March,2015 and shallterminate
onthe9thdayof March,2016 unless extended in writing bythe Director ofthe Department of
Public Works and Planning or his/her designee.In no event shall the term of this Agreement
including extensions,exceed three years from the date of execution.
4.TERMINATION
A.Non-Allocation of Funds -The terms ofthisAgreement,and the servicesto be
provided thereunder,are contingent onthe approval of funds bythe appropriating government
agency.Should sufficient fundsnotbe allocated,the services provided maybe modified,orthis
Agreement terminated,at any time by giving the CONTRACTOR thirty (30)days advance written
notice.
B-Breachof Contract -The COUNTY may immediately suspend or terminate this
Agreement in whole or in part,where in the determination of the COUNTY there is:
1)An illegal or improper use of funds;
2) Afailureto comply with any term ofthis Agreement;
3) Asubstantiallyincorrector incomplete reportsubmittedto the COUNTY;
4)Improperly performed service.

In no event shallany payment bythe COUNTY constitute a waiverbythe COUNTY
ofany breach ofthis Agreement or any default which may then exist on the part ofthe
CONTRACTOR.Neithershall such payment impair or prejudiceany remedy availableto the
COUNTY with respect to the breach or default. The COUNTY shall have the right to demand of
the CONTRACTOR the repayment to the COUNTYof any funds disbursed to the CONTRACTOR
under this Agreement,which inthe judgment of the COUNTY were not expended in accordance
withthe terms of this Agreement. The CONTRACTORshall promptlyrefund any such funds upon
demand.
C.Without Cause -Under circumstances other than those set forth above,this
Agreement may be terminated by COUNTY upon the givingofthirty(30)days advance written
notice of an intention to terminate to CONTRACTOR.
5.COMPENSATION/INVOICING
COUNTY agrees to pay CONTRACTOR and CONTRACTOR agrees to receive
compensation as described in Exhibit "C".For requested Plan Checking services,
CONTRACTORshall be paid a fee or percentage ofthe Plan Review Fee collected by COUNTY
from the applicant as described in Exhibit "C".The amount of any such Plan Review Fee is
determined by COUNTY according to Section 2502 of the County of Fresno Master Schedule of
Fees,Charges,and Recovered Costs as outlined in Exhibit "D".CONTRACTOR shall submit
monthly invoices as agreed to between COUNTY and CONTRACTOR.
In no event shall services performed under this Agreement be in excess of $100,000.00
per year from the execution of this agreement.COUNTY'S compensation of CONTRACTOR will
be based entirely on plan check and building inspection activitylevel and assignment by COUNTY
to CONTRACTOR.CONTRACTOR is not entitled to a minimum amount of compensation under
this Agreement.Itis understood that all expenses incidental to CONTRACTOR'S performance of
services under this Agreement shall be borne by CONTRACTOR.Upon receipt of a proper
invoice, the COUNTY Department of Public Works and Planning will take a maximum often (10)
working days to review,approve,and submit itto the COUNTY Auditor-Controller/Treasurer-Tax
Collector.

Payment will be issued to CONSULTANT within forty-five (45)calendar days ofthe date
the Auditor-Controller/Treasurer-Tax Collectorreceives the approved invoice.
6-INDEPENDENT CONTRACTOR
In performance ofthe work,duties and obligations assumed by CONTRACTOR under this
Agreement, itis mutually understood and agreed that CONTRACTOR,including anyand all ofthe
CONTRACTOR'Sofficers,agents,and employees will at alltimes be acting and performing as an
independent contractor, and shall act inan independent capacity and not as an officer,agent,
servant,employee,joint venturer,partner,or associate of the COUNTY.Furthermore,COUNTY
shall have no rightto controlor supervise or direct the manner or method bywhich
CONTRACTOR shall perform itsworkand function.However,COUNTY shall retainthe right to
administer this Agreement so as to verify that CONTRACTOR is performing itsobligations in
accordance with the terms and conditions thereof.
CONTRACTOR and COUNTYshall comply withall applicable provisions ofthe lawand the
rules and regulations,ifany, of governmental authorities having jurisdiction over matters the
subject thereof.
Because of its status as an independent contractor,CONTRACTOR shall have absolutely
no rightto employment rights and benefits available to COUNTY employees.CONTRACTOR
shall be solely liable and responsible for providingto, or on behalf of, its employees all
legally-required employee benefits. Inaddition, CONTRACTORshall be solely responsible and
save COUNTY harmless fromall matters relatingto payment of CONTRACTOR'S employees,
including compliance withSocial Security withholding and all other regulations governing such
matters.It is acknowledged that duringthe term ofthis Agreement,CONTRACTOR may be
providing services to others unrelated to the COUNTY or to this Agreement.
7.MODIFICATION
Any matters of this Agreement may be modified from time to time by the written consent of
all the parties without,in any way,affecting the remainder.

8.NON-ASSIGNMENT
Neitherparty shall assign, transfer or sub-contract this Agreement northeir rights or duties
under thisAgreement without the prior written consent ofthe other party.
9-HOLD HARMLESS
CONTRACTOR agrees to indemnify,save,hold harmless,and at COUNTY'S request,
defendthe COUNTY,its officers,agents, and employees from any and all costs and expenses,
damages,liabilities,claims, and losses occuning or resultingto COUNTY inconnection with the
performance,or failure to perform,by CONTRACTOR,its officers,agents, or employeesunder
this Agreement, and fromany and all costs and expenses,damages,liabilities,claims,and losses
occuning or resulting to any person,firm,or corporation who may be injured or damaged bythe
performance,or failure to perform,of CONTRACTOR,its officers,agents, oremployeesunderthis
Agreement.
10.INSURANCE
Without limiting the COUNTY'S right toobtain indemnification from CONTRACTOR orany
third parties, CONTRACTOR, at its sole expense,shall maintain in full force and effect,the
following insurance policies or a programofself-insurance,including butnot limited to,an
insurance pooling arrangement or Joint Powers Agreement(JPA)throughoutthe termofthe
Agreement:
A.Commercial General Liability
Commercial General Liability Insurance with limitsof not less than One Million
Dollars ($1,000,000.00)per occurrence and an annual aggregate ofTwo Million Dollars
($2,000,000.00).This policy shall be issued ona per occurrence basis.COUNTY may require
specific coverages including completedoperations, products liability,contractual liability,
Explosion-Collapse-Underground,fire legal liability or any other liability insurance deemed
necessary because of the nature of this Agreement.
B.Automobile Liability
Comprehensive Automobile Liability Insurance with limits for bodily injury of not less

than Two Hundred Fifty Thousand Dollars ($250,000.00) per person, FiveHundredThousand
Dollars ($500,000.00)peraccidentand for property damages ofnotless than Fifty Thousand
Dollars ($50,000.00),orsuch coverage with a combined single limit of Five Hundred Thousand
Dollars ($500,000.00).
Coverage should include owned and non-owned vehicles used in connection with this Agreement.
C.Professional Liability
If CONTRACTOR employs licensed professional staff,(e.g., Ph.D.,R.N.,L.C.S.W.,
M.F.C.C.) in providing services,Professional Liability Insurance with limitsof not less than One
Million Dollars ($1,000,000.00)per claim,Three Million Dollars ($3,000,000.00)annual aggregate.
D.Worker's Compensation
A policy ofWorker's Compensation Insurance as may be required bythe California
Labor Code.
CONTRACTOR shallobtain endorsements to the Commercial General Liability
Insurance namingthe CountyofFresno, its officers,agents, and employees,individually and
collectively,as additional insured, butonlyinsofar as the operations under this Agreementare
concerned. Such coverage for additional insured shallapply as primary insurance and any other
insurance, or self-insurance, maintained by COUNTY,"its officers,agents and employees shall be
excess onlyand not contributing with insurance provided under CONTRACTOR'S policies herein.
This insurance shall not be cancelled or changed without a minimum of thirty (30)days advance
written notice given to COUNTY.
Within thirty(30)days from the date CONTRACTOR signs and executes this
Agreement,CONTRACTOR shall provide Certificates of Insurance and Endorsements as stated
above for all ofthe foregoing policies,as required herein, to the Countyof Fresno, Departmentof
Public Works and Planning,Director,2220 Tulare Street,6th Floor,Fresno,CA 93721,stating that
such insurance coverage has been obtained and is in full force; that the County of Fresno, its
officers,agents and employees will not be responsible for any premiums on the policies;that such
Commercial General Liability Insurance names the County of Fresno, itsofficers,agents and
employees,individually and collectively,as additional insured,but only insofar as the operations

under this Agreement are concerned;thatsuch coverage for additional insured shall apply as
primary insurance and anyother insurance,or self-insurance,maintained by COUNTY,its
officers,agentsand employees,shall beexcess only and not contributing with insurance provided
under CONTRACTOR'S policies herein;and that this insurance shall not be cancelled or changed
without a minimum of thirty (30)days advance,written notice given to COUNTY.
In the event CONTRACTOR fails to keep in effect at all times insurance coverage
as herein provided,the COUNTY may,in addition tootherremedies it mayhave,suspendor
terminate this Agreement upon the occurrence of such event.
All policies shall be issued by admitted insurers licensed to do business in the State
of California,andsuch insurance shall be purchased from companies possessinga current A.M.
Best,Inc.rating of A FSC VII or better.
11.AUDITS AND INSPECTIONS:
The CONTRACTOR shall at any time during business hours,and as often as the COUNTY
may deem necessary,make available to the COUNTY for examination all of its records and data
with respecttothe matterscoveredbythis Agreement.The CONTRACTOR shall,upon request
by the COUNTY,permit the COUNTY to audit and inspect all ofsuch records anddatanecessary
to ensure CONTRACTOR'S compliance with the terms ofthis Agreement.
If thisAgreement exceeds Ten Thousand Dollars ($10,000.00),CONTRACTOR shall be
subjecttothe examination and auditofthe Auditor Generalfora period ofthree (3)years after
final payment under Agreement (Government Code Section 8546.7).
12.NOTICES:

Any and all notices betweenthe COUNTY and the CONTRACTOR provided foror
permitted underthisAgreementor bylawshallbe in writing and shallbe deemed duly served
when personallydeliveredto one ofthe parties, or in lieu ofsuch personal services,when
deposited in the United States Mail,postage prepaid,addressedtosuch party.
13.GOVERNING LAW
Venueforany action arising outofor relatedtothisAgreementshall only be in Fresno
County,California.
The rightsand obligationsofthe parties and all interpretation and performanceofthis
Agreement shall be governed inall respects bythe laws ofthe State of Califomia.
14.DISCLOSURE OF SELF-DEALING TRANSACTIONS
This provision is onlyapplicable if the CONTRACTOR is operating as a
corporation(a for-profit or non-profit corporation)or if during the termofthe agreement, the
CONTRACTOR changes its status to operate as a corporation.
Membersofthe CONTRACTOR'S Boardof Directors shalldisclose any self-
dealing transactionsthattheyare a party to while CONTRACTOR is providing goodsor
performing services under this agreement.A self-dealing transaction shall mean a transaction
to which the CONTRACTOR is a party and in which one or more of its directors has a material
financial interest. Membersofthe Boardof Directors shalldisclose any self-dealing
transactions that they are a partyto bycompletingand signinga Self-Dealing Transaction
Disclosure Form,attached hereto as Exhibit "E"and incorporatedherein byreference, and
submitting itto the COUNTY priorto commencing withthe self-dealing transaction or
immediately thereafter.
15-ENTIRE AGREEMENT
This Agreement constitutes the entire Agreement between the CONTRACTOR and
COUNTY with respect to the subject matter hereofand supersedes all previousAgreement

negotiations,proposals,commitments,writings,advertisements,publications,and understanding
ofany nature whatsoever unless expressly included inthisAgreement.
In the event ofany inconsistencyin interpreting the documents which constitutethis Agreement,
the inconsistencyshall be resolved by giving precedence in the following order of priority:(1)the
textofthisAgreement (excluding Exhibit "A",the COUNTY'S Request for Proposal);(2)Exhibit
"B",the CONTRACTOR'S proposal in response thereto; and (3)Exhibit "C",CONTRACTOR'S
compensation as stated inCONTRACTOR'S response to the COUNTY'S Request forProposal.

I. SCOPE OF SERVICES
The County will contract with up to four multidisciplinary firms to provide professional plan
checking and building inspection services in support of the Building & Safety Section
functions at the direction of the Chief Building Inspector or his designee. These services
are only to be provided when required by the County of Fresno and will consist of a total of
four (4) separate contracts. Two (2) contracts for eight hundred and fifty thousand
dollars ($850,000.00) annually and two (2) contracts for one hundred thousand
dollars annually ($100,000.00).
At the County's option, the plan review may be performed in whole or in part by using one
of the different packages defined below. The fee for packages "A" through "E" may be set
up as a percentage of the fee received by the County for plan review for the given project
based on the current adopted fee schedule. The maximum fee shall not exceed 65% of
the plan review fee received by the County for the whole building review. Where a partial
review is requested by the County, the maximum fee shall not exceed 40% of the plan
review fee received by the County for both structural and nonstructural review. Proposals
shall include fee break downs in each of the following categories and, other than hourly
fees, shall include the costs of the initial review and all subsequent reviews. Plan reviews
and inspections are to include enforcement of all applicable Federal, State, and Local
regulations and policies.

No additional fees shall be charged to the County for completion of the work in any of the
packages listed (other than approved hourly fees, where applicable), including, but not
limited to, pick up, delivery, mileage, shipping, meetings, phone calls, and other materials,
labor and handling.
B) Availability
1. The Consultant shall perform the plan review services required to obtain approval of
each project for the percentage of fee proposed. Prior approval by the County is
required for any and all charges proposed in addition to the percentage agreed to in
the Plan Review Package. Prior approval by the County is required for any and all
charges proposed for deferred submittals and revisions that may occur on projects
reviewed by the Consultant.
2. The response time for the Consultant to return a list of comments to the County or
provide approval to the County for all plan review projects from the day of
authorization by the County is ten ( 1 0) business days on the first review and five (5)
business days on subsequent reviews. If the list of comments or approval is
returned to the County in one (1) to five (5) business days in excess of the due date,
a 10% reduction in cost to the County shall be provided. If the response time of five
(5) to ten (10) business days is in excess of the due date, the plan review shall be
completed at 50% reduction to the County. Anything in excess of 10 days shall be
completed at no cost to the County. The Consultant shall notify the County at least
two (2) business days in advance if the plans will not be completed within the
stipulated time frame. The response time for more complex projects as determined
by the County may be negotiable.
3. List a "typical" notification time required for the Consultant to provide inspection staff
for the County.
4. Indicate the availability of the Consultant's personnel assigned to the plan check to
attend a meeting at the County to address questions or discuss issues with County
staff, design team and/or construction team that may arise on a project at no
additional cost to the County for projects paid on percentage. Meetings may occur
prior to permit submittal, during the review process and after permit issuance and
typically will not exceed two hours for each meeting.

5. Indicate the availability of Consultant's representative to attend bi-monthly plan
review and/or inspection related meetings at the County at no additional cost to the
County. Estimate meeting duration of two hours.
6. Indicate the availability of the Consultant's staff to discuss projects and technical
data via phone or other means with the County's staff, design team and/or
construction team at no additional cost to the County for plan reviews paid on
percentage.
7. Indicate processing times and costs for plan reviews that the County may require to
be expedited. Typically, an expedited review would be one half of the normal
response time listed in B-2 above.
8. Describe the capability of your firm to provide electronic plan reviews and indicate if
there are any reductions in the Consultant's plan review costs if this service is
utilized. Provide a brief description and flow chart of how this process is
accomplished.
9. Indicate your ability to provide third-party plan reviews/inspections by allowing an
applicant to provide payment directly to the Consultant for Consultant's portion of
the plan review fee or inspection costs. Also submit samples of any forms that may
be utilized for this procedure.
C) Statement of Work
Upon award of a contract, the Consultant shall perform plan review services and/or field
inspection services.
Plan Review Services:
Plan review shall be performed at the Consultant's offices unless specific
arrangements are made with the County.
1. Consultant shall assign personnel who are professionally qualified to perform
commercial and/or residential construction document plan check and shall be
International Code Council (ICC) certified plans examiners.
2. Consultant shall designate one individual as the responsible contact for all
communications between the County and Consultant for the life of the contract and,
in the event the contact changes, notify County immediately.
3. Consultant shall furnish assigned personnel with all necessary materials, resources
and training to conduct plan review and inspection services, including a current copy
of applicable County amendments, policies, procedures and forms.

4. Plan review approval shall not be recommended to the County until ALL code
compliance issues are resolved to the best of Consultant's knowledge and all permit
issuance requirements of the County of Fresno are satisfied. Consultant shall
contact County if there are questions.
5. Consultant shall respond within one business day upon each notification that a plan
check is authorized.
6. Consultant shall pick up all documents to be reviewed from the County of Fresno,
Public Works and Planning, Development Services Division located at 2220 Tulare
Street, Suite A, Fresno, CA. Stated plan review turnaround times will begin the next
business day after the Consultant has been notified by the County. Consultant shall
conduct each plan review in a timely manner and within time-frame guidelines
established by the County. Refer to B-2. Upon completion of each plan review, the
Consultant shall return the reviewed documents to the County and provide an
electronic and hard copy of the plan review comments in the format designated by
the County. Upon completion of the plan review where approval of the documents
is recommended, the Consultant shall provide (2) complete sets of all final review
documents annotated as approved to the County of Fresno.
7. Plan review comment letters shall be completed in the format provided by the
County.
8. Code interpretations are subject to final review and approval by the County Building
Official. All plan review comments completed by the consultant are subject to the
review by the County.
9. Consultant shall be available within one business day to respond to questions from
the County that may be generated during field inspection for each authorized plan
check that is subsequently issued a permit for construction.
Permit Processing Services:
1. All permit processing and counter services shall be performed at the County office
and under the direction of County staff.
2. Consultant shall assign personnel who are professionally qualified to perform permit
processing and counter services. All on~site materials, resources, tools and County
policy training shall be supplied by the County.

Field Inspection Services:
1. All field inspection shall be performed through the County of Fresno Development
Services Division and under the direction of County staff.
2. Consultant shall assign personnel who are professionally qualified to perform
commercial and/or residential construction inspection and shall be ICC certified as
building inspectors. All vehicles, safety apparel, communication devices,
materials, resources, tools, and training shall be supplied by the Consultant.
3. County shall provide County-specific policy training and provide any necessary
County maps, forms, and data entry training.
4. List a "typical" notification time required for the Consultant to provide inspection
staff for the County.
5. Projects under construction by permit from the County shall be inspected for
compliance per the California Code of Regulations -Title 24, Parts 1-12, and
Fresno County Title 15 (Building and Construction Ordinance).
II. PROPOSAL CONTENT AND ORGANIZATION
Proposals should be limited to specific discussion of the elements outlined in this RFP.
The intent of this RFP is to encourage responses which meet the stated requirements, and
which propose the best methods to accomplish the work within a stated budget.
The organization of the proposal should follow the general outline below. Each proposal
should consist of four ( 4) copies of the technical proposal.
A. Transmittal Letter
1. The transmittal letter shall include the name, title, address, phone number, and
original signature of an individual with authority to negotiate on behalf of and to
contractually bind the consulting firm, and who may be contacted during the period
of proposal evaluation. Only one transmittal letter need be prepared to accompany
all copies of the technical and cost proposals.
B. Table of Contents
1. Provide a list of sections in the proposal and the associated page numbers.
C. Scope of Work
1. Provide the scope of work information in a format such that it can be pulled out of
the RFP and inserted into the contract as a schedule and include the cost for each
package in a table format. If necessary, discuss reasons for any revisions to the

requirements as described and provide sufficient detail for any modified approach,
methods, and tasks.
D. Project Deliverables
1. The deliverables shall be consistent with Section I of this proposal. This shall
include a summary of the Project Deliverables with schedule. Provide the project
deliverables with schedule in a format that can be pulled out of the RFP and
inserted into the contract as a schedule. If necessary, discuss reasons for any
revisions to the requirements or sample contract as described and provide sufficient
detail for any modified approach, methods, and tasks or terminology.
E. Consultant and Sub-Consultant Staff-Qualifications & Experience
1. This section shall describe the qualifications and experience of each professional
who will participate in the project, including a resume for each member of the project
team. A project manager must be designated, and an organizational chart showing
the manager and all project staff must be included. A matrix or organization chart
shall be included, indicating the effort, either in percentage of the total project or in
person-hours, which will be contributed by each professional during each phase or
task making up the project. Key personnel who are included in the proposal must
be committed for the duration of the contract. Any substitutions or changes to the
project team must be brought to the attention of the County and approved. If a sub-
consultant will be used, the proposing Consultant shall include a letter from the sub-
consultant committing to perform at least the work shown for the sub-contracting
professional in the above-described matrix.
F. Consultant Qualifications and References
1 . This section shall describe the nature and outcome of projects previously conducted
by the Consultant which are related to the work described within the RFP.
Descriptions shall include client contact names, address, phone numbers, email
addresses, descriptions of the type of work performed, approximate dates on which
the work was completed, and professional staff who performed the work. If a sub-
Consultant is proposed, two to three similar qualifications and references shall be
provided for all sub-Consultants.
G. Cost Information
1. Develop the cost as described in Section I of this proposal. Provide the cost
information in a format that it can be pulled out of the RFP and inserted into the
contract as a schedule and include the scope of work for each package in a table
format. If necessary, discuss reasons for any revisions to the requirements as
described and provide sufficient detail for any modified approach, methods, and
tasks.

H. Invoicing
1. Invoices shall include the County's Application Number, Address of Project, Project
Name and the amount billed for each project. If the project was performed on an
hourly basis, the invoice shall include each person's name, title, hourly rate, and
hours being billed to the County.
2. Where applicable, when the first review is completed and returned to the County,
each project shall be accompanied by a Fee Calculation Sheet indicating the
amount that will be billed to the County and a breakdown of the associated costs.
I. Insurance Coverage
1 . Plan check and building inspection Consultant will be required to have the following
insurance coverage:
(a) Commercial General Liability
Commercial General Liability Insurance with limits of not less
than one million dollars ($1 ,000,000.00) per occurrence and an
annual aggregate of two million dollars ($2,000,000.00). This
policy shall be issued on a per occurrence basis. County may
require specific coverage including completed operations,
product liability, contractual liability, explosion-collapse-
underground, fire and legal liability, or any other liability
insurance deemed necessary because of the nature of the
contract.
b) Automobile Liability
Comprehensive automobile liability insurance with limits for
bodily injury of not less than two hundred fifty thousand dollars
($250,000.00) per person, five hundred thousand dollars
($500,000.00) per accident and for property damages of not
less than fifty thousand dollars ($50,000.00), or such coverage
with a combined single limit of five hundred thousand dollars
($500,000.00). Coverage should include owned and non-
owned vehicles used in connection with this Agreement.
c) Professional Liability
If Contractor employs licensed professional staff, (e.g., Ph.D.,
R.N., L.C.S.W., M.F.C.C.) in providing services, professional
liability insurance with limits of not less than one million dollars
($1 ,000,000.00) per occurrence, three million dollars
($3,000,000.00) annual aggregate.

d) Worker's Compensation
A policy of Worker's Compensation insurance as may be
required by the California Labor Code.
Ill. PROPOSAL EVALUATION AND SELECTION
A project Selection Committee will be formed to evaluate the proposals and select
one or more consultants. The Selection Committee will consist of members from
the Department of Public Works and Planning and may include a representative
knowledgeable in plan check and building inspection services from outside the
community. Consulting firms will be requested to interview with the Selection
Committee as a part of the evaluation process.

The above schedule is tentative and partially dependent upon the size of the
contract. Contracts totaling $100,000 or more require Fresno County Board of
Supervisor approval. The firms' fee proposals will be opened only after the
Selection Committee has completed all of the interviews and considered each of the
firms' qualifications. The Selection Committee will consider the fee proposal in its
final deliberations.
The Selection Committee will consider the following recommended experience in its
evaluation of proposals (not necessarily listed in order of importance).
Proposals will be compared based upon a combination of factors, and a contract or

Pacific's over arching goal to attain customer satisfaction, a tailored service delivery system is developed, service models are

A. Plan Review
JAS Pacific will provide the County with plan check services for residential, industrial, and commercial building plans,
through the contracting of ICC Certified Plans Examiners. All Plans Examiners meet all required qualifications, education,
and certification/licensing as applicable for the field they will be working in. Additionally, all Plans Examiners possess the
requisite skills and experience required to perform all duties and responsibilities below. Plan review services will include the
review of construction documents submitted for all types of residential and nonresidential construction projects and
California Registered Civil Engineers as applicable. Assigned staff will also have a reasonable degree of annual training in
accordance with the requirements of AB 717 and necessary materials and resources to conduct plan review services
including a current copy of applicable County amendments, policies, procedures and forms. The construction documents
shall be reviewed for conformance with the adopted Codes. Staff will not only identify building code issues within the plans,

related meetings at the County at no additional cost. Plans Examiners are also available via phone or other
means to discuss projects and technical data with County staff, design team and/or construction team and shall
respond within one business day at no additional cost to the County .
Lastly, JAS Pacific can provide an Internet-based system in support of plan review services for the purposes of
electronic plan submission (E-Submittal). This document workflow solution will allow applicants and County
personnel to initiate and complete the plan check process online (including the submission of electronic
comments), rather than using a manual, paper-based process which requires printing and shipping. Said services
will improve the plan review cycle, reduce costs (i.e. paper use, printing and storage costs, drive time, and
gasoline consumption), and provide services in a streamlined and seamless fashion and as efficiently as possible .
JAS Pacific's E-Submittal process is a secure data sharing solution, designed to streamline and increase plan
review process efficiencies. The process is easy and meets the needs of its users through ease of access and
abifity to sync data instantaneously. We believe this is a comprehensive and efficient approach to providing these
services to the public and County staff

B. Inspection
JAS Pacific is prepared to provide the County with inspection services through the contracting of ICC certified Building
Inspectors. Assigned staff will be responsible for all construction, emergency, disaster, and special inspection projects. All
services shall be performed through the County Development Services Division and under the direction of County staff.

certification/licensing requirements induding an ICC Building Inspector certification as detailed in the RFP. All JAS Pacific
assigned building inspectors shall be equipped with the necessary tools and equipment when performing inspection
services on behalf of the County. Assigned staff will also have a reasonable degree of annual training in accordance with
the requirements of AB 717. Projects under construction permit from the County shall be inspected for compliance per the

C. Permit Issuance/Counter Services
JAS Pacific, upon the request of the County, can provide the County with counter technician/clerical services, through the
contracting of Permit Technicians. All Permit Technicians meet all qualifications, education, and certificationllicensing
requirements including an ICC Permit Technician certification. Basic services shall include public counter services such as
processing automated and manual permits, receiving plan submittals, preparing reports, cashiering, handling customer
needs over the phone and in person, and maintaining records in locations throughout the County. Detailed duties and
responsibilities are further discussed below .
Permit Technician Duties and Responsibilities:
• Provide customer support and assistance at the Permit Center counter and over the phone .
• Assist the general public including architects, engineers, and contractors by providing technical information
concerning building and construction permit requirements, zoning regulations, and other information needed to
comply with State, County, and County laws and building codes .
• Assist the public in completing permit applications and other necessary forms.
• Determine permit, plan, and process requirements for permit applicants .
• Notify permit applicants when construction documents or permits are ready for pick-up or issuance.
• Review permit applications and other pertinent information at the Permit Center counter to verify accuracy and
completeness of information .
• Process permit applications and provide plan intake including the calculation of a variety of fees.
• Review and approve less complicated non-structural plan checks over the counter.
• Maintain a variety of permit-related records .
• Verify that projects have obtained all necessary approvals before issuing permits and that the following have been
filed with the County: valid contractor's license, workers' compensation and valid business license information.
• Coordinate and route construction documents to the appropriate County staff for plan review and approval .

• Assist the Building and Safety office manager/staff in other related permitting activities .
• Provide knowledgeable, professional, quality public information counter services.
• Provide information regarding the building permit process and inspection processes .
• Process and route applications, inspection, and plan review status requests .
• Maintain accurate records .
• Provide superior customer service.
• Possess and maintain all required certifications and licenses while providing services to the County. Should the
model codes used by the State of California as the basis for California building laws change during the course of the
Agreement, the County reserves the right to modify any or all of the certification requirements to correspond with
current California laws.

• Meet and maintain all Federal, State, or local mandated continuing education requirements. Evidence shall be
provided to the County upon request.
JAS Pacific shall have adequate available staffing resources including permit technicians to provide the County with
necessary staffing levels to meet the varying workload demands and can ensure this through available back up staff.
II. PROJECT DELIVERABLES
JAS Pacific understands the County's needs. We propose to tailor a service delivery system that meets and exceeds the
County's expectations. Additionally, due to our available resources we have the ability to offer flexibility that result in the greatest
benefit to the County. We can provide the County with options on the configuration of staffing for the delivery of services that
strike a balance between efficiency and quality. JAS Pacific, in the delivery of plan review and building inspection services, takes
care of staffing -including salaries and benefits -transportation, insurance, certifications, and continuing education. We propose
to provide plan review and building inspection services (including permit issuance and counter services) through the contracting
of ICC certified Plans Examiners and Building Inspectors, and California Licensed Registered Engineers as applicable. In the
delivery of services to the County under the proposed agreement, JAS Pacific will not be utilizing sub-contractors.
JAS Pacific handles all assigned plan reviews and building inspections, including permit issuance and counter services, through
all phases of construction to the issuance of a certificate of occupancy. The overall results are structurally sound buildings and
communities, satisfied customers, and a reputation of the County as being developer and builder friendly. We understand the
County's requirements and know that a service program addressing both components will be satisfactorily negotiated. Below is
our detailed approach on how the proposed services will be delivered and resources managed in order to accomplish the Scope
.of Work.
A. Plan Review
JAS Pacific is prepared to provide the County with off-site plan review services through the contracting of ICC certified
Plans Examiners whom possess all professional qualifications to perform required duties. All Plans Examiners possess the
necessary qualifications for assigned projects including ICC certifications in the respective fields that they will be working
and licensed engineers for all structural and geotechnical reviews. Off-site plan review services are provided timely and
seamlessly and assigned staff are accessible to promptly respond to all inquiries. Off-site services are . eonducted via
FedEx, daily and as needed, thus diminishing any impact of logistics. JAS Pacific provides an overnight courier service at
no additional cost to the County or applicant for the receipt and delivery of plans. JAS Pacific shall pick up all documents to
be reviewed from the County at the stipulated location. The appropriate registered engineer reviews or oversees the review
of all plans. JAS Pacific shall respond within one business day upon each notification that a plan check is authorized. Upon
completion of the review, JAS Pacific shall provide two complete sets of all final review documents annotated as approved
to the County. This type of approach is beneficial to the County providing a wide spectrum of expertise and the resources to
meet any level of demand.
1. Availability
JAS Pacific shall perform all plan review services required to obtain approval of each project for the percentage of
tee proposed as indicated above. Any additional charges shall be approved by the County. All services shall be
provided in accordance to the turnaround times presented below and turnaround times shall begin the next
business day following notification by the County.

JAS Pacific shall perform all inspections within 24 hours of the initial request. JAS Pacific Inspectors shall attend
meetings with the County and other individuals as required to resolve any issues and answer questions as
needed. Additionally, a representative shall attend bi-monthly plan review related meetings at the County at no
additional cost. Inspectors are also available via phone or other means to discuss projects and technical data with
County staff, design team and/or construction team and shall respond within one business day at no additional
cost to the County .

C. Permit Issuance/Counter Services
JAS Pacific is prepared to provide the County with permit issuance/counter services through the contracting of ICC certified
Permit Technicians whom possess all professional qualifications to perform required duties. All assigned Permit
Technicians shall be professionally qualified to perform permit processing and counter services. All on-site materials,
resources, tools and County policy training shall be provided by the County. All permit issuance/counter services shall be
performed at the County office and under the direction of County staff .

Ill. CONSULT ANT STAFF-QUALIFICATIONS & EXPERIENCE
JAS Pacific will provide the County with a tailored service program to meet its needs. JAS Pacific has a multitude of resources
from which the County will benefit from. JAS Pacific proposes to assign Mr. Fady Mattar as the Project Manager and he will
manage all aspects of the contract serving as the contact person for plan review, inspection, NPDES, building official, and fire
and safety plan review services. With over 40 years of public sector experience, Mr. Mattar has thorough knowledge and
expertise in all aspects of building services. As a California licensed mechanical engineer, an ICC certified building official,
instructor, and mechanical and plumbing inspector, he has held positions such as Mechanical Engineer, Chief Plumbing and
Mechanical Inspector, and Supervising Mechanical Engineer. Mr. Mattar served as the Assistant Superintendent of Building for
' the los Angeles County Department of Public Works from which he retired. Mr. Mattar's lengthy public works experience
includes expertise in National Pollutant Discharge Elimination System (NPDES), and energy, mechanical, and plumbing reviews .
Mr. Mattar has held several key positions with regulatory agencies and has been recognized by the California Building Standards
Commission, ICC, IAPMO, and CAlBO, among others, with many honors and awards. Following his retirement from los
Angeles County, Mr. Mattar served as the Superintendent of Building & Safety for the City of long Beach for five years and
currently the President of JAS Pacific. Additionally, Mr. Mattar has authored multiple ordinances that subsequently were adopted
into the Model Code and the State of California Code in recognition of their value. He also authored the ICBO "Mechanical Code
Applications Manual~ and several chapters of the IAPMO "Uniform Mechanical Code Illustrated Training Manual." Having
managed several types of building departments at different levels in the public sector, Mr. Mattar has acquired the ability to
quickly and efficiently assess service levels and needs. We are confident that the County will also consider him an asset.
JAS Pacific understands the importance of the role assigned staff take and their impact on the overall success in the delivery of
plan review, inspection, NPDES, building official, and fire and safety plan review services for the County. We wm also provide the
. . County with a professional technical team with the required expertise to meet the service needs as detailed in the request for
· proposals. All assigned staff are registered or certified in accordance with the CA Health and Safety Code Section 18949.28
from the ICC (International Code Council), IAPMO (International Association of Plumbing and Mechanical Officials), NFPA
(National Fire Protection Association), and/or other appropriately recognized state, national, or international organizations or
agencies, as determined by the County. The area of registration or certification will be closely related to the primary job function,
as determined by the County. Detailed resumes of all proposed staff are provided below. All relevant professional licenses and
certifications of staff to be assigned are provided within each resume as well as copies provided in section 'IV. Ucensing and
Certifications' .
Wrth a management team possessing nearly 160 collective years of experience, JAS Pacific boasts one of the most qualified and
affluent building and safety administrations in the industry. Below are the key staff who will be assigned to the County and

VI. INVOICING
JAS Pacific shall invoice the County monthly. All invoices shall include the County's Application Number, Address of
Project, Project Name, and the amount billed for each project. If the project was performed on an hourly basis, the invoice
shall also include the name of assigned personnel, title, hourly rate and hours being billed to the County. When applicable,
when the first review is completed for a project and returned to the County, a Fee Calculation Sheet, indicating the amount
that will be billed to the County and a breakdown of the associated costs .

VII. INSURANCE COVERAGE

Non-corporate bidders may disregard this section.
Bidders shall complete a SELF-DEALING TRANSACTION DISCLOSURE FORM, provided
herein, for each applicable corporate director of the bidding company. The signed form(s)
shall be submitted as a part of the company's proposal or quotation.
Complete the form and indicate "NONE" under part 3 when your company is a corporation and
no directors are involved with a Self-Dealing Transaction. The form must be signed by an
individual authorized to legally bind the corporation when no directors have a Self-Dealing
Transaction.
DISCLOSURE OF SELF-DEALING TRANSACTIONS: The following provision will be
incorporated into ensuing agreements. It shall apply only when the CONTRACTOR is
operating as a corporation (a for-profit or non-profit corporation) or if during the term of the
agreement, CONTRACTOR changes its status to operate as a corporation.
This provision is only applicable if the CONTRACTOR is operating as a corporation (a for-profit
or non-profit corporation) or if during the term of this agreement, the CONTRACTOR changes
its status to operate as a corporation.
Members of the CONTRACTOR's Board of Directors shall disclose any self-dealing
transactions that they are a party to while CONTRACTOR is providing goods or performing
services under this agreement. A self-dealing transaction shall mean a transaction to which the

interest. Members of the Board of Directors shall disclose any self-dealing transactions that
they are a party to by completing and signing a Self-Dealing Transaction Disclosure Form
(Exhibit #) and submitting it to the COUNTY prior to commencing with the self-dealing

SELF-DEALING TRANSACTION DISCLOSURE FORM INSTRUCTIONS
In order to conduct business with the County of Fresno (hereinafter referred to as "County"),
members of a contractor's board of directors (hereinafter referred to as "County Contractor"),
must disclose any self-dealing transactions that they are a party to while providing goods,
performing services, or both for the County. A self-dealing transaction is defined below:
"A self-dealing transaction means a transaction to which the corporation is a party and which
one or more of its directors has a material financial interest"
The definition above will be utilized for purposes of completing the disclosure form.
(1) Enter board member's name, job title (if applicable), and date this disclosure is being
made.
(2) Enter the board member's company/agency name and address.
(3) Describe in detail the nature of the self-dealing transaction that is being disclosed to
the County. At a minimum, include a description of the following:
a. The name of the agency/company with which the corporation has the transaction;
and
b. The nature of the material financial interest in the Corporation's transaction that the
