AGREEMENT NO. 14-401-1
Addendum to Participating Entity Service Agreement
Fresno County
This Addendum shall serve as an amendment to the Participating Entity Service Agreement entered
into as of July 15, 2014, between the CSAC Excess Insurance Authority, hereinafter referred to as
"EIA" and Fresno County, hereinafter referred to as "Member".
Whereas, the EIA has entered into an agreement with Systema Software, LLC (SIMS) effective April
4, 2013, to provide software licenses for the SIMS claim system, support, maintenance, and ASP
services in order to utilize the SIMS system, a copy of which is attached to the Participating Entity
Service Agreement as Exhibit A (hereinafter referred to as "the Master Agreement"); and
Whereas, pursuant to the Master Agreement, EIA may bring over an existing Qualified Small
Member, sublicensing SIMS claims to the Qualified Small Member via an addendum to that
agreement; and
Whereas, EIA and Member entered into the Participating Entity Service Agreement to allow Member
to utilize the SIMS system; and
Whereas, EIA and Member wish to amend the Participating Entity Service Agreement to add
additional modules to Member's installation of the Systema Software, LLC SIMS claim system, as set
forth in this Addendum; and
Whereas, EIA and Systema intend to execute an addendum to the Master Agreement to provide the
modified services and goods outlined in the Fresno County Addendum Proposal, attached as Exhibit
C, after the execution of this Addendum.
Now, therefore, the parties agree as follows:
EIA agrees to issue SIMS software licenses to Member, and Member agrees to utilize the SIMS
system pursuant to the terms of the Participating Entity Service Agreement as well as this Addendum,
including The Fresno County Addendum Proposal (Exhibit C), attached hereto and incorporated
herein.
Member agrees to pay EIA based on the "Pass Through" payment plan as detailed in the Master
Agreement between EIA and Systema Software, LLC. All conversion costs will be paid the first year
and annual fees will be paid as they become due. Adding the one ( 1) additional Optional modules or
interfaces [Positive Pay Connector Module] will increase the member's one-time costs by $6460 and
the maintenance by $500 the first year. The Maintenance & Support costs will increase in
subsequent years based on the CPl. The Annual fees will be pro-rated if the Member enters this
agreement mid-year (based on a July 1 fiscal year).
This Addendum shall become effective upon execution and shall remain In force coinciding with the
original Participation Agreement.
This Addendum has been duly executed by each party as of the date of final signature.

Fresno County Addendum Proposal
The purpose of this document is to outline the additional modules to be installed as a
part of Member's Systema Software, LLC SIMS claim system, as well as the additional
payments to be made by Member. .
Additional Optional Modules and Connectors
Additional Member elected interfaces/modules:
Positive Pay Connector Module license cost: $2,500
Implementation cost: $3,960
• Systema charges $165 per hour for implementation services. The Positive Pay
Connector Module is outside the costs for implementing the base system. The
time estimate for implementing this module is 24 hours.
Annual Fee increase:
The annual maintenance fee is 20% of all User License Fees + Optional modules &
connectors + Custom Development. The addition of the Positive Pay Connector Module
will add $500 to the Annual Fees.
Payment Method:
Pass Through Model (Member has chosen this model)
The Pass-through Model assumes that the member will pay for all one-time costs at go-
live. Annual fees will be prorated based on time remaining in the fiscal year. An
example of that is below:
