2 THIS ASSIGNMENT OF AGREEMENT No . 01 -130-5 ( "ASSIGNMENT") is made and
3 entered into th is ...2.liL_ day of January 2020 , by and between the County of Fresno , a
4 pol itical subd ivision of the State of California ("COUNTY"), FMAAA Foundation , whose address is
5 3837 North Clark Street , Fresno , CA 93726 ( "ASSIGNOR "), and the Fresno Rescue Mission ,
6 whose address is 263 G Street, Fresno , CA 93716 ("ASSIGNEE ").
7 WITNESSETH:
8 WHEREAS , COUNTY and ASSIGNOR are part ies to that certain Lease Ag reement 01-
9 130/L-167 ("Lease "), dated April 17 , 2001 , for lease of office space at 2025 E. Dakota Avenue ,
10 Fresno , CA 93726 ("Sen ior Resource Center") and 3821 N. Clark , Fresno , CA 93726 ("Medical
11 Mall ") (together, the "Premises");
12 WHEREAS , the Lease was amended by First Amendment on February 27 , 2007 , and by
13 Second Amendment on August 20 , 2013 , and by Third Amendment on June 20 , 2017 , and by
14 Fourth Amendment on July 10 , 2018 ;
15 WHEREAS , ASSIGNEE has purchased the Premises from ASSIGNOR ;
16 WHEREAS , Section 20 of the Lease prov ides for the ass ignment thereof, with the wr itten
17 consent of the Parties thereto ;
18 WHEREAS , ASSIGNOR wishes to assign , transfer, and delegate all of its rights ,
19 benefits , benefits , responsib ilities , and obligations under the Lease to ASSIGNEE ; and
20 WHEREAS , ASSIGNEE represents thats/he is will ing and qualified to accept the
21 assignment , transfer, and delegation of ASSIGNOR 'S rights , benefits , responsibilities, and
22 obligations under the Lease , and to perform faithfully and completely in ASSIGNOR 's stead
23 thereunder.
24 NOW, THEREFORE , the parties agree that the Lease shall be , and is , transferred and
25 assigned by ASSIGNOR to ASSIGNEE as follows :
26 1. ASSIGNOR hereby transfers and assigns all of its rights , interest , obligations , and
27 responsibilities under the Lease to ASSIGNEE.
28 2. ASSIGNEE hereby accepts from ASSIGNOR the Ass ignment of the Lease , and
