AMENDMENT I TO AGREEMENT
THIS AMENDMENT, hereinafter referred to as “Amendment I”, is made and entered into this
_____ day of _____________, 2020, by and between the COUNTY OF FRESNO, a Political
Subdivision of the State of California, hereinafter referred to as “COUNTY”, and CENTRAL STAR
BEHAVIORAL HEALTH, INC., a California Corporation, whose address is 1501 Hughes Way, Suite
150, Long Beach, California 90810, hereinafter referred to as “CONTRACTOR” (collectively the
“parties”).
WHEREAS the parties entered into that certain Agreement, identified as COUNTY Agreement
No. A-18-233, effective the 1st day of June 2018, hereinafter referred to as “Agreement”, whereby
CONTRACTOR agreed to provide certain Senate Bill 163 Wraparound services to COUNTY’s
Department of Behavioral Health (DBH) and COUNTY’s Department of Social Services (DSS); and
WHEREAS the parties now desire to amend the Agreement regarding changes as stated
below and restate the Agreement in its entirety.
NOW, THEREFORE, in consideration of their mutual promises, covenants and conditions,
hereinafter set forth, the sufficiency of which is hereby acknowledged, the parties agree as follows:
1. That the existing COUNTY Agreement No. A-18-233, Page Six (6), beginning with
Section Three (3) “COMPENSATION”, Subsection C, Line Sixteen (16), with the word “For” and
ending on Line Twenty-Four (24), with the word “CONTRACTOR” be deleted and the following
inserted in its place:
“C. For the first thirteen (13) month period (June 1, 2018 through June 30, 2019) of
this Agreement, and for each twelve (12) month period thereafter, in no event shall all actual services
performed under this Agreement, including MHP Specialty Mental Health Services, Non-MHP Mental
Health Services, and Other Wraparound Services, be in excess of Four Million, Five Hundred
Thousand and No/100 Dollars ($4,500,000.00).
For the period of March 1, 2020 to June 30, 2020, COUNTY’s DBH agrees to
reimburse CONTRACTOR the average paid to CONTRACTOR for MHP Specialty Mental Health
Services rendered between December 1, 2019 to February 29, 2020. Said average payments shall be
made on a monthly basis to CONTRACTOR and CONTRACTOR shall provide monthly invoices subject

to the requirements set forth in Section 5, below.
The cumulative total of this Agreement for the entire five (5) year and one (1)
month term for both Specialty Mental Health, Medi-Cal and Non-Medi-Cal billable services shall not
be in excess of Twenty-Two Million, Five Hundred Thousand and No/100 Dollars ($22,500,000.00). It
is understood that all expenses incidental to the CONTRACTOR’S performance of services under this
Agreement shall be borne by CONTRACTOR.”
2. Except as otherwise provided in this Amendment I, all other provisions of the
Agreement remain unchanged and in full force and effect. This Amendment I shall become effective
retroactive to March 1, 2020.
