AMENDMENT II TO AGREEMENT
THIS AMENDMENT, hereinafter referred to as “Amendment II”, is made and entered into this
_____ day of _____________, 2020, by and between the COUNTY OF FRESNO, a Political
Subdivision of the State of California, hereinafter referred to as “COUNTY”, the FRESNO COUNTY
IN-HOME SUPPORTIVE SERVICES PUBLIC AUTHORITY, a corporate public body, hereinafter
referred to as the “PUBLIC AUTHORITY,” and each contractor listed in Revised Exhibit A1, attached
hereto and by this reference incorporated herein, and collectively hereinafter referred to as
“CONTRACTORS,” and such additional CONTRACTORS as may, from time to time during the term
of this Agreement, be added by COUNTY. References in this Amendment to “parties” shall be
understood to refer to COUNTY, PUBLIC AUTHORITY, and each individual CONTRACTOR, unless
otherwise specified.
WHEREAS the parties entered into that certain Agreement, identified as COUNTY Agreement
No. A-15-248, effective July 1, 2015, as amended by COUNTY Agreement No. A-15-248-1, effective
July 1, 2015, hereinafter referred to collectively as “Agreement No. A-15-248”, whereby
CONTRACTOR(S) agreed to provide certain oral interpreting services and limited written translation
services to facilitate communication between English speakers and non-English speakers services to
COUNTY’s Department of Behavioral Health (DBH), Department of Social Services, Department of
Public Health, Department of Public Works and Planning, Probation Department, and Public
Defender; and
WHEREAS the parties now desire to amend the Agreement regarding changes as stated
below and restate the Agreement in its entirety.
NOW, THEREFORE, in consideration of their mutual promises, covenants and conditions,
hereinafter set forth, the sufficiency of which is hereby acknowledged, the parties agree as follows:
1.That the existing COUNTY Agreement No. A-15-248, Page Three (3), beginning with
Paragraph Two (2), Line Ten (10) with the word “2. TERM” and ending on Line Twenty-Two (22) with
the word “designee” be deleted and the following inserted in its place:
“2. TERM
This Agreement shall become effective on the 1st day of July 1, 2015 and shall

terminate on the 30th day of June, 2018.
This Agreement shall be extended for two (2) additional twelve (12) month
periods upon the same terms and conditions herein set forth, unless written notice of non-renewal is
given not later than sixty (60) days prior to the expiration of close of the current Agreement term.
Written notice of non-renewal given by a CONTRACTOR to the COUNTY’s DBH Director, or
designee, shall only be effective as to the Agreement in relation to that CONTRACTOR and shall
have no effect on the renewal of the Agreement with respect to all other CONTRACTORS. Likewise,
notice of non-renewal given by the COUNTY’s DBH Director, or designee, shall only be effective as
to the Agreement in relation to the CONTRACTOR(S) to whom the notice is addressed and shall
have no effect on the renewal of the Agreement with respect to all other CONTRACTORS.
The term of this Agreement shall be extended for a period of one (1) year
beginning July 1, 2020 through June 30, 2021.”
2.That the existing COUNTY Agreement No. A-15-248, Page Five (5), beginning with
Paragraph Four (4), Line One (1), with the word “4. COMPENSATION” and ending on Line Nineteen
(19), with the word “CONTRACTORS” be deleted and the following inserted in its place:
“4. COMPENSATION
COUNTY’s Human Services Departments, Department of Public Works and
Planning, Probation Department, Public Defender, and the PUBLIC AUTHORITY agree to pay
CONTRACTORS and CONTRACTORS agree to receive compensation in accordance with
“Compensation Guidelines,” identified in Exhibit D. In no event shall actual services performed under
this Agreement by all CONTRACTORS collectively be in excess of Seven Hundred Twenty-Three
Thousand, Three Hundred Twenty-Four and No/100 Dollars ($723,324.00) for the period of July 1,
2015 through June 30, 2016. For each subsequent twelve (12) month period, in no event shall actual
services performed under this Agreement by all CONTRACTORS collectively be in excess of Seven
Hundred Twenty-Three Thousand, Three Hundred Twenty-Four and No/100 Dollars ($723,324.00).
The cumulative maximum compensation total of this Agreement shall not be in excess of Four Million,
Three Hundred Thirty-Nine Thousand, Nine Hundred Forty-Four and No/100 Dollars ($4,339,944).

Payments by COUNTY shall be in arrears, for services provided during the
preceding month, within forty-five (45) days after receipt, verification, and approval of
CONTRACTORS’ timesheets by each COUNTY Department and PUBLIC AUTHORITY utilizing
CONTRACTOR services. If CONTRACTORS should fail to comply with any provision of the
Agreement, COUNTY shall be relieved of its obligation for further compensation.”
It is understood that all expenses incidental to CONTRACTORS’ performance of
services under this Agreement shall be borne by CONTRACTORS.
3.That all references in existing COUNTY Agreement No. 15-248 to “Exhibit A” or
“Revised Exhibit A” shall be changed to read “Revised Exhibit A1”, where appropriate, attached
hereto and incorporated herein by reference.
4.Except as otherwise provided in this Amendment II, all other provisions of the
Agreement remain unchanged and in full force and effect. This Amendment I shall become effective
upon execution.
