3 THIS AGREEMENT ("Agreement") is made and entered into this 14th day of
4 April , 2020 ("Effective Date"), by and between the COUNTY OF FRESNO, a political
5 subdiv ision of the state of California ("COUNTY"), and E.J. Ward , Inc., a Nevada corporation , whose
6 address is 8620 N. New Braunfels , Suite 200N , San Anton io, TX 78217 ("CONTRACTOR").
7 W I T N E S S E T H:
8 WHEREAS , COUNTY has previously purchased and utilized the Fuel View software system for
9 managing its Fleet fuel sites, and has recently completed an upgrade to the fuel system that includes GPS
1 O tracking services for vehicles ;
11 WHEREAS , COUNTY desires to purchas~ veh icle GPS tracking services , software maintenance ,
12 and physical products and supplies related to the COUNTY's fuel system from CONTRACTOR ;
13 WHEREAS , CONTRACTOR is willing to provide GPS tracking , software maintenance, and
14 services as requested by COUNTY, and subject to the terms and condit ions of this Agreement ; and
15 WHEREAS , COUNTY and CONTRACTOR desire to execute this Agreement for maintenance and
16 support of the E.J. Ward Fuel View software, GPS vehicle tracking services , and supplies related to these
17 systems .
18 NOW, THEREFORE, in consideration of the mutual covenants, terms and conditions herein
19 contained, the parties hereto agree as follows :
20 1. DEFINITIONS :
21 The follow ing terms used throughout this Agreement shall be defined as follows:
22 Change Control Process :
23 Process used by the Information Services Divis ion of COUNTY's Internal Services Department
24 (ISO) to inform staff of new or updated production use systems.
25 County System Hardware:
26 The central processing units owned or leased by COUNTY which are described in this
27 Agreement on which COUNTY is licensed to use the System Software, any back-up equipment
28 for such central processing units, and any peripheral hardware such as terminals , printers , and

1 IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the day and year first
2 hereinabove written.
