2 THIS FIRST AMENDMENT TO MASTER AGREEMENT (hereinafter "Amendment") is made
3 and entered into this_ day of March, 2020, by and between COUNTY OF FRESNO, a Political
4 Subdivision of the State of California, Fresno, California (hereinafter "COUNTY"), and SHAVER LAKE
5 CONSTRUCTION, INC. a California Corporation, whose address is P.O. Box 247, Shaver Lake,
6 California 93664 (hereinafter "CONTRACTOR").
7 WITNESSETH:
8 WHEREAS, COUNTY and CONTRACTORS entered into Agreement number 16-651, dated
9 November 15, 2016 (hereinafter "Agreement"), pursuant to which CONTRACTORS agreed to provide
10 pump and electrical motor service and repair, including on-site repairs and replacement of water and
11 wastewater related items to COUNTY; and
12 WHEREAS, COUNTY and CONTRACTOR now desire to amend the Agreement in order to
13 add Shaver Lake Construction, Inc. to the list of CONTRACTORS.
14 NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of which
15 is hereby acknowledged, COUNTY and CONTRACTOR agree as follows:
16 1.That the existing COUNTY agreement No. 16-651, Exhibit A, located on page twenty
17 (20), is deleted in its entirety and replaced with Revised Exhibit A, attached hereto and incorporated by
18 this reference.
19 2.That the existing COUNTY agreement No. 16-651, add Exhibit C-5 directly behind
20 Exhibits C-1, C-2, C-3 and C-4 located on pages twenty-three (23) through twenty-six (26). Exhibit C-
21 5 is attached hereto and incorporated by this reference.
22 3.COUNTY and CONTRACTOR agree that this Amendment is sufficient to amend the
23 Agreement and, that upon execution of this Amendment, the Agreement and this Amendment together
24 shall be considered the Agreement.
25 4.The Agreement, as hereby amended, is ratified and continued. All provisions, terms,
26 covenants, conditions and promises contained in the Agreement and not amended herein shall remain
27 in full force and effect.
28 5.This Amendment may be executed in any number of counterparts, each of which shall

1 be deemed an original , but all of which together shall const itute one and the same Amendment ,
2 binding on the Parties according to its terms and conditions .
