1 AMENDMENT NO. 2 TO SERVICE AGREEMENT
2 This Amendment No. 2 to Service Agreement ("Amendment No. 2") is dated
3 November 4, 2025 and is between each Contractor listed on Revised Exhibit A-1 to this
4 Amendment (collectively referred as "Contractors"), and the County of Fresno, a political
5 subdivision of the State of California ("County").
6 Recitals
7 A. County has an Agreement with the California State Department of Health Care Services
8 (DHCS) to operate the Fresno County Behavioral Health Plan in accordance with
9 Welfare and Institutions Code Section 5000 et seq. which sets forth County's requirements to
10 provide, to the extent available, public behavioral health services; and
11 B. County is authorized to contract for the provision of inpatient psychiatric hospital
12 services to Fresno County persons served eligible for such services under the Medi-Cal
13 program, pursuant to Sections 14700 et seq. and 14712 et seq. of the California Welfare and
14 Institutions Code and County may also determine the need to refer persons not eligible for
15 Medi-Cal; and
16 C. On June 24, 2025 the County and the Contractors entered into Master Agreement No.
17 25-271 ("Agreement") for inpatient psychiatric hospital services, as amended by county
18 Agreement No. 25-336 (Amendment No. 1) effective July 1, 2025.
19 D. The County and the Contractors now desire to amend the Agreement to add Contractors
20 Bakersfield Behavioral Healthcare Hospital, LLC and Sacramento Behavioral Healthcare
21 Hospital, LLC.
22 The parties therefore agree as follows:
23 1. All references to Revised Exhibit A shall be deemed references to Revised Exhibit A-1.
24 2. All references to Exhibit D subpart shall be deemed references to each Contractors'
25 respective Exhibit D subpart as indicated on Revised Exhibit A-1. Bakersfield Behavioral
26 Healthcare Hospital, LLC's and Sacramento Behavioral Healthcare Hospital, LLC's respective
27 Exhibit D subpart is attached and incorporated by this reference.

1 3. The parties agree that upon execution of this Amendment No. 2, the Agreement is
2 revised, updated, and amended to add Contractors (1) Bakersfield Behavioral Healthcare
3 Hospital, LLC and (2) Sacramento Behavioral Healthcare Hospital, LLC.
4 4. When all parties have signed this Amendment No. 2, the Agreement, Amendment No. 1
5 and this Amendment No. 2 together constitute the Agreement.
6 5. The Contractors represent and warrant to the County that:
7 a. The Contractors are duly authorized and empowered to sign and perform its
8 obligations under this Amendment.
9 b. The individual signing this Amendment on behalf of each Contractor is duly
10 authorized to do so and his or her signature on this Amendment legally binds the
11 Contractor to the terms of this Amendment.
12 6. The parties agree that this Amendment may be executed by electronic signature as
13 provided in this section.
14 a. An "electronic signature" means any symbol or process intended by an individual
15 signing this Amendment to represent their signature, including but not limited to (1) a
16 digital signature; (2) a faxed version of an original handwritten signature; or (3) an
17 electronically scanned and transmitted (for example by PDF document) version of an
18 original handwritten signature.
19 b. Each electronic signature affixed or attached to this Amendment (1) is deemed
20 equivalent to a valid original handwritten signature of the person signing this
21 Amendment for all purposes, including but not limited to evidentiary proof in any
22 administrative or judicial proceeding, and (2) has the same force and effect as the
23 valid original handwritten signature of that person.
24 c. The provisions of this section satisfy the requirements of Civil Code section 1633.5,
25 subdivision (b), in the Uniform Electronic Transaction Act (Civil Code, Division 3, Part
26 2, Title 2.5, beginning with section 1633.1).

1 d. Each party using a digital signature represents that it has undertaken and satisfied
2 the requirements of Government Code section 16.5, subdivision (a), paragraphs (1)
3 through (5), and agrees that each other party may rely upon that representation.
4 e. This Amendment is not conditioned upon the parties conducting the transactions
5 under it by electronic means and either party may sign this Amendment with an
6 original handwritten signature.
7 7. This Amendment may be signed in counterparts, each of which is an original, and all of
8 which together constitute this Amendment.
9 8. The Agreement, as previously amended, and as amended by this Amendment No. 2 is
10 ratified and continued. All provisions of the Agreement, as previously amended, and not
11 amended by this Amendment No. 2 remain in full force and effect. This Amendment No. 2 shall
12 be effective retroactive to July 1, 2025.
