1 AMENDMENT NO. 1 TO SERVICE AGREEMENT
2 This Amendment No. 1 to Service Agreement ("Amendment No. 1") is dated
3 October 21, 2025 and is between Orkin, LLC, a Delaware corporation ("Contractor"), and
4 the County of Fresno, a political subdivision of the State of California ("County").
5 Recitals
6 A. On May 21, 2024, the County and the Contractor entered into County agreement
7 number A-24-223 ("Agreement") for pest management services, inclusive of the County's
8 Integrated Pest Management (IPM) program, for County-maintained properties. These
9 properties include, but are not limited to, office buildings, detention facilities, warehouses,
10 trailers, yards, and other similar facilities.
11 B. In February 2025, the Contractor performed a one-time, large-scale project relating to
12 bird population mitigation at the County's downtown buildings, specifically the Crocker Building.
13 These services are included as additional services ("Additional Services") available under the
14 Agreement, in addition to regularly scheduled services.
15 C. On April 11, 2025, the County and the Contractor mutually agreed in writing to changes
16 to services, consisting of: adding additional buildings to the maintenance schedule, transitioning
17 to botanical oil pesticides instead of Pyrethroid-based pesticides, and covering all spiders,
18 including Black and Brown Widows and Brown Recluse in the standard scheduled services. All
19 these changes were agreed to with no change to the maximum compensation. Said April 11,
20 2025 writing is incorporated herein by reference.
21 D. The County and the Contractor now desire to amend the Agreement to increase the
22 maximum allowable compensation for continued pest management services, due to a higher-
23 than-anticipated need for such services.
24 The parties therefore agree as follows:
25 1. Section 3.2 Maximum Compensation of the Agreement, located on page 5, lines 25
26 through 28, and page 6, lines 1 through 3, is deleted and replaced with the following:
27 "Maximum Compensation. The maximum compensation payable to the
28 Contractor under this Agreement is $750,000 for the initial two-year term ("Initial

1 Term") of this Agreement. In the event this Agreement is extended for its only
2 one-year extension ("Year 3"), the total compensation payable to the Contractor
3 under this Agreement is $1,000,000. In the event the total maximum
4 compensation amount in the Initial Term and/or any optional extension year(s) is
5 not fully expended, the remaining unspent funding amounts shall roll over to each
6 subsequent term's established maximum compensation.
7 2. Section 12.11 Entire Agreement of this Agreement, located on page 14, lines 27 through
8 28, and page 15, lines 1 through 6, is deleted in its entirety and replaced with the following:
9 "Entire Agreement. This Agreement constitutes the entire Agreement between
10 the Contractor and the County with respect to the subject matter hereof and
11 supersedes all previous Agreement negotiations, proposals, commitments,
12 writings, advertisements, publications, and understandings of any nature
13 whatsoever unless expressly included in this Agreement. In the event of any
14 inconsistency in interpreting the documents which constitute this Agreement, the
15 inconsistency shall be resolved by giving precedence in the following order of
16 priority: (1) the text of this Amendment No. 1; (2) the Agreement without its
17 exhibits; and (3) the terms of the exhibits."
18 3. Exhibit A of the Agreement, located on page A-1 through A-11, is deleted in its entirety
19 and replaced with the updated Exhibit A-1 attached hereto and incorporated by this reference.
20 4. When both parties have signed this Amendment No. 1, the Agreement and this
21 Amendment No. 1 together constitute the Agreement.
22 5. The Contractor represents and warrants to the County that:
23 a. The Contractor is duly authorized and empowered to sign and perform its obligations
24 under this Amendment No. 1.
25 b. The individual signing this Amendment No. 1 on behalf of the Contractor is duly
26 authorized to do so and his or her signature on this Amendment No. 1 legally binds
27 the Contractor to the terms of this Amendment No. 1.

1 6. The parties agree that this Amendment No. 1 may be executed by electronic signature
2 as provided in this section.
3 a. An "electronic signature" means any symbol or process intended by an individual
4 signing this Amendment No. 1 to represent their signature, including but not limited
5 to (1) a digital signature; (2) a faxed version of an original handwritten signature; or
6 (3) an electronically scanned and transmitted (for example by PDF document)
7 version of an original handwritten signature.
8 b. Each electronic signature affixed or attached to this Amendment No. 1 (1) is deemed
9 equivalent to a valid original handwritten signature of the person signing this
10 Amendment No. 1 for all purposes, including but not limited to evidentiary proof in
11 any administrative or judicial proceeding, and (2) has the same force and effect as
12 the valid original handwritten signature of that person.
13 c. The provisions of this section satisfy the requirements of Civil Code section 1633.5,
14 subdivision (b), in the Uniform Electronic Transaction Act (Civil Code, Division 3, Part
15 2, Title 2.5, beginning with section 1633.1).
16 d. Each party using a digital signature represents that it has undertaken and satisfied
17 the requirements of Government Code section 16.5, subdivision (a), paragraphs (1)
18 through (5), and agrees that each other party may rely upon that representation.
19 e. This Amendment No. 1 is not conditioned upon the parties conducting the
20 transactions under it by electronic means and either party may sign this Amendment
21 No. 1 with an original handwritten signature.
22 7. This Amendment No. 1 may be signed in counterparts, each of which is an original, and
23 all of which together constitute this Amendment No. 1.
24 8. The Agreement as amended by this Amendment No. 1 is ratified and continued. All
25 provisions of the Agreement and not amended by this Amendment No. 1 remain in full force and
26 effect.
