FIRST AMENDMENT TO TOWER LEASE

THIS FIRST AMENDMENT (hereinafter "Amendment) is made and entered into this Z6~ay of
____,fv"\'-----~=-----+---' 2010, by and between the FRESNO METROPOLITAN FLOOD CONTROL DISTRICT,
5469 E. Olive, Fresno, CA 93 727, hereinafter called DISTRICT, and the COUNTY OF FRESNO, a Political
Subdivision of the State of California, 2220 Tulare Street, 16th Floor, Fresno, CA 93 721-2120, hereinafter
called COUNTY.
WITNESSETH
WHEREAS, DISTRICT and COUNTY entered into a Tower Lease, included as Attachment "A," to
allow COUNTY to install telecommunication equipment on the 170 foot communications tower owned by
DISTRICT, hereinafter referred to as "Tower"; and
WHEREAS, COUNTY desires to add an additional antenna on Tower to expand their
communications abilities; and
WHEREAS, COUNTY has provided DISTRICT a structural analysis attached hereto as Attachment
"B" and incorporated herein, that states its proposed addition to Tower will not cause a negative impact to the
structural integrity of Tower.
NOW, THEREFORE, DISTRICT and COUNTY agree to amend the Tower Lease as follows:
I. ADDITION TO TOWER-DISTRICT consents to COUNTY's proposed addition, identified
as location 5 on the Tower, as shown in Attachment "C," hereto. All additions installed, under this
amendment, by COUNTY, shall be subject to the terms of the Tower Lease.
All other provisions of the Tower Lease are unchanged by this Amendment and shall remain in full force and
effect.

THIS LEASE, made and entered into this gy of~. 2004, by and
between the FRESNO METROPOLITAN FLOOD CONTROL DISTJcT, 5469 Olive,
Fresno, CA 93727, hereinafter called DISTRICT, and the COUNTY OF FRESNO, a Political
Subdivision of the State of California, 2220 Tulare Street, 16th Floor, Fresno, CA 93721-2120,
hereinafter called COUNTY.
WITNES
WHEREAS, DISTRICT has constructed and owns a 170 foot communications tower
located at 5469 East Olive Avenue, Fresno, for the operation of its voice and telemetry
communications systems; and,
WHEREAS, it is the policy of DISTRICT to, in its sole discretion, permit use of the
communication tower by other public entities as shown in Exhibit "A," hereto; and,
WHEREAS, COUNTY proposes to install a COUNTY-owned communication system to
enhance communications ability for Sheriff and emergency medical services, which svstem
shall include a microwave dish and associated equipment utilizing DISTRICT's communication
towsr set forth in Exhibit "B," hereto; and,
WHEREAS, COUNTY proposes to utilize an antenna currently existing on DISTRICT's
tower jointly with DISTRICT's permitted user. the Clovis Pollee Department "CPO"; and,
WHEREAS, DISTRICT presently transmits at 451 MHz and receives at 456 MHz; it ls
envisioned that DISTRICT's telemetry system will operate in the 900 MHz band; and,
WHEREAS, CPO presently transmits at 465.275 MHz; and,
WHEREAS, COUNTY will receive at 953.55 MHz and transmit at 957.15 MHz with the
proposed microwave system; and
WHEREAS. COUNTY desires to enter into an Agreement with DISTRICT for specified
use of DISTRICT's communications tower, all on the terms and conditions hereinafter set forth;
and,

Now. therefore. the DISTRICT and COUNTY agree as follows:
1. AGREEMENT PERMITTING SPECIFIED USE OF COMMUNICATION TOWER;-
3 DISTRICT consents to COUNTY's use of the communication t9wer on the terms and
4 conditions set forth herein, to include those terms and conditions forth in Exhibit "C" hereto.
5 2. REVIEW OF SPECIFIED USE-COUNTY shall submit a written proposal and set
6 forth the plans and specifications of its proposed use (Electronic Site technical Information,
7 System Diagram) set forth in Exhibit "C,n hereto, which shall be limited to installation and
8 operation of a microwave dish and associated equipment to transmit and receive radio signals
9 related to COUNTY's operations. The microwave dish shall receive at 953.55 MHz and
10 transmit at 957.15 MHz, and shall not interfere with DISTRICT's use and/or intended use of
11 DISTRICT's communication tower. DISTRICT consents that the existing Clovis Police
12 Department antenna will be used jointly with COUNTY as approved by CPD's letter of consent,
13 Exhibit "D," hereto. COUNTY shall nat make any changes in such frequency without the prior
14 written approval of DISTRICT. COUNTY shall not be bound by any terms or conditions of the
15 agreement between the Clovis Police Department and DISTRICT. DISTRICT shall, in its sole
16 discretion, review and approve or disapprove any installation proposed. other than that set forth
17 in, Exhibit "C" hereto, by COUNTY.
18 3. EXPENSES RESULTING FROM COUNTY USE OF TOWER-Upon submission
19 of· any proposal by COUNTY to DISTRICT. COUNTY shall pay for the cost of a compatibility
20 analysis to be prepared by a communications consultant approved by the DISTRICT (Exhibit
"E"). Any extra cost related to the use (including utilities), maintenance, repair, modification. or
22 any other situation when extra cost is incurred due to the presence of COUNTY, shall be
23 COUNTY's sole responsibility and expense. All such maintenance and repair and change of

24 use shall require prior approval of DISTRICT, which approval shall not be unreasonably
25 withheld. If in any manner COUNTY damages DISTRICT's equipment or property or adversely
affects DISTRICT's ability to communicate, COUNTY shall immediately correct and pay

reasonable costs and expenses associated with the damages or communication interference.

1 4. This Agreement shall commence on June 1, 2004 and continue in full
2 force and effect until terminated by either party pursuant to Paragraph "5."

4 its sole discretion, to terminate this Agreement at any time upon giving the other party a thirty
5 (30) day written notice. DISTRICT, as determined by DISTRICT in its sole discretion. shari
6 have the right in an emergency situation to terminate this Agreement after giving COUNTY at
7 least a forty-eight (48) hour written notice. DISTRICT shall also have the right to terminate or
8 temporarily suspend this Agreement by giving a fifteen (15) day written notice to COUNTY, if,
9 DISTRICT, in its sole discretion, determines that COUNTY is in breach of any of the provisions
10 bf this Agreement. Upon receipt of any notice of termination, COUNTY shall take whatever
11 action is necessary to cease operations and remove said microwave dish and associated
12 equipment and restore CPD's antenna, the communication tower and other DISTRICT property
13 to its condition prior to COUNTY's installation thereof, less reasonable wear and tear. If
14 COUNTY fails to remove and restore the same within fifteen (15) days of receipt of said notice,
15 DISTRICT and/or CPD may do so at COUNTY's cost and expense.
16 6. -COUNTY shall pay on or about the 51h day of each month a rent of
17 $,75.00 per month so long as this Agreement remains in effect
18 7. INTERFERENCE -In the event any equipment operated by COUNTY causes any
19 interference with or obstruction of any other equipment located at 5469 E Olive Avenue,
20 Fresno, CA, COUNTY will ellminate interference or obstruction within forty-eight (48} hours of
21 written notice from DISTRICT. If the interference or obstruction is not eliminated by COUNTY
22 within forty-eight {48) hours, DISTRICT may order cessation of COUNTY's operation at 5469
23 E. Olive, Fresno, CA, until such time as corrective measures have been taken.

8. EQUIPMENT MAINTENANCE COUNTY shall schedule regular maintenance of
their microwave dish and associated equipment during regular DISTRICT office hours.
DISTRICT shall be given twenty-four (24) hours written notice of any scheduled maintenance.
COUNTY shall schedule any emergency maintenance with a designated DISTRICT
representative.

9. BREACH OF CONTRACT, NON-PERFORMANCE BY DISTRICT-In the event
,DISTRICT neglects, fails or refuses to maintain the tower as herein provided, COUNTY shalf
provide fifteen (15) days prior written notice of any breach in Lease to DISTRICT. If in the
determination of the COUNTY, DISTRICT fails to cure any breach within fifteen (15) days,
COUNTY may either:
A. Terminate this Lease or suspend this Lease In whole or in part or
B. At COUNTY'S sole option, cure any such default by performance of any act.
including payment of money, and subtract the cost thereof plus reasonable
administrative costs from the rent.
In the event of breach by DISTRICT, the COUNTY's sole remedy shall be as set forth
here in. In no event shall any payment by COUNTY constitute a waiver by COUNTY of any
breach of this Lease or any default which may then exist on the part of DISTRICT. COUNTY
shall have the right to demand of DISTRICT the repayment to COUNTY of any funds disbursed
t~ DISTRICT under this Lease, which in the judgment of COUNTY were not expended in
accordance with terms of this DISTRICT shalf promptly refund any such funds upon
15 demand.
16 10. DESTRUCTION OR DAMAGE
17 (a) If the portion of DISTRICT's tower used by COUNTY is damaged by fire,
18 earthquake, act of God, the elements or other casualty, DISTRICT shall, subject to the
19 provisions of this Paragraph 10 promptly repair the damage to its tower, if such repairs can, in

20 DJSTRICT'S opinion, be completed within one hundred and twenty (120) days. If DISTRICT
21 determines that repairs can be completed within one hundred and twenty (120) days and

DISTRICT to make such repairs, this Lease shall remain in full force and effect. except
that the Rent shall be abated to the extent COUNTY'S use of the tower is impaired.
commencing with the date of damage and continuing until completion of the repairs required of
DISTRICT.
{b) If in DISTRICT'S opinion, such repairs to the tower cannot be completed
within one hundred and twenty (120) days, or DISTRICT does not elect to make such repairs,

COUNTY, this shall terminate as of the date of such damage to the tower.
11. DISTRICT at its sole expense shall maintain in full force and effect
during the term of this Lease the following policies of insurance:
a. Commercial General liability insurance with limits of not less than One Million
Dollars ($1 ,000,000) per occurrence and an annual aggregate of not less than Two Million
Dollars ($2,000 ,000). This policy shall be issued on an occurrence basis.
b. All-Risk property insurance and extended coverage on the tower, and shall add
the COUNTY as an additional loss payee thereon as its interests may appear.
Such coverage shall not be changed unless COUNTY has received not less than thir1y
(30) days advance written notice.
COUNTY shall maintain during the term of this Lease the following· policies of
insurance:
a. Commercial General liability insurance with limits of not less than One Miltion
Dollars ($1 ,000,000} per occurrence and an annual aggregate of not less than Two Million
Dollars ($2,000,000). This policy shall be issued on an occurrence basis. Such liability
insurance shall indemnify the COUNTY against loss from liability imposed by law upon, or
assumed under contract by, the COUNTY for damages on account of such injury (including
death), property damage, economic loss, taking of properly, completed operation, and products
liability.
b. All-Risk property insurance covering the personal property of COUNTY.
It is understood that COUNTY may elect to provide all or a portion of such insurance
cqverage through one or more programs of self-insurance.
By its duly authorized representative's signature hereunder, COUNTY certifies that it is
aware of the provisions of Section 3700 of the California Labor Code which requires every
employer to be insured against liability for workers compensation or to undertake self-
insurance in accordance with the provisions of that code, and it will comply with such
provisions before commencing the performance of the work of this agreement.

Prior to execution of this Agreement, COUNTY shall furnish to DISTRICT satisfactory
proof of coverage of the required lnsurance (Certificate of Insurance) which proof shall include
a commitment by the insurer that it will mail notice of any cancellation or reduction of coverage
below the amounts hereinabove required of COUNTY at least thirty {30) days prior to the
effective date of such cancellation or change. An endorsement must accompany the
Certificate of Insurance which specifically includes DSISTRICT, Board of Directors, and .
officers, staff, agents, and volunteers as additionally insured.
12. INDEMNITY· COUNTY agrees to indemnify, save, hold harmless, and at
DISTRICT's request, defend DISTRICT, its officers, agents and employees from any and all
costs and expenses, damages, liabilities, claims and losses occurring or resulting to DISTRICT
in connection with the performance, or failure to perform, by COUNTY, its officers, agents, or
e.mployees under this Agreement, and from any and all costs and expenses, damages,

liabilities. claims and losses occurring or resulting to any person, firm or corporation who may
be injured or damaged by the performance, or failure to perform, of COUNTY, its officers,
agents or employees under this Agreement

13. NON-FUNDING, TERMINATION The term of this lease is contingent on the
approval of funds by the appropriating governmental agency. Should funds not be allocated,
this Lease may be terminated by the Board of Supervisors or the County Administrative Officer

or his/her designee at any time by giving at least thirty (30) days prior written notice to
DISTRICT.
14. :.._:.::_..:..:._;;~= -It is mutually understood and agreed that any equipment, fixtures or
apparatus installed on tower by COUNTY shall continue to be the property of COUNTY and
shall be removed by COUNTY without recourse at the expiration of tenancy. COUNTY shall
repair damage caused by the removal of fixtures. Any fixtures not removed shall become the
property of DISTRICT.

15. VENUE/GOVERNING LAW-Venue for any action arising out of or relating to this

12 17. TIME OF THE ESSENCE -It is expressly declared that, for purposes of this
13 Agreement, time is of the essence.
14 18. WAIVER -The waiver of any breach of this Agreement by either party hereto shall
15 not constitute a continuing waiver or a waiver of any subsequent breach either of the same or
16 another provision of this Agreement.
17 19. NON-ASSIGNABILITY-This Agreement is personal to DISTRICT and COUNTY
18 and may not be assigned to any other entity without prior express written consent of the
19 DISTRICT, as determined within lts sole discretion.

21. AMENDMENT -The terms, covenants. and conditions of this Agreement may not
be altered, changed, or modified except by a writing signed by both parties hereto.

Except to the extent that CPO is given express rights hereunder, the matters set forth
herein are for the sole benefits of DISTRICT and COUNTY, and there are no third party
!beneficiaries hereto, expressed or implied.
This Agreement shall be binding on and inure to the benefit of DISTRICT'S heirs,
successor and assigns.

AUTHORIZATION/PURPOSE

As authorized by Howell Communications an analysis of the 165 ft self-support tower at the Fresno
Metropolitan Flood Control District site in Fresno, California has been performed to detennine the
structural adeqilacy of the tower to support the existing and proposed loading.
TOWER HISTORY
The thrc:e-sided 165ft. self-support tower was manufactured by Tri-Ex Towers. The tower is constructed of
(6) 20' sections and with pipe legs and single angle X-braced diagonals and (2} 20' sections with solid rod
legs and solid rpd K-brace diagonallfand (1) S' sections with solid rod legs and solid rod K-br~ce
diagonals. Sections are connected with bolted flanges welded to the each tower leg. Allsingle angle
diagonal and horizontal angle braces have bolted connections. Solid rod diagonal and horizontal members
are welded to the tower legs. The tower has a climb ladder with a safety climb device mounted to tlte tower
leg. The tower is galvanized and has no apparent signs of rust or corrosion.
PROPOSED AND EXISTING APPURTENCES
The analysis was performed to determine the feasibility of the tower to support the following existing and
proposed antenna loads: (see attached elevation drawing)
ANALYSIS CRITERIA
The fuwer analysis is based on the current TIAIEJA-222-G revision of the .. Structural Standards for Steel
Antenna Towers and Antenna Support Structures" using a basic wind speed of 85 mph. 3 second gust with
no ice . .Steel grade for tower legs is assumed to SO ksi and angle braces are assu.nied to 36 ksL Tri-Ex
Tower drawings provided the tower geometry and member size information. The existing loading and line
information was provided by a Tashjian Towers site visit. Howel1 Communications provided proposed
antenna and line information. It is assumed that there are no appreciably damaged members and
connections.
ANALYSIS PROCEDURE
The tower was analyzed using the 3-dimensional non-linear analysis software RISA Tower, Version 5.3
formerly ERI Tower. This software is created speqificaUy to analyze communication towers and is the
latest program available commercially. The tower was analyzed as a 165 ft. self support tower under
existing and proposed loads.
ANALYSIS RESULTS
The tower with specified equipment is adequate to retain the design wind load rating of &.S mph, 3 second gust
per the TIAIEIA 222 Revision G. The tower with existing and proposed loading is at 98.9% of its capacity. See
the output summary.

The deflections are calculated for the Service Wind of 60 mph. The critical deflections table shows sway
and tilt· deformations at elevations where appurtenances are mounted. The allowable defonnation is based
on the I OdB degradation criteria.

CONCLUSIONS AND RECOMMENDATIONS
Based on the preceding results, the following conclusions may be drawn:
The existing tower is adequate to support the current and proposed loading at 98.9% of Its capacity using
the design wind load rating of 85 mph, 3 second gust with no ice per the TIAIEIA 222 Revision G.
PROVISIONS OF ANALYSIS
The analysis performed and the conclusions contained herein are based on the assumption that the tower has
been properly installed and maintained, including, but not limited to the following:
a. Proper alignment and plumbness of tho tower.
b. Correct bolt tightness.
c. No significant deterioration or damage to any component.
Furthermore, the information and conclusions contained in this Report were determined by application of the
cutTtint "state-of-the-art" engineering and !IDBiysis procedures and formume, and the engineer assumes no
obligations to revise any of the information or conclusions contained in this Report in the event that such
engineering and analysis procedures and formulae are hereafter modified or revised. In addition, under no
circumstances will the engineer have any obligation or responsibility whatsoever· for or on account of
consequential or incidental damages sustained by any person, fum or organization as a resu1t of any
information or conclusions contained in the Report, and the maximum liability of engineer if any, pursuant to
tbis R~port shall be limited to the total funds actually received by the engineer for preparation of this Report.
Customer has requested 1he engineer to prepare and submit to Customer an engineering analysis with respect to
the Subject Tower and has further requested the engineer to make appropriate recommendations regarding
suggeSted structural modifications and changes to the Subject Tower. In making such request of the engineer,
Customer has informed the engineer that Customer will make a determination as· to whether or not to
implement any of the changes or modifications which may be suggested by the engineer and that Customer wiU
have any such changes or modifications made by riggers, erectors and other subcontractors of Customer's
choice.
Customer hereby agrees and acknowledges that the engineer shall have no liability whatsoever to Customer
or to others for any work or services performed by any persons other than the engineer in connection with
the Implementation of any structural changes or modifications recommended by the engineer including but
not limited· to any serV-ices rendered for Customer or for others by riggers, erectors or other subcontractors.
