1 AMENDMENT I TO AGREEMENT
2 THIS AMENDMENT, hereinafter referred to as Amendment I, is made and entered into
3 September 23, 2025 by and between the COUNTY OF FRESNO, a Political
4 Subdivision of the State of California, hereinafter referred to as "COUNTY," and Bonterra Tech LLC,
5 a corporation, whose address is 10801-2 N Mopac Expressway, Suite 300, Austin, Texas 78759,
6 hereinafter referred to as "CONTRACTOR."
7 Recitals
8 A. On June 7, 2022, the County Department of Social services referred to as "COUNTY",
9 entered into that certain Agreement, identified as COUNTY Agreement No. A-22-239
10 whereby the CONTRACTOR agreed to provide Software as a Service (SaaS) solution for
11 County-contracted Child Abuse Prevention service providers to manage, track, and
12 document program-related services; and to also allow the COUNTY the capacity to query
13 management and program outcome data from the provision of these services.
14 B. On June 26, 2025 the parties identified the need to amend the Agreement, currently
15 referred to as A-22-239, to update the CONTRACTOR's name to Bonterra Tech LLC.
16 C. The parties therefore agree to amend the Agreement as follows:
17 1. All references in the existing Agreement to "Social Solutions Global, Inc" shall be
18 changed to read "Bonterra Tech LLC":
19 2. COUNTY and CONTRACTOR agree that this Amendment I is sufficient to amend
20 Agreement No. A-23-239 and, that upon execution of this Amendment I, the original Agreement, shall
21 together be considered the Agreement.
22 The Agreement, as hereby amended, is ratified and continued. All provisions, terms,
23 covenants, conditions and promises contained in this Agreement not amended herein shall remain in
24 full force and effect. This Amendment I shall become retroactively effective as of December 31, 2024.
25 IN WITNESS WHEREOF, the parties hereto have executed this Amendment I to Agreement as
26 of the day and year first herein above written.
