1 AMENDMENT NO. 2 TO SERVICE AGREEMENT
2 This Amendment No. 2 to Service Agreement ("Amendment No. 2") is dated September
3 8,2025 and is between Hands On Central California, a California nonprofit public benefit
4 corporation ("Contractor"), and the County of Fresno, a political subdivision of the State of
5 California ("County").
6 Recitals
7 A. On July 8, 2024, the County and the Contractor entered into County agreement number
8 P-24-393 ("Agreement") for mentoring services for participants within the guidelines of the
9 Justice Assistance Grant (JAG)Ault Reentry Planning Program (ARPP). As established by the
10 JAG Grant, the County will provide mentoring services to JAG ARPP participants, in order to
11 facilitate successful reentry into the community.
12 B. On November 15, 2024, the County and the Contractor entered into Amendment No. 1
13 to Service Agreement, to revise the Agreement to accurately reflect the hourly rate and the
14 actual number of employees providing mentoring services, in order to ensure compliance with
15 JAG Grant Agreement requirements.
16 C. Over the course of administering the JAG ARRP, it has become apparent that expanding
17 outreach and services will significantly support the program's goal of reducing gang activity and
18 increasing public safety. Therefore, the County desires to expand the ARPP by increasing the
19 participant age group, from 18-30 years of age to 18-40 years of age. This expansion will allow
20 the program to serve a larger population and maximize available grant funding before the end of
21 the JAG grant term.
22 D. The County and the Contractor now desire to further amend the Agreement to expand
23 the program and participant age group to 18-40 years of age.
24 The parties therefore agree as follows:
25 1. Recital D. of the Agreement, as previously amended and located at page 1, lines 16-23
26 is deleted in its entirety and replaced with the following:
27 "D. In order to fulfill grant goals required by the JAG Grant Agreement, the
28 County needs mentoring services for participants within the guidelines of the JAG

1 Adult Reentry Planning Program (ARPP). ARPP provides supportive services
2 such as mentoring for individuals committed to Fresno County Jail for at least
3 sixty days and/or on current supervision, from 18-40 years of age, affiliated or
4 previously affiliated with a gang, with a medium to high risk to reoffend, for up to
5 six months after release from custody. The goal of ARPP is to facilitate
6 successful reentry into the community after release from custody, thereby
7 reducing gang activity and increasing public safety."
8 2. Paragraph 1 of Exhibit A, Scope of Work, is deleted in its entirety and replaced with the
9 following:
10 "The Contractor shall provide mentoring services to participants in the ARPP.
11 The participants in the ARPP are individuals who have been committed to the
12 Fresno County Jail for a minimum of sixty days and/or are on current supervision,
13 18-40 years of age, affiliated or previously affiliated with a gang, and at a medium
14 or high risk to reoffend. Mentoring is one of the supportive services offered to
15 ARPP participants. The goal of these mentoring services is to work in conjunction
16 with the Probation Department, a case manager, and family members to prepare
17 the participants for life after release from custody so that they can lead
18 productive lives and not re-enter the criminal justice system."
19 3. When both parties have signed this Amendment No. 2, the Agreement, Amendment No.
20 1, and this Amendment No. 2 together constitute the Agreement.
21 4. The Contractor represents and warrants to the County that:
22 a. The Contractor is duly authorized and empowered to sign and perform its obligations
23 under this Amendment No. 2.
24 b. The individual signing this Amendment No. 2 on behalf of the Contractor is duly
25 authorized to do so and his or her signature on this Amendment No. 2 legally binds
26 the Contractor to the terms of this Amendment No. 2.
27 5. The parties agree that this Amendment No. 2 may be executed by electronic signature
28 as provided in this section.

1 a. An "electronic signature" means any symbol or process intended by an individual
2 signing this Amendment No. 2 to represent their signature, including but not limited
3 to (1) a digital signature; (2) a faxed version of an original handwritten signature; or
4 (3) an electronically scanned and transmitted (for example by PDF document)
5 version of an original handwritten signature.
6 b. Each electronic signature affixed or attached to this Amendment No. 2 (1) is deemed
7 equivalent to a valid original handwritten signature of the person signing this
8 Amendment No. 2 for all purposes, including but not limited to evidentiary proof in
9 any administrative or judicial proceeding, and (2) has the same force and effect as
10 the valid original handwritten signature of that person.
11 c. The provisions of this section satisfy the requirements of Civil Code section 1633.5,
12 subdivision (b), in the Uniform Electronic Transaction Act (Civil Code, Division 3, Part
13 2, Title 2.5, beginning with section 1633.1).
14 d. Each party using a digital signature represents that it has undertaken and satisfied
15 the requirements of Government Code section 16.5, subdivision (a), paragraphs (1)
16 through (5), and agrees that each other party may rely upon that representation.
17 e. This Amendment No. 2 is not conditioned upon the parties conducting the
18 transactions under it by electronic means and either party may sign this Amendment
19 No. 2 with an original handwritten signature.
20 6. This Amendment No. 2 may be signed in counterparts, each of which is an original, and
21 all of which together constitute this Amendment No. 2.
22 7. The Agreement as previously amended and as amended by this Amendment No. 2 is
23 ratified and continued. All provisions of the Agreement as previously amended, and not
24 amended by this Amendment No. 2 remain in full force and effect.
