HomeMy WebLinkAboutAgreement A-25-411 Amendment No. 2 to Agreement with Iran Barrera.pdf Agreement No. 25-411 1 AMENDMENT NO. 2 TO SERVICE AGREEMENT 2 This Amendment No. 2 to Service Agreement ("Amendment No. 2") is dated 3 August 19, 2025 and is between Iran Barrera, a sole proprietorship ("Contractor"), and 4 the County of Fresno, a political subdivision of the State of California ("County"). 5 Recitals 6 A. On December 13, 2022, the County and the Contractor entered into an agreement for 7 evaluation services, County Agreement Number 22-566 ("Agreement"), for evaluation of the 8 California Reducing Disparities Project (CRDP) — Evolutions Innovation (INN) Pilot Project. 9 B. On June 18th, 2024, the County executed Amendment No. 1 to the Agreement to 10 increase the maximum by $180,000 to a total of$380,000 and to extend the term of the 11 Agreement. 12 C. The County and the Contractor now desire to further amend the Agreement to remove 13 the existing method of compensation based on Budget Line-Item expenditures and instead, 14 compensate the Contractor based on the completion and acceptance of specified deliverables 15 as further described in this Amendment. 16 The parties therefore agree as follows: 17 1. All references to Exhibit C shall be deemed references to "Revised Exhibit C." Revised 18 Exhibit C is attached incorporated by this reference. 19 2. Section 3.3 of the Agreement, beginning on Page 3, Lines 21 through 26 is deleted and 20 replaced with the following: 21 "3.3 Invoices. The Contractor shall submit invoices to 1) 22 DBriinvoiceKeview(a�fresnocountyca..q , 2) 23 Invoices(a�fresnocountyca.gov, and 3) the assigned DBH Staff Analyst. No 24 reimbursement for costs incurred by the Contractor for services delivered under 25 this Agreement shall be made until the milestones are completed, invoice and 26 supporting documentation is received, and are verified and approved by County's 27 DBH. 28 1 1 3. Section 3.6 of the Agreement, beginning on Page 4, Lines 20 through 22 is deleted in its 2 entirety. 3 4. Section 17.1 of the Agreement, beginning on Page 16, Lines 15 through 22 is deleted in 4 its entirety. 5 5. When both parties have signed this Amendment No. 2, the Agreement, Amendment No. 6 1, and this Amendment No. 2 together constitute the Agreement. 7 6. The Contractor represents and warrants to the County that: 8 a. The Contractor is duly authorized and empowered to sign and perform its obligations 9 under this Amendment. 10 b. The individual signing this Amendment on behalf of the Contractor is duly authorized 11 to do so and his or her signature on this Amendment legally binds the Contractor to 12 the terms of this Amendment. 13 7. The parties agree that this Amendment may be executed by electronic signature as 14 provided in this section. 15 a. An "electronic signature" means any symbol or process intended by an individual 16 signing this Amendment to represent their signature, including but not limited to (1) a 17 digital signature; (2) a faxed version of an original handwritten signature; or (3) an 18 electronically scanned and transmitted (for example by PDF document) version of an 19 original handwritten signature. 20 b. Each electronic signature affixed or attached to this Amendment (1) is deemed 21 equivalent to a valid original handwritten signature of the person signing this 22 Amendment for all purposes, including but not limited to evidentiary proof in any 23 administrative or judicial proceeding, and (2) has the same force and effect as the 24 valid original handwritten signature of that person. 25 c. The provisions of this section satisfy the requirements of Civil Code section 1633.5, 26 subdivision (b), in the Uniform Electronic Transaction Act (Civil Code, Division 3, Part 27 2, Title 2.5, beginning with section 1633.1). 28 2 1 d. Each party using a digital signature represents that it has undertaken and satisfied 2 the requirements of Government Code section 16.5, subdivision (a), paragraphs (1) 3 through (5), and agrees that each other party may rely upon that representation. 4 e. This Amendment is not conditioned upon the parties conducting the transactions 5 under it by electronic means and either party may sign this Amendment with an 6 original handwritten signature. 7 8. This Amendment may be signed in counterparts, each of which is an original, and all of 8 which together constitute this Amendment. 9 9. The Agreement as previously amended and as amended by this Amendment No. 2 is 10 ratified and continued.
