The County of Fresno desires to extend this contract for an additional 3-Year Period effective January 1, 2026 through December 31, 2028. Prices will be firm for the contract period. Amendment provisions shall remain in full force and effect with any contract renewals. Include services in accordance with the Revised Attachment"A". Maximum: The County of Fresno desires to increase this Agreement in the amount of one hundred forty- two thousand ninety-eight dollars and zero cents ($142,098.00). In no event shall services performed and/or fees paid under this Agreement be in excess of one hundred fifty-one thousand six hundred and thirty-eight dollars and zero cents ($151,638.00). Electronic Signatures. The parties agree that this Agreement may be executed by electronic signature as provided in this section. A. An "electronic signature" means any symbol or process intended by an individual signing this Agreement to represent their signature, including but not limited to (1) a digital signature; (2) a faxed version of an original handwritten signature; or(3) an electronically scanned and transmitted (for example by PDF document) of a handwritten signature. B. Each electronic signature affixed or attached to this Agreement (1) is deemed equivalent to a valid original handwritten signature of the person signing this Agreement for all purposes, including but not limited to evidentiary proof in any administrative or judicial proceeding, and (2) has the same force and effect as the valid original handwritten signature of that person. C. The provisions of this section satisfy the requirements of Civil Code section 1633.5, subdivision (b), in the Uniform Electronic Transaction Act (Civil Code, Division 3, Part 2, Title 2.5, beginning with section 1633.1). D. Each party using a digital signature represents that it has undertaken and satisfied the requirements of Government Code section 16.5, subdivision (a), paragraphs (1)through (5), and agrees that each other party may rely upon that representation. This Agreement is not conditioned upon the parties conducting the transactions under it by electronic means and either party may sign this Agreement with an original handwritten signature. The County also requires two technicians to operate and troubleshoot video and audio equipment and ensure the successful live broadcast and streaming of the Board of Supervisors meetings. Also, the County owns a "conference in a box" video production system and requires assessment of the equipment and training for their staff to operate it. Proposal Community Media Access Collaborative (CMAC) will provide the following: TV Channel Management Services • Broadcasting equipment in CMAC's master control room to maintain functioning signals for the County's TV channels on Comcast Xfinity and AT&T Uverse. Will liaise with cable companies to relocate channel point-of-origin. • Equipment to deliver a live stream and video on-demand internet channel that mirrors the County's television channel. • Broadcasting equipment to transport signals from the Hall of Records to CMAC's master control room. • Record and playback of all Board of Supervisors meetings. • English closed captioning for Board of Supervisors meetings. Other languages may be available for an additional fee. • Online software and instructions for County staff to upload and schedule additional video content for channel playback as desired. • Will send an annual invoice for TV Channel Management Services. Technicians for Board of Supervisors Meetings • Arrive one hour prior to the beginning of each requested meeting. • Operate video/audio equipment provided by the County. If additional equipment is needed, requested, and available, we can supply it. A rental fee may apply depending on the type and amount of equipment requested. • Setup and monitor live streaming encoders. • Setup and monitor video recording decks. • Live switch sources such as cameras and computers. Revised Attachment "A" • Troubleshoot any video or audio issues that may occur in the chambers, including Q-Sys, Blackmagic, and Granicus systems. • Alert County employees of issues beyond the scope of CMAC's responsibilities. • Send quarterly invoices for hours worked. Technicians to Operate the "Conference in a Box" for Events • Arrive one hour prior to the beginning of each requested event • Operate video/audio equipment provided by the County. If additional equipment is needed, requested, and available, we can supply it. A rental fee may apply depending on the type and amount of equipment requested. • Setup and monitor live streaming encoders. • Setup and monitor video recording decks. • Live switch sources such as cameras and computers. • Troubleshoot any video or audio issues that may occur on location. • Alert County employees of issues beyond the scope of CMAC's responsibilities. • Send invoices for hours worked on a per event basis. "Conference in a Box" Equipment Assessment and Training • Assess the working order of the County's existing "conference in a box" video and audio system. • Make recommendations for repair, replacement, or reconfiguration of existing equipment. • Create a training curriculum for the system. • Conduct a one-day training session for County staff. • Send one invoice at the completion of the assessment and training. The County of Fresno wil provide the following: • Own and provide the necessary video and audio equipment in the meeting chambers, including but not limited to: cameras, video switcher, video encoders/decoders, computers, monitors, recording decks, audio mixers, microphones, internet connection, and cabling. • Own and provide the necessary video and audio equipment in the "conference in a box" system. • Provide CMAC with the required access and documentation to operate, configure, and troubleshoot the County's video and audio equipment. This may require occasional meetings with County IT employees. Meeting time will be billed on a per person per hour basis. • Request additional equipment from CMAC as needed and pay rental fees Revised Attachment "A" • Provide parking passes as needed at the meeting or event locations (Hall of Records, etc) • Contact CMAC to request meeting or event coverage with at least 1-2 weeks of advance notice. Compensation TV Channel Management Services • One-time equipment setup and deployment, liaise with cable cos = 60 hours x $90 =$5,400 • Annual labor for channel scheduling and maintenance = 146 hours x $90 = $13,140 • Annual broadcast equipment rental cost: $3,545 • Current Year Total (1/1/25-12/31/25): $13,743 • Extension Year 1 Total: $16,685 • Extension Year 2 Total: $16,685 • Extension Year 3 Total: $16,685 Technicians for Board of Supervisors Meetings • 22 regular meetings x 4 hours x 2 techs = 176 hours • 2 budget hearings x 4 hours x 2 techs = 16 hours • 5 special meetings x 2 hours x 2 techs = 20 hours • Annual total (Starting 1/1/25): 212 hours x $90 per hour = $19,080 Technicians for Event Coverage • $90 per hour per technician per event x Estimated 4 events annually x Estimated 6 hours/event = $2160 annually (Beginning 1/1/26) "Conference in a Box" Equipment Assessment and Training • Equipment Assessment: 8 hours x 2 techs = 16 hours • Equipment Maintenance/Reconfiguration: 8 hours x 2 techs = 16 hours • Training Curriculum Development: 8 hours x 1 tech = 8 hours • Training Session: 8 hours x 2 techs = 16 hours • One-time total 1/1/26-12/31/26: 56 x $90 = $5,040 Term Length and Conclusion To make this partnership a success, we would request an initial agreement term of 3 years for the TV Channel Management Services.
