HomeMy WebLinkAboutAgreement A-25-341 Amendment No. 2 to Master Agreement.pdf Agreement No. 25-341 1 AMENDMENT NO. 2 TO MASTER AGREEMENT FOR THE PROVISION OF SPECIALTY AND 2 PRIMARY PROFESSIONAL MEDICAL SERVICES AND EMERGENCY CARE 3 This Amendment No. 2 to Master Agreement for the Provision of Specialty and Primary 4 Professional Medical Services and Emergency Care ("Agreement No. 19-444") is entered into this 5 81" day of July , 2025, by and between the COUNTY OF FRESNO, a political subdivision of the 6 State of California, hereinafter referred to as "COUNTY" and each CONTRACTOR/S listed in 7 Amendment 2 to Exhibit 1 "List of Contractors" (attached hereto and by this reference incorporated 8 herein), and collectively herein referred to as "CONTRACTOR/S". COUNTY and CONTRACTOR/S are 9 referred to herein, collectively, as "Parties" or"Party" individually. 10 Recitals 11 A. COUNTY, under Welfare and Institutions Code section 17000, is responsible for the provision of 12 medically necessary services to avoid suffering or endangerment to life or health to indigent lawful 13 residents, who are not otherwise relieved by their family and friends, by their own means or by state 14 hospitals or other state or private institutions, and thereby has adopted a Medically Indigent Services 15 Program "MISP" for eligible individuals hereinafter referred to as "MISP beneficiaries"; and 16 B. COUNTY desires to make available to MISP beneficiaries certain specialty and adult primary 17 professional medical services, and emergency care "Professional Medical Services" as listed in Exhibit 18 3 of Agreement No. 19-444, which is herein referred to as "Agreement"; 19 C. On September 10, 2019, the COUNTY and CONTRACTOR/S entered into the Master 20 Agreement for the Provision of Specialty and Primary Professional Medical Services and Emergency 21 Care, which is County agreement number 19-444; and 22 D. The COUNTY and the CONTRACTOR/S now desire to amend the Agreement to add Contractor 23 United Health Centers of the San Joaquin Valley. 24 The parties therefore agree as follows: 25 1. All references to Exhibit 1 shall be deemed references to Amendment 2 to Exhibit 1, which is 26 attached and incorporated by this reference herein. 27 2. When both Parties have signed this Amendment No 2, the Agreement and this Amendment No. 28 2 together constitute the Agreement. 1 3. The CONTRACTOR/S represents and warrants to the COUNTY that: 2 a. The CONTRACTOR/S is duly authorized and empowered to sign and perform its obligations 3 under this Amendment. 4 b. The individual signing this Amendment on behalf of the CONTRACTOR/S is duly authorized 5 to do so and his or her signature on this Amendment legally binds the CONTRACTOR to the 6 terms of this Amendment. 7 4. The Agreement as amended by this Amendment No. 2 is ratified and continued.
