TERM: This Agreement shall become effective July 1, 2025 and shall remain in effect through June 30, 2026. EXTENSION: This Agreement may be extended for two (2) additional one (1)year periods by the mutual written consent of all parties. MINIMUM ORDERS: Unless stated otherwise there shall be no minimum order quantity. The County reserves the right to increase or decrease orders or quantities. CONTRACTOR'S SERVICES: Contractor shall perform the services as described in Attachment"A" attached, at the rates set forth in Attachment"A". ORDERS: Orders will be placed on an as-needed basis by The County Administrative Office under this contract. PRICES: Prices shall be firm for the contract period. MAXIMUM: In no event shall services performed and/or fees paid under this Agreement be in excess of Ninety-One Thousand One Hundred Forty Dollars ($91,140.00). ADDITIONAL ITEMS: The County reserves the right to negotiate additional items to this Agreement as deemed necessary. Such additions shall be made in writing and signed by both parties. DELIVERY: The F.O.B. Point shall be the destination within the County of Fresno. All orders shall be delivered complete as specified. All orders placed before Agreement expiration shall be honored under the terms and conditions of this Agreement. DEFAULT: In case of default by Contractor, the County may procure the articles/services from another source and may recover the loss occasioned thereby from any unpaid balance due the Contractor or by any other legal means available to the County. The prices paid by County shall be considered the prevailing market price at the time such purchase is made. Inspection of deliveries or offers for delivery, which do not meet specifications, will be at the expense of Contractor. The Agreement number must appear on all shipping documents and invoices. Invoice terms shall be Net 45 Days. INVOICE TERMS: Net forty-five (45) days from the receipt of invoice. TERMINATION: The County reserves the right to terminate this Agreement upon thirty (30) days written notice to the Contractor. In the event of such termination, the Contractor shall be paid for satisfactory services or supplies provided to the date of termination. LAWS AND REGULATIONS: The Contractor shall comply with all laws, rules and regulations whether they be Federal, State or municipal, which may be applicable to Contractor's business, equipment and personnel engaged in service covered by this Agreement. AUDITS AND RETENTION: Terms and conditions set forth in the agreement associated with the purchased goods are incorporated herein by reference. In addition, the Contractor shall maintain in good and legible condition all books, documents, papers, data files and other records related to its performance under this contract. Such records shall be complete and available to Fresno County, the State of California, the federal government or their duly authorized representatives for the purpose of audit, examination, or copying during the term of the contract and for a period of at least three years following the County's final payment under the contract or until conclusion of any pending matter(e.g., litigation or audit), whichever is later. Such records must be retained in the manner described above until all pending matters are closed. LIABILITY: The Contractor agrees to: Pay all claims for damage to property in any manner arising from Contractor's operations under this Agreement. Indemnify, save and hold harmless, and at County's request defend the County, its officers, agents and employees from any and all claims for damage or other liability, including costs, expenses (including attorney's fees and costs), causes of action, claims or judgments resulting out of or in any way connected with Contractor's performance or failure to perform by Contractor, its agents, officers or employees under this Agreement, and from any and all costs and expenses (including attorney's fees and costs), damages, liabilities, claims, and losses occurring or resulting to any person, firm or corporation who may be injured or damaged by the performance, or failure to perform, of Contractor, its officers, agents, or employees under this Agreement. INSURANCE REQUIREMENTS: Without limiting the County's right to obtain indemnification from the Contractor or any third parties, Contractor, at its sole expense, shall maintain in full force and effect the following insurance policies throughout the term of this Agreement. a) Commercial General Liability. Commercial general liability insurance with limits of not less than Two Million Dollars ($2,000,000) per occurrence and an annual aggregate of Four Million Dollars ($4,000,000). This policy must be issued on a per occurrence basis. Coverage must include products, completed operations, property damage, bodily injury, personal injury, and advertising injury. The Contractor shall obtain an endorsement to this policy naming the County of Fresno, its officers, agents, employees, and volunteers, individually and collectively, as additional insureds, but only insofar as the operations under this Agreement are concerned. Such coverage for additional insureds will apply as primary insurance and any other insurance, or self-insurance, maintained by the County is excess only and not contributing with insurance provided under the Contractor's policy. b) Automobile Liability. Automobile liability insurance with limits of not less than One Million Dollars ($1,000,000) per occurrence for bodily injury and for property damages. Coverage must include any auto used in connection with this Agreement. Workers compensation insurance as required by the laws of the State of California with statutory limits. d) Employer's Liability. Employer's liability insurance with limits of not less than One Million Dollars ($1,000,000) per occurrence for bodily injury and for disease. e) Professional Liability. Professional liability insurance with limits of not less than One Million Dollars ($1,000,000) per occurrence and an annual aggregate of Three Million Dollars ($3,000,000). If this is a claims-made policy, then (1)the retroactive date must be prior to the date on which services began under this Agreement; (2) the Contractor shall maintain the policy and provide to the County annual evidence of insurance for not less than five years after completion of services under this Agreement; and (3) if the policy is canceled or not renewed, and not replaced with another claims-made policy with a retroactive date prior to the date on which services begin under this Agreement, then the Contractor shall purchase extended reporting coverage on its claims-made policy for a minimum of five years after completion of services under this Agreement. If the Contractor is a governmental entity, it may satisfy the policy requirements above through a program of self-insurance, including an insurance pooling arrangement or joint exercise of powers agreement. ADDITIONAL REQUIREMENTS: a) Verification of Coverage. Within 30 days after the Contractor signs this Agreement, and at any time during the term of this Agreement as requested by the County's Risk Manager or the County Administrative Office, the Contractor shall deliver, or cause its broker or producer to deliver, to the County Risk Manager, at 2220 Tulare Street, 16th Floor, Fresno, California 93721, or HRRiskManagement@fresnocountyca.gov, and by mail or email to the person identified to receive notices under this Agreement, certificates of insurance and endorsements for all of the coverages required under this Agreement. Each insurance certificate must state that: (1) the insurance coverage has been obtained and is in full force; (2) the County, its officers, agents, employees, and volunteers are not responsible for any premiums on the policy; and (3) the Contractor has waived its right to recover from the County, its officers, agents, employees, and volunteers any amounts paid under any insurance policy required by this Agreement and that waiver does not invalidate the insurance policy. The commercial general liability insurance certificate must also state, and include an endorsement, that the County of Fresno, its officers, agents, employees, and volunteers, individually and collectively, are additional insureds insofar as the operations under this Agreement are concerned. The commercial general liability insurance certificate must also state that the coverage shall apply as primary insurance and any other insurance, or self- insurance, maintained by the County shall be excess only and not contributing with insurance provided under the Contractor's policy. The automobile liability insurance certificate must state that the policy covers any auto used in connection with this Agreement. The professional liability insurance certificate, if it is a claims-made policy, must also state the retroactive date of the policy, which must be prior to the date on which services began under this Agreement. b) Acceptability of Insurers. All insurance policies required under this Agreement must be issued by admitted insurers licensed to do business in the State of California and possessing at all times during the term of this Agreement an A.M. For each insurance policy required under this Agreement, the Contractor shall provide to the County, or ensure that the policy requires the insurer to provide to the County, written notice of any cancellation or change in the policy as required in this paragraph. For cancellation of the policy for nonpayment of premium, the Contractor shall, or shall cause the insurer to, provide written notice to the County not less than 10 days in advance of cancellation. For cancellation of the policy for any other reason, and for any other change to the policy, the Contractor shall, or shall cause the insurer to, provide written notice to the County not less than 30 days in advance of cancellation or change. The County in its sole discretion may determine that the failure of the Contractor or its insurer to timely provide a written notice required by this paragraph is a breach of this Agreement. d) County's Entitlement to Greater Coverage. If the Contractor has or obtains insurance with broader coverage, higher limits, or both, than what is required under this Agreement, then the County requires and is entitled to the broader coverage, higher limits, or both. To that end, the Contractor shall deliver, or cause its broker or producer to deliver, to the County's Risk Manager certificates of insurance and endorsements for all of the coverages that have such broader coverage, higher limits, or both, as required under this Agreement. e) Waiver of Subrogation. The Contractor waives any right to recover from the County, its officers, agents, employees, and volunteers any amounts paid under the policy of worker's compensation insurance required by this Agreement. The Contractor is solely responsible to obtain any policy endorsement that may be necessary to accomplish that waiver, but the Contractor's waiver of subrogation under this paragraph is effective whether or not the Contractor obtains such an endorsement. f) County's Remedy for Contractor's Failure to Maintain. If the Contractor fails to keep in effect at all times any insurance coverage required under this Agreement, the County may, in addition to any other remedies it may have, suspend or terminate this Agreement upon the occurrence of that failure, or purchase such insurance coverage, and charge the cost of that coverage to the Contractor. The County may offset such charges against any amounts owed by the County to the Contractor under this Agreement. g) Subcontractors. The Contractor shall require and verify that all subcontractors used by the Contractor to provide services under this Agreement maintain insurance meeting all insurance requirements provided in this Agreement. This paragraph does not authorize the Contractor to provide services under this Agreement using subcontractors. COMING ON COUNTY PROPERTY TO DO WORK: Contractor agrees to provide maintain and furnish proof of Comprehensive General Liability Insurance with limits of not less than $500,000 per occurrence. INDEPENDENT CONTRACTOR: In performance of the work, duties and obligations assumed by Contractor under this Agreement, it is mutually understood and agreed that Contractor, including any and all of Contractor's officers, agents, and employees will at all times be acting and performing as an independent contractor, and shall act in an independent capacity and not as an officer, agent, servant, employee,joint venturer, partner, or associate of the County. Furthermore, County shall have no right to control or supervise or direct the manner or method by which Contractor shall perform its work and function. However, County shall retain the right to administer this Agreement so as to verify that Contractor is performing its obligations in accordance with the terms and conditions thereof. Contractor and County shall comply with all applicable provisions of law and the rules and regulations, if any, of governmental authorities having jurisdiction over matters the subject thereof. Contractor shall be solely liable and responsible for providing to, or on behalf of, its employees all legally-required employee benefits. In addition, Contractor shall be solely responsible and save County harmless from all matters relating to payment of Contractor's employees, including compliance with Social Security, withholding, and all other regulations governing such matters. It is acknowledged that during the term of this Agreement, Contractor may be providing services to others unrelated to the County or to this Agreement. NON-ASSIGNMENT: Neither party shall assign, transfer or sub-contract this Agreement nor their rights or duties under this Agreement without the written consent of the other party. AMENDMENTS: This Agreement constitutes the entire Agreement between the Contractor and the County with respect to the subject matter hereof and supersedes all previous negotiations, proposals, commitments, writings, advertisements, publications, Request for Proposals, Bids and understandings of any nature whatsoever unless expressly included in this Agreement. This Agreement supersedes any and all terms set forth in Contractor's invoice. This Agreement may be amended only by written addendum signed by both parties. INCONSISTENCIES: In the event of any inconsistency in interpreting the documents which constitute this Agreement, the inconsistency shall be resolved by giving precedence in the following order of priority: (1)the text of this Agreement (excluding Attachment"A"); (2)Attachment"A". GOVERNING LAWS: This Agreement shall be construed, interpreted and enforced under the laws of the State of California. Venue for any action shall only be in County of Fresno. ELECTRONIC SIGNATURES: The parties agree that this Agreement may be executed by electronic signature as provided in this section. A. An "electronic signature" means any symbol or process intended by an individual signing this Agreement to represent their signature, including but not limited to (1) a digital signature; (2) a faxed version of an original handwritten signature; or(3)an electronically scanned and transmitted (for example by PDF document) of a handwritten signature. B. Each electronic signature affixed or attached to this Agreement (1) is deemed equivalent to a valid original handwritten signature of the person signing this Agreement for all purposes, including but not limited to evidentiary proof in any administrative or judicial proceeding, and (2) has the same force and effect as the valid original handwritten signature of that person. C. The provisions of this section satisfy the requirements of Civil Code section 1633.5, subdivision (b), in the Uniform Electronic Transaction Act (Civil Code, Division 3, Part 2, Title 2.5, beginning with section 1633.1). D. Each party using a digital signature represents that it has undertaken and satisfied the requirements of Government Code section 16.5, subdivision (a), paragraphs (1)through (5), and agrees that each other party may rely upon that representation. This Agreement is not conditioned upon the parties conducting the transactions under it by electronic means and either party may sign this Agreement with an original handwritten signature. This comprehensive study will serve as a foundational assessment to evaluate current operations, resource deployment strategies, and the district's capacity to manage existing and emerging risks. The resulting data-informed recommendations will support future planning, service enhancements, and improved organizational alignment. This project comes at a pivotal time for FCFPD. Fire protection services in Fresno County are delivered through a combination of the FCFPD and a number of independent volunteer fire departments. These volunteer agencies operate separately from the FCFPD and are not under the direct authority of the County Fire Chief, though they may maintain collaborative relationships. While they have long served as essential partners in local emergency response, the decentralized nature of this system creates challenges in coordination, service consistency, and strategic planning. To that end, this study will examine how the district and these independent agencies interact and align, without treating the volunteer departments as part of FCFPD. This distinction is important in understanding operational boundaries, accountability structures, and opportunities for greater collaboration. Additional factors such as declining volunteerism, financial constraints, and increasing liability risks will also be considered, as they impact system-wide sustainability and service capacity. AP Triton understands that to develop a sustainable and high-performing fire service model, this assessment must account for both internal FCFPD dynamics and its interface with the broader fire service network across the county. By incorporating guidance from NFPA standards (e.g., 1300, 1710), Esri's Community Risk Reduction Solutions, Insurance Services Office (ISO) ratings, and applicable local, state, and federal mandates, this project will align the district's performance with best practice standards while reflecting Fresno County's unique service context. By integrating advanced tools such as GIS mapping, data analytics, and stakeholder engagement strategies, AP Triton will deliver insights and actionable recommendations customized to the operational realities of FCFPD and its partner agencies. The analysis will identify areas for improvement, explore opportunities for coordination or shared services, and suggest strategies to realign resources with demand across jurisdictional boundaries. Stakeholder collaboration will be central to this effort. Engaging both internal district personnel and external stakeholders—including the independent volunteer fire departments and contracted service providers—will be critical to validating findings and ensuring a cooperative path forward. Through a transparent and inclusive process, this study will help lay the groundwork for a more efficient, accountable, and strategically aligned emergency services system. Ultimately, this project represents a timely opportunity for Fresno County and FCFPD to reassess and optimize their emergency services system in a manner that balances community risk, operational capacity, and fiscal responsibility. AP Triton is committed to working in close partnership with the district and its stakeholders to ensure this initiative delivers meaningful, measurable, and lasting outcomes. $AP TRITON 2 Docusign Envelope ID:567D9D5C-6926-44CF-B2C8-86DA42002D8E CRA-SOC DEPLOYMENT ANALYSIS I FRESNO COUNTY FIRE PROTECTION DISTRICT SECTION ONE-PROJECT INITIATION & INFORMATION ACQUISITION Task 1-A: Project Initiation & Development of a Work Plan AP Triton will meet virtually with the Fresno County Fire Protection District liaisons to develop a comprehensive understanding of the FCFPD's background, goals, and expectations for the project. AP Triton's Project Manager will then refine and develop a proposed work plan that will serve as a guide for the Project Team. This work plan will include: • Assignment of project team members responsible for each task. • Identification of major tasks to be performed. • Allocation of necessary resources. • Methods for evaluating study results. • Consideration of any potential constraints or issues related to specific tasks. This collaborative process will foster working relationships between the AP Triton Project Team and FCFPD representatives, establish communication processes, and identify logistical requirements for the project. Task 1-B: Procurement of Information & Data AP Triton will request relevant information and data from FCFPD, CAL FIRE, and any other pertinent agencies or jurisdictions. This information will be crucial and extensively utilized in the various analyses and report development. AP Triton's review will also include comprehensive research and relevant studies. The documents and information necessary for this project may include, but are not limited to: • Comprehensive/General Plans, current and future land use documents, and other economic development plans for the service area. • Previous studies or researched reports relevant to the service area (e.g., community development plans, hazard mitigation plans, community wildfire protection plans, LAFCO municipal service reviews and sphere of influence studies, etc.) • Local census data and demographic information pertaining to the service area. • Zoning maps and zoning codes applicable to the service area. • FCFPD's administrative policies, procedures, and Standard Operating Guidelines (SOGs). • Current service delivery objectives and targets. $AP TRITON 3 Docusign Envelope ID:567D9D5C-6926-44CF-B2C8-86DA42002D8E CRA-SOC DEPLOYMENT ANALYSIS I FRESNO COUNTY FIRE PROTECTION DISTRICT • Inventory of FCFPD facilities (fire stations), apparatus, and vehicles. • Mutual aid and automatic aid agreements for fire protection and EMS with other jurisdictions. • Collective bargaining agreement(s), if applicable. • List of management positions, administrative support staff positions, and operations positions within FCFPD (without including individual names). • Latest Insurance Services Office (ISO) report and Public Protection Classification (PPC®). • Dataset of local target hazards, multistory buildings, large structures, etc. • Current FEMA-approved Hazard Mitigation Plan and Community Wildfire Protection Plan (CWPP), if applicable. • Assorted shapefiles and available Geographic Information System (GIS) files as required (specific requirements to be defined later). • Current and historical Records Management System (RMS) data, including National Fire Incident Reporting System (NFIRS) or National Emergency Response Information System (NERIS) incident data spanning 3-5 years. • Current and historical Computer-Aided Dispatch (CAD) incident records spanning 3-5 years. • Current and historical budgets, revenue, and expenditure details (recurring and non- recurring). • Financial data, including debt information, long-range financial plans, and projections. • Cost recovery fee schedules. • Any other relevant documents and records necessary for successful project completion. Task 1-C: Stakeholder Input & Field Work The AP Triton Project Team will conduct on-site interviews and field observations to gather information from key personnel and stakeholders. As part of this effort, two team members will travel to the project area and be on-site for two-and-a-half days to conduct interviews, visit stations, observe field operations, and engage with agency leadership and staff. This in-person engagement is intended to deepen our understanding of local operations, culture, and service context. To complement on-site work, some information may also be gathered through electronic forms and/or telephone or virtual interviews, as appropriate. $AP TRITON 4 Docusign Envelope ID:567D9D5C-6926-44CF-B2C8-86DA42002D8E CRA-SOC DEPLOYMENT ANALYSIS I FRESNO COUNTY FIRE PROTECTION DISTRICT Individuals and groups to be interviewed may include, but are not limited to: • Elected and/or appointed community officials. • Fire Chief, command staff, and administrative support personnel. • Communications/Dispatch Manager. • Employee groups, including representatives of local unions, if applicable. • Assorted company officers and firefighters. • Fire Chiefs and other representatives from surrounding areas. • Members of the business community, citizens, and other special interest groups within the service area. • Partner organizations involved in fire and EMS services. • Any other representatives deemed necessary for the success of the project. Through these interviews, AP Triton will gather additional information and perspectives on the operational, cultural, economic, and policy issues facing FCFPD and the communities it serves. Task 1-D: Electronic Community Survey AP Triton, in collaboration with the FCFPD, will administer an electronic community survey to gather insights into community priorities, expectations, and concerns related to fire and EMS services. This task includes: • Community Survey Development and Administration: A customized electronic survey will collect input on service priorities, perceived risks, expectations, positive attributes, and perspectives on service costs. The survey will be reviewed and approved by FCFPD and distributed through targeted invitations and public channels, remaining open for two weeks. • Analysis and Recommendations: AP Triton will analyze survey results, create visualizations, and summarize key findings. These insights will be incorporated into actionable recommendations within the CRA-SOC, ensuring community alignment and engagement.
