Home My WebLink AboutAgreement A-25-316 Second Amendment to Agreement 24-504 ULG.pdf Agreement No. 25-316 1 SECOND AMENDMENT TO AGREEMENT 2 This Amendment to Service Agreement ("Second Amendment"), is made and entered into this 3 241" day of June , 2025, by and between the COUNTY OF FRESNO, a 4 political subdivision of the State of California, hereinafter referred to as "COUNTY," the Fresno 5 County In-Home Supportive Services Public Authority, a corporate public body ("IHSS PK) and 6 United Language Group, LLC, a Minnesota based for-profit corporation, who is hereinafter referred to 7 as "CONTRACTOR." 8 Recitals 9 A. On July 1, 2020, the County Departments of Social Services, Public Health, Behavioral 10 Health, County Clerk/Registrar of Voters, Probation, Public Works and Planning, Agriculture and 11 IHSS PA, collectively referred to as "COUNTY", entered into that certain Agreement, identified as 12 COUNTY Agreement No. A-20-240, COUNTY's First Amendment, effective September 10, 2024, 13 hereinafter referred to collectively as COUNTY's Agreement No. A-24-504, whereby the 14 CONTRACTOR agreed to provide written translation services and telephonic interpretation services 15 for employees and clients who seek services from the COUNTY and IHSS PA. 16 B. On September 10, 2024, the parties identified the need to amend the Agreement, currently 17 referred to as A-24-504, to update the CONTRACTOR'S address and add a minimum fee of Fifty- 18 Four Dollars ($54) for written translation services with a word count of 250 words or less. 19 C. Due to a recent change, the parties now desire to update the CONTRACTOR's name to 20 United Language Group, LLC. 21 D. The COUNTY has been collaborating with the Purchasing Department to issue a Request 22 for Proposal for Written Translation as well as Telephonic and Video Remote Interpretation services. 23 As a result, the COUNTY and the CONTRACTOR desire to extend the Agreement term to continue to 24 provide these services during the RFP process. 25 E. The parties therefore agree to amend the Agreement as follows: 26 1. The CONTRACTOR, United Language Group, Inc. shall now be referred to as United 27 Language Group, LLC. and is effective as of May 13, 2025. 28 2. Extend the current term by six (6) months to ensure that translation and interpretation 1 — COUNTY OF FRESNO Fresno,CA 1 services remain uninterrupted and increase the maximum compensation. 2 3. That the existing COUNTY Agreement No. A-24-504, Page One (1), Section One (1), 3 Line Five (5) in reference to the CONTRACTOR'S name shall be deleted and replaced with "United 4 Language Group, LLC". 5 4. That the existing COUNTY Agreement No. A-24-504, Page Two (2), beginning with 6 Line Ten (10), and ending on Line Eighteen (18), shall be deleted in its entirety and replaced with the 7 following: 8 "2. TERM The term of this Agreement shall commence on July 1, 2020, through and 9 including December 31, 2025." 10 5. That the existing COUNTY Agreement No. A-24-504, Page Three (3), Section Four (4) 11 beginning with Line Twenty-Three (23), through Page Four (4) Line Five (5) shall be deleted in its 12 entirety and replaced with the following: 13 "4. COMPENSATION For actual services provided as identified in the terms and 14 conditions of this Agreement, COUTNY and IHSS PA agree to pay CONTRACTOR and 15 CONTRACTOR agrees to receive compensation in accordance with Updated Revised Exhibit B, 16 and in no event shall compensation for services performed under this Agreement be in excess of 17 Four Million Three Thousand Five Hundred Forty-Five Dollars ($4,003,545). 18 In no event shall compensation for services performed under this Agreement be in 19 excess of Seven Hundred Forty-Seven Thousand Nine Hundred Sixty-Nine Dollars ($747,969) for 20 each twelve (12) month period (July 1, 2020 to June 30, 2021, July 1, 2021 to June 30, 2022, and 21 July 1, 2022 to June 30, 2023). Should the term of this Agreement be extended for one (1) or two 22 (2) additional years, in no event shall compensation for services performed under this Agreement 23 be in excess of Seven Hundred Forty-Seven Thousand Nine Hundred Sixty-Nine Dollars 24 ($747,969) for each twelve (12) month period (July 1, 2023 to June 30, 2024 or July 1, 2024 to 25 June 30, 2025). Should the term of the Agreement be extended by six (6) months, in no event 26 shall compensation for services performed be in excess of Two Hundred Sixty-Three Thousand 27 Seven Hundred Dollars ($263,700). The cumulative total of the Agreement shall not be in excess 28 of Four Million Three Thousand Five Hundred Forty-Five Dollars ($4,003,545). - 2 - COUNTS'OF FRESNO Fresno,CA 1 In the event the maximum compensation amount in any individual fiscal year as noted 2 above, is not fully expended, said remaining unspent funding amounts shall rollover to each 3 subsequent fiscal year's established compensation." 4 6. That all references in existing COUNTY Agreement No. A-24-504 to "Revised Exhibit B" 5 shall be changed to read "Updated Revised Exhibit B," where appropriate, which is attached 6 hereto and incorporated herein by this reference. 7 7. COUNTY and CONTRACTOR agree that this Second Amendment is sufficient to amend 8 Agreement No. A-24-504 and, that upon execution of this Second Amendment, the original 9 Agreement, First Amendment and this Second Amendment, shall together be considered the 10 Agreement. 11 8. The CONTRACTOR represents and warrants to the COUNTY that: 12 a) The CONTRACTOR is duly authorized and empowered to sign and perform its 13 obligations under this Amendment. 14 b). The individual signing the Amendment on behalf of the CONTRACTOR is duly 15 authorized to do so and his or her signature on the Amendment legally binds the 16 CONTRACTOR to the terms of this Amendment. 17 9. The Agreement, as hereby amended, is ratified and continued. All provisions, terms, 18 covenants, conditions and promises contained in this Agreement not amended herein shall remain in 19 full force and effect.
