1 AMENDMENT NO. 1 TO AGREEMENT 23-266
2 This Amendment No. 1 to Service Agreement 23-266 (Agreement) is dated
3 June 24, 2025 and is between Carelon Behavioral Health of California, Inc., (Contractor), a
4 California Corporation and the County of Fresno, a political subdivision of the State of California
5 (County).
6 Recitals
7 A. On June 20, 2023, County and Contractor entered into an Agreement to provide
8 authorizations for residential substance use disorder treatment services.
9 B. County is authorized through its Intergovernmental Agreement with the California
10 Department of Healthcare Services (DHCS), to arrange for the provision of mandated substance
11 use disorder treatment services, also known as Drug Med-Cal (DMC) in Fresno County.
12 C. The Agreement allows for a maximum of 150 authorizations per month with an $11,500
13 budgeted for overage at a cost of$71.50 per authorization.
14 D. The County and the Contractor now desire to amend the Agreement
15 E. The County and the Contractor now desire to amend the Agreement to remove the 150
16 maximum-authorization cap per month, remove the $71.50 cost per prior/concurrent
17 authorization, and include an annual maximum of 2,100 authorizations.
18 The parties therefore agree as follows:
19 1. All references in the Agreement to Exhibit E shall be deemed references to Revised
20 Exhibit E, which is attached hereto and incorporated by this reference.
21 2. When both parties have signed this Amendment No. 1, the Agreement, and this
22 Amendment No. 1 together constitute the Agreement.
23 3. The Contractor represents and warrants to the County that:
24 a. The Contractor is duly authorized and empowered to sign and perform its obligations
25 under this Amendment.
26 b. The individual signing this Amendment on behalf of the Contractor is duly authorized
27 to do so and his or her signature on this Amendment legally binds the Contractor to
28 the terms of this Amendment.

1 4. This Amendment may be signed in counterparts, each of which is an original, and all of
2 which together constitute this Amendment.
3 5. The Agreement as amended by this Amendment No. 1 is ratified and continued. All
4 provisions of the Agreement and not amended by this Amendment No. 1 remain in full force and
5 effect.
