The County of Fresno desires to extend this contract for an additional one-year period effective August 23, 2025 through August 22, 2026. Prices will be firm for the contract period. Amendment provisions shall remain in full force and effect with any contract renewals. Include updated Scope of Work and Budget (Revised Attachment"A"). Maximum: The County of Fresno desires to increase this Agreement in the amount of Twenty-Nine Thousand Dollars ($29,000.00). In no event shall services performed and/or fees paid under this Agreement be in excess of One Hundred Ninety-Nine Thousand Dollars ($199,000.00). Electronic Signatures. The parties agree that this Agreement may be executed by electronic signature as provided in this section. A. An "electronic signature" means any symbol or process intended by an individual signing this Agreement to represent their signature, including but not limited to (1) a digital signature; (2)a faxed version of an original handwritten signature; or(3) an electronically scanned and transmitted (for example by PDF document) of a handwritten signature. B. Each electronic signature affixed or attached to this Agreement (1) is deemed equivalent to a valid original handwritten signature of the person signing this Agreement for all purposes, including but not limited to evidentiary proof in any administrative or judicial proceeding, and (2) has the same force and effect as the valid original handwritten signature of that person. C. The provisions of this section satisfy the requirements of Civil Code section 1633.5, subdivision (b), in the Uniform Electronic Transaction Act (Civil Code, Division 3, Part 2, Title 2.5, beginning with section 1633.1). D. Each party using a digital signature represents that it has undertaken and satisfied the requirements of Government Code section 16.5, subdivision (a), paragraphs (1)through (5), and agrees that each other party may rely upon that representation. This Agreement is not conditioned upon the parties conducting the transactions under it by electronic means and either party may sign this Agreement with an original handwritten signature. DRE is requesting an amendment to the contract to include the following Scope of Work: P-23-439(4699-DR-CA) • Assist Fresno County with responding to various Request For Information (RFIs) issued by FEMA • Assist in the formulation and preparation of the Category A: Debris removal PWs. • Assist in the formulation and preparation of Category B: Emergency protective measures PWs. • Coordinate with FEMA and Cal OES to complete the remaining Category C: Roads and bridges project inspections. • Assist with FEMA Consolidated Resources Center(CRC) inquiries. • Provide support for appeals and arbitrations. • Assist with PW and specific disaster application closeouts. • Assist with future audit reconciliations. • Provide debris removal training to County and Operational Area. • Provide assistance with all future emergencies and disasters as requested. • Category Z PW o Assist County with drafting FEMA PW development for costs incurred in accordance with Category Z: Indirect and direct administrative costs. o Assist County with creating indirect cost proposals that will be included with the above-mentioned draft PWs. P-23-439 REVISED ATTACHMENT"A" Disaster Recovery Experts Page 2 of 2 04/22/2025 DRE Contract amendment amount: • P-23-439(4699-DR-CA) o Amend in the amount of$170,000, increasing the total contract cost to 1 , DIRE will contin a 9f9olQo00wing the original contracted Scope of Work including but not limited to: Assisting with FEMA project worksheet development, including: o Performing site inspections o Drafting damage descriptions and dimensions o Drafting scopes of work(SOWS) o Assisting with project estimates o Project-specific eligibility for project worksheets • Assisting with specific DR 4699 appeals and other eligibility matters related to FEMA's determinations. • Working with County project managers to identify, evaluate and organize project costs. • Providing subject matter expertise that resulted in FEMA reversing its eligibility determinations to the County's favor. • Advising the County on the best way to set up and organize project information and supporting documentation to meet FEMA's and Cal OES' expectations. • Initiating conversations with FEMA and Cal OES that resulted in the County receiving the necessary level of assistance and program support. • Providing ongoing program training and support to County staff. • Attending necessary meetings with and on behalf of Fresno County before Cal OES and FEMA.
