25-0071 Agreement No. 25-109 1 Agreement 2 This Agreement ("Agreement") is made and entered into this 25t" day of 3 March 2025 by and between the Central Unified School District, a municipal 4 corporation ("District"), and the County of Fresno, a political subdivision of the State 5 of California ("County") (collectively, the "Parties") with respect only to the Project (as 6 further defined below) funded cooperatively by the parties. 7 RECITALS: 8 9 A. The County, with support from District, applied for and received an Active 10 Transportation Grant (ATP Grant) for pedestrian safety improvements at Herndon- 11 Barstow Elementary school. 12 A. The District has expressed interest in contributing towards these pedestrian safety 13 improvements. 14 B. The improvements generally consist of the design and construction of a High- 15 Intensity Activated Crosswalk (HAWK signal); a connecting sidewalk; pavement, 16 concrete improvements, signage and striping, and utility relocation, hereinafter 17 "Project". Plans for the Project are attached hereto as Exhibit A and incorporated 18 by this reference. 19 C. All work done shall incorporate the conditions specified in this Agreement. 20 D. District and County now wish to establish the conditions specifically applicable to 21 the Project and under which the Project will be completed. 22 NOW, THEREFORE, in consideration of the mutual acknowledgments, covenants, 23 and conditions herein contained, it is hereby agreed as follows: 24 1. Recitals. Each of the foregoing recitals of background facts are incorporated 25 herein. 26 2. Purpose. The purpose of this Agreement is to set forth each Party's general 27 obligations governing the Project. 28 3. Term. This Agreement shall expire on April 30, 2028 (the "Expiration Date"), unless 1 1 otherwise terminated hereunder. The term of this Agreement may be extended by 2 mutual agreement of the Parties for two additional consecutive one (1) year 3 extension periods upon written approval of both the County and District, no later 4 than expiration of this Agreement. For the purposes of this section, one year shall 5 mean 365 days, or 366 days if there is a leap day. For the purposes of this section, 6 the County hereby delegates authority to extend this Agreement to the Director of 7 the Department of Public Works and Planning. 8 4. Lead Agency. The Lead Agency for this Project shall be the County. The County 9 will provide civil engineering design, project management, Right-of-Way 10 Engineering, Right-of-Way Acquisition, Utility Coordination, and Construction 11 Engineering. The County and City will split the remaining project costs, less the 12 less that amount funded by the District and Active Transportation Program grant 13 funds. 14 5. City's Participation. The City of Fresno will provide the design of the HAWK 15 signal for the Project and will be responsible for a portion of the design and 16 construction costs of the Project, less that amount funded by the District or Active 17 Transportation Program grant fund. The City of Fresno and the County have a 18 separate Project Specific Agreement which further outlines the City of Fresno's 19 obligations towards the Project. 20 6. District's Participation. The District will provide $50,000 to fund a portion of the 21 project costs. Additionally, the District will assist with any public outreach efforts 22 associated with the project. 23 7. Engineer's Estimate. The Detailed Preliminary Engineer's Project Estimate and 24 Total Project Costs is attached hereto as Exhibit B and is incorporated by this 25 reference. 26 8. Expected Cost Share. The Active Transportation Program (ATP) grant would 27 fund up to $603,000 or approximately 79% of total project costs. The District shall 28 provide $50,000 toward the cost of improvements, and the County and City shall 2 1 divide the remaining participating costs. 2 9. Deposit by District. Within sixty (60) days after award of Project's construction 3 contract by County's governing body, District shall deposit with County an amount 4 equal to District's cost share, as defined in Section 6. 5 10. Post Construction Obligations. Upon completion of Project, each Party's 6 jurisdictional and maintenance responsibilities shall remain unchanged from those 7 which existed prior to completion of the Project. 8 11. Dispute Resolution: The Parties agree to implement the provisions of this 9 Agreement in a reasonable, good faith manner. In the event of a dispute the 10 Parties shall engage in informal good faith negotiations at the staff level, which 11 shall be escalated to the District's Superintendent and the County's Director of 12 Public Works and Planning. Should no resolution be attainable, the Parties agree 13 to engage in mediation through a mutually acceptable mediator prior to institution 14 of legal proceedings to resolve any issues pertaining to the provisions of this 15 Agreement. The Parties shall each pay fifty percent (50%) of all fees and costs 16 charged by such mediator. 17 12. Indemnity The District shall indemnify and hold harmless and defend the County 18 (including its officers, agents, employees, and volunteers) against all claims, 19 demands, injuries, damages, costs, expenses (including attorney fees and costs), 20 fines, penalties, and liabilities of any kind to the County, the District, or any third 21 party that arise from or relate to the performance or failure to perform by the District 22 (or any of its officers, agents, subcontractors, or employees) under this Agreement. 23 The County may conduct or participate in its own defense without affecting the 24 District's obligation to indemnify and hold harmless or defend the County. 25 The County shall indemnify and hold harmless and defend the District (including 26 its officers, agents, employees, and volunteers) against all claims, demands, 27 injuries, damages, costs, expenses (including attorney fees and costs), fines, 28 penalties, and liabilities of any kind to the District, the Contractor, or any third party 3 1 that arise from or relate to the performance or failure to perform by the County (or 2 any of its officers, agents, subcontractors, or employees) under this Agreement. 3 The District may conduct or participate in its own defense without affecting the 4 County's obligation to indemnify and hold harmless or defend the District. 5 Nothing herein shall constitute a waiver by either District of County of 6 governmental immunity that may be available as a defense to any such third-party 7 claim(s) under or pursuant to Government Code Section 810 et seq. 8 13. Insurance. Without limiting the applicability or scope of the indemnification 9 provisions contained in Section 16, County and District shall maintain, at their sole 10 expense, insurance policies or self-insurance programs including, but not limited 11 to, an insurance pooling arrangement and/or Joint Powers Agreement sufficient to 12 fund their respective liabilities hereunder throughout the term of this Agreement. 13 Coverage shall be provided for comprehensive general liability, automobile liability, 14 professional liability, and workers' compensation. 15 14. Special Terms. The parties agree that the following special or specific terms shall 16 apply to the performance of the Project: The Lead Agency will include Participating 17 Agency staff in pre-construction meetings and coordinate with Participating 18 Agency staff for material submittal review. District and County staff will 19 concurrently review all Traffic Control Plans. Final as-built drawings will be created 20 by the Lead Agency and provided to the Participating Agency. 21 15. Assignment. Neither Party shall assign, transfer, or sub-contract this Agreement, 22 nor any of its respective rights or duties hereunder, without the written consent of 23 the other Party. 24 16. Waiver. Waiver of any breach of this Agreement by any party hereto shall not 25 constitute a continuing waiver or a waiver of any breach of the same or another 26 provision of this Agreement. 27 28 4 1 17. Counterparts. This Agreement may be executed in one or more counterparts, 2 each of which when executed will be deemed to constitute one and the same 3 instrument and agreement. 4 18. Notices. All required notices may be sent by first class United States Mail, 5 facsimile transmission, hand delivery, express mail, or electronic mail. For time 6 calculations purposes, physical notices shall be deemed to have been received by 7 the end of five (5) business days from the proper sending thereof, unless proof of 8 prior actual receipt is provided. For notices sent via electronic mail, notices shall 9 be deemed to have been received by the end of the day following send. For the 10 County, the Director of the Department of Public Works and Planning is hereby 11 authorized to delegate or otherwise modify the County's contact information and 12 will provide the District with any updated contact information. The provisions of this Agreement are severable. The invalidity or 3 unenforceability of any one provision of this Agreement shall not affect the other 4 provisions. 5 20. Amendment. This Agreement may be modified only by written instrument 6 executed by duly authorized representatives of both District and County. 7 21. Entire Agreement. Each party acknowledges that it has read and fully 8 understands the contents of this Agreement and represents that this constitutes 9 the entire Agreement between District and County with respect to the subject 10 matter contained herein and that this Agreement supersedes all prior negotiations, 11 representations, or agreements, either written or oral. 12 22. Authorized Signature. The District represents and warrants to the County that: 13 The District is duly authorized and empowered to sign and perform its obligations 14 under this Agreement. The individual signing this Agreement on behalf of the 15 District is duly authorized to do so and his or her signature on this Agreement 16 legally binds the District to the terms of this Agreement. 17 23. Electronic Signatures The parties agree that this Agreement may be executed 18 by electronic signature as provided in this section. 19 a. An "electronic signature" means any symbol or process intended by an 20 individual signing this Agreement to represent their signature, including but not 21 limited to: (1) a digital signature; (2) a faxed version of an original handwritten 22 signature; or (3) an electronically scanned and transmitted (for example by PDF 23 document) version of an original handwritten signature. 24 b. Each electronic signature affixed or attached to this Agreement: (1) is 25 deemed equivalent to a valid original handwritten signature of the person signing 26 this Agreement for all purposes, including but not limited to evidentiary proof in any 27 administrative or judicial proceeding; and (2) has the same force and effect as the 28 valid original handwritten signature of that person. 6 1 C. The provisions of this section satisfy the requirements of Civil Code section 2 1633.5, subdivision (b), in the Uniform Electronic Transaction Act (Civil Code, 3 Division 3, Part 2, Title 2.5, beginning with section 1633.1). 4 d. Each party using a digital signature represents that it has undertaken and 5 satisfied the requirements of Government Code section 16.5, subdivision (a), 6 paragraphs (1) through (5), and agrees that each other party may rely upon that 7 representation. 8 e.
