HomeMy WebLinkAboutRevised Agreement A-25-050 Amend. 1 to Agt. w Area West Environmental.pdf 24-1318 Agreement No. 25-050 1 AMENDMENT NO. 1 TO CONSULTANT AGREEMENT 2 This Amendment No. 1 ("Amendment No. 1") to Consultant Agreement No. A-20-514 3 ("Agreement"), is made and entered into this 111" day of February , 2025, by and between the 4 County of Fresno, a political subdivision of the State of California ("County"), and Area West 5 Environmental, Inc., (a California Corporation), whose address is 6248 Main Avenue, Suite #C, 6 Orangevale, CA 95662 ("Consultant"). 7 RECITALS 8 A. On December 15, 2020, the County and the Consultant entered into a Consultant 9 greement, which is County Agreement Number A-20-514 for Environmental Consultant Services. 10 B. The Consultant has been selected to provide specialized professional environmental 11 onsulting services required for the California Environmental Quality Act and National Environmental 12 olicy Act approval of the North Fork Road Bridge over San Joaquin River Replacement Project 13 "Project"). 14 C. The Consultant has been selected in accordance with the County's Ordinance Code 15 hapter 4.10 on the Selection of Architects, Engineers, and Other Professionals and Chapter 10 of the 16 alifornia Department of Transportation (CALTRANS) Local Assistance Procedures Manual, Consultant 17 election, to provide the environmental services necessary for the Project. 18 D. The County and the Consultant now desire to amend the Agreement to increase the 19 20 maximum contract amount by $260,504.75 thereby bringing the total not-to-exceed contract amount to 21 934,188.75. 22 The parties therefore agree as follows: 23 1. Article IV, Section A of the Agreement is hereby deleted and replaced with the following: 24 "A. This Amendment No. 1 to the Agreement shall go into effect upon execution by the 25 County. The Amendment No. 1 to the Agreement shall continue in effect for a period of 26 ten years commencing on the execution date, unless prior to its expiration its term is 27 extended in writing, for a maximum of one (1) additional one-year term, by mutual 28 consent of the Director and the Consultant. Page 1 of 3 1 2. Article V, Section A, Part 2 of the Agreement is hereby deleted and replaced with the following: 2 "2. The Total amount payable by the County shall not exceed $934,188.75 for 3 actual and indirect costs." 4 3.
