Total Not to Exceed: $7,999 Quote Expiration: 12/31/2024 GoLeanSixSigma.com Service Agreement Page 1 P-25-005 Q GLBB County of Fresno GOLEANSIXSIGMA.COM This Agreement is made and entered into on 11/27/2024 (the"Effective Date"), by and between GoLeanSixSigma.com ("GoLeanSixSigma.com") and The County of Fresno ("Client"). GoLeanSixSigma.com and Client (sometimes collectively referred to as the"Parties") agree as follows: 1. Purchases and Prices. GoLeanSixSigma.com will sell,and the Client will purchase the item(s) in the quantities and at the prices set forth in the table above. 2. Payment. An invoice will be sent to the Client,and full payment is due upon receipt. Payment is due on agreed upon NET 30. 3. Annual Subscription Term. The Client's purchases are on an annual subscription basis.The annual subscription period shall run for one (1) year from the Subscription Date, starting 1/3/2025 (the"Annual Subscription Term") and ending 1/2/2026.The Annual Subscription Term will automatically renew for successive one (1) year periods unless the Client provides written notice of non-renewal prior to the end of the then-current subscription period. If the Client does not renew or cancels the Annual Subscription Term,access to GoLeanSixSigma.com courses and content purchased will no longer be accessible to users after the Subscription Period has ended. No learner data will be lost. GoLeanSixSigma.com maintains user data records to verify training and certification progress unless the user or client requests data is deleted permanently. 4. Additional Terms and Conditions. The Parties agree to the following additional terms and conditions: a. Primary Contacts. The individuals below will be the primary contacts for purposes of this Agreement. i. GoLeanSixSigma.com: Darion Mabe, Director of Client Success ii. Client: Edward Hill,Chief Operating Officer b. Support Services. GoLeanSixSigma.com will provide Client support related to course management,course updates,and overall technical support. GoLeanSixSigma.com will respond within one (1) business days to Client requests for such support. c. Additional Provisions. GoLeanSixSigma.com represents and warrants that: i. It will use commercially reasonable efforts to provide the Courses and perform the support services in a good and professional manner and in accordance with industry practices. ii. Without additional charge, it will use reasonable commercial efforts to correct,add, modify,or adjust the GoLeanSixSigma.com LMS or support services if reasonably necessary. iii. It owns or has sufficient rights to provide the Courses and perform the support services contemplated under this agreement. iv. The use of the Courses and the services contemplated under this Agreement will not infringe on the intellectual property rights of any third party. 5. Governing Law and Venue. This Agreement shall be governed by and construed in accordance with the laws of the State of Hawaii without regard to or application of its conflict of law provisions. All claims, legal proceedings,or litigation arising in connection with this agreement shall be brought solely in the federal or state courts located in the State of Hawaii. Client consents to the jurisdiction of and venue in such courts and waives any objection to an inconvenient forum. To the fullest extent permitted by law, in no event shall GoLeanSixSigma.com,or any of its respective directors,officers,employees, agents,or content or service providers be liable for any indirect,special, incidental,consequential, exemplary or punitive damages arising from or directly or indirectly related to the use of, or the inability to use,the LMS or the Courses or the content, materials and function related thereto, including,without limitation, loss of revenue or anticipated profits,or lost business, data,or sales, or cost of substitute services,even if GoLeanSixSigma.com or its representative or such individual has been advised of the possibility of such damages. In no event shall the total liability of GoLeanSixSigma.com to the Client for all damages, losses, and causes of action (whether in contract or tort including, but not limited to,negligence or otherwise) arising from the Client's use of the LMS or Courses,exceed, in the aggregate,the total price due from the Client under this Agreement. ACCEPTANCE By signing below,the Parties agree to be bound by the terms of this Agreement.
