Home My WebLink AboutAgreement A-24-695 - Amendment I to Master Agreement.pdf Agreement No. 24-695 1 AMENDMENT NO. 1 TO SERVICE AGREEMENT 2 This Amendment No. 1 to Service Agreement ("Agreement No. 24-335") is dated 3 December 17, 2024 and is between, Contractor(s) listed in Revised Exhibit A "List of 4 Contractors" ("Contractor (s)"), and the County of Fresno, a political subdivision of the State of 5 California ("County"). 6 Recitals 7 A. County, through its Department of Public Health (DPH) California Children's Services 8 (CCS) — Medical Therapy Program (MTP), is in need of Occupational Therapy (OT) and 9 Physical Therapy (PT) services to be performed by qualified Occupational Therapists and 10 Physical Therapists licensed by the State of California; and 11 B. County DPH CCS-MTP is mandated by the California State Law to provide OT and PT 12 services for children, ranging from birth to 21 years old, with handicapping conditions, generally 13 due to neurological, musculoskeletal or other medical disorders, such as but limited to, cerebral 14 palsy and spina bifida; and 15 C. On June 18, 2024, the County and the Contractor(s) entered into the Master Agreement 16 for Occupational and Physical Therapy Services, which is County agreement number A-24-335 17 ("Agreement"). 18 D. The County and the Contractor now desire to amend the Agreement to add Contractor 19 Delta Healthcare Providers, LLC. 20 The parties therefore agree as follows: 21 1. All references to Exhibit A shall be deemed references to Revised Exhibit A, which is 22 attached and incorporated by this reference. 23 2. All references to Exhibit D "Compensation" shall be deemed references to Revised 24 Exhibit D, which is attached and incorporated by this reference. 25 3. When both parties have signed this Amendment No. 1, the Agreement and this 26 Amendment No.1 together constitute the Agreement. 27 4. The Contractor(s) represents and warrants to the County that: 28 1 1 a. The Contractor(s) is duly authorized and empowered to sign and perform its 2 obligations under this Amendment. 3 b. The individual signing this Amendment on behalf of the Contractor(s) is duly 4 authorized to do so and his or her signature on this Amendment legally binds the 5 Contractor(s) to the terms of this Amendment. 6 5. The parties agree that this Amendment may be executed by electronic signature as 7 provided in this section. 8 a. An "electronic signature" means any symbol or process intended by an individual 9 signing this Amendment to represent their signature, including but not limited to (1) a 10 digital signature; (2) a faxed version of an original handwritten signature; or (3) an 11 electronically scanned and transmitted (for example by PDF document) version of an 12 original handwritten signature. 13 b. Each electronic signature affixed or attached to this Amendment (1) is deemed 14 equivalent to a valid original handwritten signature of the person signing this 15 Amendment for all purposes, including but not limited to evidentiary proof in any 16 administrative or judicial proceeding, and (2) has the same force and effect as the 17 valid original handwritten signature of that person. 18 c. The provisions of this section satisfy the requirements of Civil Code section 1633.5, 19 subdivision (b), in the Uniform Electronic Transaction Act (Civil Code, Division 3, Part 20 2, Title 2.5, beginning with section 1633.1). 21 d. Each party using a digital signature represents that it has undertaken and satisfied 22 the requirements of Government Code section 16.5, subdivision (a), paragraphs (1) 23 through (5), and agrees that each other party may rely upon that representation. 24 e. This Amendment is not conditioned upon the parties conducting the transactions 25 under it by electronic means and either party may sign this Amendment with an 26 original handwritten signature. 27 6. This Amendment may be signed in counterparts, each of which is an original, and all of 28 which together constitute this Amendment. 2 1 7. The Agreement as amended by this Amendment No. 1 is ratified and continued.
