HomeMy WebLinkAboutAgreement A-14-292-2 with FDC.pdfAgreement No . 14-292-2 1 AMENDMENT II TO AGREEMENT 2 THIS AMENDMENT II TO AGREEMENT (hereinafter "Amendment ") is made and entered into 3 this 18th day of June, 2019, by and between COUNTY OF FRESNO, a Political Subdivision of the 4 State of California , Fresno , California (hereinafter "COUNTY "), and Family Development Center, LLC , 5 a California corporation, whose address is 175 N. Pollasky Ave #111, Clovis CA 93612 , (hereinafter 6 "CONTRACTOR"). 7 WITNESS ETH: 8 WHEREAS , COUNTY and CONTRACTOR entered into Agreement No . A-14-292, effective 9 July 1, 2014, pursuant to which CONTRACTOR agreed to provide therapeutic child care services to 1 O COUNTY and qualified clients enrolled in Pathways ; and 11 WHEREAS , COUNTY and CONTRACTOR entered into Amendment I to Agreement No . A-14- 12 292 (County Agreement No . 14-292-1 ), whereby changes were made to the modification provision and 13 various other provisions were added (County Agreement No . A-14-292 and A-14-292-1 shall 14 collectively be referred to herein as "the Agreement "); and 15 WHEREAS , an amendment is necessary to extend the term of the Agreement for an additional 16 year to allow for participants in the Pathways to Recovery Program to receive uninterrupted services 17 while the COUNTY completes a redesign of the Program and completes a Request For Proposal 18 process ; and 19 WHEREAS , COUNTY and CONTRACTOR now desire to amend the Agreement regard ing 20 changes as stated below and restate the Agreement in its entirety . 21 NOW, THEREFORE , for good and valuable consideration, the receipt and adequacy of which 22 is hereby acknowledged, COUNTY and CONTRACTOR agree as follows : 23 1 . Section Two (2) of the Agreement, located on page Two (2), lines Twenty-four (24) 24 through page Three (3), line Two (2), is deleted in its entirety and replaced with the following : 25 "2. TERM. 26 This Agreement shall become effective on the 1st of July, 2014 and shall terminate on 27 the 30 th of June 2017 . 28 This Agreement , subject to State and Federal funding, shall automatically renew for two - 1 - 1 (2) additional twelve (12) month periods upon the same terms and conditions herein set forth, unless 2 written notice of non-renewal is given by either of the parties as to the extent of their involvement, no 3 later than sixty (60) days prior to the close of the current Agreement term. 4 This Agreement shall be extended for an additional twelve (12) month period beginning 5 July 1, 2019 through June 30, 2020." 6 2.Section Four (4) of the Agreement, located on page Four (4), line Five (5), beginning 7 with the word "A. For'' and ending on line Fourteen (14) with the word "Exhibit B." is deleted in its 8 entirety and replaced with the following: 9 "A. For actual services rendered under this Agreement COUNTY agrees to pay 10 CONTRACTOR and CONTRACTOR agrees to received compensation in accordance with the budget 11 identified in Revised Exhibit B, attached hereto and by this reference incorporated herein. In no event 12 shall the total compensation for actual services performed under this Agreement be in excess of Three 13 Hundred Eight Thousand Nine Hundred Twenty and No/100 Dollars ($308,920.00) for each twelve 14 (12) month period from July 1, 2014 through June 30, 2020, as set forth in the budget identified as 15 Revised Exhibit B, attached hereto and by this reference incorporated herein. CONTRACTOR's 16 invoices, further described in Section Five (5) INVOICING of this Agreement, shall reflect actual 17 expenditures that have been made by CONTRACTOR in accordance with the services provided 18 pursuant to the terms and conditions of this Agreement and further identified in Revised Exhibit B." 19 3.That, effective July 1, 2019, all references in the Agreement to "Exhibit A," shall be 20 changed to read "Revised Exhibit A", attached hereto and incorporated herein by reference. 21 4.That, effective July 1, 2019, all references in the Agreement to "Exhibit B," shall be 22 changed to read "Revised Exhibit B", attached hereto and incorporated herein by reference. 23 5.COUNTY and CONTRACTOR agree that this Amendment II is sufficient to amend the 24 Agreement and, that upon execution of this Amendment 11, the Agreement, Amendment I and this 25 Amendment 11 together shall be considered the Agreement. 26 The Agreement, as hereby amended, is ratified and continued. Pathways is a County-operated substance abuse, mental health and co-occurring disorder treatment program where a full spectrum of services are offered to qualified Fresno County residents at a single site. The Center offers personalized treatment support for parent and child through assessment, education, coaching, infant massage, curriculum, individual therapies, Ages and Stages Questionnaire (ASQ), attachment/bonding therapies, sensory integration/perceptual motor skill development and referrals through a licensed infant, toddler and pre-school program. CONTRACTOR shall operate the Pathways Early Intervention Therapeutic Child Care Center, hereinafter referred to as "The Center," to provide therapeutic child care for up to twelve (12) infants/toddlers and twelve (12) pre-school age children at the program site, located at 515 South Cedar Avenue, Fresno, CA 93702. CONTRACTOR shall be responsible for all of the rules and regulations for operating and maintaining licensure of The Center as described at: http://ccld.ca.gov/PG492.htm including Title 22, Division 12, Chapter 1, Distributed November 1998. Pursuant to Section 1596.842 of the California Health and Safety Code, CONTRACTOR shall be licensed to operate the facility. Please note: Title 22 states that there needs to be seventy-five (75) square feet per child for outdoor play space. The facility's playground was remodeled in 2000 and does not meet current licensing requirements. CONTRACTOR shall request a waiver of this requirement from CCL at the time of application for licensure. Previous providers have successfully obtained a waiver from CCL to operate a licensed child care facility at this location. CONTRACTOR shall provide child care Monday through Friday 8:00 a.m. to 5:00 p.m. with the exception of County-approved holidays. REVISED EXHIBIT A Page 2 of 7 STAFFING LEVELS CONTRACTOR shall maintain a staff-child ratio in accordance with the State of California Community Care Licensing Manual of Policies and Procedures for Child Care, Section 101416.5. CONTRACTOR shall at all times ensure that two (2) child care teachers are present in the licensed child care program, pursuant to Title 22, during the hours The Center is in operation. CONTRACTOR's Director shall, at a minimum, meet child care center director qualifications and duties of Title 22, starting with Section 101215.1. Pathways operates a morning and an afternoon program track and children will be registered for either the morning or the afternoon session. Infants/Toddlers, 0 to 2 years of age CONTRACTOR shall not have more than six (6) crib infants at one time, with a total capacity of twelve (12). In addition, CONTRACTOR shall not have a teacher-child ratio exceeding one (1)teacher to four (4) infants/toddlers. There will be enrollment of twelve (12) infants/toddlers in the morning and twelve (12) infants/toddlers in the afternoon for a maximum total of twenty- four (24) infants/toddlers per day. Pre-school, 2 to 6 years of age CONTRACTOR shall be licensed for a maximum of twenty-four (24) pre-school children; however, a maximum of twelve (12) pre-school children shall be enrolled in the morning and twelve (12) pre- school children in the afternoon session for a maximum total of twenty-four (24)pre-school children per day. CONTRACTOR shall not have a teacher-child ratio exceeding one (1) teacher to twelve (12) pre-school children. Should additional funding become available at a later date enrollment may be increased to maximum capacity, however at no point will the census in The Center exceed the licensed amount of twelve (12) infants/toddlers and (24) pre-school children. THERAPEUTIC CHILD CARE SPECIFIC REQUIREMENTS CONTRACTOR shall become licensed, as described hereinabove, and provide supervision and therapeutic intervention to infants/toddlers and pre-school children placed in The Center. The children served have lived in an environment where they have experienced trauma, been exposed to serious mental illness, drug abuse and use, and often are born with a positive toxicity. As a result, many of the children have experienced social, emotional and cognitive delays. The Center provides tools for the child(ren) to learn appropriate responses to fear, anger, and conflict by providing a safe therapeutic environment for both parent and child to build healthy and strong relationships. CONTRACTOR shall meet The Center's objective to assist each parent and child in building the developmental foundations necessary for healthy physical, emotional and cognitive growth. The Fresno County Department of Social Services officially uses "The Nurturing Parent" curriculum developed and authored by Dr. Stephen J. Bavolek. CONTRACTOR shall utilize this curriculum. REVISED EXHIBIT A Page 3 of 7 CONTRACTOR shall focus on the following areas: Therapeutic Environment Hierarchy (level) of need (parent/child) Parenting - Training, education, bonding/attachment Sensory Integration/Perceptual Motor Development Trauma - Trust, security, autonomy, self esteem Therapies - Art, play, music, Perinatal Mood and Anxiety Disorders (PMAD), referrals Assessment - ASQ individual child assessment and parenting plan and referrals to appropriate community agencies. CONTRACTOR shall, to the best of CONTRACTOR's ability, employ personnel that are bilingual. CULTURAL AND LINGUISTIC COMPETENCE CONTRACTOR shall develop policies and procedures that address the following: a.CONTRACTOR shall ensure compliance with Title 6 of the Civil Rights Act of 1964 42 U.S.C. Section 2000d, and 45 C.F.R. Part 80 and Executive Order 12250 of 1979 which prohibits recipients of federal financial assistance from discriminating against persons based on race, color, national origin, sex, disability or religion. This is interpreted to mean that a limited English proficient (LEP) individual is entitled to equal access and participation in federally funded programs through the provision of comprehensive and quality bilingual services. b.CONTRACTOR shall develop and implement policies and procedures for ensuring access and appropriate use of trained interpreters and material translation services for all LEP consumers, including, but not limited to, assessing the cultural and linguistic needs of its consumers, training of staff on the policies and procedures, and monitoring its language assistance program. CONTRACTOR's procedures must include ensuring compliance of any sub-contracted providers with these requirements. c.CONTRACTOR agrees that minors shall not be used as interpreters. d.CONTRACTOR shall conduct and submit to COUNTY an annual cultural and linguistic needs assessment to promote the provision and utilization of appropriate services for its diverse consumer population. The needs assessment report shall include findings and a plan outlining the proposed services to be improved or implemented as a result of the assessment findings, with special attention to addressing cultural and linguistic barriers and reducing racial, ethnic, language, abilities, gender and age disparities. e.CONTRACTOR shall develop internal systems to meet the cultural and linguistic needs of the consumer census including the incorporation of cultural competency in CONTRACTOR's mission; establishing and maintaining a process to evaluate and determine the need for special - administrative, clinical, welcoming, billing, etc. - initiatives related to cultural competency. f.CONTRACTOR shall develop recruitment and retention initiatives to establish contracted program staffing that is reflective and responsive to the needs of the program and target population. REVISED EXHIBIT A Page 4 of 7 g.CONTRACTOR will keep abreast of evidence-based and best practices in cultural competency in behavioral health (substance abuse, mental illness and co-occurring) care and treatment to ensure that the CONTRACTOR maintains current information and an external perspective in its policies. CONTRACTOR will evaluate the effectiveness of strategies and programs in improving the health status of cultural-defined populations. h.CONTRACTOR shall deliver services in the consumer's home community, drawing on formal and informal resources to promote the consumer's successful participation in the community. Community resources include not only mental health and co-occurring disorders professionals and provider agencies, but also social, religious and cultural organizations and other natural community support networks. i.CONTRACTOR will report its efforts to evaluate cultural and linguistic activities as part of CONTRACTOR's ongoing quality improvement efforts in the monthly activities report. Reported information may include consumers' complaints and grievances, results from consumer satisfaction surveys, and utilization and other clinical data that may reveal health disparities as a result of cultural and linguistic barriers. j.CONTRACTOR's shall recruit and hire staff who have demonstrated experience working with culturally and linguistically underserved minority populations and have knowledge about the culture and languages of these intended groups as well as other diverse communities. CONTRACTOR shall be flexible in meeting unique participant needs by including equal access to those with disabilities, gender-specific services, and culturally sensitive services that adhere to the National Standards on Culturally and Linguistically Appropriate Services (CLAS). CONTRACTOR may utilize the free resource, OnTrack, for training and consulting, on-site and cost-free. (URL: http://ontrackconsulting.org/) CHILD CARE CENTER RESPONSIBILITIES a.CONTRACTOR shall provide a safe, supervised, therapeutic intervention environment for the infants/toddlers and pre-school age children of clients receiving services at Pathways. b.CONTRACTOR shall allow parent's uninterrupted access to Pathways services including ancillary medical and social services nearby and/or off-site. c.During school holidays and vacations, if space is available, CONTRACTOR shall provide services to children of clients in need of short-term services. d.CONTRACTOR shall maintain a goal of reducing the number of appointments missed by parents who are unable to find temporary child care. e.CONTRACTOR shall submit an application for licensure to CCL within 5 days of notification of the bid award, as described and required in the Manual of Policies and Procedures, Community Care Licensing Division, Child Care Center, Division 12, Chapter 1, Article 3, Sections 101167, 101169, 101175 and 101181, located at: http://www.cdss.ca.gov/ord/entres/getinfo/pdf/ccc1.PDF and http://www. cdss.ca.gov/ord/entres/getinfo/pdf/ccc2.pdf. REVISED EXHIBIT A Page 5 of 7 f.CONTRACTOR shall obtain, at CONTRACTOR's cost, an exemption and/or provisional license on or before June 1, 2014 from CCL to operate an infants/toddlers and a pre- school age child care center at The Center. The licensed CONTRACTOR (Licensee) shall continuously operate, supervise and staff The Center, Monday through Friday, 8:00 a.m. through 5:00 p.m. with the exception of County approved holidays and designated furlough days, if applicable. However, if at 5:00 p.m. any child remains unclaimed by parent or guardian in The Center, at least one (1) qualified staff, at no additional cost to the County of Fresno, will continue to provide care and supervision until a disposition is reached for all such children. CONTRACTOR shall develop a written procedure, agreed upon by CONTRACTOR and COUNTY's DBH Director or her designee, to govern this type of situation within thirty (30) days of execution of the Agreement. g.CONTRACTOR shall provide therapeutic intervention and supervision to infants/toddlers and pre-school age children placed in The Center, in accordance with the requirements and procedures set forth in the Manual of Policies and Procedures, Child Care Center Title 22, Division 12, Chapter 1, dated January 2004. In addition, CONTRACTOR shall comply with Title 22, Division 12, Chapter 1, Child Care Center General Licensing Requirements, Subchapter 1, Subchapter 2, Infant Care Center, Articles 1, 2, 3, 4, 5, and 6 and Continuing Requirements. h.CONTRACTOR shall staff The Center facility with personnel which, at a minimum, meets the staffing requirements pursuant to Child Care Center Title 22, Division 12, Chapter 1, licensing requirements. i.CONTRACTOR shall ensure that, at all times: At least one (1) of CONTRACTOR's site teachers and at least one (1) of CONTRACTOR's site aides are present in The Center facility, pursuant to Title 22, during the hours The Center is in operation. CONTRACTOR's Child Care Director at The Center shall, at minimum, meet child care center Director Qualifications and Duties of Title 22, starting with Section 101215.1. j. All employees, agents, and volunteers of CONTRACTOR providing services in The Center shall, pursuant to Title 22, undergo a criminal history investigation and clearance, which shall include fingerprinting, at CONTRACTOR's expense. Such investigation and clearance shall be to the satisfaction of the COUNTY's DBH Director or her designee, before any such persons may perform any services in The Center. k CONTRACTOR shall establish a procedure, acceptable to Fresno COUNTY's DBH Director or her designee, to ensure that all of CONTRACTOR's employees, volunteers, consultants, subcontractors or agents described in the Child Abuse Reporting Act, Section 11164, et seq. of the Penal Code performing services under this Agreement shall report all known or suspected child abuse or neglect to a child protective agency defined in Penal Code Section 11165.9. This procedure shall include: 1.A requirement that all of CONTRACTOR's employees, volunteers, consultants, subcontractors or agents performing services shall sign a statement that he or she knows of and will comply with the reporting requirements as defined in Penal Code Section 11166(a). 2.Procedures to ensure reporting even when employees, volunteers, consultants, subcontractors, or agents who are not required to report child abuse under Penal Cod REVISED EXHIBIT A Page 6 of 7 Section 11166(a) gain knowledge of or reasonably suspect that a child has been a victim of abuse or neglect, within thirty (30) days of execution of the Agreement by all parties. I.CONTRACTOR shall develop, maintain and implement written procedures, subject to the approval of the COUNTY's DBH Director or her designee, which meet Title 22 requirements for assuring those children and their parents/guardians are appropriately identified during the time the child is in The Center. Such procedures will include at a minimum positive identification of the parent/guardian at the time of the child's arrival, confirmation of identity and authority when the child is retrieved, and security measures to prevent children from leaving The Center unobserved or being abducted. m.CONTRACTOR shall, at a minimum, ensure that hygienic bedding materials such as crib sheets, light blankets and disposable crib pads are provided and maintained with regard to child sleeping area (e.g. crib) on a daily basis. The napping equipment shall comply with Title 22, Division 12, starting with Section 101239 through 101239.1. A front loading washer and dryer are located on- site. CONTRACTOR will be responsible for repairs or replacement. n.CONTRACTOR shall provide replacements for nap mats, and continuing supplies and materials (age appropriate program supplies and manipulates, which shall include, but not be limited to, educational games and building blocks) which shall be used in connection with the performance of licensee's duties. The COUNTY will collaborate with CONTRACTOR on supplies for The Center. o.Confidentiality of Patient and/or Records: All information and records obtained in the course of providing services to clients and their children in The Center shall be subject to the confidentiality and disclosure provisions contained in Article 7 (commencing with Section 5325), Chapter 2, Part 1, Division 5, Welfare and Institutions Code, Title 42 (commencing with Section 2.1), Code of Federal Regulations, and HIPAA requirements. p.CONTRACTOR shall establish a procedure, acceptable to Fresno COUNTY's DBH Director or her designee, regarding the development of a daily sign in/sign out sheet and a client/student census log. CONTRACTOR shall submit a census log weekly to designated COUNTY staff. q.CONTRACTOR shall participate in assisting clients in obtaining resources to complete physicals and vaccinations for their children, and attend Pathways clinical and staff meetings. r.CONTRACTOR shall provide nutritiously balanced breakfast, lunch and daily snacks throughout the day for the children. This will include shopping for, delivering, storing, and preparing the food. s.CONTRACTOR shall provide the client with the ability to leave their child during lunch time to attend on-site self-help meetings. t.CONTRACTOR will provide limited, short-term extended care for children whose parents are completing the admission/intake process to Pathways. Intake extended care will be located in the play area next to the entrance. The extended care can accommodate a maximum of three to five children at one time and will be available only during normal hours of operation (8:00 a.m. - 5:00 p.m., Monday through Friday). Pathways staff will provide advance notice of scheduled intakes to allow The Center's Child Care Director adequate time to plan staffing. Exceptions to the extended care policy must be approved by the Pathways Clinical Supervisors. No extended care is available for children on the waiting list to enter the licensed child care, school-age children during school vacation or for children of parents attending self- help meetings. REVISED EXHIBIT A Page 7 of 7 REPORTS AND OUTCOMES CONTRACTOR shall provide monthly reports, and more often if requested by DBH-SAS, that include, but are not limited to, the following: Census of morning and afternoon sessions; number of new children enrolled; ethnicity and ages; number of individual assessment plans developed with parent; number of children cared for while parent is off- site; and number of breakfasts, lunches and snacks provided. In addition, CONTRACTOR shall be responsible for providing, at a minimum, bi-annual outcomes that are data-driven and include, but are not limited to, measuring, through a mutually agreeable method between CONTRACTOR and COUNTY's DBH-SAS, that parents and children are experiencing a high quality therapeutic child care service that is responsive to individual children's needs; parents will understand their children's special needs, abilities, and how to meet the next stage of their child's development; that the services meet the expectations of parent(s) and child(ren); and that children will demonstrate improved social and emotional development and skills, including social relationships. COUNTY RESPONSIBLITIES 1.COUNTY shall provide electricity, telephone service restricted to the (559) service area, alarm system, routine janitorial service and security services. These services shall be commensurate with the level and quality of such services provided to Pathways program and facility. 2.COUNTY shall provide access to e-mail, computer, printer, copy machine, etc. that are associated with daily operations of the Pathways child care center for appropriate staff as determined by COUNTY DBH- SAS, as well as technical support and assistance for COUNTY-owned equipment and systems. 3.If children require transportation with the parent(s) for other ancillary services, including but not limited to medical, evaluative, or other treatment services, Pathways staff will coordinate with the Site Director. 4.COUNTY reserves the right to modify, enhance or otherwise improve the appearance of The Center, equipment and supplies, with CONTRACTOR's input.
