HomeMy WebLinkAboutP-24-393 Amendment 1.pdf P-24-393 1 AMENDMENT NO. 1 TO SERVICE AGREEMENT 2 This Amendment No. 1 to Service Agreement ("Amendment No. 1") is dated November 3 15, 2024 and is between Hands On Central California, a California nonprofit public benefit 4 corporation ("Contractor"), and the County of Fresno, a political subdivision of the State of 5 California ("County"). 6 Recitals 7 A. On July 8, 2024, the County and the Contractor entered into an agreement for mentoring 8 services for participants within the guidelines of the Justice Assistance Grant (JAG) Adult 9 Reentry Planning Program (ARPP), which is County agreement number P-24-393 10 ("Agreement"), to facilitate successful reentry into the community after release from custody, 11 thereby reducing gang activity and increasing public safety. ARPP provides supportive services 12 such as mentoring for individuals committed to Fresno County Jail for at least sixty days and/or 13 on current supervision, 18-30 years of age, affiliated or previously affiliated with a gang, with a 14 medium to high risk to reoffend, for up to six months after release from custody. 15 B. To ensure compliance with JAG Grant Agreement requirements, the County needs to 16 amend Exhibit C, Compensation, of the Agreement, as the current rate does not accurately 17 reflect the hourly rate and the actual number of employees providing mentoring services. 18 The parties therefore agree as follows: 19 1. Subsection 4.2 of the Agreement located on page 4, lines 6 through 18, is deleted in its 20 entirety and replaced with the following: 21 "4.2 Maximum Compensation. The County agrees to pay Contractor and 22 Contractor agrees to receive compensation at the hourly rate of$35.00 for 23 Associate Director, hourly rate of$32.00 for Program Manager, and hourly rate of 24 $16.50 for Mentor, not to exceed the maximum annual compensation of Forty 25 Thousand Dollars ($40,000) for services provided under this Agreement for year 26 1, from July 8, 2024 through June 30, 2025 and year 2, July 1, 2025 through 27 June 30, 2026. In no event shall the compensation paid to Contractor for all 28 services performed under this Agreement exceed Eighty Thousand Dollars 1 P-24-393 1 ($80,000) during the two-year term of this Agreement. The Contractor 2 acknowledges that the County is a local government entity, and does so with 3 notice that the County's powers are limited by the California Constitution and by 4 State law, and with notice that the Contractor may receive compensation under 5 this Agreement only for services performed according to the terms of this 6 Agreement and while this Agreement is in effect, and subject to the maximum 7 amount payable under this section. The Contractor further acknowledges that 8 County employees have no authority to pay the Contractor except as expressly 9 provided in this Agreement." 10 2. Exhibit C is deleted, and replaced with the attached new Exhibit C, incorporated by this 11 reference, and made part of the Agreement. 12 3. The Contractor represents and warrants to the County that: 13 a. The Contractor is duly authorized and empowered to sign and perform its obligations 14 under this Amendment No. 1. 15 b. The individual signing this Amendment No. 1 on behalf of the Contractor is duly 16 authorized to do so and his or her signature on this Amendment No. 1 legally binds 17 the Contractor to the terms of this Amendment No. 1. 18 4. The parties agree that this Amendment No. 1 may be executed by electronic signature 19 as provided in this section. 20 a. An "electronic signature" means any symbol or process intended by an individual 21 signing this Amendment No. 1 to represent their signature, including but not limited 22 to (1) a digital signature; (2) a faxed version of an original handwritten signature; or 23 (3) an electronically scanned and transmitted (for example by PDF document) 24 version of an original handwritten signature. 25 b. Each electronic signature affixed or attached to this Amendment No. 1 (1) is deemed 26 equivalent to a valid original handwritten signature of the person signing this 27 Amendment No. 1 for all purposes, including but not limited to evidentiary proof in 28 2 P-24-393 1 any administrative or judicial proceeding, and (2) has the same force and effect as 2 the valid original handwritten signature of that person. 3 c. The provisions of this section satisfy the requirements of Civil Code section 1633.5, 4 subdivision (b), in the Uniform Electronic Transaction Act (Civil Code, Division 3, Part 5 2, Title 2.5, beginning with section 1633.1). 6 d. Each party using a digital signature represents that it has undertaken and satisfied 7 the requirements of Government Code section 16.5, subdivision (a), paragraphs (1) 8 through (5), and agrees that each other party may rely upon that representation. 9 e. This Amendment No. 1 is not conditioned upon the parties conducting the 10 transactions under it by electronic means and either party may sign this Amendment 11 No. 1 with an original handwritten signature. 12 5. The Contractor is not entitled to any compensation except as expressly provided in this Exhibit C. The Contractor is required to submit monthly invoices for all mentoring services provided, with total annual compensation not to exceed $40,000. Furthermore, the combined annual compensation for all three staff members must also remain within this $40,000 limit. Salaries & Benefits: Cost will be billed based on the actual number of hours worked during the billing period.
