1 ASSIGNMENT OF AGREEMENT
2 THIS ASSIGNMENT OF AGREEMENT No . 12-141-3 ( "ASSIGNMENT") is made and
3 entered into this _1.1.fil_ day of January 2020 , by and between the County of Fresno , a
4 political subdivision of the State of California ("COUNTY"), FMAAA Foundation , whose address is
5 3837 North Clark Street , Fresno , CA 93726 ( "ASSIGNOR"), and the Fresno Rescue Mission , ,
6 whose address is 263 G Street, Fresno , CA 93716 ("ASSIGNEE").
7 WITNESSETH:
8 WHEREAS, COUNTY and ASSIGNOR are Parties to that Lease Agreement 12-141
9 ("LEASE"), dated March 27 , 2012 , for lease of two (2) office spaces (a total of 2 ,134 square feet) at
10 the location commonly known as the Sierra Building , 2025 E. Dakota Avenue , Fresno, CA 93726
11 (the "Premises");
12 WHEREAS , the Lease was amended by First Amendment on October 15 , 2015 , and by
13 Second Amendment on July 10, 2018;
14 WHEREAS , ASSIGNEE has purchased the Premises from ASSIGNOR ;
15 WHEREAS , Section 20 of the Lease provides for the assignment thereof, with the written
16 consent of the Parties thereto ;
17 WHEREAS, ASSIGNOR wishes to assign , transfer, and delegate all of its rights ,
18 benefits , benefits , responsibilities , and obligations under the Lease to ASSIGNEE ; and
19 WHEREAS , ASSIGNEE represents thats/he is willing and qualified to accept the
20 assignment, transfer, and delegation of ASSIGNOR 'S rights , benefits , responsibilities , and
21 obligations under the Lease , and to perform faithfully and completely in ASSIGNOR 's stead
22 thereunder.
23 NOW, THEREFORE, the parties agree that the Lease shall be, and is , transferred and
24 assigned by ASSIGNOR to ASSIGNEE as follows :
25 1. ASSIGNOR hereby transfers and assigns all of its rights , interest , obligations, and
26 responsibilities under the Lease to ASSIGNEE .
27 2 . ASSIGNEE hereby accepts from ASSIGNOR the Assignment of the Lease , and
28 ASSIGNEE agrees , as a direct obligation to COUNTY , without qualification or reservation of right ,
