1 ASSIGNMENT OF AGREEMENT
2 THIS ASSIGNMENT OF AGREEMENT No . 04-561-3 ( "ASSIGNMENT") is made and
3 entered into this ..21.s.L day of January 2020, by and between the County of Fresno , a
4 political subdivision of the State of California ("COUNTY"), FMAAA Foundation , whose address is
5 3837 North Clark Street, Fresno , CA 93726 ( "ASSIGNOR"), and the Fresno Rescue Mission , ,
6 whose address is 263 G Street, Fresno , CA 93716 ("ASSIGNEE ").
7 WITNESSETH:
8 WHEREAS , COUNTY and ASSIGNOR are parties to that certain Lease Agreement 04-561
9 ("Lease"), dated December 14 , 2004, for lease of Room #101 at 2025 E. Dakota Avenue , Fresno ,
10 CA 93726 ("Library " or the "Premises ");
11 WHEREAS , the Lease was amended by First Amendment on February 27, 2007 , and by
12 Second Amendment on July 10, 2018 ;
13 WHEREAS , ASSIGNEE has purchased the Premises from ASSIGNOR ;
14 WHEREAS , Section 19 of the Lease provides for the assignment thereof, with the written
15 consent of the Parties thereto ;
16 WHEREAS , ASSIGNOR wishes to assign, transfer, and delegate all of its rights ,
17 benefits, benefits , responsibilities , and obligations under the Lease to ASSIGNEE; and
18 WHEREAS , ASSIGNEE represents thats/he is willing and qualified to accept the
19 assignment , transfer, and delegation of ASSIGNOR 'S rights , benefits , responsibilities , and
20 obligations under the Lease , and to perform faithfully and completely in ASSIGNOR 's stead
21 thereunder.
22 NOW, THEREFORE , the parties agree that the Lease shall be , and is , transferred and
23 assigned by ASSIGNOR to ASSIGNEE as follows :
24 1. ASSIGNOR hereby transfers and assigns all of its rights , interest, obligations , and
25 responsibilities under the Lease to ASSIGNEE .
26 2. ASSIGNEE hereby accepts from ASSIGNOR the Assignment of the Lease , and
27 ASSIGNEE agrees , as a direct obligation to COUNTY , without qualification or reservation of right ,
28 to perform each and every one of ASSIGNOR 'S obligations and responsibilities under the Lease ,
