The County of Fresno desires to extend this contract for an additional one-year period effective July 1, 2024 through June 30, 2025. Prices will be firm for the contract period. Amendment provisions shall remain in full force and effect with any contract renewals. The County of Fresno hereby accepts your price increase notice dated August 8, 2024 to be effective September 8, 2024 in accordance with the terms and conditions of our Contract Number P-21-279, and Revised Attachment"A". All orders placed prior to September 8, 2024 will be priced in accordance with current contract pricing. Electronic Signatures. The parties agree that this Agreement may be executed by electronic signature as provided in this section. A. An "electronic signature" means any symbol or process intended by an individual signing this Agreement to represent their signature, including but not limited to (1) a digital signature; (2) a faxed version of an original handwritten signature; or(3) an electronically scanned and transmitted (for example by PDF document)of a handwritten signature. B. Each electronic signature affixed or attached to this Agreement(1) is deemed equivalent to a valid original handwritten signature of the person signing this Agreement for all purposes, including but not limited to evidentiary proof in any administrative or judicial proceeding, and (2) has the same force and effect as the valid original handwritten signature of that person. C. The provisions of this section satisfy the requirements of Civil Code section 1633.5, subdivision (b), in the Uniform Electronic Transaction Act(Civil Code, Division 3, Part 2, Title 2.5, beginning with section 1633.1). D. Each party using a digital signature represents that it has undertaken and satisfied the requirements of Government Code section 16.5, subdivision (a), paragraphs (1)through (5), and agrees that each other party may rely upon that representation. This Agreement is not conditioned upon the parties conducting the transactions under it by electronic means and either party may sign this Agreement with an original handwritten signature. We wanted to inform you about the ongoing market conditions affecting our industry. Since 2021, the supply chain has been under tremendous strain, leading to challenges that have continued to escalate through 2023. The rising cost of raw materials has driven up prices across multiple products while manufacturers grappled with cascading difficulties throughout their supply chains. Key supply chain issues that have persisted from 2021 through 2023 include: 1. Freight and Shipping Delays: Global shipping disruptions, port congestion, and a shortage of containers have caused significant delays in the transportation of goods, leading to longer lead times and higher shipping costs. 2. Labor Shortages: The availability of skilled labor has been severely impacted, affecting production schedules and increasing operational costs. This shortage extends from manufacturing plants to logistics and transportation sectors. 3. Material Shortages: Critical materials, including metals, chemicals, and plastics, have faced supply shortages, further driving up costs and limiting availability. 4. Energy Costs: Rising energy prices have compounded the situation, adding to the cost of production and transportation, further straining margins. As a result of these compounded issues, we have experienced on going increases from many of our vendors since the beginning of 2021. At Target Specialty Products, we are committed to doing our best to honor our contract pricing, but it is becoming increasingly challenging due to these persistent supply chain disruptions and the already low margins on these contracts. We deeply value our longstanding business relationship with the County of Fresno and look forward to many more years of providing you with excellent service and quality products.
