Amendment 2
1 AMENDMENT NO. 2 TO SERVICE AGREEMENT
2 This Amendment No. 2 to Service Agreement ("Amendment No. 2") is dated
3 September 3, 2024 and is between Central California Legal Services, Inc. (CCLS), a
4 private, not-for-profit, public interest law firm whose address is 2115 Kern Street Suite 200,
5 Fresno, CA 93721, hereinafter referred to as "Contractor", and the County of Fresno, a political
6 subdivision of the State of California, hereinafter referred to as "County".
7 Recitals
8 A. On March 5, 2024 the County and the Contractor entered into a Purchasing Agreement,
9 which is County agreement number P-24-111 ("Agreement"), and Amendment 1, identified as P-
10 24-111-1 on July 11, 2024, for disability advocacy and legal representation for Housing and
11 Disability Advocacy Program (HDAP) clients.
12 B. The Contractor is willing and able to provide said legal services to the homeless and
13 disabled individuals.
14 C. Therefor the County and the Contractor now desire to amend the Agreement to amend
15 the Agreement regarding changes as stated below.
16 The parties therefore agree as follows:
17 1. Page Two (2), Article two (2), Section Two (2) beginning with Line One (1) and
18 ending on Page Two (2), Article Two (2), Section Two (2) Line Nine (9) of the Agreement P-24-
19 111-1 is deleted in its entirety and replaced with the following:
20 "2.2 Maximum Compensation. The maximum compensation payable to the
21 Contractor under this Agreement is two hundred thousand and No/100 dollars
22 ($200,000) for the period of January 1, 2024 through September 9, 2024. The
23 Contractor acknowledges that the County is a local government entity, and does
24 so with notice that the County's powers are limited by the California Constitution
25 and by State law, and with notice that the Contractor may receive compensation
26 under this Agreement only for services performed according to the terms of this
27 Agreement and while this Agreement is in effect, and subject to the maximum
28 amount payable under this section. The Contractor further acknowledges that

1 County employees have no authority to pay the Contractor except as expressly
2 provided in this Agreement."
3 2. Page Two (2), Article Three (3), Section One (1) beginning with Line Twenty-
4 Seven (27) and ending on Page Two (2), Article Three (3), Section One (1) Line Twenty-Eight
5 (28) of the Agreement P-24-111-1 is deleted in its entirety and replaced with the following:
6 "3.1 Term. This Agreement is retroactively effective to January 1, 2024 and
7 terminates on September 9, 2024, except as provided in section 3.2,
8 "Extension," or Article 5, "Termination and Suspension," below."
9 3. Exhibit B of the Agreement P-24-111 is deleted in its entirety and replaced with
10 "Revised Exhibit B"
11 4. When both parties have signed this Amendment No. 2, the Agreement, and this
12 Amendment No. 2 together constitute the Agreement.
13 5. The Contractor represents and warrants to the County that:
14 a. The Contractor is duly authorized and empowered to sign and perform its
15 obligations under this Amendment.
16 b. The individual signing this Amendment on behalf of the Contractor is duly
17 authorized to do so and his or her signature on this Amendment legally binds the
18 Contractor to the terms of this Amendment.
19 6. This Amendment may be signed in counterparts, each of which is an original,
20 and all of which together constitute this Amendment.
21 7. The Agreement as amended by this Amendment No. 2 is ratified and continued.
22 All provisions of the Agreement and not amended by this Amendment No. 2 remain in full force
23 and effect.
